A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
MIAMI BEACH AUTHORIZING AND DIRECTING THE MAYOR AND
THE CITY CLERK TO EXECUTE A DEED (A COPY OF WHICH IS
ATTACHED HERETO AND MADE A PART HEREOF AS EXHIBIT "A")
GRANTING TO THE MIAMI BEACH REDEVELOPMENT AGENCY FOR
REDEVELOPMENT PURPOSES THAT PORTION OF PARCELS A, C &
D AS DESIGNATED ON THE MIAMI BEACH REDEVELOPMENT PLAN
AS AMENDED WHICH IS OWNED BY THE CITY OF MIAMI BEACH,
ALL LOCATED BETWEEN ALTON ROAD ON THE EAST, BISCAYNE
BAY ON THE WEST, FIFTH STREET (MAC ARTHUR CAUSEWAY)
ON THE NORTH AND GOVERNMENT CUT ON THE SOUTH.
WHEREAS, the City of Miami Beach created the Miami Beach
Redevelopment Agency to eliminate slum and blighted areas on South
Beach; and
WHEREAS, the Commission of the City of Miami Beach approved
the Redevelopment Plan for the area on March 2, 1977; and
WHEREAS, a portion of said plan provides that the City will
give title to Miami Beach Redevelopment Agency to the lands which
are owned by the City designated on the Miami Beach Redevelopment
Plan as Parcels A, C & D, all located between Alton Road on the East,
Biscayne Bay on the West, Fifth Street (MacArthur Causeway) on the
North and Government Cut on the South; and
WHEREAS, the Miami Beach Redevelopment Agency has requested
a Deed for said property; and
WHEREAS, the Miami Beach Redevelopment Agency has entered
into a preliminary agreement with the Master Developer to develop
the project in accordance with the Plan;
NOW, THEREFORE, BE IT RESOLVED BY.ThTHE CITY COMMISSION OF
THE CITY OF MIAMI BEACH:
Section 1. The Mayor and City Clerkarehereby authorized
and directed to execute a deed la copy of which is attached hereto
and made a part hereof as Exhibit "A") granting to the Miami Beach
Redevelopment Agency for Redevelopment Purposes that portion of
Parcels A, C & D as a esignated on the Miami Beach Redevelopment Plan
as amended, which is owned by the City of Miami Beach, all located
between Alton Road on the East, Biscayne Bay on the West, Fifth
Street (MacArthur Causeway) on the North and Government Cut on the
South with the understanding that the Chairman of the Miami Beach
Redevelopment Agency will hold the Warranty Deed in escrow until
such time as the Master Developer has executed the Development and
Disposition Contract anddeposit the $5.3 million as provided herein
within 90 days hereafter, the Warranty Deed will be returned from
escrow by the Chairman of the Miami Beach Redevelopment Agency to
the City of Miami Beach. Also, if the Master Developer does not

deposit the initial amount of $1.65 million (this is in addition
to the $500, 000 previously deposited) , upon the filing of the bond
validation proceedings or within 30 days thereafter, then, in that
event, the Warranty Deed will be returned from escrow by the
Chairman of the Miami Beach Redevelopment Agency to the City of
Miami Beach.

WARRANTY DEED
THIS WARRANTY DEED made and executed the /6 day
of A.D. 1979 by THE CITY OF MIAMI BEACH, a
Municipal corporation existing under the laws of the State
of Florida and having its principal place of business at
1700 Convention Center Drive, Miami Beach, Florida, herein-
after called the grantor, and THE MIAMI BEACH REDEVELOPMENT
AGENCY, a public agency existing ,under the laws of the State
of Florida, with its permanent post office address at 1212
Fifth Street, Miami Beach, Florida, hereinafter called the
grantee:
(Wherever used herein the terms "grantor"
and '"grantee" include all the parties to
this instrument their successors and assigns. )
WITNESSETH: That the grantor, for and in consider-
ation of the sum of TEN and 00/100 ($10. 00) and other valuable
considerations, receipt whereof is hereby acknowledged, by
these presents does grant, bargain, sell, alien, remise,
release, convey and confirm unto the grantee, for redevelopment
purposes, all that City owned land situate in Dade County,
Florida, generally bounded by Alton Road on the East,
Biscayne Bay on the West,. Fifth Street on. the North and
Government Cut on the South, more particularly described' as
follows:
•Lots ' l through 14 inclusive; and Lots 21 through 42 inclusive,
in Block 111, of OCEAN BEACH, FLORIDA, ADDITION NO. 3,
according to the Plat thereof, recorded in Plat Book 2, Page
81, of the Public Records of Dade County, Florida.
ALSO
Lots 43, 44, 45, 46, 47, 48A, 49B and 50C of DADE COUNTY
PROPERTY, according to the Plat thereof, recorded in Plat
Book 14, Page 70, of the Public Records of Dade County,

Beginning at a point on the northern boundary of said Section

SUBJECT TO:
1. • An easement for existing' public utilities

reference until the same are relocated by the Miami , Beach
Redevelopment Agency.

in size, location and number to permit convenient ingress

determined by the Miami Beach Redevelopment Agency; provided,
however, that the same shall not unreasonably interfere with
construction on the property, and the use and enjoyment of

3. Retention in public ownership of a parcel

situated within Lots 21 through 29, of Block 111, OCEAN
BEACH, FLORIDA, ADDITIONNO. 3, according to the plat thereof,
4: recorded in Plat Book 2, of Page 81 of the Public Records of -
• Dade County, Florida. Said parcel being adequate in size
• and location to accommodate construction and operation of
public marina facilities including but not limited to dry •
boat storage facilities, bait and tackle shops, boat launching
area, and other public marine facilities as specified by the
Redevelopment Agency.
' - TOGETHER with all the tenements, hereditaments

thereto belonging or in anywise appertaining.

TO HAVE AND TO HOLD, the same in fee simple
forever, provided, however, that if said property has not
been used for redevelopment purposes within 5 years from •the
date hereof in accordance. with the Revised Redevelopment
Plan for the South Beach Redevelopment Project as the same
• now or may hereafter exist, the title to said property shall
automatically revert to and become vested in the City of
Miami Beach.,
AND the grantor hereby covenants with said grantee
that it is lawfully seized of said land in fee simple, that
it has good right and lawful authority to sell and convey

said land; that it hereby fully warrants the title to said
land and will defend the same against the lawful claims of
all persons whomsoever; and that said land is free of all
encumbrances.
The City Manager and Agency Officials shall agree
to a mutually acceptable time for the transfer of possession
of the Property, and the removal of personal property and
fixtures by the City, but in any event, the same shall not
take place later than December 15, 1979 .
