250-96 #35 RESOLUTION NO. 250-96 A RESOLUTION OF THE CHAIRMAN AND MEMBERS OF THE MIAMI BEACH REDEVELOPMENT AGENCY AUTHORIZING AND DIRECTING THE EXECUTIVE DIRECTOR TO PAY FEES NOT EXCEEDING $2,055,000, WHICH FEES WILL BE DUE IN CONNECTION WITH THE ISSUANCE OF PERMITS FOR THE DEVELOPMENT OF THE LOEWS MIAMI BEACH HOTEL PROJECT AND THE PUBLIC PARKING GARAGE PROJECT AT AND NEAR 16TH STREET BETWEEN COLLINS AND WASHINGTON A VENUES. WHEREAS, the Miami Beach Redevelopment Agency (the "Agency") has been in negotiations with representatives of Loews Hotels Holding Corporation ("LHHC"), in connection with the development, operation, furnishing and equipping of the Loews Miami Beach Hotel, to be developed on public land at and near 16th Street, east of Collins Avenue, Miami Beach, Florida (the "Hotel") and the development of a public parking garage at and near 16th Street between Collins and Washington Avenues (the "Public Garage"); and WHEREAS, the Agency and the City of Miami Beach, Florida (the "City") have earlier today authorized and directed the Chairman and Secretary and the Mayor and City Clerk to execute agreements with LHHC, pertaining to the Hotel and the Public Garage; and WHEREAS, the Agency, the City and LHHC all would like to expedite the development of the Hotel and the Public Garage; and WHEREAS, the development of the Hotel cannot begin until certain fees are paid in order to obtain permits; and WHEREAS, the Agency would like to assist in expediting the development of the Hotel and Public Garage by paying those fees that are due and listed on Exhibit "A," which exhibit is attached hereto and incorporated herein, as well as other City and Metropolitan Dade County fees that are due, in an amount not to exceed $2,055,000. NOW, THEREFORE, BE IT DULY RESOLVED BY THE CHAIRMAN AND MEMBERS OF THE MIAMI BEACH REDEVELOPMENT AGENCY as follows: 1. The Executive Director is authorized and directed to pay those fees that are due and specified in Exhibit "A", which exhibit is attached hereto and incorporated herein, as well as other City and Metropolitan Dade County fees that are due, in an amount not to exceed $2,055,000, to facilitate the expeditious development of the Hotel and Public Garage, provided, however, that the amount of fees that the Executive Director is authorized and directed to pay will be reduced by the amount of those fees that are waived by Metropolitan Dade County. 2. FROM : SUBJECT: RECOMMENDATION: It is recommended that the Agency Board approve the Resolution. BACKGROUND: The transactions involving the Loews Hotel project and the transactions involving the Garage project require within the documents that the Redevelopment Agency pay all relevant City and County permit fees. This separate Resolution is required in order to authorize the expenditures from the City Center/Historic Convention Village budget. ANALYSIS: Attached is a listing of the relevant fees. It is estimated that the City permit fees for the hotel will be approximately $1,000,000. The garage is exempt as a public project. The County fees will be approximately $1,005,000 for the hotel, and approximately $50,000 for the garage. Loews agreed to increase their equity in the project if the city were able to waive city and County fees on the project. The Administration proposes that the Agency pay for the City fees for the hotel rather than having the City waive them, in order to minimize fiscal impacts on the General Fund. With regard to the County fees for the hotel, the Agency would pay the fees up front and would be reimbursed by Loews over a 30-year period with interest. Efforts that the City had made to get Dade County to waive the road impact fees have been unsuccessful. The fee estimates in this memo and Resolution are "not to exceed" numbers, and will probably be lower. Until detailed calculations are done by the developer and verified by the City's Building Department and the County, these numbers are approximate and estimated at this time. CONCLUSION: The RDA should approve the attached Resolution. JGP:~jm
