MOU with Ring LLC DocuSign Envelope ID:861 B49BC-3915-451 B-AEC3-51272F3590B5 <3 I a - 3 404-102_ MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF MIAMI BEACH AND - RING LLC This Agreement is entered into by and between the City of Miami Beach ("City"), a municipal corporation of the State of Florida, by and through its police department, the City of Miami Beach PoliceDepartment ("MBPD"), and Ring LLC, a Delaware limited liability company ("Ring"), which operates a home security company. The City, through the MBPD, and Ring hereinafter will be referred to collectively as "the Parties". WHEREAS, the Criminal Investigations Division, Information Resources Unit, Uniformed Patrol'and other details within the MBPD (collectively, "MBPD Units") combine intelligence resources and data with innovative technology and policing strategies; and WHEREAS, the main purposes for integrating innovative technology within MBPD Units are to fight crime, enhance officer safety and provide situational awareness; and WHEREAS,the City continues to be proactive in enhancing MBPD Units to combat, solve and prevent crimes; and WHEREAS, Ring is a company whose mission is to reduce crime in neighborhoods. NOW,THEREFORE, BE IT KNOWN that the Parties, in consideration for mutual promises and covenants contained herein, agree tofully and faithfully abide by and be bound by the following terms and conditions: TERMS OF MEMORANDUM OF UNDERSTANDING 1. PURPOSE . A. The purpose of this Memorandum of Understanding ("MOU") is to enhance the MBPD Units through the integration of the"Ring Neighbors App" platform, a digital neighborhood watch that both"law enforcement and the community can access free of charge and the Ring Neighbors Portal. The community under this MOU shall include the residents and business owners of the City. B. Ring's primary mission is to reduce crime in neighborhoods. The Ring Neighborhoods application ("app") allows the community to share and comment in real-time regarding crime and safety events in their neighborhood. MBPD will be able to monitor in real- time these crime and safety events posted in the app. There are currently an estimated 29,000 residents using the: app throughout Miami-Dade County. Ring video doorbells and security cameras have the capacity to send owners an instant alert to their phone, tablet, and/or PC when motion is detected. As alerts are answered, resident are able to see, hear, and speak to people on the resident's property from any remote location. Ring Neighborhoods also has the capacity to share videos with neighbors and local law enforcement, providing a tool to work together to reduce local crime. , DocuSi6n Envelope ID:861 B49BC-3915-451 B-AEC3-51272F3590B5 2. RESPONSIBILITIES OF RING Ring agrees to the following terms under this MOU: A. Make the Ring Neighborhoods app available to City residents at no cost. City residents will also earn$10 in Ring:credits if they invite a neighbor to download the app or may earn $10 in Ring credits if they download the app as a result of an invitation from an existing Ring app neighbor. Such referral credits shall be governed by the terms found at this link https://support.ring.com/hc/en-us/articles/115005601706. B. Donate to the City 50 Ring doorbell devices to be distributed in collaboration with the MBPD to residents of areas primarily patrolled by the MBPD. Additional devices may be donated during the period of this MOU based on engagement in the program and platform. C. Provide access to the Ring Neighbors Portal to:the MBPD, at no cost to the MBPD, and also, provide training and support related to the Ring Neighbors Portal and the app to MBPD personnel. D. At Ring's discretion, publish relevant incidents in the Neighborhoods Feed based on CAD incidents, as provided to Ring by the MBPD. E. Collaborate with City residents and boards to provide Ring camera subsidies. F. Notify Ring customers via an in-app alert that MBPD is partnering with Ring on the Neighbors App. 3. RESPONSIBLITIES OF THE CITY THROUGH MBPD The City, by and through the MBPD, agrees to the following terms under this MOU: A. Engage City residents in the community with outreach efforts to raise awareness of MBPD's partnership with Ring and the Ring Neighborhood app. B. Maintain appropriate access control for MBPD personnel use of the Ring Neighbors Portal. C. Provide Ring with allowable data pertaining to MBPD CAD incidents, for those incidents selected and deemed appropriate as mutually agreed between Ring and MBPD and in compliance with legal process. Ring will not provide any customer information, including video footage,to MBPD without the prior consent of the owner of a Ring device or properly issued legal process that complies with federal and state law, as applicable. 4. FORCE MAJEUR AND WARRANTIES The Parties shall not be responsible for interruptions of system service due to forces of nature, war, manmade disasters or other such acts beyond the control of any of the Parties. 5. INDEMNIFICATION DocuSic�n Envelope ID:861 B49BC-3915-451 B-AEC3-51272F3590B5 Each party to this MOU agrees to assume responsibility for the acts, omissions, or conduct of such party's own employees while participating herein and pursuant to this MOU, and subject to the limitations and provisions of Section 768.28, Florida Statutes, where applicable. "Assume • Responsibility" shall mean incurring any and all costsassociated with any third party suit, action, or claim for damages arising from the performance of this MOU; provided that, in no event, shall the total indemnification paid under this clause by either party exceed $200,000. 6. NON-ASSIGNABILITY Neither party shall assign any of the obligations or benefits of this MOU without the written consent of the other party. 7. PRESS RELEASE The Parties shall agree to a joint press release to be mutually agreed upon by the Parties. 8. PRIVACY AND TERMS OF USE MBPD agrees not to use the Ring Neighbors Portal other than as expressly authorized by Ring and other than in connection with bona fide MBPD work. Ring's terms of service and privacy notice, as posted on Ring.com, shall apply to all uses of the Ring app and Neighbors Portal. 9. COMPENSATION At no point shall either party receive compensation from each other as a result of this program. 10. TERM MBPD's participation in the program shall commence upon the City's acceptance of these program terms as evidenced by the City's execution of this MOU. Either party may terminate MBPD's participation in the program at any time upon providing written notice to the other party. 11 NOTICES All notices or other communications required or permitted under this MOU shall be in writing and delivered by personal service, mailing the same by United States certified mail, return receipt requested, and postage prepaid, or by a nationally recognized overnight carrier, addressed as follows: To the City: To Rinq LLC: Attn: Jimmy L. AMENDMENTS This MOU may be amended as necessary. As a new technology program, and as technology continues to evolve, it may be necessary for Ring to make adjustments and such adjustments may require that this MOU be amended. All amendments shall be made in writing and signed by the Parties; in the case of the City, the City Manager, or the City Manager's designee, is authorized to amend this MOU. 13. CONFIDENTIALITY Unless otherwise required by law, the City and MBPD shall not disclose any confidential information relating to the Neighbors Portal technology including, but not limited to, any trade secrets.
