Amendment No. 3 to the Design/Build Agreement with RIC-MAN Construction, Inc. 00tg- 3at/14 AMENDMENT NO. 3 TO THE DESIGN/BUILD AGREEMENT BETWEEN THE CITY OF MIAMI BEACH AND RIC-MAN CONSTRUCTION, INC. FOR THE DESIGN AND CONSTRUCTION OF A PORTION OF THE SEA WALL ALONG THE COLLINS CANAL IN THE VICINITY OF THE CARL FISHER CLUBHOUSE, TO REPLACE THE EXISTING DILAPIDATED SEA WALL, AS PART OF THE 19th STREET STORMWATER PUMP STATION IMPROVEMENTS PROJECT FOR THE CONVENTION CENTER IN AN AMOUNT NOT TO EXCEED $593,000.00, PLUS OWNER'S CONTINGENCY IN THE AMOUNT OF $59,300.00, FOR A TOTAL OF $652,300.00; WITH ' PREVIOUSLY APPROVED FUNDING. This Amendment No. 3 to the Design/Build Agreement dated on or about June 17, 2017, between the CITY OF MIAMI BEACH, a municipal corporation existing under the laws of the Stat6 of Florida (the "CITY"), and Ric-Man Cons ction Florida, Inc., ("Ric-Man" or "Design- Builder"), is made and entered this tel day of oevyt � , 2018. RECITALS WHEREAS, on January 17, 2017, the City entered into a Design/Build Agreement with Ric-Man Construction, Inc. (Ric-Man) to develop, design, and construct the Stormwater Pump Station on 19th Street between Convention Center Drive and Meridian Avenue, in the amount of $6,332,389.80; and WHEREAS, on February 9, 2018, the Mayor and City Commission adopted Resolution No. 2017-30020, to incorporate a permanent emergency generator as part of the Project Amendment No. 1 to the Design/Build Agreement was executed in the negotiated amount of $630,013.00, revising the total contract amount to $6,962,402.80; and WHEREAS, on March 23, 2018, Amendment No. 2 to the Design/Build Agreement was executed in the amount of $387,124.00 plus owner's contingency of $38,712.00, as approved by the Mayor and City Commission pursuant to Resolution No. 2018-30220, to design and construct an extension of the Botanical Garden along the Collins Canal as part of the 19th Street Stormwater Pump Station Improvements Project, revising the total contract amount to a total of$7,388,238.80; and WHEREAS, on July 25, 2018, the Mayor and City Commission adopted Resolution. No.2018-30414 authorizing the City Manager to negotiate and execute Amendment No. 3 to the Design/Build Agreement between the City of Miami Beach and Ric- Man Construction, Inc., for the design and construction of approximately 170 linear feet of sea wall, in the vicinity of the Carl Fisher Club House, in the amount of $593,000.00, plus $59,300.00 owner's contingency, revising the total contract amount to a not-to-exceed total of$8,040,538.80; and WHEREAS, this work is to be coordinated with the Carl Fisher Clubhouse Renovation Project and the design and construction of this project shall be as depicted on the City ' Engineer's Design Criteria included in the original Design/Build Agreement between the City of Miami Beach and Ric-Man Construction, Inc., for the 19th Street Stormwater Pump Station Improvements Project, as per enclosed Exhibit-2, Sea Wall sketches, Miami Beach Public Works Engineering Standard Drawings and documents herein and as approved by the City's Public Works Department— Engineering Division; and NOW, THEREFORE, the parties hereto, and in consideration of the mutual promises, covenants, agreements, terms, and conditions herein contained, and other good and valuable consideration, the respect and adequacy are hereby acknowledged, do agree as follows: 1. -ABOVE RECITALS The above recitals are true and correct and are incorporated as a part of this Amendment No. 3. 2. MODIFICATIONS a. The Agreement is amended to incorporate Exhibit-1 (proposal)attached hereto. b. In consideration for the additional work set forth in Exhibit-1, the City shall pay Ric- Man the total not-to-exceed amount of $593,000.00 plus owner's contingency of $59,300.00, in accordance with the terms and conditions of the Agreement. c. The work associated with this Amendment No. 3, shall include an extension in the Contract Time of 101 days, as stipulated in the attached Design/Builder's schedule in Exhibit-3 for the sole purpose of completing the Carl Fisher Sea Wall as part of the 19th Street Stormwater Pump Station Improvements Project, resulting in a Final Completion date of March 8, 2019, as set forth in the Design/Builder's schedule. d. The amount and time set forth herein are the maximum agreed to by both the City and Design/Builder for all work associated with this Amendment No. 3. Design/Builderr attests that the Contract adjustment provided herein is reasonable, and constitutes compensation in full for all costs, claims, markup, and expenses, direct or indirect, attributable to this Amendment, including but not limited to compensation in full for any delays, acceleration, or loss of efficiency encountered by Design/Builder in the performance of the Work through the date of this Change Order. In consideration of the compensation and time, if any, in this Amendment No. 3, the Design/Builder hereby releases the City from all Claims, demands, or causes of action arising out of the transactions, events and occurrences giving rise to this Amendment No. 3. This written Amendment No. 3 is the entire agreement between the City and Design/Builder with respect to this Amendment. No other agreements or modifications shall apply to this contract amendment unless expressly provided herein. 3. OTHER PROVISIONS All other provisions of the Agreement, as amended, are unchanged. 4. RATIFICATION The City and Design/Builder ratify the terms of the Agreement, as amended by this Amendment No. 3. As you are aware 30%drawings were submitted for your review today,August 13,2018. The detailed scope of the proposal is contained within the drawings and under the attached pricing sheet for review and approval. Ric-Man Construction FL, Inc(RMCF)will be utilizing American Empire Builders (AEB) as the Sea Wall Sub-Contractor for this project. AEB's familiarity with the conditions, having performed the sea wall work directly adjacent to this work recently for the Convention Center Pump Station, was key in selecting them for this work. Attached please find a preliminary schedule detailing the design permitting and construction effort required to bring this project to a successful conclusion as a change order to the existing 19th street Pump Station Project.As such a time extension to the existing Contract completion date of November 27,2018 will be necessary. The primary impact to the current completion date is the permitting process for the DERM, Class I and USA COE permits.The permitting effort will commence upon approval of 60% drawings which we expect to submit by September 14,2018.The City's direct involvement in expediting the modification of the existing COE/DERM permits is vital to achieving the attached proposed dates as well as controlling the approval and release of the CMB Building Department Permits. It should be understood that in the event new permits for the COE/DERM are required, delays to construction start could be many months off. As such, RMCF will require language in the Change Order relieving it from any Liquidated Damages or penalties associated with delays in acquiring the necessary permits associated with this project. RMCF strongly recommends a two (2)tier NTP approach to this work.Tier 1 for Design/Permitting and IFC drawings followed by separate NTP for construction with an agreed to duration (Tier2).
