KNOW ALL MEN BY THESE PRESENTS, that the undersigned, Miami Beach
Redevelopment Agency, a Florida public body corporate and politic ("Seller"), for and in
consideration of the sum of Ten and No/100 Dollars ($10.00) in hand paid by MB
Redevelopment, Inc., a Florida corporation ("Buyer"), the receipt of which is hereby
acknowledged, has granted, bargained, sold, transferred and delivered, and by these presents
does grant, bargain, sell, transfer and deliver to Buyer, its successors, administrators and
assigns, all of Seller's right title and interest in and to all of the Improvements (as that term is
defmed in that certain Agreement of Lease between Buyer and Seller dated as of the date hereof
(the "Ground Lease")) existing as of the date hereof (except for any parking meters (including,
without limitation, the meters and poles comprising the parking meters and the money contained
therein), which parking meters shall be removed at Seller's expense) that are located on the Land
described in Exhibit A attached hereto and made a part hereof.
TO HAVE AND TO HOLD the same unto Buyer, its successors, administrators and
assigns forever.
Seller, for itself, its successors, administrators and assigns, covenants with Buyer, its
successors, administrators and assigns, that Seller is the lawful owner of the Improvements,
subject to the Title Matters (as defined in the Ground Lease), that Seller has good right to sell
the same as aforesaid, has not previously conveyed or encumbered its interest in the
Improvements (except as may be set forth in Exhibit 2.1 to the Ground Lease) and specifically
warrants title against all parties claiming by, through or under Seller.
IN WITNESS WHEREOF, Seller has hereunto set its hand and seal as of the 20th day
of September, 1996.
