A RESOLUTION OF THE CITY COMMISSION
OF THE CITY OF MIAMI BEACH, FLORIDA,
AMENDING RESOLUTIONS NOS. 13041-A,
13079 AND 73-13942 OF THE CITY
COUNCIL, NOW CALLED THE CITY COMMISSION,
TO INCLUDE THE ADDITIONAL ALTERNATIVE
PURPOSES AUTHORIZED AT AN ELECTION
HELD ON NOVEMBER 6r 1979,
WHEREAS, the City Council, now called the City
Commission, adopted on June 24 , 1910, Resolution No.
13041-A authorizing the issuance of $2, 500, 000 General
Ohiiyation Bonds entitled "Waste Disposal' Facility
and
Bonds" ;
WHEREAS, the City has issued $2,500,000 of
said Waste Disposal Facility Bonds; and
WHEREAS, there remains $2 ,414 , 919 of unexpended
proceeds of the Waste Disposal Facility Bonds; and
WHEREAS, the City Council, now called the City
.1o,ramis s ion, adopted on August 17, 1970 , Resolution No.
13079 authorizing the issuance of General Obligation Bonds
including, $1, 500 ,000 '!Biscayne Bay Public Park Acquisition
• Bonds" ; and .
WHEREAS, -the City has issued $1, 500 ,000 of said
Biscayne Bay Public Park Acquisition Bonds; and
WHEREAS, there remains $384 , 622 of unexpended
proceeds cf the Biscayne Bay Public Park Acquisition
Bonds;
WHEREAS, the City Council, now called the City
Commission, adopted On March 7, 1973 , Resolution No. 73-
13342
3---13c 2 authorizing the issuance of General Obligation Bonds
including, $2 ,500 , 000 "1973 Park and Recreation Land Bonds
(Series 2B) " ; and
WHEREAS, the City has issued $2, 500, 000 of said
1973 Park and Recreation Land Bonds (Series 2B) ; and
WHEREAS, there remains $1, 419, 996 of unexpended
proceeds of the 1973 Park and Recreation Land Bonds (Series
2B) ; and
WHEREAS, the City has determined that it would be
in the best interest of the inhabitants of the City if such
unexpended bond proceeds may be used for the alternative
purposes , hereinafter stated, which would benefit the health
and welfare of such inhabitants, in addition to those purposes
originally authorized under the proceedings which authorized
the particular bonds; and
WHEREAS, in order to provide for the use of such
unexpended bond proceeds for additional purposes other than
those originally authorized under the proceedings which authorized
the particular issue of bonds, it was necessary for the City
to submit to the qualified electors of the City such additional
purposes at an election duly held on November 6, 1979 ; and
WHEREAS, the duly registered and qualified
voters of the City of Miami Beach, participating in the
election held according to law in the City of Miami
Beach, Florida, on November 6, 1979 , authorized the
amending of said Resolutions Nos . 13041-A, 13079 and
73-13942 of the City Council to include the additional
alternative purposes hereinafter stated.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY
CSC taSSION OF THE CITY OF MIAMI BEACH, FLORIDA:
Section 1. That pursuant to said election,
Resolutions Nos. 13041-A, 13079 and 73-13942 are hereby
amended to include the following alternative purposes ,
'construction of new, or improvement of existing, handball
courts, golf courses, club houses, parks, community
centers and other recreational facilities ; improvements
to the City' s libraries, museum and Garden Center; im-
provements to the City' s Police, Fire and Sanitation

facilities and capital equipment; construction and
improvements to the City' s streets and sewers; and im-
provements and additions to the City' s public beach and
park facilities" .
Section 2. That such unexpended bond proceeds
referred to in the preamble hereof shall be used for either
those purposes originally authorized under the proceedings
which authorized the particular bonds or those additional
purposes approved by the qualified electors of the City in
accordance with the election held on November 6, 1979.
Section 3. That this Resolution shall be in
force and effect immediately upon its adoption.

SUBJECT: ALTERNATIVE PURPOSES FOR $4 . 3 MILLION MIAMI BEACH
GENERAL OBLIGATION BONDS
In mid 1979 the City Administration identified approxi-
mately $4. 3 Million in principal amount of unexpended general
obligation bond proceeds of the City of Miami Beach. The bonds
had originally been issued for projects which were either completed
under budget, or abandoned in whole or in part. Representatives
of the City Attorney' s office and the Administration conferred
with Bond Counsel to determine the City' s alternatives with
respect to these bond proceeds. Following that meeting the
Administration recommended to the previous City Commission that
the purpose for which the bond proceeds could be expended be
amended in such manner as to allow for current capital needs of
the City as identified by the Administration. In furtherance of
that alternative a measure was placed on the November 1979 ballot
to amend the purposes (copy of the ballot language is attached
hereto for your reference) . The measure was approved by the
electorate.
The only step remaining to officially amend the purpose
for which subject bond proceeds may be expended is to adopt a
resolution attached hereto which formally amends the subject bond
resolutions. Upon passage of this resolution, the City Commission
will then be able, in its discretion, to appropriate all or portion
of the subject bond funds as it deems appropriate to various pro-
jects falling within the defined purposes as expanded.
Because borrowing costs at the time of issuance of the
subject bonds were low relative to present borrowing costs and
there are no significant issuance costs involved, the subject
alternative was recommended by the previous Administration. How-
ever, if this Commission is not desirious of pursuing projects
falling within the expanded purposes we can present various other
alternatives to the City Commission with respect to the disposition
of the $4. 3 million in unexpended bond proceeds.

Miami Beach in the County of Dade and State of Florida, is
justly indebted, and for value received, hereby promises to
pay to the bearer, or if registered to the registered owner

Statutes, and the City Charter, being Chapter 7672 of the Laws of Florida of
1917, and Acts amendatory thereof and supplemental thereto, and has been
authorized and approved by a majority of the votes cast in an election of the

declared and recorded in the manner prescribed by law.

ENDORSEMENT CONCERNING REGISTRATION
This bond may be registered in the name of the holder on the books to
be kept by the Chemical Bank, as Registrar, or such other Registrar as may
hereafter be duly appointed, as to principal only, such registration being
noted hereon by such Registrar in the registration blank below after which
no transfer shall be valid unless made on said books by the registered holder
or his attorney duly authorized and similarly noted in the registration blank
below, but it may be discharged from registration by being transferred to
bearer after which it shall be transferable by delivery, but it may again be
registered as before. The registration of this bond as to principal shall
not restrain in the negotiability of the coupons by delivery merely, but the
coupons may be surrendered and the interest made payable only to the regis-

SECTION 5 : That in each year while any of the bonds referred

outstanding, there shall be levied on all of the taxable
property within said City, a direct annual tax sufficient to

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF MIAMI BEACH, FLORIDA, AUTHORIZING THE ISSU-
ANCE OF NEGOTIABLE COUPON BONDS IN THE AMOUNT
OF $10, 850, 000 FOR THE PURPOSES AUTHORIZED AT

WHEREAS , the duly registered and qualified voters of
the C lty of Miami Beach, participating in the election held
according to law in the City of Miami Beach, Florida, on
February 20, 1973 , authorized the issuance of negotiable
coupon bonds of the City of Miami Beach in the aggregate sum
of $10, 850, 000 for the several purposes hereinafter stated.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL

ENDORSEMENT CONCERNING VALIDATION
This bond is one of a series of bonds which were
validated and confirmed by decree of the Circuit Court of the
Eleventh Judicial Circuit of the State of Florida, in and for
Dade County, rendered on , 19
ENDORSEMENT CONCERNING REGISTRATION
This bond may be registered in the name of. the holder
on the books to be kept by the Chemical Bank, as Registrar, or
such other Registrar as may hereafter be duly appointed, as to
principal only, such registration being noted hereon by such
Registrar in the registration blank below, after which no
transfer shall be valid, unless made on said books by the
registered holder or his attorney, duly authorized and similarly
noted, in the registration blank below, but it may be discharged
from registration by being transferred to bearer, after which
it shall be transferable by delivery, but it may `again be
registered as before. The registration of this bond as to
principal shall not restrain in the negotiability of the coupons
by delivery merely, but the coupons may be surrendered, and
the interest made payable only to the registered holder, in
which event the Registrar shall note in the registration blank
below that this bond is registered as to interest, as well as
principal, and thereafter, the interest will be remitted by
mail to the registered holder. With the consent of the holder,
and of the City of Miami Beach, this bond when converted into
a bond registered as to both principal and interest, may be
reconverted into a coupon bond, and again converted into a bond
registered as to both principal and interest, as hereinabove
provided. Upon reconversion of this bond, when registered as
to principal and interest into a coupon bond, coupons representing
the interest to accrue upon this bond to date of maturity shall
be attached hereto by the Registrar. The Registrar shall note
in the registration blank below whether this bond is registered
as to principal only, or payable to bearer.

EGISTRAR-SECTION 5 . That in each year while any of the bonds referred
to in Section 2 of this Resolution shall be out-
standing, there shall be levied on all of the taxable property
within said City, a direct annual tax sufficient to tpay the
principal and interest falling due in the following year upon
said bonds, which tax shall be collected as other City taxes are
collected, and shall be used for no other purpose than the
payment of said principal and interest.
SECTION 6. That the City .Attorney is hereby authorized and
directed to proceed in the name of said City to
have said bonds validated by the Circuit Court of Dade County,
Florida. •

SECTION 7 . That said bonds shall be executed in the name of
the City by the Mayor, and attested by the City
Clerk-Finance Director, one of which signatures may be a
facsimile signature, and shall have affixed thereto, or printed
or reproduced thereon, the corporate seal of the City. In case
any one or more of the officers who shall have signed or sealed
any of the bonds shall cease to be such officer of the City
before the bonds so signed and sealed have been actually sold
and delivered, such bonds may, nevertheless, be sold and delivered,
as herein provided, and may be issued as if the person who signed
or sealed such bonds had not ceased to hold such office. Any bond
may be signed and sealed on behalf of the City by such person, as
at the actual time of the execution of such bonds shall hold the
proper office in the City, although at the date of such bonds
such person may not have held such office, or may not have been
so authorized.
The coupons to be attached to the bonds shall be
authenticated with the facsimile signatures of the present, or
any future Mayor and City Clerk-Finance Director, and the City
may adopt, and use for that purpose, the facsimile signature of
any of said persons who shall have been such officers at any
time on or after the date of the bonds notwithstanding that they
may have ceased to be such officers at the time when said bonds
shall be actually sold and delivered.
SECTION 8. That this Resolution shall be in force and effect
immediately upon its adoption.
