Construction Lien Aff. #31/32 t, / I CONSTRUCTION LIEN, GAP, AND POSSESSION AFFIDAVIT BEFORE the undersigned authorities, duly qualified to take acknowledgments and administer oaths within the applicable state, personally appeared Seymour Gelber (the "Affiant"), as Chairman of Miami Beach Redevelopment Agency, a public body corporate and politic (the "Agency"), on behalf of such public body, who, having been first duly sworn, deposes and says for this affidavit dated as of the ~ day of September, 1996 (the "Affidavit"): 1. The Agency is the owner of that certain property described on Exhibit "A" attached hereto and made a part of this Affidavit (the "Property"). 2. Any and all labor, materials, ana supplies ordered by the Agency which have been furnished, used, or applied upon the Property within the past ninety (90) days have been fully paid for and discharged or provisions have been made therefor. There are no construction, materialman's, or laborer's liens against the Property, or any part thereof, and no contractor, subcontractor, laborer, or materialman, engineer, architect, landscape architect, or land surveyor has any lien or right to a lien against the Property, or any part thereof. 3. There is no.other person (other than Agency) with a claim to possession of the Property, except for MB Redevelopment, Inc., a Florida corporation ("MB") pursuant to that certain Agreement of Lease entered into with the Agency dated the date hereof (the "Lease"). 4. This Affidavit is made for the purpose of inducing Chicago Title Insurance Company to issue a leasehold policy and a loan policy with respect to the Lease and the loan with Bankers Trust Company, as agent for various lenders for the construction of the hotel secured by a mortgage on MB's leasehold interest in the Property. 5. There is no action or proceeding before any court, quasi-judicial body, or administrative agency which could affect Agency's title to the Property or the right or power of the Agency to enter into the Lease with MB. 6. To the best of Agency's knowledge, there has been no change in title to the Property from and after September 12, 1996, at 2:30 p.m., and the Affiant knows of no matters pending which could give rise to a lien that would attach to the Property, and further, the Affiant has no knowledge of, have not executed, and covenants not to execute any instrument that would adversely affect title to the Property from the date and time referenced above through the date of recordation of the Lease. The Agency hereby agrees to indemnify and hold harmless Chicago Title Insurance Company from any loss it may suffer as a result of any change in title to the Property caused by the Agency from the date and time referenced above through the date of recordation of the Lease. 7. Affiant further states that he is familiar with the nature of an oath and with penalties as provided by the laws of the applicable states for falsely swearing statements made in an instrument of this nature. Affiant further certifies that he has read, or has had read to him, the full facts of this Affidavit, and understands its content. There is no action or proceeding before any court, quasi-judicial body, or administrative agency which could affect Agency's title to the Property or the right or power of the Agency to grant the Easement to MS. 6. To the best of Agency's knowledge, there has been no change in title to the Property from and after September 12, 1996, at 2: 30 p.m., and the Affiant knows of no matters pending which could give rise to a lien that would attach to the Property, and further, the Affiant has no knowledge of, has not executed, and covenants not to execute any instrument that would adversely affect title to the Property from the date and time referenced above through the date of recordation of the Easement. The Agency hereby agrees to indemnify and hold harmless Chicago Title Insurance Company from any loss it may suffer as a result of any change in title to the Property caused by the Agency from the date and time referenced above through the date of recordation of the Easement and for any outstanding pending assessments against the Property by any governmental authority, and any unpaid assessments or unpaid service charges outstanding for gas, water, garbage or sewerage services with respect to the Property or any portion thereof. 7. Affiant further states that he is familiar with the nature of an oath and with penalties as provided by the laws of the applicable states for falsely swearing statements made in an instrument of this nature.
