A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF MIAMI BEACH, FLORIDA, AUTHORIZING THE
MAYOR TO EXECUTE A PROFESSIONAL SERVICES
AGREEMENT BETWEEN VINCENT E. GRIMM, JR. AND
THE CITY OF MIAMI BEACH FOR PROFESSIONAL
SERVICES TO THE CITY FOR CAPITAL PROJECTS.
WHEREAS, the City Commission has reviewed the agreement between Vincent
E. Grimm, Jr. and the City of Miami Beach; and
WHEREAS, the City Administration has agreed to compensate Mr. Grimm at the
rate of $2,500.00 per month for seven (7) months effective March, 1985 through
September 30, 1985, with the option of extending the agreement through February, 1986 to
provide professional services for capital projects; and
WHEREAS, the City Administration has recommended execution of the
agreement, and the City Attorney has approved it as to form;
NOW, THEREFORE, BE IT DULY RESOLVED BY THE CITY COMMISSION OF
THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor be authorized to execute the
agreement between Vincent E. Grimm, Jr. and the City of Miami Beach for professional
services to the City for Capital Projects.

SUBJECT: PROFESSIONAL ER VICES AGREEMENT FOR
VINCENT E. GRIMM, JR.
At the City Commission Meeting of July 6, 1983, the City of Miami Beach City Commission
approved a Professional Services Agreement with Vincent E. Grimm, Jr. at the monthly
compensation of $2,500 to be
paid on the first business day of each month for the previous
month. This Agreement provided that Mr. Grimm would supervise the City's capitalro'ects
providing technical advice andguidance to full-time CityP
staff assigned the specific
responsibility for each of the projects.
Mr. Grimm has an unusual background which makes him a fine choice for the supervision of
capital projects. Mr. Grimm has served the CityP
of Miami i as an Assistant City Manager in
the area of the development of capital projects; supervision of the Public Works
Department; supervision of the construction of the James L. Knight Center; oversight
responsibilities for the City's new Administration Complex, Miami modern Polii-e
Department, Coconut Grove Exhibition Center, etc. Mr. Grimm is now retired from that
position and chooses not to accept full-time employment, consequently he will not accrue
any of the usual employee benefits for pension, vacation, or sick leave.
Mr. Grimm has been providing the City of Miami Beach with the benefit of his expertise, as
indicated above, and it would be in the best interest of the City to enter into a new
Agreement, at the same rate of compensation, for a period beginning March 1, 1985 and
terminating September 30, 1985. As in the prior Agreement, a provision for extension of the
Agreement through February 1986 has been included.
The compensation recommended for this Agreement has been budgeted in the 1=isra l
Year 1984-85 budget.
ADMINISTRATION RECOMMENDATION:
That the City Commission enter into the attached Professional Services Agreement with
Vincent E. Grimm, Jr. at the monthly compensation of $2,500 to be paid on the first business
day of each month for the previous month.

AGREEMENT
An Agreement entered into between Vincent E. Grimm, Jr. and the City of Miami
Beach for a period of seven (7) months with an effective starting date of March 1, 1985 and
a termination date of September 30, 1985.. This Agreement may be extended through
February 1986, if determined necessary by the City Manager.
This Agreement is for the purpose of providing professional services to the City
through the City Manager for capital projects.
For the purpose of this Agreement, Mr. Grimm shall he deemed to be an independent
contractor, and not an agent or employee of the CITY, and shall not attain any rights or
benefits under the Civil Service or Pension Ordinance of the CITY, or any rights generally
afforded classified or unclassified employees; further he shall not be deemed entitled to
Florida Workmen's Compensation benefits as an employee of the CITY or accumulations of
sick or annual leave.
There will he no expenses paid to Mr. Grimm in addition to the monthly emolument,
unless these expenses are incurred in direct relationship to this Agreement for expenses ani
travel outside of Dade County in which case all such expenses will be fully reimbursed as
approved by the City Manager.
Payment will he $2,500.00 per month and will be made on the first business day of
each month, for the previous month.
In the event that secretarial services are necessary for the preparation of any
memoranda or reports, said services will be provided at the discretion of the City Manager,
hut i t is further understood these services will be provided at City offices.
Mr. Grimm will also be available on call at the discretion of the City Manager. It is
understood, however, that it is not the intention of this Agreement that Mr. Grimm work a
Pill 40-hour week and that the time he does work will be dependent on the demands of the
job. It is estimated that this work will require approximately 25 hours a month.
Because of the complexity of these projects, it is agreed that there could 1.)
subsequent legal actions either by the City or other parties involved. In the event any
action is taken against the City or Mr. Grimm, as related to this Agreement, the City will
provide full legal liability against such actions.
It is agreed Mr. Grimm will be able to participate in other personal services
agreements with any agency or individual which does not create any inferred conflict of
interest with the City of Miami Beach.
It is further agreed that this Agreement may be altered, extended and amended only
upon the written consent of both parties hereto. However, this Agreement may be cancelled
by either party with 30-days written notice.
IN WITNESS WHEREOF, the parties hereto have caused these presents to be executed
by the respective officials thereunto duly authorized, this the day and year first above
written.
