A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF MIAMI BEACH AUTHORIZING THE MAYOR AND
THE CITY CLERK TO EXECUTE AN AGREEMENT BETWEEN
THE CITY OF MIAMI BEACH AND RAYMOND KAISER
ENGINEERS, INC. AND HOWARD NEEDLES TAMMEN AND
BERGENDOFF FOR PROJECT MANAGEMENT SERVICES
FOR THE DESIGN AND CONSTRUCTION PHASES OF THE
MIAMI BEACH CONVENTION CENTER EXPANSION.
WHEREAS, the City Commission has reviewed the Agreement
between the City of Miami Beach and Raymond Kaiser Engineers, Inc.
and Howard Needles Tammen and Bergendoff for Project Management
Services for the design and construction phases of the Miami Beach
Convention Center expansion; and
WHEREAS, the City Manager has recommended execution of
the Agreement and the City Attorney has approved it as to form,
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF
THE CITY OF MIAMI BEACH that the Mayor and the City Clerk are
authorized to execute the Agreement between the City of Miami
Beach and Raymond Kaiser Engineers, Inc. and Howard Needles Tammen
and Bergendoff for Project Management Services for the design and
construction phases of the Miami Beach Convention Center
expansion.
PASSED and ADOPTED this 3rd day of April, 1985.

Dear Mr. Gurecki:
Luis Prieto told me he has spoken with Bill Linforth and obtained his concurrence
to a two-phased "Notice To Proceed" process; one for the Programming Phase
and another for the Schematic Design Phase and all subsequent phases.
The City's concern in this area centers around the real possibility of a delay
between the completion of the Programming Phase and the selling of the bonds.
The City's contract with the Architects includes such a two-phased "Notice To
Proceed" process, whereas our contract with you does not. If you are issued a
"Notice" at this time and there is a delay, no work will be possible yet the 'clock'
will still be running on your 36-month contract.
Additionally, your only responsibility during the Programming Phase is to
'monitor' the work of the Architects. The Architects have only about one and a
half weeks' work to complete the Programming Phase and there will be little for
you to monitor, unless I am too narrowly defining the word 'monitor' and your
definition includes some reviewing and critiquing.
If you concur with the two-phased "Notice To Proceed" process outlined herein,
and if your Company's definition of its monitoring services includes reviewing
and critiquing (which will require a written report submitted by your firm to the
City Manager within thirty (30) days), please sign the written acknowledgement
appearing below, which indicates your firm's concurrence with these terms. We
are presuming that you are duly authorized to act on behalf of Raymond Kaiser
Engineers and Howard Needles Tammen and Bergendoff in this respect.
This "Notice to Proceed" is limited to the Programming Phase which ends when
this phase receives City Commission approval, anticipated at the June 19, 1985
Commission meeting.

A second "Notice To Proceed" will be issued for the Schematic Design Phase and
all subsequent phases following the validation, issuance and sale of the
Convention Development bonds as required by the contract.
