A RESOLUTION PROVIDING FOR BY-LAWS TO GOVERN
THE HEALTH ADVISORY BOARD OF THE CITY OF
MIAMI BEACH WHICH WAS CREATED BY RESOLUTION
NUMBER 84-17626.
BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF MIAMI
BEACH, FLORIDA, THAT,
WHEREAS, the City of Miami Beach Health Advisory Board was created for the
purpose of advising the Administration and the City Commission on matters that
relate to the physical and mental health needs of the citizens of Miami Beach; and
WHEREAS, the Administration, together with the Health Advisory Board, deems
it necessary to further clarify and outline its duties and responsibilities; and
WHEREAS, the members of this Board desire to develop a set of by-laws for its
self-governance;
NOW, THEREFORE, BE IT DULY RESOLVED BY THE CITY COMMISSION OF
THE CITY OF MIAMI BEACH, FLORIDA, that said duties and by-laws, attached
hereto and made a part hereof by reference, are hereby approved and adopted.

HEALTH ADVISORY BOARD BY-LAWS
PURPOSE
To advise the Administration and the City Commission on matters that relate to the
physical and mental health needs of the citizens of the City of Miami Beach.
II. HEALTH ADVISORY BOARD
A. Composition
The Health Advisory Board shall be composed of fourteen members, appointed by
the City Manager. The membership shall include administrators of local
hospitals (4), an administrator from an adult congregate living facility (1), a
representative from the nursing profession (1), citizens who are health providers
(2), and consumers (3). There also shall be ex-officio representatives from the
Economic and Community Development Department (1), the Police Department
(I) and the Fire Rescue Division of the Fire Rescue Department (I).
The representative from the Economic and Community Development Department
shall serve as the liaison to the Board.
B. Substitute Representation - Hospital Administrators
In the event that a hospital administrator is unable to attend a meeting, a
representative may be sent in her/his place. This representative should be a
permanent appointee, who will attend the meetings in place of the original
member appointed by the City Manager. The Board shall be provided with the
name of this representative, and this representative shall be given voting
privileges and be counted as part of a quorum.
C. Vacancies
Vacancies which may occur on the Board will be filled by appointment by the
City Manager. The vacancy must be filled with a representative from the same
category as the person who vacated the position; i.e., a hospital administrator
position must be filled by a hospital administrator.
D. Officers
To provide guidance and leadership, the Health Advisory Board shall elect the
following officers:
Chairperson: The chairperson shall chair all Board meetings, work closely
with the City Administration and the Board liaison to develop meeting
agendas, and appoint all sub-committees. The chairperson shall also
represent the Board before the City Commission and at other appropriate
meetings.
First Vice-Chairperson: In the absence of the chairperson, the first vice-
chairperson shall chair the Board meeting. The first vice-chairperson may
also serve as chairperson of a sub-committee, if so appointed by the
chairperson.
Second Vice-Chairperson: In the absence of the chairperson and the first
vice-chairperson, the second vice-chairperson shall chair the Board meeting.
The second vice-chairperson may also serve as chairperson of a sub-
committee if so appointed by the chairperson.
Corresponding Secretary: The chairperson shall appoint a corresponding
secretary to be responsible for preparing all relevant correspondence, Board
resolutions, position papers, etc., with copies submitted to the Board and the
City Manager.
The term of office for these elected officers shall be two years. Officers may succeed
themselves.
E. Elections
Elections shall be held during the month of March, provided a quorum is present.
Nominations from the floor will be taken at the February meeting with the
election being held at the March meeting.
F. Voting Privileges
Eleven members of the Board shall be granted voting privileges, excluding ex-
officio Board members. Of these eleven, six must be present to constitute a
quorum.
G. Term Of Office
The term of office for membershipappointees shall be fora period not to exceed

two years, except unexpired terms, in which case the appointment shall be to the
end of the unexpired term only. Committee members may succeed themselves.
H. Meetings
{
The Health Advisory Board will hold monthly meetings to discuss matters
concerning the physical and mental health needs of the citizens of the City of
Miami Beach. The meetings shall be held on the first Thursday of each month,
beginning at 5:00 p.m. and ending at 6:30 p.m.
A quorum to conduct Board business meetings shall be six members, excluding
ex-officio members.
Regular meeting notices shall be provided at least five (5) days in advance of
said meeting in a local newspaper. There shall also be individual notices/agenda
packets sent to each Board member at least five (5) days in advance of each
meeting.
Absences
Three (3) consecutive absences from a duly held, or called meeting by any
member of the Board, without good cause, shall be deemed good and sufficient
cause for removal of such member from the Board. The removal of such member
shall be automatic and requires only a notice of such absenteeism from the
Health Advisory Board chairperson to the City Clerk's office. Such removal shall
create a vacancy, which shall be filled according to the manner specified
elsewhere in this document (Paragraph II. C. Vacancies).
A member who is unable to attend a meeting shall notify the chairperson or
Board liaison in advance. The chairperson will then determine if the absence
shall be counted as excused or unexcused. Whenever possible, a representative
shall be sent in the member's place. Attendance shall be recorded as present (P),
excused (E), or unexcused absence (A). Three (3) consecutive unexcused absences
shall be counted as reason for dismissal from the Board.
J. Provisions to Amend By-Laws
The by-laws of the Health Advisory Board may be amended from time to time, as
the need arises, with appropriate City Commission approval/adoption.
