Amendment No. 1 To the PSA with Cambridge University Technical Services Limited 2C tB -3593 AMENDMENT NO. 1 TO THE PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF MIAMI BEACH, FLORIDA, AND CAMBRIDGE UNIVERSITY TECHNICAL SERVICES LIMITED FOR CONSULTING SERVICES This Amendment No. 1 ("Amendment") to the Professional Services Agreement dated July 19, 2016, by and between the CITY OF MIAMI BEACH, FLORIDA, a municipal corporation organized and existing under the laws of the State of Florida, having its principal place of business at 1700 Convention Center Drive, Miami Beach, Florida 33139 ("City"), and CAMBRIDGE UNIVERSITY TECHNICAL SERVICES LIMITED a wholly owned trading subsidiary of the University of Cambridge (with Dr. Barak Ariel as Principal Researcher), whose address is The Old Schools, Trinity Lane, Cambridge CB2 1TN, United Kingdom ("Consultant"), is entered into this 2 day of Q1_. , 2019 ("Amendment Effective Date"). RECITALS WHEREAS, on December 9, 2015, the Mayor and City Commission adopted Resolution No. 2015-29208 which authorized the Mayor and City Clerk to execute a Professional Services Agreement with Consultant, in the amount of$371,379, to be paid with grant funds awarded to the City by the Department of Justice for a body-worn camera research project; and WHEREAS, the City and Consultant executed a Professional Services Agreement ("Agreement") on July 19, 2016 for consulting services regarding such body- worn camera research project, with an Agreement end date of September 30, 2018, and a fixed fee amount of$371,379; and WHEREAS, on September 21, 2018, the Department of Justice afforded the City a one (1) year extension for this body-worn camera research project, thus pushing the end date of the project to September 30, 2019; and WHEREAS, the City has grant funds from the $635,345 awarded to it by the Department of Justice that remain unused; and WHEREAS, on November 14, 2018, the Mayor and City Commission adopted Resolution No. 2018-30593 which authorized the City Manager and City Clerk to execute an amendment to the Agreement; and further authorized that such amendment may extend the term of the Agreement for one (1) additional year, expand the scope of services to be provided by Consultant, and utilize those remaining grant funds for two (2) additional body-worn camera experiments; and WHEREAS, the City and Consultant now desire to amend the Agreement in accordance with Resolution No. 2018-30593. NOW, THEREFORE, in consideration of the mutual promises and conditions contained herein, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the City and Consultant hereby agree to amend the Agreement as follows: 1. ABOVE RECITALS. The above recitals are true and correct and are incorporated as part of this Amendment. 2. MODIFICATIONS. The Agreement is hereby amended (deleted items sty ough and inserted items underlined) as follows: (a) Section 3 of the Agreement is hereby modified as follows: The term of this Agreement (the "Term") shall commence upon execution of this Agreement by all parties hereto, and shall have a term through September 30, 2018 2019, and shall have no renewal options, to be exercised by the City. Notwithstanding the Term provided herein, Consultant shall adhere to any specifictimelines, schedules, dates, and/or performance milestones for completion and delivery of the.Services, as same is/are set forth in the timeline and/or schedule referenced or identified in Amended Exhibit A hereto. (b) Section 4.1 of the Agreement is deleted in its entirety and replaced as follows: � In consideration of the Services to be provided, Consultant shall be compensated on a fixed fee basis, in the amount of$74,625. (c) Section 2.1 of the Agreement is hereby modified as follows: In consideration of the Fee to be paid to Consultant by the City, Consultant shall provide the work and services described in Amended Exhibit A hereto (the Services). (d) Section 2.2 of the Agreement is hereby modified as follows: Consultant's Services, and any deliverables incident thereto, shall be completed in accordance with the timeline and/or schedule in Amended Exhibit A hereto. 3. RATIFICATION. Except as amended herein, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect. All references to the Agreement in the Agreement or in any other document referencing the Agreement shall be deemed to refer to the Agreement as amended hereby. In the event there is a conflict between the provisions of this Amendment and the Agreement, the provisions of this Amendment shall govern. This Amendment may be signed in counterparts, all of which together shall constitute one and the same instrument. AMENDED EXHIBIT A The City of Miami Beach has been awarded a one (1) year extension by the Department of Justice, in part, to answer questions that arose from the body-worn camera research previously conducted by Consultant as part of the original body-worn camera research project. In order to answer those questions, the following two (2) new research experiments shall be conducted by Consultant. 1) Study.#1 —The Impact of Body-Worn Cameras on Use of Force The goal of this study is to compare the public reaction when encountering police officers based on whether or not such police officers announce that the interactions are being recorded by the use of a body-worn camera. For this 120- day study,'a specific number of police officers will be divided into two (2) groups, both equipped with body-worn cameras. The only difference shall be that one (1) group of police officers will have a sticker on their body-worn cameras with a picture of a camera and the words "audio & video," thus notifying the public that the interaction is being recorded; whereas the other group of police officers will not have such sticker and words. The hypothesis is that people who are aware that such interactions are being recorded will behave in a less aggressive manner, and be more cooperative with the police officers. Consequently, the number of cases where the use of force by police officers becomes necessary will be reduced and, as a result, possibly the number of complaints resulting from the use of force. 2) Study#2— Police Officer/Public Interactions The goal of this study is to examine police officers' interactions with the general public. In order to capture a representative sample of these encounters, a stratified case sample from four (4) specific categories (domestic violence, public order, assault on officers and proactive police activities) will be selected. A minimum of thirty (30) encounters per category will be randomly selected for this study. The new studies will provide essential information about the way body-worn cameras alter,-police,officer-p,ublic interactions, and especially the impact of body-worn cameras on_police.officers';us a of force. The Consultant shall perform those additional Services identifed,above and-pe compensated as detailed below. Allocation of Fees-for-the.Services to be Provided by Consultant • Project Development and Implementation Management- $53,125 The studies shall be managed by Dr Barak Ariel who will assist in developing the coding sheet, data analysis, statistical assessment, and in implementing and evaluating the project during the entire project cycle. This includes: drafting and finalizing protocol designs; conducting statistical power calculations; calculating randomization procedures, primary statistical analysis, data collection and preparation at pre-, during- and post-intervention;write interim and final reports. Cost: $625 per day x 85 days = $53,125 w • Statistical Assessment-$3,500 Justice Tankebe, a Cambridge University lecturer in Criminology and a renowned procedural justice researcher, will assist in developing the coding sheet and establishing the core theoretical contributions of the findings. Cost: $500.00 per day x 7 days = $3,500 • Data Coding and Synthesis - $18.000 The project is expected to produce a rich body of data to assess, in terms of implementation, cost-benefits, and qualitative as well as quantitative data. The body-worn camera footage is unfit for research and must be continuously transformed into quantifiable and measurable data points. To accomplish this, Consultant shall hire two (2) senior fixed-term staff members for the entire project cycle to code the data.
