A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI
BEACH, FLORIDA, APPROVING A SPONSORSHIP AGREEMENT BETWEEN THE
CITY AND MIAMI SUPER BOWL HOST COMMITTEE, INC. ("SBHC") FOR EVENTS
RELATED TO SUPER BOWL LIV, SCHEDULED TO TAKE PLACE ON FEBRUARY 2,
2020, WHICH SPONSORSHIP AGREEMENT INCLUDES: (1) A WAIVER OF CITY
SPECIAL EVENT PERMIT FEES IN THE AMOUNT OF $178,250; (2) A CASH
SPONSORSHIP IN THE AMOUNT OF $400,000 IN SUPPORT OF SBHC EVENTS
TAKING PLACE IN THE CITY OF MIAMI BEACH; (3) A CITY CONTRIBUTION FOR
SBHC EVENT-RELATED PUBLIC SERVICES IN AN AMOUNT NOT TO EXCEED
$250,000; (4) A WAIVER OF MBCC FACILITY RENTAL FEES IN THE AMOUNT OF
$857,540.80 FOR THE "SUPER BOWL EXPERIENCE" EVENT AT THE MBCC,
SUBJECT TO THE NFL'S AGREEMENT TO. PROVIDE A PUBLIC BENEFIT
CONSISTING OF A MIAMI BEACH RESIDENT DISCOUNT OF FIFTEEN PERCENT
(15%), TO BE APPLIED TO THE PURCHASE OF TICKETS TO THE "SUPER BOWL
EXPERIENCE"AT THE MBCC; (5) CITY'S MATCH CONTRIBUTION IN THE AMOUNT
OF $250,000 FOR THE INSTALLATION OF AN ARTIFICIAL TURF FIELD AT MIAMI
BEACH HIGH SCHOOL; AND (6) THE CREATION OF A SUPER BOWL "CLEAN
ZONE," TO PROVIDE SBHC WITH COMPETING EVENT PROTECTION WITH
RESPECT TO THIRD-PARTY EVENTS REQUIRING A CITY SPECIAL EVENT PERMIT
FROM JANUARY 24, 2020 THROUGH FEBRUARY 3, 2020, IN THE AREA
GENERALLY BOUNDED BY 22ND STREET TO THE NORTH, 5TH STREET TO THE
SOUTH, JEFFERSON STREET (BETWEEN DADE BLVD AND 15TH STREET) AND
WASHINGTON AVENUE (BETWEEN 15TH STREET AND 5TH STREET) TO THE
WEST, AND BY THE ATLANTIC OCEAN TO THE EAST; AND FURTHER
AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE THE SPONSORSHIP
AGREEMENT.
WHEREAS, in 2010, Super Bowl XLIV, which was held in Miami, generated an attendance
of approximately 75,000 people. During the Super Bowl XLIV weekend, the following events were
held in Miami Beach: South Florida Super Bowl Host Committee Media Event on February 2,
2010; NFL Super Bowl XLIV Pepsi Music Smash on February 3, 2010; and South Florida Super
Bowl Host Committee -Tide Ocean Drive Closure on February 4, 2010; and
WHEREAS, on May 24, 2016, the National Football League ("NFL") awarded Super Bowl
LIV to South Florida, with the Super Bowl championship football game set to take place at the
newly renovated Hard Rock Stadium in Miami Gardens, Florida, on Sunday, February 2, 2020;
and
WHEREAS, as part of the Super Bowl LIV activation, the "Super Bowl. Experience" event
will be hosted at the Miami Beach Convention Center ("MBCC"), from January 24, 2020 through
February 6, 2020, and will include the following programs: Media Center; Radio Row; and NFL
Social Media Command Center. The NFL will utilize all four halls of the MBCC, and adjacent
meeting rooms to accommodate the NFL Experience event and associated media. These high-
profile activations will remain in place during the entire week of Super Bowl LIV. In addition, the
Miami Super Bowl Host Committee ("Host Committee") plans to host the following events on the
beachfront areas of Miami Beach: a media event, a VIP event, a potential event in the main
Convention Center park, and a free public beach concert; and
WHEREAS, at the May 17, 2017 City Commission meeting, the Miami Super Bowl Host
Committee, Inc. ("Host Committee"or"SBHC")initially requested that the City waive MBCC facility
rental fees, in the amount of $857,540.80, and provide sponsorship support for Super Bowl LIV
through a cash sponsorship of $150,000 made to the Host Committee. The City Commission
referred the item to the Finance and Citywide Projects Committee("FCWPC")for its consideration
and, on May 19, 2017, the FCWPC recommended that the City Commission approve the City's
sponsorship, in an amount not to exceed $150,000, and a waiver of Convention Center facility
rental fees in an amount not to exceed $857,540.80; and
WHEREAS, on June 7, 2017, the City Commission adopted Resolution No. 2017-29889,
accepting the recommendation of the FCWPC at its meeting on May 19, 2017, and authorizing
the following in connection with Super Bowl LIV: the waiver of rental fees for Halls A, B, C, D, and
adjacent meeting rooms at the MBCC, in an amount not to exceed $857,540.80; and the City's
sponsorship, in an amount not to exceed $150,000., with a sponsorship agreement in a form
acceptable to the City Manager and City Attorney, all of which shall be subject to approval and
appropriation via the FY 2017/18 budget process; and
WHEREAS, at the July 25, 2018 City Commission meeting, the Host Committee made
additional funding requests, and further requested that the City, as a host city for Super Bowl LIV,
designate a "Clean Zone" during the week of Super Bowl LIV, to provide competing event
protection for the Host Committee, to ensure that other events are not held in the vicinity of the
Super Bowl Experience from January 24, 2020 through February 3, 2020; and
WHEREAS, the Clean Zone would apply to events requiring a City special event permit in
the area generally bounded by 22nd street to the north, 5th street to the south, Jefferson Street
(between Dade Boulevard and 15th Street) and Washington Avenue (between 15th Street and
5th Street) to the west, and by the waterline to the east;
WHEREAS, at the July 25, 2018 City Commission meeting, the Mayor and City
Commission approved, in concept, (1)the waiver of City special event permit fees, in the amount
of $178,250 (in addition to the MBCC facility waiver in the amount of $857,540.80); and (2) the
creation of the "Clean Zone"; subject to further development and discussion of the Host
Committee's proposal for additional City appropriations for a cash sponsorship and contribution
for City event-related public services; and
WHEREAS, at the November 14, 2018 City Commission meeting, the Mayor and City
Commission adopted Resolution No. 2018-30617, approving an additional cash sponsorship of
$250,000, for a total cash sponsorship to the SBHC in the amount of $400,000, and further
approved a City contribution in the amount of $250,000, to be applied toward the cost of SBHC
event-related public services, provided, however, that the foregoing approval was subject to the
negotiation of an appropriate public benefit package and a sponsorship agreement; and
WHEREAS, since November, 2018, the City and the Host Committee have engaged in
substantial discussions regarding the various components of the SBHC's and the NFL's activation
in Miami Beach for the Super Bowl Experience and related events, including the boundaries and
terms for the Clean Zone; the collaboration with the Miami-Dade School Board and the Miami
Dolphins Foundation with respect to the installation of the proposed artificial turf field project at
Miami Beach High School; and the terms and conditions of the sponsorship agreement with the
City and associated public benefits package; and

WHEREAS, the final proposed sponsorship agreement is attached as Exhibit "A" to the
Commission Memorandum accompanying this Resolution; and
WHEREAS, the final sponsorship agreement includes, among other terms, the following:
(1) a waiver of City special event permit fees in the amount of$178,250 for SBHC
events;
(2)a cash sponsorship in the amount of$400,000 in support of SBHC events which
may take place in the City of Miami Beach;
(3) a City contribution for SBHC event-related public services in an amount not to
exceed $250,000;
(4) a waiver of MBCC facility rental fees in the amount of $857,540.80 for the
"Super Bowl Experience" event at the MBCC, subject to the NFL's agreement to
provide a public benefit consisting of a Miami Beach resident discount of fifteen
percent(15%), to be applied to the purchase of up to two (2)tickets for the Super
Bowl Experience event;
(5) City's match contribution in the amount of$250,000 for an artificial turf field at
Miami Beach High School (along with contributions from the Miami Dolphins
Foundation and the Miami-Dade County School Board); and
(6)the creation of a Super Bowl"Clean Zone,"which shall include competing event
protection from January 24, 2020 through February 3, 2020, with respect to events
requiring a special event permit in the area generally bounded by 22nd Street to
the north, 5th Street to the south, Jefferson Street (between Dade Boulevard and
15th Street) and Washington Avenue (between 15th Street and 5th Street) to the
west, and the Atlantic Ocean to the east; and
WHEREAS, the public benefits package offered by the Host Committee is set forth in
Exhibit "B" of the Sponsorship Agreement, and includes (1) a Miami Beach resident discount of
fifteen (15%), for all SBHC events in the City of Miami Beach (to date, no SBHC events are
confirmed); (2)a matching grant in collaboration with the NFL and Miami Dolphins Foundation, in
the amount of $250,000, to fund a portion of the costs for the artificial turf field at Miami Beach
High School, and should the turf project not be timely approved by the Miami-Dade County School
Board, a mutually-agreeable alternative public benefit in an amount equal to the value of the
SBHC's contribution as set forth herein; (3) logo and sponsorship recognition for SBHC events;
and (4)forty-eight(48) complimentary tickets to each SBHC event taking place in the City; and
WHEREAS, as the SBHC was unable to confirm, on behalf of the NFL, a Miami Beach
resident ticket discount of fifteen (15%) percent for the Super Bowl Experience, the Agreement
provides that City's obligation to waive the MBCC facility rental fee in the amount of$857,540.80
is subject to and contingent upon the NFL providing the 15% discount and memorializing its
agreement in the NFL's license agreement for use of the MBCC; and
WHEREAS, although the Host Committee was unable to make a commitment on behalf
of the NFL with respect to minimum room nights in Miami Beach associated with the Super Bowl
or the Super Bowl Experience, the Host Committee anticipates that the events may secure at
least 17,000 room nights within the City of Miami Beach, and this benefit, although not

contractually binding, is a factor for the City Commission to consider in evaluating the overall
public benefits associated with City's support for the SBHC; and
WHEREAS, based on the foregoing, the Administration recommends that the Mayor and
City Commission approve the Sponsorship Agreement, and authorize the Mayor and City Clerk
to execute the Sponsorship Agreement.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission hereby approve a Sponsorship Agreement between the City and Miami Super Bowl
Host Committee, Inc. ("SBHC")for events related to Super Bowl LIV, scheduled to take place on
February 2,2020,which Sponsorship Agreement includes(1)a waiver of City special event permit
fees in the amount of $178,250 for SBHC events; (2) a cash sponsorship in the amount of
$400,000 in support of SBHC events which may take place in the City of Miami Beach; (3) a City
contribution for SBHC event-related public services in an amount not to exceed $250,000; (4) a
waiver of MBCC facility rental fees in the amount of$857,540.80 for the"Super Bowl Experience"
event at the MBCC, subject to the NFL's agreement to provide a public benefit consisting of a
Miami Beach resident discount of fifteen percent (15%), to be applied to the purchase of tickets
to the Super Bowl Experience at the MBCC; (5) City's match contribution in the amount of
$250,000 for the installation of an artificial turf field at Miami Beach High School; and (6) the
creation of a Super Bowl "Clean Zone,"to provide SBHC competing event protection with respect
to third-party events requiring a City Special Events Permit from January 24, 2020 through
February 3, 2020, in the area generally bounded by 22nd Street to the North, 5th Street to the
South, Jefferson Street (between Dade Boulevard and 15th Street) and Washington Avenue
(between 15th Street and 5th Street)to the West, and the Atlantic Ocean to the East; and further
authorize the Mayor and City Clerk to execute the Sponsorship Agreement.

WHEREAS, the.City desires to sponsor the SBHC Events and the NFL Events as
delineated more fully in Exhibit "A" and incorporated by reference herein, scheduled to
take place in and around South Florida and the City of Miami Beach from January 18,
2020 through February 2, 2020 (collectively, the "Events"); and

WHEREAS, on June 7, 2017, July 25, 2018 and November14, 2018, the Mayor
and City Commission adopted Resolution No. 2017-29889, Resolution No. 2018-30445,

k: and Resolution No. 2018-30617, respectively, which Resolutions collectively approved
the following actions relating to the Events: (1)a waiver of MBCC base rental facility fees
for use of Halls A through D and adjacent meeting rooms,from January 18, 2020 through
February 6, 2020, in an amount not to exceed $857,540.80,for the Super Bowl LIV Super
Bowl Experience event; (2) a waiver of special event permit fees in the amount not to
exceed $178,250, to be applied to applicable City special event application fees, permit
fees, vehicle beach access passes, square footage fees, and Park user fees, for the

SBHC Events; (3). a cash sponsorship in the amount of $400,000 payable to SBHC in

WHEREAS, on , 2019, the Mayor and City Commission adopted Resolution
' No. 2019- , approving and authorizing the Mayor and City Clerk to
execute this Agreement.
NOW,THEREFORE, in consideration of the mutual promises and covenants made
herein, City and SBHC agree as follows:
f, ii`, 1. Recitals. The above recitals are true and correct and are incorporated by
reference herein.
;'. 2. Term. The term of this Agreement will commence on the Effective Date set forth
above, and shall expire following the conclusion of the Events and SBHC's
completion of all its obligations hereunder.
3. Event Description. The term "Events" as used herein shall include each event
and/or series of events delineated more fully in Exhibit"A."City shall not be a party
to any independent contracts that SBHC may enter into with other organizations,
contractors, or participants in the Events and/or supporting activities, nor shall City
be liable to such third parties. SBHC shall not represent that it is an agent, official,
authorized representative or employee of City.
4. Warranties. SBHC warrants and represents that it has all necessary rights,
authority, licenses and permits necessary to enter into this Agreement, to grant the
rights and licenses herein granted, and to carry out its responsibilities as set forth
herein. SBHC shall utilize the sponsorship benefits and conduct and operate each

Event for which it is responsible in accordance with all applicable laws, and without
endangering others or violating their rights.

' 5. Sponsorship and public benefit package. In consideration of the City fee waivers
and 'sponsorship funding described in this Agreement, and the mutual promises
made herein, SBHC shall provide sponsorship recognition and other benefits to
the City which, shall include the benefits set forth in Exhibit "B" to this Agreement,

which is attached hereto and incorporated herein by this reference.
I SBHC must provide,within 30 days of the completion of each SBHC Event, a Final

• An accounting of resident ticket sales at discounted rates;
Economic Impact Report on estimated spend in market

6. SBHC's Responsibilities. SBHC is responsible for the following with respect to
each SBHC Event in Miami Beach.

the Event, including securing private sponsors and vendors to participate in
' ' the Event. SBHC is responsible for the conduct and operation of the Event and
will provide the appropriate officials to conduct the Event. Except as expressly

specified herein,the City is under no obligation to fund anyaspect of the Event,

b. SBHC shall be responsible for all compensation that may be due to all
performers, entertainers, vendors, organizations, event sanctioning bodies,

obligation or liability. City shall not be responsible or liable to competitors for
prize money payments, or to any third party for any aspect of the production

c. With respect to any SBHC events taking place outside of the MBCC, (a)SBHC
shall collect all proceeds from Event concessions; (b) City shall have no
''} responsibility, obligation or liability relating to vendor concessions; and (c)
SBHC shall be solely responsible for ensuring that all vendors' services are
provided in accordance with all applicable laws, including, without limitation,
all food service, food handling, and alcoholic beverage and license

d. SBHC shall serve as a clearinghouse in coordinating with the City the media
broadcast locations within Lummus Park.
e. SBHC shall retain all rights to the Event, including any rights associated with
Event- related apparel and/or merchandising sales.

discretion, may monitor and conduct an evaluation of SBHC implementation
of the Event. SBHC agrees to cooperate with City to promptly address any
deficiencies or concerns the City may have in connection with.the Event. •

7. Insurance. •SBHC shall purchase and obtain all required SBHC Event Insurance

policies for General Liability coverage in the amount of at least $1,000,000.00 •

8. Compliance with all Permit Requirements and Applicable Laws. SBHC shall obtain

all applicable federal, state and local approvals, permits and licenses relating to
any SBHC Event and any activities related thereto. SBHC shall maintain its good
standing in accordance with the laws of the State of Florida and the City of Miami
1. Beach Code of Ordinances ("City Code"), and shall comply with any federal, state,
county or City Code requirement applicable to SBHC or to the SBHC's operation
i. of its business or other SBHC activities in the City of Miami Beach,. including,
without limitation, obtaining any Certificate of Use or Business Tax Receipt(s):that
may be required for any business activity, timely making payment of all taxes, fees
or charges that may be due to the City. SBHC shall promptly take corrective action
to correct any City Code violation or notice of violation issued by any governmental

agency with jurisdiction over SBHC. Further, SBHC agrees to comply with the

terms and conditions of any lease, contract, or other grant agreement that SBHC
may have separately entered into with the City, if any("Other City Contracts"). Any
failure by SBHC to comply with any provision of the City Code applicable to SBHC,
or any breach or default by the SBHC of any covenant or other term or condition

'' contained in anyOther CityContracts (after the passage of anyapplicable notice

and cure provision set forth therein), shall, at the option of the City, be considered
an event of Default (as such term is defined more fully below), in which event the
{i' City shall be entitled (but in no event required) to apply all rights and remedies
• I available to the City under the terms of this Agreement by reason .of an SBHC's
breach or failure to comply with said obligations.
9. Indemnification: SBHC shall indemnify and hold harmless the City and its officers,
employees, agents, and contractors,from and against any and all actions(whether
at law or in equity), claims, liabilities, losses, expenses, or damages, including, ,
without limitation, attorneys'fees and costs of defense, for personal, economic, or
• bodily injury, wrongful death, or loss of or damage to property, which the City or its
officers, employees,'agents, and contractors may incur as a result of claims,
. ,I demands, suits, causes of action or proceedings of any kind or nature arising out

of, relating to, or resulting from the performance of this Agreement by SBHC or its

• ;, officers, employees, agents, servants, partners, principals or contractors, or
SBHC's use of any SBHC Event Site(s). SBHC shall pay all claims and losses in
j � connection therewith and shall investigate and defend all claims, suits, or actions
of any kind or nature in the name of the City, where applicable, including appellate

proceedings, pay attorneys' may

issue thereon. SBHC expressly understands and agrees that a'ny insurance
i; protection required by this Agreement, or otherwise provided, shall in no way limit
,' ; its obligation, as set forth herein, to indemnify, hold harmless, and defend the City
or its officers, employees, agents, and contractors as herein provided.
10. City's Sponsorship Contributions for the Event. Subject to SBHC's compliance
with its obligations under this Agreement, City is responsible for the following:
a) City shall waive special permit fees related to SBHC Events described in

Exhibit "A" hereto, otherwise payable by SBHC in a total amount not to
exceed $178,250, which amount shall be applied to any applicable special
event application fees, permit fees, vehicle beach access passes, square
footage fees, and park user fees. SBHC shall be solely responsible for

payment to City for all the foregoing fees in excess of$178,250. Any unused
credit remaining with respect to the special event permit fees waived
pursuant to this.Section 10(a)shall be non-transferrable and cannot be.used
to offset any other Event-related costs or for any other purpose.

b) City shall provide SBHC with a cash sponsorship in the amount of$400,000,
payable within thirty(30) days following the execution of this Agreement.
c) City shall directly fund the costs of SBHC Event-related public services for
City of Miami Beach Police, Fire, and Sanitation Department expenses for
the events described in Exhibit "A" hereto., up to the not-to-exceed amount
of$250,000. SBHC shall be solely responsible for all costs and expenses

for Event-related City of Miami Beach public services in excess of$250,000,

„ F•; with such amounts payable.within thirty(30)days of City's submission of an
invoice for such SBHC Event-related public services. Any unused amounts
remaining with respect to City's funding for Event- related public. services

„ j' 12. Implementation of "Super Bowl Zone." City agrees to establish a zone, the
effective term and duration of which is only intended to run from January 24, 2020
"i through February 3, 2020 (the "Event Dates"), and which zone is generally
bounded by 22nd Street to•the north; by 5th Street to the south; by Jefferson Street
(between Dade Blvd and 15th Street), and by Washington Avenue (between 15th
Street and 5th Street) to the west; and by the Atlantic Ocean to the east, as
depicted in Exhibit "C" attached hereto and incorporated herein by reference (the •
"Super Bowl Zone"). City agrees that it shall not issue a special event permit for
the use of public property within the Super Bowl Zone during the Event Dates,
without first obtaining the prior written consent of SBHC, including, without
limitation, any event or activity on public property requiring a special event permit,
•
involving (1)mobile and/or temporary vending or sampling on public property, such
as food and beverage carts and temporary merchandise stands; (2) mobile and/or
temporary sampling; (3) temporary structures (e.g. .party tents, stages and
merchandise tents) and temporary hospitality or entertainment venues (e.g.
concert areas) on public property; and (4) Parades, races and block events.
!;I� a) The City shall provide SBHC with at least fourteen (14) calendar days prior
written notice of any special event applications received by the City for the
use of public property within the Super Bowl Zone during the Event Dates
(the"City Approval Request). SBHC shall have ten (10)calendar days from
the date of the City Approval Request to approve or deny the City's Approval
cf, Request. SBHC's approval or denial of the City Approval Request must be
• (;. in writing and, if a denial, must specifically set forth the reason(s)therefore.

In the event that SBHC fails to approve or deny a City Approval Request
within the ten (10) day time period and, further, in accordance with the

procedures set forth herein, then SBHC shall have waived its right to deny
such City Approval Request, and the City may proceed with the issuance of
a special event permit for the proposed event that was the subject of such
City Approval Request as if approved by SBHC, and without any further

notice and/or other obligation to SBHC
b) Notwithstanding any provision to the contrary herein with respect to the
establishment of the Super Bowl Zone, (i) special events held on private
property, and (ii) demonstrations, pickets, and free speech activities shall
be exempt from' the limitations set forth herein 'with respect to the Super
Bowl Zone, and any such events or activities shall not require any SBHC
approval. •
(!; c) General advertising signs within the City shall be prohibited, in accordance
with Section 138-5 of the City Code.
13. Force Maleure. Should City be unable to tender possession of any City property
{ where the Event(s) will be located ("Event Site"), or should SBHC otherwise be
unable to take possession of such Event Site, or present the Event or otherwise
perform its obligations hereunder, when such failure, directly or indirectly, is
caused by or in any manner arises from an Event of Force Majeure (defined
herein), then neither Party shall have any liability under the Agreement. The term

"Event of Force Majeure" shall mean any and all acts of God, strikes, lock-outs,

the control or caused by the party claiming the right to delay the performance on
account of such occurrence. The period of an Event of Force Majeure, and the

Event of Force Majeure that may be required to restore the Event Site and/or

reinstated; provided; however, that the declaration and notice of an Event of Force

records of the SBHC related to this Event.
17. Entire Agreement. This Agreement shall constitute the entire agreement between
the parties, and no warranties, inducements, considerations, promises or other
references shall be implied or impressed upon this Agreement that are not
expressly addressed herein.

18. Venue and Governing Law. This Agreement shall be governed as to performance
and interpreted in accordance with the laws of the State of Florida. Any claim or
dispute arising out of the terms of this Agreement shall be litigated in Miami-Dade
County, Florida.

In an effort to identify a "legacy gift" for the benefit of the local community
where the Super Bowl took place, SBHC, in collaboration with the NFL and the Miami
Dolphins Foundation, has agreed to make a "matching grant” contribution in the amount
of$250,000(the"Grant"),to fund a portion of the costs of the procurement and installation
of an artificial turf field at Miami Beach High School (the 'Turf Project"), excluding any
separate enhancements, as may be determined by the School Board at its discretion
based upon available funding, such as bleachers, score clocks, or other items of work
other than the installation of the turf field itself. Accordingly, the SBHC shall cause for the
Grant to be made provided that (1). the City contributes the total amount of $250,000
toward the cost of the Turf Project, and (2)the Miami-Dade School Board of Trustees(the
"School Board") contributes the total amount of $250,000 toward the costs of the Turf
Project. City's $250,000 contribution toward the costs. for the Turf Project shall be
contingent upon execution of a Joint Use Agreement delineating the School Board's and

The School Board will be responsible for procurement of the turf vendor, with supervision

grants the City a non-exclusive, irrevocable license and right to use, on a
royalty-free basis, the title of the Event and any video, audio or
photographic footage of the Event, in any media format or application
whatsoever, in connection with any City produced publication, including
the City produced "MB Magazine," City newsletters or electronic
newsletters, or any City media outlets, such as MBTV, for the limited
purpose of promoting the Event and City's participation in the Event. This
section shall survive the termination or expiration of this Agreement. The
rights are granted for SBHC material only.
4) Working Credentials
SBHC agrees to provide the City of Miami Beach with credentials for
operational working personnel directly related to the activation of SBHC Events taking
place in Miami Beach for the day(s) and events of approved activation, not to exceed (20)
credentials. The foregoing shall not apply to any events held at the MBCC, where Spectra
employees and authorized MBCC vendors shall not require separate working credentials
to access the MBCC in accordance with the MBCC's standard operating procedures. The
City of Miami Beach will have the ability to credential two (2) photographers and/or two

(2) videographers for their own purposes, to be able_ to access the public areas of
activation of SBHC Events.

5) Complimentary Tickets
a. SBHC agrees to supply City of Miami Beach with forty-eight (48)
complimentary tickets to all SBHC Events open to the public taking place

As the Super Bowl is one of the most reknown sporting events in the world, the parties
recognize that the Super Bowl and its related series of events will attract thousands of
visitors to Miami-Dade County and the City of Miami Beach. Accordingly, the SBHC
acknowledges that the NFL estimates that at least 36,000 hotel room nights may be
secured within Miami-Dade County as of the date of this Agreement, and further
estimates that at least 17,000 hotel room nights may be at hotels located within the City
of Miami Beach.

PROTECTION WITH RESPECT TO THIRD-PARTY EVENTS REQUIRING A CITY SPECIAL
EVENT PERMIT FROM JANUARY 24, 2020 THROUGH FEBRUARY 3, 2020, IN THE AREA
GENERALLY BOUNDED BY 22ND STREET TO THE NORTH, 5TH STREET TO THE SOUTH,
JEFFERSON STREET (BETWEEN DADE BLVD AND 15TH STREET) AND WASHINGTON
AVENUE (BETWEEN 15TH STREET AND 5TH STREET) TO THE WEST, AND BY THE
ATLANTIC OCEAN TO THE EAST; AND FURTHER AUTHORIZING THE MAYOR AND CITY
CLERK TO EXECUTE THE SPONSORSHIP AGREEMENT.
RECOMMENDATION
The Administration recommends that the Mayor and City Commission approve the Sponsorship Agreement,and authorize the Mayor
and City Clerk to execute the Sponsorship Agreement.
ANALYSIS
In 2010, Super Bowl XLIV,which was held in Miami, generated an attendance of approximately 75,000 people. During the Super
Bowl XLIV weekend,the following events were held in Miami Beach: South Florida Super Bowl Host Committee Media Event on
February 2,2010; NFL Super Bowl XLIV Pepsi Music Smash on February 3,2010;and South Florida Super Bowl Host Committee
-Tide Ocean Drive Closure on February 4,2010.
On May 24, 2016, the National Football League ("NFL") awarded Super Bowl LIV to South Florida, with the Super Bowl
championship football game set to take place at the newly renovated Hard Rock Stadium in Miami Gardens, Florida, on Sunday,
February 2,2020.
As part of the Super Bowl LIV activation,the"Super Bowl Experience"event will be hosted at the Miami Beach Convention Center
("MBCC"),from January 24,2020 through February 6,2020,and will include the following programs:Media Center;Radio Row,and
NFL Social Media Command Center.The NFL will utilize all four halls of the MBCC,and adjacent meeting rooms to accommodate
the NFL Experience event and associated media.These high-profile activations will remain in place during the entire week of Super
Bowl LIV.In addition,the Miami Super Bowl Host Committee("Host Committee")plans to host the following events on the beachfront
areas of Miami Beach: a media event, a VIP event, a potential event in the main Convention Center park, and a free public beach
concert.
At the May 17,2017 City Commission meeting,the Miami Super Bowl Host Committee, Inc.("Host Committee"or"SBHC")initially
requested that the City waive MBCC facility rental fees, in the amount of$857,540.80,and provide sponsorship support for Super
Bowl LIV through a cash sponsorship of$150,000 made to the Host Committee. The City Commission referred the item to the
Finance and Citywide Projects Committee("FCWPC")for its consideration and,on May 19,2017,the FCWPC recommended that
the City Commission approve the City's sponsorship, in an amount not to exceed $150,000, and a waiver of Convention Center
facility rental fees in an amount not to exceed$857,540.80.
On June 7,2017,the City Commission adopted Resolution No.2017-29889,accepting the recommendation of the FCWPC at its
meeting on May 19,2017,and authorizing the following in connection with Super Bowl LIV:the waiver of rental fees for Halls A,B,C,
D,and adjacent meeting rooms at the MBCC,in an amount not to exceed$857,540.80;and the City's sponsorship,in an amount not
to exceed$150,000,with a sponsorship agreement in a form acceptable to the City Manager and City Attorney,all of which shall be
subject to approval and appropriation via the FY 2017/18 budget process;and
At the July 25,2018 City Commission meeting,the Host Committee made additional funding requests,and further requested that the
City,as a host city for Super Bowl LIV,designate a"Clean Zone" during the week of Super Bowl LIV,to provide competing event
protection for the Host Committee,to ensure that other events are not held in the vicinity of the Super Bowl Experience from January
24,2020 through February 3,2020.
The Clean Zone would apply to events requiring a City special event permit in the area generally bounded by 22nd street to the north,
5th street to the south,Jefferson Street(between Dade Boulevard and 15th Street)and Washington Avenue(between 15th Street
and 5th Street)to the west,and by the waterline to the east.
At the July 25,2018 City Commission meeting,the Mayor and City Commission approved,in concept,(1)the waiver of City special
event permit fees, in the amount of$178,250 (in addition to the MBCC facility waiver in the amount of$857,540.80); and (2)the
creation of the"Clean Zone"; subject to further development and discussion of the Host Committee's proposal for additional City
appropriations for a cash sponsorship and contribution for City event-related public services.
At the November 14, 2018 City Commission meeting, the Mayor and City Commission adopted Resolution No. 2018-30617,
approving an additional cash sponsorship of$250,000,for a total cash sponsorship to the SBHC in the amount of$400,000, and
further approved a City contribution in the amount of$250,000,to be applied toward the cost of SBHC event-related public services,
provided, however, that the foregoing approval was subject to the negotiation of an appropriate public benefit package and a
sponsorship agreement.
Since November,2018,the City and the Host Committee have engaged in substantial discussions regarding the various components
of the SBHC's and the NFL's activation in Miami Beach for the Super Bowl Experience and related events,including the boundaries
and terms for the Clean Zone;the collaboration with the Miami-Dade School Board and the Miami Dolphins Foundation with respect
to the installation of the proposed artificial turf field project at Miami Beach High School; and the terms and conditions of the
sponsorship agreement with the City and associated public benefits package.
The final sponsorship agreement includes,among other terms,the following:
(1)a waiver of City special event permit fees in the amount of$178,250 for SBHC events;
(2)a cash sponsorship in the amount of$400,000 in support of SBHC events which may take place in the City of Miami
Beach;
(3)a City contribution for SBHC event-related public services in an amount not to exceed$250,000;
(4)a waiver of MBCC facility rental fees in the amount of$857,540.80 for the"Super Bowl Experience" event at the
MBCC, subject to the NFL's agreement to provide a public benefit consisting of a Miami Beach resident discount of
fifteen percent(15%),to be applied to the purchase of up to two(2)tickets for the Super Bowl Experience event;
(5)City's match contribution in the amount of$250,000 for an artificial turf field at Miami Beach High School(along with
contributions from the Miami Dolphins Foundation and the Miami-Dade County School Board);and
(6)the creation of a Super Bowl"Clean Zone,"which shall include competing event protection from January 24,2020
through February 3,2020,with respect to events requiring a special event permit in the area generally bounded by 22nd
Street to the north,5th Street to the south,Jefferson Street(between Dade Boulevard and 15th Street)and Washington
Avenue(between 15th Street and 5th Street)to the west,and the Atlantic Ocean to the east.
The public benefits package offered by the Host Committee is set forth in Exhibit"B"of the Sponsorship Agreement,and includes
(1)a Miami Beach resident discount of fifteen(15%),for all SBHC events in the City of Miami Beach(to date,no SBHC events are
confirmed);(2)a matching grant in collaboration with the NFL and Miami Dolphins Foundation,in the amount of$250,000,to fund a
portion of the costs for the artificial turf field at Miami Beach High School,and should the turf project not be timely approved by the
Miami-Dade County School Board, a mutually-agreeable alternative public benefit in an amount equal to the value of the SBHC's
contribution as set forth herein;(3)logo and sponsorship recognition for SBHC events;and(4)forty-eight(48)complimentary tickets
to each SBHC event taking place in the City.
As the SBHC was unable to confirm,on behalf of the NFL,a Miami Beach resident ticket discount of fifteen(15%)percent for the
Super Bowl Experience, the Agreement provides that City's obligation to waive the MBCC facility rental fee in the amount of
$857.540.80 is subiect to and contingent upon the NFL orovidina the 15%discount and memorializing its aareement in the NFL's
license agreement for use of the MBCC.
Although the Host Committee was unable to make a commitment on behalf of the NFL with respect to minimum room nights in Miami
Beach associated with the Super Bowl or the Super Bowl Experience,the Host Committee anticipates that the events may secure at
least 17,000 room nights within the City of Miami Beach,and this benefit,although not contractually binding, is a factor for the City
Commission to consider in evaluating the overall public benefits associated with City's support for the SBHC.
CONCLUSION
The Administration recommends that the Mayor and City Commission approve the Sponsorship Agreement,and authorize the Mayor
and City Clerk to execute the Sponsorship Agreement.
