A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF MIAMI
BEACH AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE A
PROFESSIONAL SERVICE AGREEMENT BETWEEN MOUNT SINAI
MEDICAL CENTER OF GREATER MIAMI, INC. AND THE CITY OF
MIAMI BEACH TO PROVIDE COMPREHENSIVE MEDICAL EVALUATIONS,
MEDICAL RECORDS, PSYCHIATRIST SERVICES, AND AN EMPLOYEE
ASSISTANCE PROGRAM (EAP) FOR CITY OF MIAMI BEACH
EMPLOYEES FOR ONE YEAR, WITH OPTION FOR TWO (2) ONE (1)
YEAR TERMS, AT THE DISCRETION OF THE CITY
WHEREAS, the City solicited proposals for service provider to
supply comprehensive medical evaluations, medical records,
psychiatrist services, and an employee assistance program (EAP) for
City of Miami Beach employees pursuant to Request for Proposals No.
125-89/92 ; and
WHEREAS, Mount Sinai Medical Center of Greater Miami, Inc.
("Hospital") agreed to provide services specified pursuant to
Hospital 's response to RFP; and
WHEREAS, the parties negotiated a Professional Service
Agreement to provide Comprehensive Medical Evaluations, Medical
Records, Psychiatrist Services, and an Employee Assistance Program
(EAP) for City of Miami Beach Employees; and
WHEREAS, the City Attorney approved the documents as to form;
and
NOW THEREFORE, BE IT DULY RESOLVED BY THE CITY COMMISSION OF
THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City Clerk are
authorized to execute a Professional Service Agreement with Mount
Sinai Medical Center of Greater Miami, Inc. to provide
Comprehensive Medical Evaluations, Medical Records, Psychiatrist
Services and an Employee Assistance Program (EAP) for City of Miami
Beach Employees.

On July 9, 1990 the Committee met in a publicly noticed meeting and
received presentations from Miami Heart Institute and Mount Sinai
Medical Center.

AGREEMENT FOR CITY OF MIAMI BEACH EMPLOYEES
BETWEEN MOUNT SINAI MEDICAL CENTER OF GREATER MIAMI, INC.
AND
THE CITY OF MIAMI BEACH
This Professional Comprehensive Medical Evaluations, Medical
Records, Psychiatrist Services and Employee Assistance Program
(EAP) Services Agreement for City of Miami Beach Employees
("Agreement") , made and entered into this 20th day of July, 1990,
by and between MOUNT SINAI MEDICAL CENTER OF GREATER MIAMI, INC.
(hereinafter referred to as the "HOSPITAL") and the CITY OF MIAMI
BEACH (hereinafter referred to as the "CITY") .
WHEREAS, the City desires to enter into an Agreement with the
Hospital to provide professional comprehensive medical evaluations,
medical records, psychiatric services and an employee assistance
program (EAP) for City of Miami Beach employees pursuant to Request
for Proposals No. 125-89/92 (hereinafter referred to as the RFP) ;
and
WHEREAS, Hospital desires to provide the services specified
pursuant to Hospital ' s Response to RFP.
NOW, THEREFORE, it is mutually agreed as follows:
ARTICLE I OBLIGATION AND RESPONSIBILITY OF THE HOSPITAL
In consideration of the payments by the City to the
Hospital hereunder, the Hospital and the City agree as
follows:
A. Hospital agrees to provide the services provided in the
RFP and the Hospital ' s proposal in response thereto,
which RFP and Proposal are hereby incorporated herein by
reference thereto to the extent that they are not
inconsistent with this Agreement, but in the event of any
inconsistency this Agreement shall prevail.

Without limitation,. neither Hospital nor Hospital 's
employees will be treated as an employee of the City for
any reason. Nothing contained in this Agreement shall
be construed to require Hospital to perform any procedure
or course of treatment which Hospital deems
professionally unacceptable.
B. The City will provide its employees and pre-employment
applicants with identification and will provide
verification by its Director of Personnel, as requested
by the Hospital .
C. Hospital will make best efforts to assure that the wait
time for City employees waiting to receive medical
services shall not exceed fifteen (15) minutes. Hospital
agrees to provide adequate parking for all City employees
seeking medical services hereunder at no additional cost
to City or City employee.
D. This Agreement, together with the RFP and the Hospital ' s
response, comprises the complete Agreement. Neither the
City nor the Hospital had made any representations or
warranties other than those set forth in this Agreement
and the RFP and the Hospital 's responses.
ARTICLE III PAYMENTS TO HOSPITAL
A. The City agrees to pay the Hospital ONE HUNDRED THIRTY-
NINE THOUSAND SEVEN HUNDRED EIGHTY ONE AND NO/100 DOLLARS
($139, 781. 00) for the first year of this Agreement
payable ELEVEN THOUSAND SIX HUNDRED FORTY EIGHT AND
42/100 DOLLARS ($11, 648.42) per month net thirty (30)
days after presentation of an invoice for the previous
month's services.
B. Payment for workers compensation and/or job related
claims will be paid by the City only in the case where
it is determined by the City, as the case may be, that
the claim is in fact compensable. The City will authorize
the City employee to go to the Hospital based on the
employee' s allegation that the claim or injury is job

related, but such authorization does not constitute any
representation by City that the claim is in fact
compensable or any representation by City that City will
pay the claim. In the event that any such claim is
determined by City's workers compensation (or City) to
be non-compensable then Hospital may seek recovery from
the city employee on the employee's health insurance.
The Hospital may bill services not included in the
services provided under the RFP or Proposal to the City
or the City Employees, as appropriate. The Hospital shall
look solely to these sources of payment for services not
included in the City's contract price, and City makes no
guaranty or warranty for payment of such other services.
ARTICLE IV CHANGES IN AGREEMENT
This Agreement, including the RFP and the Hospital ' s
responses and any other amendments hereinafter executed
by both parties, may only be changed by a written
Agreement executed by both parties.

ARTICLE V NOTICES
Any notices required to be give pursuant to the
provisions of this Agreement shall be in writing and
shall be sent by certified mail , return receipt
requested, prepaid to:
