A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY
OF MIAMI BEACH, FLORIDA, APPROVING AND AUTHORIZING THE
CITY MANAGER TO EXECUTE AN AMENDMENT TO THE MANAGEMENT
AGREEMENT, DATED JANUARY 1, 2010, BETWEEN THE CITY AND
MIAMI DESIGN PRESERVATION LEAGUE, INC (MDPL), FOR THE
OPERATION OF THE MIAMI BEACH OCEAN FRONT AUDITORIUM A/K/A
10th STREET AUDITORIUM, LOCATED AT 1001 OCEAN DRIVE; SAID
AMENDMENT EXTENDING THE TERM OF THE AGREEMENT FOR A
PERIOD NOT TO EXCEED SIX (6) MONTHS, COMMENCING ON
JANUARY 1,2020, SUBJECT TO TERMINATION FOR CONVENIENCE BY
THE CITY, UPON PROVIDING MDPL WITH NINETY (90) DAYS PRIOR
NOTICE.
WHEREAS, the City is the owner of the Miami Beach Ocean Front Auditorium, located at
1001 Ocean Drive, Miami Beach, Florida, which is also commonly referred to as the 10th Street
Auditorium (Premises); and
WHEREAS, MDPL is a not-for-profit organization committed to preserving, promoting,and
protecting the Art Deco Historic District including,without limitation,the preservation, promotion,and
protection of the Ocean Front Auditorium as a historic, architectural, educational, and cultural arts
venue; and
WHEREAS, the City and MDPL are parties to a Management Agreement("Agreement")for
the operation of the Miami Beach Ocean Front Auditorium; and
WHEREAS, the initial term of the Agreement was for a period of five(5)years,with two(2)
five (5)year renewal terms; and
WHEREAS, the first renewal term was an automatic renewal, subject to MDPL's
compliance with specified benchmarks and approval by the City Manager; and
WHEREAS, the automatic renewal was approved by the City Manager on November 24,
2014; and
WHEREAS, the second and final renewal term is subject to approval by the City
Commission; and
WHEREAS, during the December 11, 2019 City Commission meeting, in order to provide
the City Administration with time to negotiate the terms of the final renewal term of the Agreement,
the Mayor and City Commission approved an extension of the Agreement,commencing on January
1, 2020, subject to termination for convenience by the City, upon providing MDPL with ninety(90)
days prior notice.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission hereby approve and authorize the City Manager to execute an amendment to
the Management Agreement, dated January 1, 2010, between the City and Miami Design
Preservation League, Inc, for the operation of the Miami Beach Ocean Front Auditorium
a/k/a 10th Street Auditorium, located at 1001 Ocean Drive; said amendment extending the
term of the Agreement for a period not to exceed six(6)months,commencing on January 1,
2020, subject to termination for convenience by the City, upon providing MDPL with ninety
(90)days prior notice.

RECOMMENDATION
This project aligns with the 2019 strategic plan prosperity vision area to market and promote
Miami Beach as a world class arts, culture and quality entertainment destination. The
administration recommends that the Mayor and City Commission approve an authorize the City
Manager to execute a month to month extension between the City and Miami Design
Preservation League (MDPL)for a period not to exceed twelve months.
BACKGROUND/HISTORY
The City is the owner of the Miami Beach Ocean Front Auditorium, located at 1001 Ocean
Drive, Miami Beach, Florida, which is also commonly referred to as the 10th Street Auditorium
(Premises). MDPL is a not-for-profit organization committed to preserving, promoting, and
protecting the Art Deco Historic District including, without limitation, the preservation, promotion,
and protection of the Ocean Front Auditorium as a historic, architectural, educational, and
cultural arts venue. The City and MDPL are parties to a management agreement for the
operation of the Miami Beach Ocean Front Auditorium. The initial term of the agreement was
for a period of five years, commencing Janaury 1, 2010 and ending December 31, 2014, with
two renewal terms for five years each. The first renewal term was an automatic renewal, subject
to MDPL's compliance with specified benchmarks and approval by the City Manager. The
automatic renewal was approved by the City Manager on November 24, 2014, commencing
January 1, 2015 and ending December 31, 2019. The second and final renewal term is subject
to approval by the City Commission.

The City wishes to extend the term of the management agreement, on a month to month basis,
commencing January 1, 2020, for a period not to exceed twelve (12) months, in order to provide
staff the opportunity to prepare a comprehensive item to present to the Mayor and City
Commission at a future date.
FINANCIAL INFORMATION
MDPL does not pay rent to the city for use of the premises but is responsible for utilities, and
certain maintenance and repairs.
