A RESOLUTION OF THE MAYOR AND CITY COMMISSION
OF THE CITY OF MIAMI BEACH, FLORIDA,
AUTHORIZING THE EXECUTION AND DELIVERY BY QUIT
CLAIM DEED OF ALL REAL PROPERTY OWNED BY THE
CITY OF MIAMI BEACH WITHIN THE FIRST PHASE OF
THE COBB PROJECT (BLOCKS 78 & 80, OCEAN BEACH
ADDITION NO. 3, AS RECORDED IN PLAT BOOK 2,
PAGE 81, OF THE OFFICIAL RECORDS OF DADE
COUNTY, FLORIDA) TO THE MIAMI BEACH
REDEVELOPMENT AGENCY
BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF
MIAMI BEACH, FLORIDA, THAT,
WHEREAS, on March 31, 1989, the Miami Beach Redevelopment
Agency (Agency) and Cobb Partners Development, Inc. (Cobb) entered
into a Development Agreement and Contract for Purchase and Sale
(the Agreements) for the development of a parcel of land consisting
of two city blocks described as Blocks 78 & 80 (First Phase
Parcel) , within the South Pointe Redevelopment Area, previously
referred to as the Old Police Station Site; and,
WHEREAS, under the terms of the Agreements the Agency agreed
to use its best efforts to acquire and assemble the privately-owned
real properties within the First Phase Parcel; and,
WHEREAS, in accordance with the Agreements, and as evidenced
by City of Miami Beach (City) Resolution 87-19121, the City agreed
to convey to the Agency the City-owned property within the project
site once the Agency had acquired the privately owned land within
the First Phase Parcel; and,
WHEREAS, the Agency has successfully completed the acquisition
of all the privately-owned real property within the First Phase
Parcel of the project site;
NOW, THEREFORE BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, THAT:

County, Florida, more particularly described as follows:

herein made a part of this Resolution by reference.

SUBJECT: A RESOLUTION CONVEYING TITLE BY QUIT CLAIM DEED TO ALL REAL
PROPERTY OWNED BY THE CITY OF MIAMI BEACH WITHIN THE FIRST
PHASE OF THE COBB PROJECT (BLOCKS 78 & 80) TO THE MIAMI
BEACH REDEVELOPMENT AGENCY AND A RESOLUTION AMENDING
RESOLUTION 87-19121 RECTIFYING AN INADVERTENT SCRIVENER'S
ERROR ASSOCIATED WITH THE LEGAL DESCRIPTIONS OF THE CITY-
OWNED PROPERTY BEING CONVEYED.
ADMINISTRATION RECOMMENDATION:
The Administration recommends that the City of Miami Beach (City)
Commission adopt the attached Resolutions and authorize the Mayor and
the City Clerk to execute the necessary quit claim deeds conveying
all real property, owned by the City, that remains within Blocks 78
and 80, Ocean Beach Addition No. 3, as recorded in Plat Book 2, Page
81, of the official records of Dade County, Florida, to the Miami
Beach Redevelopment Agency (Agency) .
BACKGROUND:
Under the terms of the Cobb Development Agreement (Agreement) , the
Agency is responsible for the acquisition of all privately-owned
property within the Phase I Parcel of the Cobb Project (Blocks 78 and
80) . In accordance with "Exhibit K" of the Agreement once the Agency
acquires these parcels, the City agrees to convey, to the Agency, any
City-owned property within the Phase I Parcel. Said intent to convey
the City-owned property is evidenced by City of Miami Beach
Resolution 87-19121.
ANALYSIS:
The administration has concluded that the Agency has completed the
acquisition of all privately-owned property within Blocks 78 and 80.
Therefore, pursuant to the Agreement, the City must now convey title
to any remaining City-owned property within Blocks 78 & 80.
Furthermore, in doing so, it has been discovered that City of Miami
Beach Resolution 87-19121 contained an inadvertent scrivener's error
associated with the legal descriptions of the parcels addressed by
said Resolution and must therefore be amended.
CONCLUSION:
The Administration considers that conveying the City-owned parcels to
the Agency is a necessary requirement, as outlined above, and the
adoption of the attached Resolutions would assist the Miami Beach
Redevelopment Agency in its efforts to comply with the existing
Agreement with Cobb Partners and expedite the closing of the Phase I
parcel.

THIS QUITCLAIM DEED, Made this 30th day of June, 1993, between the City
of Miami Beach, a Municipal Corporation in Dade County, Florida, whose United States
Taxpayer Identification Number is 71-6000372, hereinafter called "Grantor", and the
Miami Beach Redevelopment Agency, an agency established pursuant to Chapter
163.330 of the Florida Statutes, Community Redevelopment Act of 1969 (as
amended),
whose Federal Taxpayer Identification Number is 59-1949654, and whose post office address
is 1700 Convention Center Drive, Miami Beach, Florida 33139, hereinafter called "Grantee".
WITNESSETH, that the said Grantor, for and in consideration of the sum of$10.00
and other good and valuable considerations, in hand paid by said Grantee, to said Grantor,
the receipt whereof is hereby acknowledged, does hereby remise, release and quitclaim to
