Amendment No. 2 to the PSA between CMB and Camillus House, Inc. AMENDMENT NO. 2 TO THE PROFESSIONAL SERVICES AGREEMENT
BETWEEN
THE CITY OF MIAMI BEACH
AND
CAMILLUS HOUSE, INC.
FOR THE CITY OF MIAMI BEACH LAZARUS PROJECT
This Amendment No. 2 ("Amendment") to the Professional Services Agreement, dated
February 6, 2019 ("Agreement"), is made and entered into this 7 day of APRIL.
2020, by and between the City of Miami Beach, Florida (the "City"), a municipal corporation
organized and existing under the laws of the State of Florida, having its principal offices at
1700 Convention Center Drive, Miami Beach, Florida, 33139, and Camillus House, Inc.
("Contractor"), a Florida not-for-profit corporation, whose address is 1603 NW 7th Avenue,
Miami, Florida 33136, and hereby amend the Agreement as follows:
RECITALS
WHEREAS, on July 13, 2018, the Mayor and City Commission adopted Resolution No.
2018-30371, accepting the recommendation of the Neighborhood/Community Affairs
Committee, at its June 20, 2018 committee meeting, to fund a one (1) year pilot program with
Contractor, to perform specialized outreach to mentally ill homeless persons, with funding in the
amount of$91,572, as an enhancement in the FY 2018/2019 budget; and
WHEREAS, on February 6, 2019, the City and Contractor executed the Professional
Services Agreement; and
WHEREAS, on July 19, 2019, the parties executed Amendment No. 1 to the Agreement
to correct the term of the Agreement, to reflect a commencement date of February 6, 2019 and
an expiration date of January 31, 2020, and to correspondingly update the due dates for the
reporting requirements(the Agreement and Amendment No. 1 shall be collectively referred
to herein as the "Agreement"); and
WHEREAS, the program commenced in March of 2019, with approved funding, in the
amount of$92,000; and
WHEREAS, during the budgetary approval process for FY 2019-2020, the Mayor and
City Commission approved additional funding for the program, as part of the Housing
Department's budget, in the amount of$47,000.00; and
WHEREAS, on March 18, 2020, the Mayor and City Commission adopted Resolution No.
2020-31200, amending Resolution No. 2018-30371, extending the term of the pilot program by an
additional seven months, commencing March 1, 2019 and expiring on September 30, 2020, with
approved funding, in the amount not to exceed $139,000.

NOW, THEREFORE, in consideration of the mutual promises and conditions contained
herein, and other good and valuable consideration, the sufficiency of which is hereby
acknowledged, the City and Contractor hereby agree as follows:
1. The above recitals are true and correct and are incorporated as part of this
Amendment.
2. The Agreement is modified (deleted items st�GIft-th-rough and inserted items
underlined as follows:
a) Section 3 ("Term") of the Agreement is hereby amended as follows:
The term of this Agreement (Term) shall commence upon execution of
this Agreement by all parties hereto, and shall terminate on January
31, 2020 September 30, 2020. All services to be rendered shall be
completed no later than January 31, 2020 September 30, 2020.
Notwithstanding the Term provided herein, Contractor shall adhere to
any specific timelines, schedules, dates, and/or performance milestones
for completion and delivery of the services, as same is/are set forth in
the timeline and/or schedule referenced in Exhibit "A" hereto.
b) Subsection 4.1 of Section 4 ("Fixed Fee") of the Agreement is deleted
in its entirety and replaced as follows:
4.1 In consideration of the Services to be provided, Contractor shall
be compensated on a fixed fee basis, in the total amount not to exceed
One Hundred Thirty-Nine Thousand and 00/100 (139,000.00) Dollars.
c) The "Reporting Requirements" section of Exhibit "A," ("Scope of
Services") to the Agreement is amended as follows:
Reporting Requirements
Each month the Contractor will provide the City with a monthly progress
report and reimbursement request utilizing the City's Reporting and
Reimbursement Forms (Exhibit B) by 5:00PM on the fifteenth (15th) of
the following month. In the event that the fifteenth (15th) of the month
lands on a Saturday, Sunday or holiday, the report must be submitted
the following business day. Reports are due to the City on the followiflg
dates:
• March 16, 2020
• April 15, 2020
• May 15, 2020

• June 15, 2020
• July 15, 2020
• August 17, 2020
• September 15, 2020
• October 15, 2020
Monthly reports and reimbursement requests may be submitted via any of the following
methods:
• Electronic mail
• Standard mail
• Hand delivery
Monthly reports will not be considered acceptable unless the following is met:
• Forms are completely and accurately filled
• Necessary back-up materials are included (service documentation, etc.)
• Reports bear the signature of the authorized agency representative submitting
the report on behalf of the Contractor
3. Except as amended herein, all other terms and conditions of the Agreement
shall remain unchanged and in full force and effect. In the event there is a
conflict between the provisions of this Amendment and the Agreement, the
provision of this Amendment shall govern.
