Amendment No. 1 to the Agreement with Suncoast Elevator Solutions, Inc. AMENDMENT NO. 1 TO THE PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF MIAMI BEACH, FLORIDA AND SUNCOAST ELEVATOR SOLUTIONS, INC. FOR ELEVATOR MAINTENANCE REPAIRS, PARTS, & NEW EQUIPMENT PURSUANT TO RFP 2018-008-JC This Amendment No. 1 (Amendment) to the Professional Seryj.,ces Agreement dated May 30, 2018 ("Agreement"), is entered into this Z day of Ar..-,'.'7 , 201-9- (Effective Date), by and between the City of Miami Beach, Florida, a municipal corporation organized and existing under the laws of the State of Florida, having its principal place of business at 1700 Convention Center Drive, Miami Beach, Florida 33139 (City), and Suncoast Elevator Solutions, Inc., a Florida corporation, having its principal place of business at 7238 Northwest 70 Street, Miami Florida, 33166 (Contractor), and hereby amends the Agreement as follows: RECITALS WHEREAS, on February 14, 2018, the Mayor and City Commission adopted Resolution Number 2018-30175, approving the award of Request for Proposals No. 2018-088-JC for elevator maintenance, repairs, parts and new equipment (the "RFP"); and WHEREAS, on May 30, 2018, the City and Contractor executed the Agreement with respect to the RFP, which services include elevator maintenance, repairs, parts and new equipment, as set forth in Exhibits A through B of the Agreement; and WHEREAS, Groups 1-4 of Exhibit B of the Agreement includes a monthly maintenance schedule for elevators in sites that were operational at the time that the RFP was issued; and WHEREAS, since the execution of the Agreement, staff has become aware that one (1) elevator at the Colony Theater, one (1)wheelchair lift at the Colony Theater, one (1) elevator at Fire Station #2, & one (1) elevator at Anchor Place Parking Garage need to be added to the Agreement; and WHEREAS, the City is responsible for the maintenance of the elevators at Colony Theater, Fire Station #2, &Anchor Place Parking Garage; and WHEREAS, staff obtained quotes from the Contractor for the scheduled maintenance of the elevators being added to the Agreement for a total additional monthly cost of$750.00 per month; and WHEREAS, the total marginal cost increase for the life of the Agreement is estimated at$9,000.00; and WHEREAS, the Property Management Department determined that the quoted prices are fair, reasonable and consistent with other facilities in the Agreement; and WHEREAS, pursuant to Section 49 of the Agreement, the City Manager has authority, within the limits of the City Manager's authority, to add these additional services; and WHEREAS, these additional services have been incorporated in Sections 13, 32, 62, & 63 of Amended Exhibit B, incorporated herein by reference &attached hereto. NOW THEREFORE, in consideration of the mutual promises and conditions contained herein, and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the City and Contractor hereby agree to amend the Agreement as follows: 1. ABOVE RECITALS. The above recitals are true and correct and are incorporated as part of this Amendment. 2. MODIFICATIONS. The Contract is hereby modified (deleted items struck through and inserted items underlined) as follows: (a) Exhibit B to the Amendment is deleted in its entirety and replaced with the attached Amended Exhibit B. 3. RATIFICATION. Except as amended herein, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect. In the event there is a conflict between the provisions of this Amendment and the Agreement, the provisions of this Amendment shall govern.
