A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF
MIAMI BEACH, FLORIDA, AUTHORIZING THE CITY MANAGER TO
NEGOTIATE AMENDMENT NO. 3 TO THE ATM LEASE, DATED JUNE 30,
2009, BETWEEN THE CITY AND SUNTRUST BANK N/K/A TRUIST BANK
(TENANT), FOR USE OF APPROXIMATELY 16 SQUARE FEET OF SPACE AT
1755 MERIDIAN AVENUE, FIRST FLOOR, TO OPERATE AN ATM MACHINE
BY TENANT, THE CITY'S CURRENT BANKING SERVICER; SAID
AMENDMENT APPROVING THE RELOCATION OF THE ATM MACHINE TO
THE FIRST FLOOR OF CITY HALL; AND EXTENDING THE LEASE, ON A
MONTH TO MONTH BASIS, FOR A PERIOD NOT TO EXCEED DECEMBER 31,
2021 OR UNTIL SUCH TIME AS THE CITY ADMINISTRATION COMPLETES A
PROCUREMENT PROCESS FOR BANKING SERVICES, WHICHEVER
OCCURS FIRST; AND FURTHER AUTHORIZING THE MAYOR AND CITY
CLERK TO EXECUTE THE FINAL NEGOTIATED AMENDMENT.
WHEREAS, on September 5, 2007, the City adopted Resolution No. 2007-26614,
authorizing the Administration to enter into negotiations with top-ranked proposer, SunTrust Bank
pursuant to RFP 37-06/07 for banking services; and
WHEREAS, in connection with the agreement for banking services, on June 3, 2009,
the City entered into a Lease with SunTrust Bank n/k/a Truist Bank(Tenant)for the installation of
an ATM machine in City Hall at no cost to the City, for an initial term of five(5)years, commencing
on August 1, 2009 and ending July 31, 2014, with one (1) additional renewal term for four (4)
years and three hundred and sixty-four days, at the City's option; and
WHEREAS, on October 1, 2014, pursuant to Resolution No. 2014-38730, the City and
Tenant executed Amendment No. 1 to the Lease; said Amendment providing for the relocation
of the ATM machine to the City's Customer Service Center at 1755 Meridian Avenue, in order to
accommodate the needs of residents and employees at the time; and acknowledging the City's
approval of the renewal term, commencing on August 1, 2014 and ending on July 30, 2019; and
WHEREAS, on July 30, 2019, the parties executed Amendment No. 2 to the Lease,
extending the lease, on a month-to-month basis, for a period of one (1) year not to exceed July
30, 2020; and
WHEREAS, in March, 2020, due to COVID-19 pandemic, the City's Customer Service
Center closed to the public and employees and currently remains closed; and
WHEREAS, at this time, the Administration recommends relocating the ATM machine to
the first floor of City Hall, 1700 Convention Center Drive in order to better serve the needs of
employees and residents; and
WHEREAS, the current agreement with SunTrust Bank for banking services is set to
expire on December 31, 2021; and
WHEREAS, the Administration is in the process of preparing a solicitation for banking
services; and
WHEREAS, the Administration recommends extending, on a month to month basis, the
ATM Lease, for a period not to exceed December 31, 2021, in order to allow the Administration
to continue to serve the employees and residents of City Hall until a new contract for banking
services is awarded.
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF
THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City Commission hereby authorize
the City Manager to negotiate Amendment No. 3 to the ATM Lease, dated June 30, 2009, between
the City and SunTrust Bank n/k/a Trust Bank(Tenant), for use of approximately 16 square feet of
space at 1755 Meridian Avenue, first floor, to operate an ATM machine by Tenant, the City's
current banking servicer; said Amendment approving the relocation of the ATM machine to the
first floor of City Hall; and extending the lease, on a month to month basis, for a period not to
exceed December 31, 2021 or until such time as the City Administration completes a procurement
process for banking services, whichever occurs first; and further authorize the Mayor and City
Clerk to execute the final negotiated amendment.

RECOMMENDATION
The Administration recommends adopting the Resolution.
BACKGROUND/HISTORY
On September 5, 2007, the Mayor and City Commission adopted Resolution 2007-26614
accepting the City Manager's recommendation pertaining to the ranking of proposals
pursuant to Request for Proposals (RFP) 37-06/07 for Banking Services. This resolution
authorized the Administration to negotiate an agreement with the top-ranked proposer,
SunTrust Bank (SunTrust). In its proposal, SunTrust agreed to provide an ATM machine
at no cost to the City to be located at City Hall for the convenience of the City's employees
and residents. On June 3, 2009, the City entered into a Lease Agreement with SunTrust
Bank for initial term of five (5) years commencing on August 1, 2009 and ending July 31,

2014. Said Agreement provided for one (1) additional renewal option for four (4) years
and three hundred and sixty-four days at the City's sole discretion. On October 1, 2014
and pursuant to Resolution 2014-28730, the City and SunTrust Bank executed
Amendment No. 1 to the Lease Agreement; said Amendment providing for the relocation
of the ATM machine to the City's Customer Service Center at 1755 Meridian Avenue in
order to accommodate the needs of residents and employees at the time and
acknowledging the sole renewal option extending the term of the Lease Agreement,
commencing on August 1, 2014 and ending on July 30, 2019. On July 30, 2019, the
parties executed Amendment No. 2 to the Lease Agreement, extending the lease, on a
month-to-month basis, for a period of one (1)year.
ANALYSIS
The City currently has an Agreement with SunTrust Bank as its current banking servicer
which is set to expire on December 31, 2021. In order to maintain continuity of services
provided by the ATM machine, a third amendment would be required to further extend
the lease. The proposed Amendment No. 3 would be coterminous with the banking
agreement expiring on December 31, 2021. Extending the lease would allow for the ATM
machine to continue to provide services to the residents and employees at City Hall. Due
to COVID-19 pandemic, the City's Customer Service Center remains closed to the public
and employees since March 2020. The relocation of the ATM machine to City Hall, 1700
Convention Center Drive would accommodate the needs of employees and residents as
City Hall remains open.
The Administration recommends that the Mayor and City Clerk execute a Third
Amendment to the Lease providing for the retroactive approval of the Lease extension
and relocation of the ATM machine, in order to continue to provide residents and
employees with ATM services at a more convenient location.
CONCLUSION
The Administration recommends that the Mayor and City Commission hereby approve a
resolution of the Mayor and City Commission of the City of Miami Beach, Florida, approving
and authorizing the Mayor and City Clerk to execute Amendment No. 3 to the ATM Lease
between the City and SunTrust Bank n/k/a Trust Bank (Tenant) dated June 30, 2009, for use
of approximately 16 square feet of space at 1755 Meridian Avenue, first floor, to operate an
ATM machine by tenant, the City's current banking servicer; said Amendment approving the
relocation of the ATM machine to the first floor of City Hall; and further extending the lease, on
a month to month basis, for a period not to exceed December 31, 2021 or until such time as
the City Administration completes a procurement process for banking services, whichever
occurs first.
