TO PERFORM THE NECESSARY SURVEYING AND DESIGN EFFORTS NEEDED TO PROCESS AND TRANSMIT A COASTAL CONSTRUCTION CONTROL LINE (CCCL) PERMIT MODIFICATION WITH FDEP FOR THE CITY OF MIAMI BEACH MIDDLE BEACH RECREATIONAL CORRIDOR PHASE III IN AN AMOUNT NO TO EXCEED $10,463.20 THIS Amendment No. 3 to the Agreement dated on or about April 5, 2016 between the CITY OF MIAMI BEACH, a municipal corporation existing under the laws of the State of Florida (the "City"), and CALVIN GIORDANO & ASSOCIATES, INC. (the "Consultant"), is made and entered this t day of 5p7 , 2020. RECITALS WHEREAS, on March 20, 2015, pursuant to Request for Qualifications (RFQ) No. 2015-127-JR, the Mayor and City Commission adopted Resolution No. 2015-29039, authorizing the Administration to enter into negotiations with the top ranked proposer, Calvin, Giordano&Associates, Inc. for Architectural and Engineering Services for the Middle Beach Recreational Corridor Phase III (the Project); and WHEREAS, on April 5, 2016, the City entered into an Agreement for a "Lump sum" amount of $478,142 with the Consultant for Architectural and Engineering Services (the Agreement), including planning, design, bidding and award and construction administration services for the Project; and WHEREAS, on August 9, 2018, the City Manager approved Amendment No. 1 to the Agreement, in the amount of $10,033.10 to retain a consultant to conduct a cultural resource evaluation for the project as requested by the Florida Department of Transportation; and WHEREAS, on January 13, 2020, the City Manager approved Amendment No. 2 in the amount of $13,002.50 for additional services to perform ISA Certified Arborist services as well as conducting one-on-one public outreach meetings with all property owners fronting the Middle Beach Recreational Corridor Phase 3; and WHEREAS, after the demolition of the boardwalk and as a result of the earthwork and grading tasks, an excess of 3,800 cubic yards (cy) of beach sand fill was generated; and WHEREAS, the additional fill has been attributed to accumulation of sand within the project limits due to storm effects and natural windborne migration of sand; and WHEREAS, MBRC Phase III State permitting conditions require that beach sand excavated during the construction of this project must remain seaward of the CCCL and within this project's construction limits. Calvin Giordano&Associates,Inc.,Amendment No.3 • DocuSign Envelope ID:4434A481-C58A-4C1E-9191-FB0815F32AEF WHEREAS, CIP has been looking for receptor sites for the excavated sand within the Project limits, the City's Department of Environment and Sustainability, Property Management and CIP have identified Lummus Park from 10 Street to 12 Street, and at Indian Beach Park(46 Street& Collins Avenue) as receptor sites which could use the excess beach sand; and WHEREAS, FDEP was contacted and the State has issued a field permit to allow the transport and stockpiling at the two receptor locations; and WHEREAS, a permit modification for the Middle Beach Recreational Corridor Phase 3 project is required by the State, identifying the final location and placement of the beach sand at each of the receptor sites; and WHEREAS, the City requested a proposal from the Consultant to submit the permit modification to the State; and WHEREAS, this Amendment No. 3 includes additional services to perform the necessary surveying and design efforts needed to process and transmit a CCCL permit modification with FDEP; and WHEREAS, the proposal from the Consultant, totaling $10,463.20, was reviewed and found to be fair and reasonable; and WHEREAS, this Amendment No. 3 to the Agreement will revise the total contract sum to the not-to-exceed total amount of$511,640.36 NOW, THEREFORE, the parties hereto, and in consideration of the mutual promises, covenants, agreements, terms, and conditions herein contained, and other good and valuable consideration, the respect and adequacy are hereby acknowledged, do agree as follows: 1. ABOVE RECITALS The above recitals are true and correct and are incorporated as a part of this Amendment No. 3. The amount and time set forth herein are the maximum agreed to by both the City and Consultant for all work associated with or related to this Amendment No. 3. Consultant hereby attests that the adjustments to the Agreement as provided herein are reasonable and constitutes compensation in full for all costs, claims, markup, overhead, and any and all expenses, direct or indirect, attributable or related to this Amendment No. 3, including, but not limited to, compensation in full for any delays, acceleration, or loss of efficiency encountered by Consultant in the performance of its work through the date of this Amendment No 3. In consideration of the compensation and in this Amendment No. 3, the Consultant hereby releases the City from all claims, demands, or causes of action arising out of or related to the transactions,events or occurrences giving rise to this Amendment No. 3. This written Amendment No. 3 is the entire agreement between the City and Consultant with respect to this Amendment No. 3 and no other agreements or modifications shall apply to this Amendment No. 3 unless expressly provided herein. 2. MODIFICATIONS The Agreement is amended, as provided herein and in attached services proposal. RATIFICATION. The City and Consultant ratify the terms of the Agreement, as amended by this Amendment No. 3.
