Fiscal Year 2019/20 Cultural Affairs Grant Agreement
This Amendment No. 1 to the Cultural Affairs Grant Agreement (the "Agreement"), dated
He.;,,r,11 , 2021, by and between the City of Miami Beach, Florida (the "City"), a municipal
corporation duly organized and existing under the laws of the State of Florida, South Florida
Composers Alliance, Inc. , a Florida not-for-profit corporation (the "Grantee") is entered into on
this day of , 2021.
RECITALS
WHEREAS, the City and Grantee executed the Agreement to fund activities during the
City's fiscal year for which the Grant is approved (October 1, 2019 through September 30, 2020);
and
WHEREAS, on March 12, 2020 the City of Miami Beach cancelled public gatherings due
to the spread of the COVID-19 pandemic, which resulted in the closure of cultural facilities and
suspension of cultural programming; and
WHEREAS, pursuant to the Agreement, a written Final Report, which documents the
Grantee's satisfaction of all requirements, is due no later than October 16, 2020; and
WHEREAS, the Parties wish to extend the Grand funding period in order to permit Grantee
to complete the Grant activities.
THEREFORE, in consideration of the mutual promises and conditions contained herein,
and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the
City and Grantee hereby agree to amend the Agreement as follows:
1. ABOVE RECITALS
The above recitals are true and correct and are incorporated as part of this Amendment.
2. MODIFICATIONS
The Agreement is hereby amended (deleted items struck through and inserted items underlined)
as follows:
a. Article I/ Grant Description, bullet point 7 is hereby modified as follows:
Expenditure deadline: September 30, 2020 2021.
b. Article I/ Grant Description, bullet point 8 is hereby modified as follows:
Final Report deadline: Postmarked or delivered no later than October 16, 2020.
October 15, 2021.
c. Paragraph 3 of Section 3 (Budget) of Article II/General Conditions is hereby modified as
follows:
Line item changes to the Grant Award Budget shall not exceed ten percent (10%) per
e , -•e •- , •- • , - - the total amount of Grant Funds. Should the
Grantee not be able to fulfill programmatic activities by October 15, 2021, Cultural Affairs
staff will consider allowable expenses to include indirect or general operating costs
related to the operation of the organization. Notwithstanding the preceding sentence,
amendments to the itemized Grant Award Budget shall not be permitted without the prior
written consent of the Cultural Affairs Program Manager. Said requests shall be made in
writing, detailing and justifying the need for such changes, in advance of the Project's
commencement.
d. Exhibit 1/Project Description is hereby modified as follows:
SFCA [isaw+subtropics] is requesting full funding of its FY2019-2020 season application to the
City of Miami Beach to stage a 10th anniversary reprise performance of CANAL —a 12 hour-long
public sound art performance that spans the full physical length of one block between Convention
Center Drive and Washington Avenue along the Dade Canal behind the newly renovated Miami
Beach Convention Center.
Originally commissioned by Gary Farmer (former Cultural Affairs Program Manager at City of
Miami Beach) for Sleepless Night 2009 and in his own words, "Canal was a transformative
experience nearly all of the 130,000 attendees[at Sleepless Night 2009]who were curious enough
to take a nighttime journey along the seldom-used path next to the Dade Boulevard canal. For
most of these brave souls (I estimate around 50,000 people) "Canal" was the definitive
performance of the evening, establishing itself as an almost geographic center of the 150 events
and 13 hours that make up Sleepless Night. For me it was the one event that captured the very
essence of what Sleepless Night is all about: it made people experience the world in an entirely
new way. What's truly astonishing to me is the impact that it had on the broadly diverse Sleepless
Night audience; I respond to every compliment about Sleepless Night with the question, "What
was your favorite thing?" and nine times out of ten the answer is "Canal." Frozen Music created
an intense, memorable and meaningful experience for people of all ages and backgrounds."
SUBTROPICS 25
The staging of this work alone demands the resources available from this grant program, but SFCA
is committed to present other events in celebration of the 25th edition of its Subtropics Festival of
Experimental Music and Sound Arts by partnering with other organizations like MDC Live Arts
(letter of support included), The New World Symphony (currently in conversations with Martin
Sher, Senior Vice President for Artistic Planning and Programs , New World Symphony, America's
Orchestral Academy), Miami Beach Botanical Garden, Miami Beach Convention Center, Miami
Beach Cinema (currently in conversations with Dana Keith), MBUS, and others. A wish list of
artists for Subtropics 25 is attached.
The list includes: the Kronos Quartet at the Colony Theater and our classic Subtropics 25
Marathon of over 40 artists and experimental musicians from the South Florida area in
collaboration with MDC Live Arts; Canadian violinist Malcolm Goldstein, exuberant performance
artist Pat Olezko; Chinese pianist Margaret Leng Tan; South Korean composer and Komongo
player Jin Hi Kim; Japanese avant-garde composers Ikue More and Yasunao Tone; progressive
rock legends Fred Frith and Chris Cutler of"Henry Cow" fame; intermedia composer Phill Niblock
of Experimental Intermedia; Tom Hamilton and Mimi Johnson performing the music of the late
avant-garde opera composer Robert Ashley; his shamanistic composer-performer son Sam
Ashley; MacArthur "Genius Grant recipients, trombonist George E. Lewis, tinkerer Trimpin,
performative artist Anne Hamilton, and high energy movement acrobat Elizabeth Streb; sound
artists Michael Schumaker, Jennie Jones, Wolfgang Gil, Steve Peters and Richard Garet; sound
poets John Giorno, Gregory Whitehead and Kenneth Goldsmith; electronic music legends David
Berhman, Alvin Lucier, and Gordon Mumma; new media performance artists Pamela Z, Olivia
Block and Brenda Hutchinson; Spanish legend Llorenc Barber; and improvising virtuosos Jim
Staley and Davey Williams.
Any changes to the programming will be approved by Cultural Affairs staff on a case-by-
case basis. Grantee should make all attempts to reschedule programming or provide
alternative programming solutions, such as live streaming.
3. RATIFICATION
Except as amended herein, all other terms and conditions of the Agreement shall
remain unchanged and in full force and effect. In the event there is a conflict
between the provisions of this Amendment and the Agreement, the provisions of this
Amendment shall govern.
IN WITNESS WHEREOF, the Parties or their duly authorized representatives hereby
execute this Agreement on the date written below.
