FLORIDA This instrument prepared by Ethan J.Loeb Smolker Bartlett Loeb Hinds&Thompson,P.A. 100 N.Tampa Street Suite 2050 Tampa,Fl 33602 AGREEMENT SI THIS AGREEMENT (the "Agreement") made this day of Marek , 2021 by and between the City of Miami Beach,a Florida municipal corporation("Grantor") and Florida Gas Transmission Company,LLC,a Delaware Limited Liability Company,as successor in interest to Houston Gas and Oil Corporation("Grantee"), WITNESSETH: WHEREAS, GRANTEE installed a six-inch subterranean natural gas pipeline (the "Pipeline") associated with Resolution 10139 dated July 1, 1959 over real property described in Exhibit "A" attached hereto and incorporated herein by reference (the "Property"); WHEREAS, GRANTEE has constructed, operates and maintains the Pipeline; WHEREAS, the GRANTOR and GRANTEE wish to formalize and specify the rights described in Resolution 10139, as well as others, that authorize GRANTEE to construct, operate, maintain, relocate, and adjust the Pipeline; NOW,THEREFORE, in consideration of Ten and no/100 Dollars($10.00)and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, GRANTOR and GRANTEE, for themselves and their successors, grantees and assigns, intending to be legally bound hereby, covenant and agree as follows: 1. Recitals. The foregoing recitals are true and correct and are an integral part of this instrument. 2. Nature of Grant. The non-exclusive compensable real property right described herein authorizes GRANTEE to construct,operate,and maintain the Pipeline in the areas described by Resolution 10139. GRANTEE further acknowledges and agrees that this Agreement does not convey any rights related to real or personal property that is not owned by GRANTOR. Nothing herein impacts any rights that the GRANTOR or GRANTEE have under federal or state laws. 3. Installation, Maintenance, Repair, Relocation and/or Adjustment of the Pipeline. Should it be necessary for the GRANTEE to have additional, temporary work space to conduct maintenance, repairs, relocation, or adjustments to the Pipeline, GRANTOR shall provide such space and issue a temporary construction access permit in order for GRANTEE to perform such activities following receipt of GRANTEE'S application for same. GRANTOR'S approval of a temporary construction access permit shall not be unreasonably withheld. Should an emergency {00030892:2} Page 1 of 5 arise that requires that the GRANTEE gain immediate access to the Pipeline,the parties agree that access may be obtained without first obtaining a temporary construction access permit so long as GRANTEE uses acceptable, safe, and reliable methods to obtain access within, on, or over the GRANTOR's property. In the event any installation, maintenance, repair, relocation and/or adjustment of the Pipeline desired to be made by GRANTEE shall conflict with, interfere or impair any existing installations, it shall be GRANTEE'S obligation, at its expense,to repair and replace such installations. 4. Conflicts with Pipeline. In the event either party causes an irreconcilable material conflict with the Pipeline because of a project,the parties will use reasonable efforts to resolve the conflict among themselves. A conflict is irreconcilable if it cannot be resolved despite the parties' use of reasonable efforts to avoid a conflict with the Pipeline. A conflict is material if there are no reasonable means or methods available in the field that would allow GRANTEE to perform repairs, maintenance, or operation of the Pipeline. An irreconcilable material conflict shall not include: (A)(i) any structure and/or utility conduits associated with Miami Beach's West Avenue Phase II Improvements depicted on the attached Exhibit B; or (ii) any future utility conduits, including but not limited to water, sewer and stormwater crossing the Pipeline with twelve (12) inches or more above or below the Pipeline; (B) Any existing or replacement in kind of an existing structure and/or utility conduits, including but not limited to water, sewer and stormwater, that is closer than the dimensions mentioned in section 4A of this agreement. Any reasonable relocation costs due to a material irreconcilable conflict are to be borne by the party who created the irreconcilable material conflict and shall be limited to in-kind replacement only. GRANTEE shall be responsible for obtaining any required permits and complying with any other applicable Federal, State and local laws associated with its installation, operation and maintenance of the Pipeline. 5. Indemnification. GRANTEE agrees to indemnify,exonerate and hold harmless the GRANTOR herein and its successors from any liability for damage or claim of damage,judgment, costs, attorneys' fees, order or decree of court or other cause arising from or incident to the installation, construction, maintenance, operation, repair or existence of such Pipeline. GRANTEE further agrees to defend any suit which may be instituted against the GRANTOR or to which it is named as a party defendant whether or not GRANTEE is also named as a party defendant and which suit or action at law shall be based on or result from or be incidental to the existence of such Pipeline or the construction, maintenance, operation, removal or repair thereof, or any part thereof or any appurtenances thereto. 6. Specified Width. The width of the real property interest conveyed by this Agreement shall be limited to a five (5) foot width (2.5 ft distance from each side of the Pipeline (the "Specified Width"). In addition, GRANTEE may apply for a ten (10) foot temporary easement (measured from each side of the Pipeline) for purposes of maintaining, repairing, and replacing the Pipeline. GRANTOR's approval of such a temporary easement shall not be unreasonably withheld. {00030892:2} Page 2 of 5 7. Non-Exclusive Rights. GRANTEE recognizes and agrees that the rights conveyed herein are non-exclusive and understands and agrees that there are existing installations and improvements in, on, under, above and/or adjacent to the Pipeline, which are not in conflict with the Pipeline. 8. Covenants run with the land. This Agreement shall constitute a compensable real property interest and covenant running with the land and shall be binding upon and inure to the benefit of the parties hereto and their respective successors, grantees and assigns. 9. Non-Precedential Act. Nothing contained herein shall be used to by either the GRANTOR or GRANTEE to assert that this Agreement creates any precedent. 10. Florida Department of Transportation. Should the Florida Department of Transportation engage in any activities that impact any portion of the Pipeline that is located on land owned by the GRANTOR, it is acknowledged and agreed that the GRANTOR will not assert that any claimed rights of reimbursement for costs sought by the GRANTEE are not compensable. Paragraph 4 shall not be applicable to any project or activity in which the FDOT,its concessionaire, agent, or contractor is engaged. 11. Abandonment or Discontinuance. Should the Pipeline be abandoned, in whole or in part, or discontinued by law or otherwise, the Property shall automatically revert back to the GRANTOR herein or its successors or assigns. 12. Venue; Governing Law. This Agreement shall be interpreted under the laws of Florida. With all other venues waived, venue as to enforceability, breach or any other dispute as to the application of this Agreement shall be in the Eleventh Judicial Circuit Court in and for Miami-Dade County, Florida. 13. Counterparts. This Agreement may be executed in counterparts. including counterparts transmitted by facsimile or electronic mail, each counterpart constituting an original. 14. Amendment. No amendment or variation of the terms or provisions of this Agreement shall be valid unless made in writing and signed by each of the Parties. 15. No Waiver. Failure by any party to enforce any provision of this Agreement, shall not be deemed a waiver of the ability to exercise such rights in the future. 16 Severability. The non-exclusive rights, privileges, covenants, provisions and conditions contained in this Agreement are declared to be severable and a finding by any court of competent jurisdiction that any of them or any clause, phrase or term hereof is void, unlawful or unenforceable shall not affect the validity or enforceability of any other non-exclusive right, privilege, easement, covenant,provision, clause,phrase or term hereof. 17. Authority. GRANTOR represents and warrants to GRANTEE that it has the right and authority to enter into and perform this Agreement without the consent of any other party. {00030892:2} Page 3 of 5 • 18. Integration. Except for the legal description contained in Resolution 10139 this Agreement shall supersede, replace and control the rights, duties, and obligations of the parties. The remainder of Resolution 10139 and the Miami -Dade Circuit Court's Amended Summary Judgment Order dated February 12,2019 in the lawsuit styled Florida Gas Transmission Company LLC v. City of Miami Beach is of no force and effect. 19. One Call and Construction Coordination. GRANTOR agrees that it will comply with the Florida One Call Statute and that it will not allow any construction work to occur within fifteen (15) feet of the Pipeline without a representative of the GRANTEE being physically present.
