DocuSign Envelope ID:2B26FB02-C4D9-48DA-8BBB-20750C8BC95C Reso: 2019-30958 AMENDMENT NO,3 TO AGREEMENT BETWEEN THE SCHOOL BOARD OF MIAMI-DADE COUNTY,MIAMi, FLORIDA AND THE CITY OF MIAMI BEACH, FLORIDA This Amendment No.3(the"Amendment")to the Agreement, dated November 8,2019,as amended by Amendment No. 1, dated August,19, 2020 and by Amendment No. 2, dated May 8, 2021, (collectively, the "Agreement"), by and between the City of Miami Beach, Florida, a municipal corporation organized and existing under the laws of the State of Florida, having Its principal place of business at 1700 Convention Center Drive, Miami Beach, Florida 33139 ("CMB") and The School Board of Miami-Dade County, Miami, Florida, a body corporate and political subdivision of the State of Florida, having its principal place of business at 1450 NE 2nd Avenue Miami,Florida("M-DCPS"),(CMiB and M-DCPS may be individually referred to as a Party or collectively as Parties), is entered Into this /`' day of -jun ., 2021 (Effective Date): RECITALS WHEREAS, CMB entered into the Agreement with M-DCPS In order to deploy its resources with M-DCPS and MDC in order to Increase the competitiveness of the students of Miami Beach Senior High School by nurturing and supporting the dual enrollment programs taught at Miami Beach Senior High School(the"High School"),and Miami Beach Nautilus Middle School f/k/oNautilus Middle School (the "Middle School"); and WHEREAS, on August 19, 2020, the Parties executed Amendment No. 1 to the Agreement to continue the expansion of the program, as MDC resources permitted, by providing dual enrollment classes at the High School and the Middle School, In order to provide 8th graders, who attend the Middle School and Miami Beach Fienberg Fisher K-8 f/Ida Fienberg Fisher k-8 Center,with the opportunity to take dual enrollment courses at the Middle School(the Agreement and Amendment No. 1 shall be collectively referred to herein as the"Agreement");and WHEREAS, on February 10, 2021, the Mayor and City Commission adopted Resolution No. 2021-31572,authorizing the addition of Florida International University(FIU)as an additional provider of dual enrollment courses under the Agreement; and WHEREAS,on May 8, 2021,the Parties executed Amendment No. 2 to the Agreement to allow CMB to maximize the number of dual enrollment course offerings for the 2020-2021 school year, based upon the approved budget for the program, by adding FIU as an additional educational partner; and WHEREAS, to promote educational opportunities through the dual enrollment program in Miami-Dade County, Miami Dade College(MDC)and M-DCPS entered into the 2021-2022 Dual Enrollment Articulation Agreement in July 2021, which is incorporated herein by reference and attached hereto as Composite Exhibit A; and WHEREAS, to promote educational opportunities through the dual enrollment program In Miami-Dade County, Florida International University (MU)and M-DCPS entered into the 2021- 2022 Dual Enrollment Articulation Agreement In July 2021,which is attached as Exhibit A, and is incorporated herein by reference and attached hereto as Composite Exhibit A; and 1 DocuSign Envelope ID:2B26FB02-C4D9-48DA-8BBB-20750C8BC95C WHEREAS,the Articulation Agreement with MDC and the Articulation Agreement with FIU shall be collectively referred to herein as the"Articulation Agreement"; and • WHEREAS,through this Agreement, in partnership with M-DCPS, CMB seeks to combine • its resources with M-DCPS, MDC, and FIU in order to Increase the competitiveness of the • students attending Miami Beach Senior High School, by supporting the dual enrollment programs at the High School and the Middle School. NOW THEREFORE, in consideration of the mutual promises and conditions contained herein, and other good and valuable consideration, the sufficiency of which is hereby acknowledged, CMB and M-DCPS hereby agree to amend the Agreement as follows: • 1. ABO/E 13ECITALS, • The above recitals are true and correct and are incorporated as part of this Amendment. 2, MODIFICATIONS, The Agreement Is hereby amended(deleted items struck through and Inserted items underlined)as follows: (a) The first full paragraph of Section 2.01 of the Agreement is hereby deleted in its entirety and replaced with the following: 2.01 Term of Agreement. The term of this Agreement shall be effective as of the last date signed by al)Parties through the 30th of June, 2022.unless the Agreement Js terminated eariler pursuarit to Section 3.02 below or the Articulation Agreements with MDC or MU. as applicable. are terminated. This Agreement may be renewed for additional periods of time upon the mutual written consent of the Parties and. subiect to such terms and conditions as the Parties shall determine in writing, (b) Section 2.03(B) (6) of the Agreement is hereby deleted in its entirety and replaced with the following: (6) It is anticipated that the cost for the student Instructional material costs will be$18,000 for Fall 2021 and Spring 2022 based upon the enrollment of 150 students in six(6)dual enrollment classes. Actual costs will be based on the actual cost for the classes and instructional materials. { (c) The first full paragraph of section 2.06 of the Agreement is hereby deleted In its entirety and replaced with the following: • 2.06. .. .Course Selection and Scheduling. The Hlah School or Middle School principal shell select the dual enrollment courses to be taught at the High School or Middle_chool, as applicable, provided that the courses are selected from the dual enrollment courses Identified in the Articulation Agreement with MDC or FIU. as appl)cable, and the selected courses do not require a prerequisite course.The High School is responsible for ensuring that the student placement variables are provided to MDC, and FIU prior to scheduling the dual enrollment course. These variables Include identifying acetified students and providing the adlunct instructor with the class schedule. In the event there Is a conflict between the provisions of this Amendment and the Agreement,the provisions of this Amendment shall govern.
