Amendment No.6 to Agreement with Hill International, Inc. 2o19-- ia . 2oI ' - 2q 189 AMENDMENT NO. 6 TO THE AGREEMENT BETWEEN THE CITY OF MIAMI BEACH, FLORIDA AND • HILL INTERNATIONAL, INC., DATED OCTOBER 30, 2015, FOR OWNER'S REPRESENTATIVE SERVICES FOR THE MIAMI BEACH CONVENTION CENTER RENOVATION PROJECT, IN THE AMOUNT OF $126,960 This Amendment No. 6 to the Agreement made and entered this 28" day of ''Jut 2t ,2021, by and between the CITY OF MIAMI BEACH, a municipal corporation existing under the laws of the State of Florida (hereinafter referred to as City), having its principal offices at 1700 Convention Center Drive, Miami Beach, Florida 33139,and HILL INTERNATIONAL, INC.,a Delaware corporation,having an office at 601 Brickell Key Drive,Suite 600,Miami,FL, 33131 (hereinafter referred to as Consultant or Owner's Representative). RECITALS WHEREAS, pursuant to Request for Qualifications(RFQ) No. 2014-278-ME, the Mayor and City Commission adopted Resolution No. 2014-28849 on November 19, 2014, approving and authorizing the Mayor and City Clerk to execute an Agreement with Hill International, Inc.for Owner's Representative Services for the Miami Beach Convention Center Renovation Project (the Agreement); and WHEREAS,subsequently, on February 11, 2015, the Mayor and City Commission adopted Resolution No.2015-28924, cancelling the Design/Build solicitation for the Project and directing the Administration to proceed with a CM-at-Risk procurement methodology; and WHEREAS, on October 21, 2015, the Mayor and City Commission adopted Resolution No. 2015-29189, approving an amended and restated Agreement with Hill International, Inc. (the Agreement), in the amount of $6,303,753, for additional monitoring and coordination services required under the CM-at-Risk approach and for threshold inspection services required for the Project; and WHEREAS, on January 9, 2018, Amendment No. 1 to the Agreement was executed in the amount of$2,124,695,extending services based on a new contractual Substantial Completion date of August 8, 2018, and closeout period through March 31, 2019; and WHEREAS, on April 18, 2019,Amendment No.2 to the Agreement was executed to extend the Consultant's services based on achieving Substantial Completion by June 30,2019,and a close out period through November 30, 2019; and WHEREAS, on November 8, 2019, Amendment No. 3 to the Agreement was executed to extend the Consultant's services based on achieving Substantial Completion by December31,2019, and a close out period through May 31, 2020; and WHEREAS, a partial Substantial Completion was achieved on April 20, 2020; and WHEREAS,on September 29, 2020, Amendment No. 4 to the Agreement was executed to extend the Consultant's services through December 31, 2020; and WHEREAS, on December 23, 2021, Amendment No. 5 was executed to extend the Consultant's services through March 31, 2021; and Page 1 of 2 WHEREAS,this Amendment seeks to extend the Consultant's services through October 31, 2021,to continue to assist the City in obtaining a Certificate of Occupancy and Final Completion;and NOW,THEREFORE,the parties hereto,and in consideration of the mutual promises,covenants, agreements,terms, and conditions herein contained,and other good and valuable consideration,the respect and adequacy are hereby acknowledged, do agree as follows: 1. ABOVE RECITALS The above recitals are true and correct and are incorporated as a part of this Amendment No. 6. 2. MODIFICATIONS a. Fees and expenses for Basic Services shall be increased by $ 126,960. b. Fees and expenses are based on the Proposal dated June 11,2021,attached hereto as Exhibit"A". 3. OTHER PROVISIONS. All other provisions of the Agreement, as amended, are unchanged and in full force and effect. 4. RATIFICATION. The City and Consultant ratify the terms of the Agreement, as amended by this Amendment No. 6. Whereas, Hill International Inc. is under contract with the City to assist with overseeing the Convention Center renovation and expansion project in the role of Owner's Representative as requested by the City through June 30, 2018; Whereas, it was anticipated that the Building Construction would be substantially complete in December, 2017 and the P Lot Park and entire project would be completed on June 30, 2018; Whereas on April 19,2019 the city approved amendment#2 based on a substantial completion date of June 30, 2019 and closeout period of November 30, 2019; Whereas on November 8, 2019 the city approved amendment#3 based on a substantial completion date of December 31, 2019 and closeout period of May 31, 2020; Whereas, on April 20, 2020 the project achieved partial substantial completion, and the City continues to need the assistance of Hill International Inc.through the completion of the project; Whereas, the project is in the process of closing out the contracts and achieving Final Completion and the City continues to need the assistance of Hill International, Inc. through the completion of the project; NOW THEREFORE, in consideration of the foregoing and of the mutual covenants and compensation set forth herein the City and Owner's Representative agree as follows: "H« Page 2 of 2 1. Hill's fees and expenses for Construction Period Services shall be increased $126,960, for a total not to exceed amount of$10,766,111. Fees will be based on the Attached Fee Schedule MBCC C08, dated 11/JUN/20. 2. Except as specified herein, all other provisions of the Professional Services agreement, as amended, remain unchanged and in full force and effect.
