A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF
MIAMI BEACH, FLORIDA, AUTHORIZING THE CITY MANAGER TO
NEGOTIATE A LICENSE AGREEMENT BETWEEN THE CITY (TENANT) AND
THE HOUSING AUTHORITY OF THE CITY OF MIAMI BEACH, FLORIDA
(LANDLORD) FOR THE USE OF A ROOM, HAVING APPROXIMATELY 127
SQUARE FEET, AT REBECCA TOWERS SOUTH, LOCATED AT 150 ALTON
ROAD, BASED UPON THE ESSENTIAL TERMS SET FORTH IN THIS
RESOLUTION; SAID AGREEMENT HAVING AN INITIAL TERM OF FIVE (5)
YEARS, AND UP TO FOUR (4) ADDITIONAL FIVE (5) YEAR RENEWAL
TERMS, SUBJECT TO AGREEMENT OF THE PARTIES; AND FURTHER
AUTHORIZING THE CITY MANAGER AND CITY CLERK TO EXECUTE THE
AGREEMENT.
WHEREAS, the City has been given the opportunity to use a room, having approximately
127 square feet of space at a building (the "Licensed Premises"), known as Rebecca Towers
South, located at 150 Alton Road, to house certain public facilities equipment; and
WHEREAS, the City and the owner of the building, the Housing Authority of the City of
Miami Beach, Florida have negotiated the following essential terms of a License Agreement
("Agreement"):
A. Licensed Premises: room having 127 square feet at
150 Alton Road
Miami Beach, FL 33139
B. Landlord: the Housing Authority of the City of Miami Beach, Florida
C. Effective Date: upon execution, following Commission approval and final
negotiation.
D. Term: five (5) years, with four (4) additional five (5) year renewal
terms, upon agreement of both parties.
E. Termination for either party may terminate the Agreement without cause
Convenience: and for convenience upon ninety(90) days' notice.
F. Rent: $20,000.00 annually, with annual increases of 3% or the
CPI-U, whichever is less, per year beginning the second
contract year. (The total rental amount is approximately
$106,183.00 over the five (5) year initial term); and
WHEREAS, the City Manager recommends authorizing the Administration to negotiate a
License Agreement, based upon the essential terms set forth in this Resolution.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission hereby authorize the City Manager to negotiate a License Agreement between the ,
City(Tenant)and the Housing Authority of the City of Miami Beach, Florida(Landlord)for the use
of a room, having approximately 127 square feet, at Rebecca Towers South, located at 150 Alton
Road; said Agreement having an initial term of five (5)years, and up to four(4) additional five (5)
year renewal terms, subject to agreement of the parties; and further authorize the City Manager
and City Clerk to execute the Agreement.

The Administration recommends that the Mayor and City Commission adopt the Resolution.
ANALYSIS

Licensed Premises), to house certain public facilities equipment. The City and owner of the
building, the Housing Authority of the City of Miami Beach, Florida negotiated a License
Agreement containing the following essential terms ("Agreement").
A. Licensed Premises: Room having 127 square feet located at
200 Alton Road

B. Landlord: The Housing Authority of the City of Miami Beach, Florida
C. Effective Date: Upon execution following Commission approval.
D. Term: Five (5) years, with four (4) additional five (5) year renewal terms, upon
agreement of both parties.
E. Rent: $20,000.00 annually, with annual increases of 3%or the CPI-U, whichever is less,
per year beginning the second contract year. (The total rental amount is approximately$106,183

All costs associated with initial installation of the public facility's equipment, including any
building modifications, equipment, and installation, will be covered by funds already
approved and allocated in the G.O. Bond. Ongoing costs associated with the Agreement in
subsequent years, like equipment maintenance and annual rent, will be budgeted on an
annual basis.

Based on the foregoing, I recommend that the Mayor and City Commission hereby approve
and authorize the City Manager to execute a new License Agreement between the City
(Tenant) and The Housing Authority of the City of Miami Beach, Florida (HACMB)
(Landlord), in the form attached to this City Commission Memorandum as Exhibit "I" for the
use of a room having approximately 127 square feet, at Rebecca Towers South, located at
200 Alton Road; said Agreement having an initial term of five (5) years, and up to four (4)
additional five (5)year renewal terms, subject to agreement of the parties.
