A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF
MIAMI BEACH, FLORIDA, AUTHORIZING THE CITY MANAGER TO
NEGOTIATE AND EXECUTE AMENDMENT NO. 2 TO THE SPONSORSHIP
AGREEMENT BETWEEN THE CITY OF MIAMI BEACH, FLORIDA AND THE
FLORIDA INTERNATIONAL UNIVERSITY BOARD OF TRUSTEES, AS
ADMINISTRATOR AND CO-PRODUCER OF THE FOOD 'NETWORK &
COOKING CHANNEL SOUTH BEACH WINE & FOOD FESTIVAL,
PRESENTED BY CAPITAL ONE (THE "FESTIVAL"); SAID AMENDMENT
INCLUDING A REIMBURSEMENT TO THE FESTIVAL, IN THE AMOUNT NOT
TO EXCEED $215,849, TO COVER EVENT -RELATED PUBLIC SERVICES, IN
ADDITION TO THE WAIVER OF CITY PERMIT COSTS ALREADY PROVIDED
UNDER THE AGREEMENT, IN THE AMOUNT OF $142,517, BRINGING THE
TOTAL CITY CONTRIBUTION FOR THE 2022 FESTIVAL TO AN AMOUNT
NOT TO EXCEED $358,366, IN ORDER TO ADDRESS THE ONGOING
ADVERSE OPERATIONAL IMPACTS ASSOCIATED WITH THE COVID-19
PANDEMIC.
WHEREAS, on July 25th, 2018, the Mayor and City Commission adopted Resolution
2018-30397, approving a five-year sponsorship agreement with Florida International University
for the South Beach Wine & Food Festival (the "Festival"); and
WHEREAS, on September 12, 2018, the City entered into a Sponsorship Agreement
with The Florida International University Board of Trustees ("FIU") to administer and co -produce
the Festival (the "Agreement"); and
WHEREAS, on or about February 27, 2021, the City and FIU executed Amendment No.
1 to the Agreement, providing for the..City to provide FIU with a one-time additional cash
sponsorship, in the amount of $162,333 to cover the cost of COVID-19 related safety measures
and City services; and
WHEREAS, the 21st Annual Food Network South Beach Wine & Food Festival
("SOBEWFF" or the "Event") is a national, star-studded, four-day destination event showcasing
the talents of the world's most renowned wine and spirits producers, chefs, and culinary
personalities, which will take place in the City; and
WHEREAS, the Festival has become one of the largest and most well-known festivals
of its kind in the country, attracting visitors worldwide; and
WHEREAS, the proceeds of the Festival directly benefit the FIU School of Hospitality
and Tourism Management, and the Festival highlights the reputation of the City as a world-
class culinary destination; and
WHEREAS, over the last 20 years, the Festival has grown to attract more than 8,000
daily residents and visitors to the Event, producing yearly increased hotel room night bookings;
and
WHEREAS, 80% of the Festival's total Event attendance, allocated to events that take
place in the City of Miami Beach, brings in more than 50,000 guests to the City; and
WHEREAS, at the January 20, 2022 City Commission meeting, the Mayor and City
Commission discussed an item, entitled "Referral to the Finance and Economic resilience
Committee (FERC) for discussion and action regarding the 2022 South Beach Wine and Food
Festival and their request for financial support by the City of Miami Beach by waiving fees for
fire/police/EMT, parking, and permits; and discuss and take action regarding SOBEWFF's
request for a rent waiver for the use of the North Beach Bandshell, which matches the financial
support provided by the City for the 2021 Festival"; and
WHEREAS, at the January 20, 2022 meeting, the Festival shared with the Mayor and
City Commission that due to the on-going impact of the COVID-19 pandemic, travel restrictions,
"New Normal" capacity, social distancing and more, the Festival will be required to make the
following changes to the Event: relocate all events to outdoor venues; reduce event capacity
and ticket sales by' 50%; purchase and provide personal protection and equipment to all
vendors, staff, participants and attendees; refocus on local talent; produce social distancing
signage and reformat events to adhere to social distancing guidelines; add significant amounts
of seating to all events, as well as all other modification to ensure compliance with federal, local
and Festival COVID-19 Guidelines, recommendations and requirements; and
WHEREAS, the Festival has been scheduled for February 24 — 27, 2022 in Lummus
Park and other Miami Beach locations, and
WHEREAS, the Festival requested support from the City to account for the operational
impacts of the pandemic, including a reimbursement to the Festival, in an amount not to exceed
$215,849, for costs attributable to Event -related public services, which include Fire, Police, and
EMT services, in the approximate amount of $193,280, meter fees, in the approximate amount of
$5,572, and permit fees, in the approximate amount of $16,997; said cash contribution being in
addition to the waiver of City permit costs already provided to the Festival under the Agreement,
in the amount of $142,517, for a total City contribution to the 2022 Festival in the amount of
$358,366; and
WHEREAS, at the January 20, 2022 City Commission Meeting, the Mayor and City
Commission authorized an amendment (Amendment No. 2) to the Agreement in connection with
the 2022 Festival, approving the additional City contribution, in an amount not to exceed
$215,849, for costs attributable to Event -related public services, to account for the significant
adverse operational impacts associated with the COVID-19 pandemic.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission hereby authorize the City Manager to negotiate and execute Amendment No. 2 to
the Sponsorship Agreement between the City and The Florida International University Board of
Trustees, as administrator and co-producer of the Food Network & Cooking Channel South Beach
Wine & Food Festival, presented by Capital One (the "Festival"); said Amendment including a
reimbursement to the Festival, in the amount not to exceed $215,849, to cover event -related
public services, in addition to the waivers of City permit costs already provided under the
Agreement, in the amount of $142,517, bringing the total City contribution for the 2022 Festival to
an amount not to exceed $358,366, in order to address the ongoing adverse operational impacts
associated with the COVID-19 pandemic.

BACKGROUND/HISTORY
The Annual Food Network South Beach Wine & Food Festival ("SOBEWFF"), is a national, star-studded, four-day destination event
showcasing the talents of the world's most renowned wine and spirits producers, chefs and culinary personalities.
SOBEWFF has become one of the largest and most well-known festivals of its kind in the country, attracting visitors worldwide. The
proceeds of SOBEWFF directly benefit the Florida International University (FIU) School of Hospitality and Tourism Management and
underline the reputation of the City of Miami Beach as a world-class culinary destination.
Over the last 20 years, SOBEWFF has grown to attract more than 8,000 residents and visitors to the event, daily, producing increased
hotel room night generation year on year. 80% of SOBEWFF total event attendance, allocated to events that take place in the City of
Miami Beach, brings in more than 50,000 guests to the City.
SOBEWFF has a long-term history of partnering with the City to provide, public benefits, resident access, and sponsorship
recognition. Historically, the City has waived special event permitting fees and received sponsor benefits.
Lee Schrager, founder of SOBEWFF, came to the Office of Tourism and Culture on December 9, 2021 to further discuss the 2022
SOBEWFF and the City of Miami Beach's partnership.
SOBEWFF is requesting sponsorship/financial support for the 21 st anniversary of the festival, which is a valuable tourism draw and
economic engine for Miami Beach. The City's sponsorship and support would be memorialized in'a second amendment to the current
five (5) year agreement between the City and SOBEWFF, which expires in September 2023. The proposed amendment would only
amend and address sponsorship terms for the 2022 event.
SOBEWFF plans to invest the sponsorship funding in a comprehensive COVID-19 mitigation program to ensure the safety of talent,
sponsors and guests — as well as the community at large. The request was made due to the expected reduction in sponsorships and
tickets resulting from the current COVID-19 environment. .
The current five-year agreement, with SOBEWFF provides for the following:
City benefits:
• Recognition as Platinum sponsorship and general festival recognition with tiered level logo on welcome banners at the
Grand Tasting Village;
o Each City Commissioner will receive two (2) tickets to a designated event on Miami Beach;
• Print and media recognition is the Official Guide to the South Beach Wine & Food Festival, City logo on thank you
advertisement running the weekend of SOBEWFF; recognition in select print promotional materials distributed locally,
nationally and internationally; and an opportunity to produce press releases promoting participation;
o Electronic recognition on SOBEWFF website, Mobile App, Online Auction website, e -Newsletter, and web banner;
o Gifting opportunities include inclusion in Trade Day and Grand Tasting gift bags;
0 2022 SOBEWFF Auctions - an opportunity to donate a mutually -agreed upon auction item to one of the SOBEWFF
Online Auctions;
• Opportunity to invite Miami Beach Senior High School Hospitality Students to volunteer for the SOBEWFF family
event: Fun and Fit as a Family;
• Co -marketing opportunities to promote important City initiatives and ties to SOBEWFF;
• Four (4) Juicy Tidbits e -Newsletter stories to promote the City - circulation of 380,000;
• Four (4) Facebook or Twitter posts to promote City events. Facebook circulation of 50k, Twitter circulation of 22k;
and
• Opportunity to place City promotional material in the SOBEWFF Official Hospitality Suite - headquarters for
VIPs, chefs and seminar presenters.
SOBEWFF benefits:
• Waiver of special event application fees, permit fees, vehicle beach access pass fees, square footage fees, Lummus
Park user fees, Police Department off-duty administrative fees, Fire Department off-duty administrative fees, temporary
occupant content permit fee (if necessary), signage permit fees, banner permit fees, mini billboard permit fees and the
20% concession fees; and
• A five (5) year commitment, commencing in 2019, to activate SOBEWFF in the current Miami Beach locations including
Main Site (Lummus Park beachfront between 10th and 13th Streets), the North Venue (at beachfront between Lincoln
Road & 17th Street), Espanola Way, and various hotel venues including the Fontainebleau, Lowes Miami Beach, SLS
Hotel, Surfcomber Hotel, W South Beach, and 1 South Beach.
Miami Beach Public benefits:
• SOBEWFF is offering Miami Beach residents discounted advance (two week pre -sale period) ticket sales
opportunities, the opportunity will consist of a 15% discount applied to the purchase of a maximum of two (2) tickets of a
choice of one SOBEWFF large-scale event (over 200 guests) taking place in Miami Beach; and
• Five hundred (500) tickets to each day of the Festival's family event: Fun and Fit as a Family. A total of one thousand
(1,000) tickets will be provided. The tickets are to be distributed to local schools and after-school programs so that Miami
Beach children and their families can attend this event to learn about health and wellness.
ANALYSIS
The current five-year City sponsorship with South Beach Wine & Food Festival (SOBEWFF) is still in effect until 2023.
In November 2021, SOBEWFF informed the City of their plans to produce the 21st annual SOBEWFF on February 24 through 27,
2022. Due to COVID-19, SOBEWFF have had difficulty securing sponsorship for the 2022 SOBEWFF. SOBEWFF shared they
will again implement COVID-19 mitigation strategies (increased' sanitation, health screening services and additional seating at all
events and purchase of PPE). SOBEWFF is estimating a 20% increase in expenses over 2020 due to the rapid rising costs of basic
infrastructure. SOBEWFF requested the same sponsorship support they requested for the 2021 SOBEWFF based off the 2020
event.
SOBEWFF is requesting financial support to assist them with the cost of City services so they can invest the funds they would
normally receive from sponsorships for City services into their investment, which would allow them to move forward with their 21 st
anniversary of the event in February 2022.
To identify the level of sponsorship SOBEWFF is requesting, below are the estimated costs in for City services for the 2022
SOBEWFF festival:
Fire/Police/EMT. $193,280.00 (MB Police $175,000, MB Fire $18,280)

Total $215,849.00
In addition, SOBEWFF will receive $142,517.00 in waived fees, per our current sponsorship agreement for the 2022 event:

Accordingly, SOBEWFF combined 2022 sponsorship request would equal approximately $358,366.00
Additionally, SOBEWFF is planning to do a Drag Brunch at the North Beach Bandshell on Sunday, February 27, 2022 and would like
the City to waive the rental fees, estimated at $2,500.

Dear City of Miami Beach Mayor and City Commissioners:
First and foremost, I would like to express my sincerest gratitude to the City of Miami Beach for your
continued support of the Food Network & Cooking Channel South Beach Wine & Food Festival
presented by Capital One (SOBEWFF°). As we embark on the 211 annual SOBEWFF® this
coming February 24-27, 2022, we would like to kindly request some much needed additional support
from the City.
In May 2021, with the support of the City of Miami Beach and our beneficiary, Florida International
University, we pulled -off a somewhat delayed and uniquely challenging Festival with the sole purpose of
supporting the local hospitality community in a historically difficult period. Ultimately the Festival
attracted thousands of visitors and locals and was incredibly well-received by restaurants, hotels,
consumers, sponsors, talent and everyone else involved. However, the COVID-19 protocols and
mitigation that were necessary caused the Festival to lose a significant amount of money.
The 21St edition of SOBEWFF® is quickly approaching and we are excited to have put together an
unprecedented star-studded lineup of events and talent. Over 400 chefs, wine and spirits producers and
Food Network & Cooking Channel personalities will come together to create an unforgettable epicurean
celebration comprised of walk -around tastings, intimate dinners, late-night parties, brunches, lunches,
master classes, wine seminars and more. The media attention around the return of SOBEWFF® this
coming February is exceptional, and we expect extensive national coverage once again. To insure that
the 2022 Festival is our best to date we have already confirmed that Adam Levine, Kate Hudson, Eva
Longoria, Dwayne Wade and a few more still to be confirmed.
Unfortunately, the harsh reality is that the cost of producing such a Festival has gone up tremendously
and we simply cannot afford a second year of losses like we had in 2021. The Festival will still be
implementing important COVID-19 mitigation strategies (increased sanitation, health screening services
and additional seating at all events and purchase of PPE), and on top of the rapidly rising costs of our
basic infrastructure such as hotel rooms, airline fights, tenting, power, lighting and staffing, we are
projecting to break even based on a 20% increase in expenses over 2020. With that being said, we also
wanted to keep our
tickets reasonably priced in order to attract foodies from around the globe to our beautiful city!
We are humbly requesting that the City provide SOBEWFF® with the same additional support given to us
in May 2021. This includes an additional cash sponsorship in an amount not to exceed $165,000 to cover
