Amendment No. 3 to the Agreement with Calvin, Giordano & Associates, Inc. 2c22-311 �9 DocuSign Envelope ID:703088C7-A7DD-40AA-BC13-9AB514EA1885 AMENDMENT NO. 3 TO THE ARCHITECTURAL AND DESIGN SERVICES AGREEMENT BETWEEN THE CITY OF MIAMI BEACH, FLORIDA, AND CALVIN, GIORDANO &ASSOCIATES, INC., FOR THE ARCHITECTURAL AND DESIGN SERVICES FOR NORTH SHORE OPEN SPACE PARK PROJEC AR 1 0 2022 This Amendment No: 3 to the Agreement made and entered this day of 2022, by and between the CITY OF MIAMI BEACH, a municipal corporation existing under the laws of the State of Florida, having its principal offices at 1700 Convention Center Drive, Miami Beach, Florida 33139 (hereinafter referred to as CITY), and Calvin, Giordano and Associates, Inc., having its offices at 1800 Eller Drive, Suite 600, Fort Lauderdale, Florida, 33316 (hereinafter referred to as CGA). RECITALS WHEREAS, on December 9, 2015, the Mayor and City Commission adopted Resolution No. 2015-29233, pursuant to Request for Proposals No. 2015-211-KB, authorizing the Mayor and City Clerk to negotiate an agreement with CGA, Inc. for architectural and design services for the North Shore Open Space Park Project(f.k.a. North Shore Open Space Park) (the "Project"); and. WHEREAS, on June 23, 2016, the Mayor and City Clerk executed an agreement with CGA, Inc., for architectural and design services for the Project in the amount of$660,220.00; and WHEREAS, On July 13th, 2016, at the recommendation of the Neighborhood/Community Affairs Committee, the City Commission discussed the potential location of a skate park and requested that the North Shore Open Space Park design team provide a conceptual plan for an all- wheels park at the following potential sites: North Shore Open Space Park, the City's "West Lots," or at the 72nd Street parking lot; and WHEREAS, on August 19, 2016, Amendment No. 1 to the Agreement was executed in the amount of $49,330, which included CGA's July 14th, 2016 Additional Services Proposal for the preparation of design studies to be performed by CGA and its subs-consultant West 8, Inc. for the development for the three (3) conceptual plans; and WHEREAS, on October 24, 2019, Amendment No. 2, in the amount of $129,893, was executed to include modification of the pathway widths, the preparation of a required arborist report and the preparation of select renderings, as detailed in CGA's proposal dated August 9, 2019; and WHEREAS, the original agreement with CGA considered the park and beachwalk as a single project constructed concurrently; and WHEREAS, a portion of the beachwalk project is being funded by the Florida Department of Transportation (FDOT) and as a result, so as not to jeopardize funding and scheduling, the project was split into two (2) separate projects: North Beach Oceanside Park and the North Beach Oceanside Park Beachwalk; and DocuSign Envelope ID:703088C7-A7DD-40AA-BC13-9AB514EA1885 • WHEREAS,the original agreement considered a duration of nine(9)months of architectural and engineering services during construction (construction administration, project management and design services); and WHEREAS, the City Commission awarded the construction contract for the North Beach Oceanside Park Beachwalk project on February 10, 2021 and the construction administration services commenced in August 2021; and WHEREAS, the construction of the North Beach Oceanside Park project will be commencing after the start of the beachwalk project; and WHEREAS, the agreement with CGA accounted for the construction of the park in a single phase; and WHEREAS, the North Beach Oceanside Park project will be constructed in two (2) phases allowing residents and visitors to enjoy a portion of the park while the other portion is being constructed and the two(2)phase approach has a longer_duration and requires additional services during construction; and WHEREAS, CGA provided a proposal to provide an extension of architectural and engineering services by eighteen (18) months, through October 2023, matching the anticipated construction schedule; and WHEREAS, City Staff has reviewed the proposal and found it to be commensurate with the additional scope and expected effort: and WHEREAS, this Amendment No. 3 will increase the contract with CGA by $220,625 to a revised total amount of$1,060,068 NOW, THEREFORE, the parties hereto, and in consideration of the mutual promises, covenants, agreements, terms; and conditions herein contained, and other good and valuable consideration, the respect and adequacy are hereby acknowledged, do agree as follows: 1. ABOVE RECITALS The above recitals are true and correct and are incorporated as a part of this Amendment No. 3. 2. MODIFICATIONS A. The Agreement is amended to incorporate Exhibit A—Additional Services Agreement. 3.
