Resolution 2022-32112 RESOLUTION NO. 2022-32112 A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, APPROVING AND AUTHORIZING THE CITY OF MIAMI BEACH TO ACCEPT A DONATION IN THE AMOUNT OF: $1,000,000.00 FROM LENNAR FOUNDATION, INC.; $500,000, FROM THE MIAMI FOUNDATION; AND $480,000, FROM THE KNIGHT FOUNDATION, IN THE TOTAL AMOUNT OF $1,980,000, WITH THE DONATED FUNDS TO BE DEDICATED FOR THE CLIMATE SUMMIT MIAMI BEACH HOST COMMITTEE, INC., A LOCAL NOT-FOR-PROFIT CORPORATION OF THE STATE OF FLORIDA (THE "COMMITTEE"), IN CONNECTION WITH ITS EDUCATIONAL AND CHARITABLE ACTIVITIES RELATING TO THE ASPEN IDEAS CLIMATE CONFERENCE AND RELATED EVENTS; FURTHER, AUTHORIZING THE CITY MANAGER AND CITY CLERK TO EXECUTE A GRANT AGREEMENT WITH THE COMMITTEE, FOR THE DONATED FUNDS TO BE USED IN FURTHERANCE OF PUBLIC PURPOSES RELATED TO THE 2022 ASPEN IDEAS CLIMATE CONFERENCE IN THE CITY OF MIAMI BEACH. WHEREAS, the Aspen Institute is a global nonprofit organization committed to realizing a free, just, and equitable society that drives change through dialogue, leadership, and action to help solve the most important challenges facing the United States and the world; and WHEREAS, the primary roles of the Aspen Institute include the gathering of diverse, nonpartisan leaders, creatives, scholars and members of the public to address some of the world's most complex issues or problems, and to have a meaningful impact beyond the mere conference room meeting, in order to provoke and improve those actions that should be taken throughout the world, and WHERAS, the Aspen Institute accomplishes it's mission through conferences and events that invite the public to engage with experts and each other; programs that drive change on global and domestic challenges; leadership programs that build networks and values-based leaders that drive action in their communities and businesses; youth leadership programs that foster civic engagement and active citizenship among young leaders; seminars in which experts and leaders reflect, connect, and share ideas; international partners in 11 nations that address global challenges and develop civil society; and media resources that promote innovative thinking and solutions; and WHEREAS, the City of Miami Beach is a world renowned international tourist destination at the forefront of those adverse impacts stemming directly from climate change, and has taken a prominent role in recognizing the importance of this subject matter, whose impacts the Mayor and City Commission have taken great efforts to mitigate; and WHEREAS, the Aspen Institute holds various virtual and live events in different U.S. cities; and WHEREAS, the 2022 Aspen Ideas Climate Conference, to be held in the City of Miami Beach from May 9, 2022 through May 13, 2022, will be a featured global event addressing the impacts surrounding climate change throughout the world and resiliency strategies for mitigating these issues (the "Event"); and WHEREAS, the hosting of the Event in the City of Miami Beach will promote tourism, art, and culture in the City, will provide public benefits and generate revenue for local businesses, and serves a public purpose; and WHEREAS, on September 30, 2021, the Mayor and City Commission adopted Resolution No. 2021-31878, declaring that the City's hosting of the 2022 Aspen Ideas Climate Conference serves a public purpose, and authorizing the establishment an ad hoc Host Committee to raise funds for the City's costs in hosting the Event; and WHEREAS, a local not-for-profit corporation, the Climate Summit Miami Beach Host Committee (the "Committee"), has been created in support of the Event, but is currently pending its IRS determination letter, to permit the organization to receive tax-deductible charitable donations in support of the Event; and WHEREAS, to date, the following entities desire to make charitable donations to the Committee for the benefit of the Event: Lennar Foundation, Inc., in the total amount of $1,000,000; the Miami Foundation, in the total amount of$500,000; and the Knight Foundation, in the total amount of$480,000; and WHEREAS, pending the issuance of the IRS determination letter for the Committee, the City Commission desires to formally accept the foregoing donations via this Resolution, with the donations earmarked for the specific purpose of permitting the City to enter into a grant agreement with the Committee, for the donated funds to be used by the Committee in furtherance of public purposes related to the Event. NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City Commission hereby approve and authorize the City of Miami Beach to accept a donation in the amount of: $1,000,000.00 from Lennar Foundation, Inc.; $500,000, from the Miami Foundation; and $480,000, from the Knight Foundation, in the total amount of $1,980,000, with the donated funds to be dedicated for the Climate Summit Miami Beach Host Committee, Inc., a local not- for-profit corporation of the State of Florida (the "Committee"), in connection with its educational and charitable activities relating to the Aspen Ideas Climate Conference and related events; further, authorize the City Manager and City Clerk to execute a grant agreement with the Committee, for the donated funds to be used in furtherance of public purposes related to the 2022 Aspen Ideas Climate Conference in the City of Miami Beach.
