AMENDMENT NO. 1 TO THE LEASE AGREEMENT
BETWEEN
• i THE CITY OF MIAMI BEACH, FLORIDA,
HARLEY-DAVIDSON LEASING, INC.,
AND
TMCAA INC. DIBIA ALLIGATOR ALLEY HARLEY-DAVIDSON
This Amendment No. 1 ("Amendment")to the close-end lease agreements executed by the City
Manager on February 11, 2022 (the "Lease(s)"), by and between the City of Miami Beach,
• Florida, a municipal corporation organized and existing under the laws of the State of Florida,
having its principal place of business at 1700 Convention Center Drive, Miami Beach, Florida
33139 ("City"), Harley-Davidson Leasing, Inc., a corporation having its principal place of
business at 9850 Double R Boulevard;Suite 200,Reno, Nevada 89251 ("Lessor"), and TMCAA,
Inc. dlbla Alligator Alley Harley-Davidson, a Florida corporation having its principal place of
business at 201 International Parkway,Sunrise,Florida 33325("Dealership"),is entered into this
day of_,2022("Effective Date")and hereby amend the Leases as follows:
RECITALS
WHEREAS, on February 11, 2022 the City Manager executed nineteen (19) motorcycle
lease agreements pursuant to ITB NO. 2021-195-DF FOR PURCHASE OR LEASING OF
MOTORCYCLES;and
WHEREAS, due to global supply chain issues outside of Dealership's control, Dealership
has been unable to assemble and deliver the nineteen(19)motorcycles ordered by the City;and
WHEREAS,this Amendment seeks to amend the Payment Schedule of the Leases so that
the City's obligation to perform does not begin until the City takes possession of the motorcycles.
NOW THEREFORE, in consideration of the mutual promises and conditions contained
herein, and other good and valuable consideration, the sufficiency of which is hereby
acknowledged,the City and Contractor hereby agree to amend the Contract as follows:
1'. ABOVE RECITALS.
The above recitals are true and correct and are incorporated as part of this Amendment.
2. MODIFICATIONS.
Section 7"Payment Schedule" of each Lease corresponding with the vehicle identification
numbers("VINs")listed in Exhibit A is hereby amended as follows:
Notwithstanding the May 1,2022 payment commencement date,the term of this Lease shall
be extended to account for the Dealership's delay in delivery of the vehicles to the City due to
global supply chain issues. Accordingly, the term of this Lease, and the monthly payment
schedule therein,shall commence on the date Lessor delivers the vehicle to the City,and the
Lease shall continue thereafter for 35 months.

3. RATIFICATION.
Except as amended herein,all other terms and conditions of the Contract shall remain
unchanged and in full force and effect. In the event there is a conflict between the
provisions of this Amendment and the Contract,the provisions of this Amendment shall
govern.
IN WITNESS WHEREOF,the parties hereto have caused this Amendment to be executed
by their appropriate officials,as of the date first entered above.
