AMENDMENT NO.2
TO THE
PROFESSIONAL SERVICES AGREEMENT
BETWEEN
CITY OF MIAMI BEACH
AND
A.R.I. ARCHITECTS, INC.
(d.b.a. SKLARCHITECTURE)
FOR ADDITIONAL CONSTRUCTION ADMINISTRATION SERVICES
AT THE MIAMI BEACH CONVENTION CENTER AND
THE JACKIE GLEASON TEHATER OF THE PERFORMING ARTS
This Amendment No.2, dated as of AlAUII 17 , 2004, to that certain Agreement,
dated February 9, 2000, by and between the City of Miami Beach, Florida (City), and A.R.1.
Architects, Inc. (d.b,a. SKLARchitecture) (Consultant) (Agreement).
WHEREAS, the Agreement provided for Consultant to provide design services for
the renovation of certain restrooms and other interior areas at the Miami Beach Convention
Center (Convention Center) and the Jackie Gleason Theater of the Performing Arts
(TOPA); and
WHEREAS, the City desired that certain additional restrooms be renovated in
addition to those originally specified in the original Scope of Services; and
WHEREAS, the City and Consultant agreed to execute Amendment No. 1 of the
Agreement on March 14, 2001 to provide for the Additional Services for this purpose; and
WHEREAS, pursuant to the Agreement, construction administration services for
both the Convention Center and TOPA projects are limited to 416 hours (52 weeks); and
WHEREAS, the anticipated construction time for the Convention Center is 615 days
(88 weeks), and the anticipated construction time for TOPA is 300 days (43 weeks), for a
total duration of 131 weeks; and
WHEREAS, as the Agreement only allotted for a construction time of 52 weeks. City
and Consultant agree to execute Amendment No. 2 to the Agreement, in the amount of
$93,072, to reflect the current estimated time frame for construction.
1. ABOVE RECITALS
The above recitals are true and correct and are incorporated as part of this
Amendment NO.2.
2. MODIFICATIONS
The Agreement is hereby amended to add Additional Construction Administration
Services, as described in Exhibit "A", entitled "Scope of Services I Compensation for
Additional Services" attached hereto,

3. OTHER PROVISIONS
All other provisions of the Agreement are unchanged.
4. RATIFICATION
The City and Consultant ratify the terms of the Agreement, as modified by this
Amendment NO.2.

Exhibit "A"
To Amendment No.2
Scope of Services I Compensation for Additional Services
Scope of Services:
1. SKLARchitecture (Consultant) agrees to undertake the following tasks as part of the
renovation of the Miami Beach Convention Center (Convention Center) and Jackie
Gleason Theater of the Performing Arts (TOPA) ADA project:
. Provide construction administration services for the entire construction duration
through project completion of the above referenced projects,
Compensation:
1. Pursuant to Amendment No, 2 to the Agreement the construction time is
amended to reflect both the anticipated construction time for the Convention
Center (88 weeks), and the anticipated construction time for TOPA (43 weeks),
for a total duration of 131 weeks (increasing the total construction administration
fee under the Agreement by an amount of $93,072 to a total of $154,318).
2, Pursuant to the Agreement, the intent is to pay an amount not to exceed $1,178
per week for construction administration services during construction, Rate was
determined per the following:
. SKLARchitecture's total fee for the Convention Center and TOPA ADA
was $306,229 ($263,451 per original Agreement plus $42,778 per
Amendment No.1)
. Pursuant to the Agreement, 20% of the total fee was set aside for
construction administration services ($306,229 x 20% = $61,246)
. Pursuant to the Agreement, construction administration was limited to 416
hours (8 hours / week for 52 weeks).
. At this rate, the intent was to pay $1,178 per week ($61,246 / 52
weeks=$1 ,178)
3, The agreed upon fee of $1,178 is hereby payable monthly for the entire
construction duration through project completion, in lieu of either hourly or
proportional to the percentage of the work completed. Refer to breakdown
below:
