AMENDMENT TO MEMORANDUM OF PARKING AGREEMENT
This Amendment to Memorandum of Parking Agreement (this "Amendment to
Memorandum") is made as of the 29 day of April 2022 by and between TCH 500
Alton, LLC, a Florida limited liability company ("TCH 500 Alton") and the Floridian
Condominium Association, Inc., a Florida not for profit corporation ("Floridian").
RECITALS
A. WHEREAS, TCH 500 Alton owns certain land as described on Exhibit "A"
attached hereto (the "Parking Lot Property"), on which a surface parking lot has been
constructed; and
B. WHEREAS, Floridian is the owner of certain land and improvements
commonly known as common elements of the "The Floridian Condominium" located at
650 West Avenue Miami Beach, Florida (the "Floridian Property"); and
C. WHEREAS, the predecessors in interest to the Floridian and TCH 500 Alton
entered into the Covenant in Lieu of Unity of Title recorded at Official Records Book
17710, Page 3928 and the Covenant in Lieu of Unity of Title recorded at Official Records
Book 21893, Page 232, of the Public Records of Miami-Dade County, Florida (collectively
the "Parking Covenants"); and
D. WHEREAS, the Parking Covenants collectively provide that the Floridian
would be provided with seventy-six (76) parking spaces on land owned by the
predecessor in interest to TCH 500 Alton;
E. WHEREAS, Floridian and TCH 500 Alton are parties/successors in interest to
that certain Memorandum of Parking Agreement recorded in Official Records Book
21893, Page 277 of the Public Records of Miami-Dade County (the "Memorandum of
Parking Agreement"); and
F. WHEREAS, Exhibit A to the Memorandum of Parking Agreement legally
described the "Parking Lot Property" on which the parking spaces serving the Floridian
were located.
G. WHEREAS, TCH 500 Alton has re-developed its property, resulting in a
change to the location of the parking lot; and

H. The parties desire to amend the Memorandum of Parking Agreement in
order provide for a revised legal description of the location of the parking lot; and
NOW, THEREFORE, for and in consideration of the premises and other good and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
the parties do hereby agree as follows:
1. RECITALS; EXHIBITS AND SCHEDULES. The recitals are true and correct and
are incorporated herein by this reference to form a part of this Amendment to
Memorandum. All Exhibits attached to this Amendment to Memorandum are
incorporated herein by this reference to form a part of this Amendment to Memorandum.
2. AMENDED LOCATION. The parking lot providing the spaces required by
the Memorandum of Parking Agreement shall be located on the Parking Lot Property as
described on Exhibit A to this Amendment to Memorandum.
3. EXISTING AGREEMENT. Except as modified herein, all other terms of the
Memorandum to Parking Agreement shall remain in full effect and binding on the parties.
4. COUNTERPARTS. This Amendment to Memorandum may be executed in
counterparts and by each party on a separate but identical counterpart, each of which,
when so executed and delivered shall be an original, but all of which together shall
constitute one and the same instrument.
