Amendment NO.1 to Grant Agreement between CMB & Miami-Dade Coastal Cleanup, INC 2013- 3 2 a I AMENDMENT NO. 1 TO GRANT AGREEMENT MAR 6 - 2024 BETWEEN THE CITY OF MIAMI BEACH, FLORIDA AND MIAMI-DADE COASTAL CLEANUP, INC. This Amendment No. 1 ("Amendment") to the Grant Agreement, dated April 28, 2023 ("Agreement"), by and between the City of Miami Beach, Florida, a municipal corporation organized and existing under the laws of the State of Florida, having its principal place of business at 1700 Convention Center Drive, Miami Beach, Florida 33139 ("City"), and Miami-Dade Coastal Cleanup, Inc., a not-for-profit corporation, having its principal place of business at 800 West Ave, #212, Miami Beach FL 33139 ("Consultant"), is entered into this i1 day of T A) J/4I1,y , 2024: RECITALS WHEREAS, on February 22 2023, the Mayor and City Commission adopted Resolution Number 2023-32500, approving the award of a grant in the amount of $15,000 to Miami-Dade Coastal Cleanup dba Volunteer Cleanup; and WHEREAS, on July 5, 2023, the City and Consultant executed the Grant Agreement, effective retroactively to May 25, 2023, with respect to the support of its programming efforts to keep Miami Beach and its, natural habitats free of garbage and harmful pollutants (the Agreement), which services include support of International Coastal Cleanup Day, the planning and execution of three (3)cleanup events, the planning and execution of two(2)cleanup training workshops, and management of 50 clear stream recycling bins, as set forth in Exhibit 1 of the Agreement; and WHEREAS, the City and Consultant wish to amend the Agreement to extend the term through May 31, 2024, to allow Consultant additional time to fulfill their Services. NOW THEREFORE, in consideration of the mutual promises and conditions contained herein, and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the City and Consultant hereby agree to amend the Agreement as follows: 1. ABOVE RECITALS. The above recitals are true and correct and are incorporated as part of this Amendment. 2. MODIFICATIONS. The Agreement is .hereby amended (deleted items struck through and inserted items underlined) as follows: (a) The section of Article I of the Agreement, entitled"GRANT TERM," is hereby amended to read as follows: GRANT TERM: April 28, 2023 - May 31, 2024 (b) The section of Article I of the Agreement, entitled "EXPENDITURE DEADLINE," is hereby amended to read as follows: EXPENDITURE DEADLINE: November 1, 2023 May 31, 2024 (c) The section of Article I of the Agreement, entitled "PROJECT COMPLETION DATE," is hereby amended to read as follows: PROJECT COMPLETION DATE: October 34, 2023 May 30, 2024 (d) The section of Article I of the Agreement, entitled "FINAL REPORT DEADLINE," is hereby amended to read as follows: FINAL REPORT DEADLINE: May 31, 2024 3. RATIFICATION. Except as amended herein, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect.
