Dear Sir or Madam:
In connection with our proposed issuance of $32,500,000 Housing Finance Authority of
Miami-Dade County, Florida Multifamily Housing Revenue Note, Series 2023 (Vista Breeze) (the
“Note”), the proceeds of which will be loaned to Vista Breeze, Ltd., a Florida limited partnership
(the “Borrower”), for the acquisition, construction and equipping of the Project, to be occupied in
part by low and moderate income tenants, we confirm to you the following:
Pursuant to Section 42(m)(2)(D) of the Internal Revenue Code of 1986, as amended (the
“Code”), and based solely upon certain information provided to us by the Borrower, and other
third parties, including, without limitation, the information contained in the Credit Underwriting
Report dated November 9, 2023, as supplemented, prepared by Amerinat®, a Minnesota limited
liability company, with respect to the Project, as supplemented, to our knowledge, the anticipated
amount of low income housing tax credits (i.e., approximately$2,655,034 annually) will not
exceed the amount necessary for the financial feasibility of the Project and its viability as a
qualified low-income housing project through the credit period.
