A RESOLUTION OF THE MAYOR AND CITY COMMISSION
OF THE CITY OF MIAMI BEACH, FLORIDA, ASSIGNING
THE CITY OF MIAMI BEACH'S RIGHTS AND INTEREST
AS BUYER IN A PURCHASE AND SALE AGREEMENT BY
AND BETWEEN SANDS-NEW YORKER LIMITED
PARTNERSHIP, A FLORIDA LIMITED PARTNERSHIP
("SELLER") AND CITY OF MIAMI BEACH, A FLORIDA
MUNICIPAL CORPORATION ("BUYER") , TO THE MIAMI
BEACH REDEVELOPMENT AGENCY FOR THE PROPERTY
IDENTIFIED AND DESCRIBED AS THE SANDS-NEW
YORKER SITE, LOCATED AT 1601-1611 COLLINS
AVENUE, MIAMI BEACH, FLORIDA, AND LEGALLY
DESCRIBED AS LOTS 1, 2, 3, 16, 17, 18, BLOCK
' ' 55, ALTON BEACH FIRST SUBDIVISION, PLAT BOOK
2-77 OF THE PUBLIC RECORDS OF DADE COUNTY,
FLORIDA.
WHEREAS, the City of Miami Beach is proceeding with its
goal of economic stimulation and development by assisting the
construction of a major convention quality hotel and issuing a
' Request for Proposals addressing this need; and

WHEREAS, for the purpose of realizing the type of hotel
development contemplated by the Request for Proposals, the City has
entered into a Purchase and Sale Agreement ("Agreement") to acquire
the property known as the Sands-New Yorker Site, located at 1601-
1611 Collins Avenue, Miami Beach, Florida, and legally described as
Lots 1, 2, 3, 16, 17, 18, Block 55, Alton Beach First Subdivision,
Plat Book 2-77, of the Public Records of Dade County, Florida; and
WHEREAS, at the July 28, 1993, City Commission meeting
the Mayor and City Commission authorized the administration and the
City attorney to proceed to negotiate a letter of intent to acquire
the Sands-New Yorker Site; and -
WHEREAS, the Agreement for the acquisition of the Sands-
New Yorker Site for a purchase price of $10, 000, 000. 00 has been
negotiated by and between the City of Miami Beach as Buyer and the
Sands-New Yorker Limited Partnership, a Florida limited partnership
as Seller; and
WHEREAS, the City of Miami Beach desires to assign, at
the time of closing, its rights and interest as Buyer in the
Agreement to the Miami Beach Redevelopment Agency, an agency
established pursuant to Chapter 163 .330 of the Florida Statutes,
Community Development Act of 1969 (as amended) ; and
WHEREAS, Paragraph 19 of the Agreement permits an
assignment of the Agreement by the Buyer.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND THE
CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that
the Mayor and City Commission herein approve the
assignment of the Purchase and Sale Agreement for the
Sands-New Yorker Site from the City of Miami Beach,
Buyer, to the Miami Beach Redevelopment Agency, an agency
established pursuant to Chapter 163.330 of the Florida
Statutes, Community Development Act of 1969 (as amended) ,
with the assignment effective at closing to allow the
City of Miami Beach Redevelopmen Agency to directly
acquire title -to the property fr. 11 the Seller.

ADMINISTRATION RECOMMENDATION:
That the City Commission authorize the Mayor and City Clerk to sign
the attached Resolution assigning the rights and interest of the
City of Miami Beach . in the Sands/New Yorker property to the
Redevelopment Agency.
ANALYSIS:
The City Commission of the City of Miami Beach has previously
approved the acquisition of the Sands/New Yorker property located
at 1601-1611 collins Avenue. In order to facilitate the purchase.
and sale agreement, it is necessary to assign these interests to
the Miami Beach Redevelopment Agency so that bond proceeds can be
utilized to acquire the aforementioned property.
CONCLUSION .
The City Commission should sign the Resolution assigning the rights
and interest of the City of Miami Beach in the Sands/New Yorker
property to the Redevelopment Agency.
