A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF
MIAMI BEACH, FLORIDA, AUTHORIZING THE CITY ADMINISTRATION TO
NEGOTIATE, FINALIZE, AND EXECUTE A LETTER OF INTENT ("LOI") WITH
NORTH BAY VILLAGE TO ESTABLISH THE FRAMEWORK FOR
COOPERATION ON PUBLIC SAFETY, INFRASTRUCTURE, ENVIRONMENT,
AND QUALITY OF LIFE MATTERS, SUBJECT TO REVIEW AND APPROVAL
BY THE OFFICE OF THE CITY ATTORNEY.
WHEREAS, as neighboring municipalities, the City of Miami Beach and North Bay
Village (collectively referred to as the "Municipalities") recognize the importance of cooperation
on matters of public safety, infrastructure, environmental sustainability, and quality of life for their
respective communities; and
WHEREAS, North Bay Village has submitted a non-binding Letter of Intent ("LOP')
(attached as Exhibit A)establishing a framework for cooperation between the Municipalities with
the goal of promoting mutual benefits and leveraging shared resources, expertise, and strategic
initiatives to address common challenges and opportunities common to both Municipalities,
including, but not limited to:
• Coordinating emergency response services and disaster preparedness plans.
• Collaborating on the planning, development, and maintenance of transportation
systems, utilities, and public facilities.
• Joint initiatives for environmental protection, waste management, and sustainability.
• Enhancing recreational facilities, parks, and community programs.
• Exploring the potential for a joint water taxi service; and
WHEREAS, the LOI contemplates that the Municipalities may mutually agree to execute
one or more binding Interlocal Agreement(s) and/or Memorandum(a) of Understanding to
address specific projects and/or areas of cooperation; and
WHEREAS, the Mayor and City Commission wish to authorize the City Administration to
negotiate, finalize, and execute the LOI with North Bay Village for cooperation on public safety,
infrastructure, environment, and quality of life matters, subject to review and approval by the
Office of the City Attorney.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission hereby authorize the City Administration to negotiate, finalize, and execute a non-
binding Letter of Intent("LOP')with North Bay Village to establish the framework for cooperation
on public safety, infrastructure, environment, and quality of life matters, subject to review and
approval by the Office of the City Attorney.

Subject: Letter of Intent for Cooperation on Public Safety, Infrastructure, Environment, and Quality
of Life Matters
This Letter of Intent("LOI") sets forth the agreement between North Bay Village ("Municipality 1")
and the City of Miami Beach ("Municipality 2") (collectively referred to as the "Municipalities") to
cooperate on various matters of public interest, including but not limited to public safety,
infrastructure, environmental sustainability, and overall quality of life for our respective
communities.
Purpose
The purpose of this LOI is to establish a framework for cooperation between North Bay Village
and the City of Miami Beach with the goal of promoting mutual benefits in the areas mentioned
above. This cooperation aims to leverage shared resources, expertise, and strategic initiatives to
address common challenges and opportunities.
Areas of Cooperation
The Municipalities intend to cooperate in the following areas:
a. Public Safety
• Coordinating emergency response services and disaster preparedness plans.
• Sharing resources and information related to law enforcement, fire services, and
emergency medical services.
b. Infrastructure
• Collaborating on the planning, development, and maintenance of transportation systems,
utilities, and public facilities.
• Sharing best practices and technical expertise for infrastructure projects.
• Jointly advocating for improvements along the Kennedy Causeway, including requesting
the area to be added to the PD&E scope, gathering support letters, holding joint meetings
with FDOT, and requesting causeway improvements in the 5-Year FDOT Plan.

c. Environment
• Joint initiatives for environmental protection, waste management, and sustainability.
• Developing and implementing policies to reduce carbon emissions and promote green
energy.
• Joint advocacy on amending regulations affecting the environment (e.g., water quality)
and quality of life (e.g., derelict vessels, water-based businesses, and mooring fields).
d. Quality of Life
• Enhancing recreational facilities, parks, and community programs.
• Collaborating on health and social services to improve the well-being of residents.
• Exploring the potential for a joint water taxi service.
Implementation
To facilitate the implementation of this cooperation, the Municipalities will:
• Establish a Joint Steering Committee composed of representatives from both
Municipalities to oversee and coordinate activities.
• Develop a detailed action plan outlining specific projects, timelines, and responsibilities.
• Hold regular meetings to review progress, address challenges, and adjust strategies as
needed.
Duration and Termination
This LOI will remain in effect for a period of five (5) years, commencing on the date of the last
signature below, and renewable subject to mutual agreement of the Municipalities. Either
municipality may terminate this LOI with thirty(30) days'written notice to the other party.
Non-Binding Nature
This LOI is non-binding and does not create any legally enforceable obligations. It reflects the
intent of the Municipalities to cooperate in good faith and pursue the areas of collaboration
outlined herein. The Municipalities may mutually agree to execute one or more interlocal
agreement(s)and/or memorandum(a) of understanding to address specific projects and/or areas
of cooperation.
Confidentiality
Any information that is exempt from the Public Records Act and disclosed by one Municipality
(the "Disclosing Municipality") pursuant to this LOI will be treated by the receiving Municipality
(the "Receiving Municipality") as confidential and will not be disclosed to any third party without
the prior written consent of the Disclosing Municipality, except as required by law.

Governing Law-
This LOI will be governed by and construed in accordance with the laws of the State of Florida.
