A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI
BEACH, FLORIDA,APPROVING AMENDMENT NO.3 IN THE AMOUNT OF$33,482.24
TO THE PROFESSIONAL SERVICE AGREEMENT BETWEEN THE CITY OF MIAMI
BEACH AND THE SALVATION ARMY FOR THE PURCHASE OF ADDITIONAL
EMERGENCY SHELTER BEDS DESIGNATED FOR PERSONS EXPERIENCING
HOMELESSNESS AND AUTHORIZING THE CITY MANAGER TO EXECUTE THE
AMENDMENT; AND FURTHER AUTHORIZING THE CITY MANAGER TO ADD
ADDITIONAL BEDS TO THE CURRENT AGREEMENT, BASED ON NEED AND
BUDGET APPROPRIATION, AND TO EXECUTE SUBSEQUENT CORRESPONDING
AMENDMENTS.
WHEREAS, the City is committed to reducing homelessness in the community, and in
order to reduce homelessness, the City provides a variety of services to the homeless, including
street outreach, provision of employment, identification documentation services, relocation, and
emergency shelter services; and
WHEREAS, on September 25, 2017, the Mayor and City of Miami Beach ("City")adopted
Resolution No. 2017-30000, approving the award to the Salvation Army pursuant to Request for
Proposal ("RFP") No. 2017-293-KB for Emergency Shelter Beds to Serve Homeless Population;
and
WHEREAS, on March 21, 2018, the City and Contractor executed an Agreement with the
Salvation Army with respect to the Emergency Shelter Services (the Agreement), which services
include Emergency Housing and Emergency Shelter Beds, as set forth in Exhibit A and Exhibit B
of the Agreement; and
WHEREAS, Section 3.1 of the agreement established a "not-to-exceed" limit, for twenty
(20) beds, per year; and
WHEREAS, on February 29, 2019, following the determination that the City may require
a greater amount of beds per year than was originally anticipated if it is to effectively manage the
rise in demand for said beds, the City Manager approved Amendment No. 1 to the Agreement,
removing the not to exceed amounts; and updated the renewal terms of the Agreement from two
(2)one-year renewal terms to two (2)two-year terms with the approval of the City Manager; and
WHEREAS, on June 12, 2023, subsequent to the approval of the Mayor and City
Commission of item C2J at its December 14, 2022 Commission meeting, the City Manager
approved Amendment No. 2 to the Agreement, authorizing the purchase of up to ten (10)
additional beds, including a family room that includes six(6)beds, and a 3% increase in bed rates,
for a total of$36.08 per bed, per day for each daytime bed; and
WHEREAS, the City's current portfolio of beds at the Salvation Army includes twenty(20)
single beds, one (1) family room inclusive of six (6) beds, and three (3) beds for afterhours
placements for Miami Beach Police Department, for a total of 29 beds; and
WHEREAS,the Administration has negotiated four (4) additional shelter beds with the
Contractor at the current rate of$36.08 per bed,, per day; and
WHEREAS,the Office of Housing and Community Services has identified available funds
within its operating budget to fund the cost of the additional beds, which are slated to become
available on August 1, 2024.
NOW, THEREFORE, BE IT DULY RESOLVED. BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission hereby approve Amendment no. 3 in the amount of$33,482.24 to the Professional
Service Agreement between the City of Miami Beach and the Salvation Army for the purchase of
additional emergency shelter beds designated for persons experiencing homelessness and
authorize the City.Manager to execute the amendment;and further authorize the.City Manager to
add additional beds to the current agreement, based on need and budget appropriation, and to
execute subsequent corresponding amendments:

This Amendment No. 3 ("Amendment")to the Professional Services Agreement, dated
March21,2018, is entered into this , day of , 2024, with an effective

having its principal place of business at 1700 Convention Center Drive, Miami Beach,

with the Contractor at the current rate of$36.08 per bed, per day; and
WHEREAS, the Office of Housing and Community Services has identified
available funds within its operating budget to fund the cost of the additional beds.
NOW THEREFORE, in consideration of the mutual promises and conditions
contained herein, and other good and valuable consideration, the sufficiency of which is
hereby acknowledged,the City and Consultant hereby agree to amend the Agreement as
follows:
1. ABOVE RECITALS.
The above recitals are true and correct and are incorporated as part of this
Amendment.
2. MODIFICATIONS.
The Agreement is hereby modified (deleted items struck sugh and inserted
items underlined) as follows:
(a) Section 3.1 is hereby amended as follows:
Additional ten (10)beds may be purchased at the same rate, per bed, per
day, if requested by the City and available. Rooms shall be made available to
families and shall include six (6) beds at a price of$36.08 per bed, per day.
All expenditures are contingent upon budget appropriation.
3. RATIFICATION.
Except as amended herein, all other terms and conditions of the Agreement shall
remain unchanged and in full force and effect. In the event there is a conflict
between the provisions of this Amendment and the Agreement, the provisions of
this Amendment shall govern.

RECOMMENDATION
The Administration recommends approving the Resolution.
BACKGROUND/HISTORY
On September 25, 2017, the Mayor and City Commission ("City Commission") adopted
Resolution No. 2017-3000, approving the award of Request for Proposal ("RFP") No. 2017-293-
KB for Emergency Shelter Beds to serve persons experiencing homelessness and on March 21,
2018,the City executed the Professional Service Agreement("the Agreement")with The Salvation
Army. The Agreement stipulated an established not-to-exceed" limit of$227,184.94 for year one
(1);$234,000.49 for year two(2); 241,020.51 for year three(3); $248,251.12 for year four(4); and
$255,698.65 for year five (5), for twenty(20) beds per year.
The Agreement is administered by the Office of Housing and Community Services' Homeless
Outreach Services Program ("HCS"). HCS constantly reviews the demand for emergency shelter
beds and will request the necessary adjustments to the agreement as appropriate.
On December 14,2022, the City Commission approved item C2J, authorizing the purchase of a
family room inclusive of six (6) beds, three (3) additional beds for the use of Police for overnight
placements, and the increase in the bed rates by 3% for each additional daytime bed, effective
January 1, 2023. Amendment No. 2 to the Professional Service Agreement for the purchase of
up to ten (10) additional beds at The Salvation Army, including a family room that includes six(6)
shelter beds to be utilized by a family experiencing homelessness, was subsequently executed
on June 12, 2023. However, at the time, the shelter provider did not have all ten (10) beds
available, and the City only purchased nine (9)additional beds.
ANALYSIS
The Administration has increased unified outreach efforts to engage as many persons
experiencing homelessness, and as a result there is an increase in demand for shelter beds. The
Salvation Army has identified four(4)additional beds for the City to purchase at the current price
rate of$36.08 per bed, per day, which would make available a total of thirty-three (33)emergency
shelter beds for City use. Adding four additional beds at a rate of$36.08 per bed increases the

total amount of the Agreement by $33,482.24 for the remaining 232 days of its duration. If
approved, the shelter beds are slated to be accessible to the Administration by August 1, 2024.
The Administration will work with The Salvation Army to determine the designation of the
additional beds for overnight use by the Police Department.
The bed rate would be effective according to the current terms of the agreement, which is due for
renewal on March 20,2025. The Administration has identified funding within the FY 24 current
allocated budget for the current bed rate for thirty-three(33)beds, and the tentative rate increase
in FY 25.
