Resolution 2024-33354 RESOLUTION NO. 2024-33354 A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, AMENDING RESOLUTION NO. 2024-33347 AND APPROVING, IN SUBSTANTIAL FORM, THE SIXTH AMENDMENT TO THE INTERLOCAL COOPERATION AGREEMENT DATED NOVEMBER 16, 1993, BY AND AMONG THE CITY OF MIAMI BEACH (THE "CITY"), MIAMI-DADE COUNTY (THE "COUNTY"), AND THE MIAMI BEACH REDEVELOPMENT AGENCY (THE "RDA"), RELATING TO THE CITY CENTER/HISTORIC CONVENTION CENTER VILLAGE REDEVELOPMENT AND REVITALIZATION AREA (THE "CITY CENTER RDA"), AS REVISED PURSUANT TO RESOLUTION NO. R-1002-24 BY THE BOARD OF COUNTY COMMISSIONERS ON NOVEMBER 6, 2024 (THE "REVISED SIXTH AMENDMENT"); AND FURTHER AUTHORIZING THE CITY MANAGER TO FINALIZE, AND THE CITY MANAGER AND CITY CLERK TO EXECUTE, THE REVISED SIXTH AMENDMENT IN THE FORM APPROVED BY THE CITY ATTORNEY. WHEREAS, on January 26, 1993, Miami-Dade County (the "County") adopted Resolution No. R-14-93, which (i) designated the City Center Redevelopment Area ("City Center RDA") as a "blighted area" within the meaning of Part III of Chapter 163, Florida Statutes, and (ii)delegated certain powers to the City of Miami Beach, pursuant to Section 163.410, Florida Statutes, to allow the City Commission, either directly or through the Miami Beach Redevelopment Agency ("RDA"), to exercise such powers for the redevelopment of the area; and WHEREAS, on February 3, 1993, the City adopted Resolution No. 93-20709, which established the RDA and designated the City Commission as its members; and WHEREAS, on February 12, 1993, the City adopted Resolution No. 93-20721, approving the RDA's City Center/Historic Convention Village Redevelopment and Revitalization Area Plan (the "Redevelopment Plan") to revitalize the City Center RDA; and WHEREAS, the City and County subsequently entered into the original Interlocal Cooperation Agreement (the "RDA Interlocal Agreement"), executed on November 16, 1993, under which the County delegated to the City certain redevelopment powers, including the creation of the Redevelopment Area and implementation of the Redevelopment Plan; and WHEREAS, the RDA Interlocal Agreement has been amended five times previously; and WHEREAS, in connection with the proposed issuance of refunding bonds (the "Refunding Bonds") by the RDA to refund a portion of the RDA's Tax Increment Revenue and Revenue Refunding Bonds, Series 2015A (City Center/Historic Convention Village), which refunding will generate debt service savings, it is necessary to further amend the RDA Interlocal Agreement through the Sixth Amendment (the "Sixth Amendment"); and WHEREAS, the Sixth Amendment, among other revisions, amends provisions relating to the distribution of Trust Fund Revenues by removing the requirement that beginning in Fiscal Year 2023-24, excess revenues must be used to pay down "Agency Indebtedness" (including bonds issued by the RDA), and instead directs the use of such revenues as outlined in Sections H, I, and J of Paragraph XII of the Interlocal Agreement, as described in the Sixth Amendment; and WHEREAS, the Sixth Amendment also facilitates the construction of the Convention Center Hotel ("Convention Center Hotel Grant Agreement") and includes provisions regarding the disposition of RDA Trust Fund funds starting in FY 2037; and WHEREAS, the Sixth Amendment was initially approved by the Board of County Commissioners on October 16, 2024, under Resolution No. 952-24, and by the City Commission and the RDA on October 30, 2024, under Resolution Nos. 2024-33347 and 697-2024, respectively; and WHEREAS, on November 6, 2024, the Board of County Commissioners voted to reconsider and revise the previously approved Sixth Amendment and the Convention Center Hotel Grant Agreement, as outlined in this Resolution; and WHEREAS, the revisions to the Sixth Amendment and the Convention Center Hotel Grant Agreement, adopted by the Board of County Commissioners on November 6, 2024, under Resolution R-1002-24, were transmitted to the City of Miami Beach and the RDA for further consideration; and WHEREAS, the revised Sixth Amendment (the "Revised Sixth Amendment") stipulates that by March 31, 2025, the RDA shall provide the County with the entire surplus balance, up to $10 million, from the available RDA trust fund balance as of September 30, 2024, to support the construction and operation of housing for homeless persons and facilities for survivors of domestic violence; and WHEREAS, the Revised Sixth Amendment also modifies the Convention Center Hotel Grant Agreement to allocate 50% of the Participation Payments, previously designated for the City, to the County, specifically for funding supportive housing for individuals and families experiencing homelessness and facilities for domestic violence survivors; and WHEREAS, the Revised Sixth Amendment further revises the Hotel Grant Agreement to reallocate 50% of the 2% Transfer Fee, previously allocated to the City, to the County for the same purpose of funding supportive housing and domestic violence centers. NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City Commission hereby amend Resolution No. 2024-33347, and approve, in substantial form, the Sixth Amendment to the Interlocal Cooperation Agreement dated November 16, 1993, by and among the City of Miami Beach (the "City"), Miami-Dade County (the "County"), and the Miami Beach Redevelopment Agency (the "RDA"), relating to the City Center/Historic Convention Center Village Redevelopment and Revitalization Area (the "City Center RDA"), as revised by the Board of County Commissioners pursuant to Resolution No. R-1002-24 on November 6, 2024 (the "Revised Sixth Amendment"); with the Revised Sixth Amendment attached as Exhibit "A" to this Resolution; and further authorize the City Manager to finalize, and the City Manager and City Clerk to execute, the Revised Sixth Amendment in the form approved by the City Attorney.
