1.PARTIES AND TERMS OF CONTRACT
1.1 Parties.T his Provider C ontract ("Contract")relating to the C ity of M iam i Beach
Prekinde rgarten Pro gram (the "CMB Program")is m ade and entered into this day of

corporation of the State of Florida,w ith its principal off ice located at 1700 C onvention Center
D rive,M iam i Beach,Florida 33139 (herein referred to as the "CITY"),and
Sephardic Congregation of Florida Inc ,a [_]not-fo r-pro fit
corporation [[for pro fit co rporation [__J lim ited liability co m pany (herein referred to as
"PROVIDER"),w ith its principal offi ce located at 1200 Normandy Dr,Miami Beach,FL 33141 and
its pro vider physical site address (if the single site provider physical site address is different from
principal offi ce address)loca ted at 1200 Normandy Dr,Miami Beach,FL 33141
a.Multiple Public School Locations.If PRO VID ER is a school district executing a
single C ontract on behalf of m ultiple public school Prekindergarten (PK)Education
Program pro viders,a list of their nam es and their physica l addresses are included in
Exhibit 1:Pro vider Location List;thereafter,the reference to "PR O VID ER"shall include
each entity listed in Exhibit 1.
b.Multiple Private Provider Locations.If PR O V ID E R is executing a single C ontract on
behalf of m ultiple private PK Educa tion Pro gram sites within the C ITY 's serv ice area,

provide serv ices under this C ontract.
1.2 Purpose.This C ontract is designed to inform PRO VIDE R of the requirem ents of
participation in the C M B Pro gram .Paym ent is not conveyed to PRO V IDER through this Contract.

Instead,PR O V ID E R m ust agree to com ply w ith the term s and conditions of this Contract in
orde r to be eligible to participate in the C M B Pro gram .T his Contract is to engage an eligible
provider to pro vide PK Education Pro gram serv ices to eligible C M B Program participants.As
referred to in this C ontract,"part icipant(s)"shall refer to the M iam i Beach parent/guardian and
the ir children,fo r w hom PRO V ID ER w ill be pro viding PK Education Pro gram serv ices under the
C M B Pro gram .A school-year PK Education Pro gram provides fo r 540 instructional hours.PK
Education Pro gram s m ay receive funding fro m the State V oluntary Pre-Kindergarten (V -PK)
Pro gram ,federal pro gram s or other third-party scholarships ("Third Party Funders").Under
the C M B Program ,the C ITY w ill pro vide a stipend,in the am ount of up to $3,000.00 per school
year,to cover up to an additional 450 instructional hours ("Program Instructional Hours"),
representing up to 2.5 hours per day fo r 180 days,payable,on a reim bursable basis,as m ore
part icularly described in Subsection 5.5.The Program Instructional Hours m ay not serv e to
supplant,or duplicate funding pro vided by T hird Party Funders which is received by the
part ici pants.The Pro gram Instructional Hours m ay serv e to pro vide an additional 2.5 PK
Education Pro gram hours per day,beyond those funded thro ugh Third Party Funders,or as a
stand-alone stipend.Pro gram Instruct ional Hours m ay only be applied tow ard pro gram m ing
occurring during the regular school hours fo r PRO V ID ER 's PK Education Pro gram .Pro gram
Instructional Hours m ay not be applied tow ard after-school pro gram m ing hours.
1.3 Term .This C ontract applies to the C M B Pro gram fo r the 2025-2026 school
year.PR O V ID E R shall offer a PK Education Pro gram fo r the full school year.This Contract
begins on the date on w hich the C ontract is signed and dated by the last party required
to sign the C ontract (as reflected in Subsection 1.1 of the C ontract),or the first day of school,
aligned to the M iam i-D ade C ounty public school calendar,whichever occurs last
("E ffective Date"),and expires upon com pletion of the school year or expenditure of the
allotted Pro gram Instructional Hours,whichever occurs first,unless otherw ise term inated
earlier under the term s of the C ontract (collectively,the "Term ").
2.PR O V ID E R ELI G IB ILI T Y
To be eligible to deliver the C M B Pro gram serv ices,PR O V IDER m ust be a traditional public
school;or one of the follow ing private PK Education Pro gram providers:(1)a child care facility,
licensed under Section 402.305,Florida Statutes;a fam ily day care hom e licensed under
Section 402.313 ,Florida Statutes;a large fam ily child care hom e licensed under Section
402.3 13 1,Florida Statutes,a non-public school exem pt fro m licensure under Section
402.3025(2),Florida Statutes;or a faith-based child care pro vider exem pt from licensure under
Section 402.316 ,Florida Statutes.
A charter school that includes a PK Education Pro gram in its charter is a public school and shall
only execute this C ontract w ith the appro val and oversight of the school district.A charter school
that does not incl ude a PK Education Program in its charter m ust m eet the requirem ents to be a
private pro vider to be eligible to deliver the C M B Program .

3.PRO VIDER RESPO NSIBILI TIES AND SCOPE OF WORK
3.1 Child Enrollm ent.PRO V ID ER agrees to enro ll eligible children as determ ined by the
C ITY for the C M B Pro gram .The CITY w ill pro vide PR O VIDE R w ith written notification of
eligibility fo r appro ved participants.PR O VID ER w ill be required to execute an agreem ent w ith
the participants,as described in Subsect ion 5.1,as a condition precedent to acceptance of the
part icipants into the C M B Program .
3.2 Adherence to Requirem ents.
a.PR O V ID E R agrees to deliver the C M B Program in accordance with all of the
requirem ents w hich are set forth in the applicable Florida statutes,rules,and this
C ontract.
b.PR O V ID E R agrees to part icipate in a C M B orientation prior to the execution of the
C ontract if offered by the C ITY .
3.3 Assessm ent.PRO V ID E R agrees to im plem ent a C M B Program surv ey to participants
upon the com m encem ent and com pletion of the C M B Pro gram .
3.4 Supplem ental Serv ices.PRO VID E R shall not require a child to enr oll for,or require
the paym ent of any fee or charge fo r,supplem ental serv ices (e.g.,"ext ended-day,""ext ended-
year,""w rap-aro und,"or "full-day"serv ices)as a condition of adm itting a participant in the C M B
Pro gram .PR O V ID ER agrees to schedule all Pro gram Instructional Hours offered fo r any C M B
Pro gram class so that parents/guardians are not constructively required to enr oll a child in
supplem ental serv ices or pay any fee or charge (e.g.,scheduling Pro gram Instructional Hours in
a day w ith a break in instructional tim e,fo r w hich parents would be required to pay fo r
supplem ental serv ices for care).If PRO V ID ER requires such fees,the C ITY shall have the right
to term inate the C ontract for cause,as described in Subsection 11.1 (d).
3.5 Class Sta ffing.PRO V ID ER agrees to m aintain pro per staffi ng for the C M B Pro gram ,
as required by Florida Statutes.
3.6 CITY'S Logo.PR O V ID E R m ay use the registered C ITY logo in conjunction with the
operation of the C M B Program in advertisem ents,letterhead,educational and pro m otional
m aterials.PR O V ID ER agrees to com ply w ith the C M B Pro gram Logotype Usage and Brand
G uide lines and m ust cease use of the CITY 's logo once serv ices under this Contract are
suspended or term inated,or upon the C ITY 's request.All pro m otional m aterials related to the
C M B Pro gram shall be subject to the prior w ritten appro val by the C ITY 's C hief Education
O ffi cer.

4.CITY RESPONSIBILITIES
4.1 PROVIDER eligibility.The CITY is responsible for determining eligibility of PROVIDER
to participate in the CMB Program.
4.2 Child Eligibility.The CITY is responsible for determining the eligibility of children
enrolling in the CMB Program.
5.COMPENSATION AND FUNDING
5.1 Notification of Enrollment.PROVIDER agrees that it will not receive payment until
PROVIDER has an executed agreement with the CITY,and the CITY has approved,in writing,
an agreement between PROVIDER and an eligible Miami Beach parent/guardian of a
child participating in the CMB Program (the "PROVIDER-Participant Agreement").The
PROVIDER-Participant Agreement must describe the authorized use of the CMB Program
funds and the tuition rates for PROVIDER's PK Education Program.Upon review and approval
of the PROVIDER-Participant Agreement,the CITY's Chief Education Officer will provide a
confirmatory letter of eligibility for the participant and the selected PROVIDER,which letter shall
be counter-signed by the participant parent/guardian and PROVIDER.
5.2 Attendance Documentation.PROVIDER agrees to document the daily attendance,to
certify the monthly attendance,and to certify the annual cumulative attendance of each child
admitted to PROVIDER's CMB Program class(es).
5.3 Parent Attendance Certification.PROVIDER agrees to require that the parent/
guardian of each child in the CMB Program verify,each month,the child's attendance on the
prior month's certified child attendance record.
5.4 Invoicing and Payment.PROVIDER shall provide the CITY with a monthly invoice,
within fifteen (15)days from the end of a given month,for payment of eligible Program
Instructional Hours to:

he invoice will be executed by PROVIDER and the parent/guardian of the participant child and
include a reimbursement summary,the attendance documentation (certified by PROVIDER),and
the parent attendance certification for the given month.If the due date for the monthly invoice and
the foregoing required documentation falls on a holiday,PROVIDER agrees to submit the monthly
invoice,along with the required documentation to the CITY on the proceeding business day.
Documentation submitted late will be processed and paid in the next payment cycle.
Payments will be mailed to PROVIDER,within thirty (30)days from receipt of an acceptable
invoice,at the address for contact for PROVIDER,listed in Subsection 1.1 of the Contract.At the

option of the C ITY ,PRO V ID ER m ay be provided with the opportunity to receive paym ent through
D irect Deposit.
5.5 Payment Rate.PR O V ID E R will be entitled to receive payment for eligible Program
Instructional Hours of serv ice pro vided during the Term ,to be paid at PRO VIDER's regular rate
or $6.00 per hour,w hichever is less,fo r up to 2.5 hours per day for 180 days,not to exce ed
$$3,000.00 per applicable school year per participant child.Any discounts based on incom e or
other PR O V ID ER offerings available to the eligible participant will decrease the am ount due from
the C ITY ,as applicable.If PRO V IDE R's tuition rate,as disclosed by the PRO VIDER-participant
A greem ent,exce eds the m axim um C M B Pro gram hourly rate of $6.00 per hour,the participant
parent/guardian is responsible for paying any additional sum s due and owing PR O VIDER.
5.6 No Advance Payment Option.PR O VIDER understands that the C ITY will not provide
any advanced paym ents and w ill reim burse PR O V IDE R as per Contract term s.Additionally,
PR O V IDE R shall not be perm itted to charge the participants up front,pending receipt of the
reim bursem ent paym ent fro m the C ity fo r eligible Program Instructional Hours.
5.7 Overpayment.PR O VID E R agrees that,if the end-of-year reconciliation of paym ents
reveals that PR O V ID E R received paym ents in excess of the am ount owed to PRO VIDER,
PR O V IDE R agrees to return to the C ITY the funds it was overp aid.If PRO VIDER fails to return
the funds it was overpaid,w ithin ten (10)days from receipt of a written request fro m the CITY ,
PR O V ID ER w ill be subject to collection efforts.A ny outstanding sum s owed to the CITY shall
accrue interest at the rate of 18%per annum until paid.Additionally,PRO VIDER will not be
eligible to participate in any additional C ITY sponsored PK Education Program s until the
overpaym ent has been paid to the C ITY .
5.8 Closures.PRO V ID ER agrees no co m pensation will be pro vided during tem porary
closures.
5.9 Child Participant DismissalNoluntary Withdrawal.In the event that a child participant
is dism issed or w ithdraw s from PR O V IDE R's loca tion ("Unenrolled Participant"),funding fo r the
U ne nro lled Participant shall term inate under this C ontract.The unused portion of the approved
stipend will rem ain w ith the C ITY fo r use by the Unenro lled Participant at a different provider
location or,at the CITY 's option,fo r use by other approved participants.The Unenr olled
Participant m ay seek approval fro m the C ITY to apply the balance of the approved stipend to PK
Education Program serv ices w ith a different provider.PRO V IDER shall pro vide the CITY with
notice of an Unenro lled Participant within seven (7)calendar days.
6.AUDITING AND INSPECTIONS
6.1 U pon reasonable verbal or written notice to PRO V IDER,and at any tim e during normal
business hours (i.e.9AM -5PM ,Monday thro ugh Fridays,excluding nationally recognized
holidays),and as often as the C ity M anager m ay,in his/her reasonable discretion and judgm ent,
deem necessary ,there shall be m ade available to the City M anager,and/or such
representatives as the C ity M anager m ay designate to act on the CITY 's behalf,to audit,
exam ine,and/or inspect,any and all other docum ents and/or records relating to all matters
covered by this C ontract.PR O VIDER shall m aintain any and all such records at its place of
business at the address set forth in Subsection 1.1 of this Contract.

6.2 Inspecto r General A ud it R ig hts.
a.Pursuant to Section 2-256 of the Code of the C ity of M iam i Beach,the CITY has
established the Office of the Inspector General which may,on a random basis,perform
review s,audits,inspections and investigations on all C ITY co ntracts,thro ughout the
duration of said contracts.This random audit is separate and distinct fro m any other
audit perform ed by or on behalf of the C ITY .
b.T he Offi ce of the Inspector General is authorized to investigate C ITY affairs and
em pow ered to review past,present and proposed C ITY pro gram s,accounts,records,
contracts and transactions.In addition,the Inspector General has the power to
subpoena w itnesses,adm inister oaths,require the pro duction of witnesses and
m onitor C ITY pro jects and program s.M onitoring of an existing CITY project or
program m ay include a report concern ing whether the project is on time,within budget
and in confo rm ance w ith the co ntract docum ents and applicable law.The Inspector
General shall have the power to audit,investigate,m onitor,oversee,inspect and
review operations,activities,perform ance and pro curem ent pro cess including but not
lim ited to project design,bid specifica tions,(bid/pro posal)subm ittals,activities of
PRO V ID E R ,its off icers,agents and em ployees,lobbyists,C ITY staff and elected
offi cials to ensure com pliance with the co ntract docum ents and to detect fraud and
corr uption.Pursuant to Section 2-378 of the C ITY C ode,the CITY is alloca ting a
percentage of its overall annual contract expenditures to fund the activities and
operations of the Office of Inspector General.
c.Upon ten (10)days w ritten notice to PRO V IDER,PR O V IDER shall m ake all requested
records and docum ents available to the Inspector G eneral fo r inspection and copying.
T he Inspector General is em powered to retain the serv ices of independent private
sector auditors to audit,investigate,m onitor,oversee,inspect and review operations
activities,perform ance and procurem ent pro cess including but not lim ited to project
design,bid specifications,(bid/proposal)subm ittals,activities of PRO VIDER its
off icers,agents and em ployees,lobbyists,C ITY staff and elected officials to ensure
com pliance w ith the contract docum ents and to detect fraud and corruption.
d.T he Inspector General shall have the right to inspect and co py all docum ents and
records in PRO VID E R's possession,custody or contro l which in the Inspector
G eneral's sole judgm ent,pertain to perform ance of the contract,including,but not
lim ited to original estim ate files,change order estim ate files,worksheets,proposals
and agreem ents fro m and with successful subcontractors and suppliers,all pro ject-
related co rrespondence,m em oranda,instructions,financial docum ents,construction
docum ents,(bid/pro posal)and contract docum ents,back-change docum ents,all
docum ents and records which involve cash,trade or volum e discounts,insurance
proceeds,rebates,or dividends received,payro ll and personnel reco rds and
supporting docum entation fo r the afo resaid docum ents and records.

e.PROVIDER shall make available at its office at all reasonable times the records,
materials,and other evidence regarding the acquisition (bid preparation)and
performance of this Contract,for examination,audit,or reproduction,until three (3)
years after final payment under this Contract or for any longer period required by
statute or by other clauses of this Contract.In addition:
1.If this Contract is completely or partially terminated,PROVIDER shall make
available records relating to the work terminated until three (3)years after
any resulting final termination settlement;and
2.PROVIDER shall make available records relating to appeals or to litigation
or the settlement of claims arising under or relating to this Contract until
such appeals,litigation,or claims are finally resolved.
f.The provisions in this section shall apply to PROVIDER,its officers,agents,
employees,subcontractors and suppliers.PROVIDER shall incorporate the
provisions in this section in all subcontracts and all other agreements executed by
PROVIDER in connection with the performance of this Contract.
g.Nothing in this section shall impair any independent right to the CITY to conduct
audits or investigative activities.The provisions of this section are neither intended
nor shall they be construed to impose any liability on the CITY by PROVIDER or
third parties.
7.MAINTENANCE OF RECORDS,DATA,AND CONFIDENTIALITY
7.1 Record Confidentiality.PROVIDER agrees to protect the confidentiality of child and
family records,as required by applicable law.
7.2 Record Maintenance.PROVIDER agrees to maintain records,including enrollment
and attendance records for children funded by the CMB Program;and other fiscal records for
audit purposes fora period of five (5)years from the date of the last payment for that fiscal year
or until the resolution of any audit findings or any litigation related to this Contract,whichever
occurs last.PROVIDER may maintain records in an electronic medium and if PROVIDER does
so,then PROVIDER shall back up records on a regular basis to safeguard against loss.
8.PROVIDER'S COMPLIANCE W ITH FLORIDA PUBLIC RECORDS LAW
8.1 PROVIDER shall comply with Florida Public Records law under Chapter 119,Florida
Statutes,as may be amended from time to time.
8.2 The term "public records"shall have the meaning set forth in Section 119.011 (12),which
means all documents,papers,letters,maps,books,tapes,photographs,films,sound recordings,
data processing software,or other material,regardless of the physical form,characteristics,or
means of transmission,made or received pursuant to law or ordinance or in connection with the
transaction of official business of the CITY.
8.3 Pursuant to Section 119.0701 of the Florida Statutes,if PROVIDER meets the definition
of "Contractor"as defined in Section 119.0701 (1 )(a),PROVIDER shall:

a.Keep and m aintain public records required by the CITY to perform the service;
b.Upon request fro m the C ITY 's custodian of public records,provide the CITY with
a co py of the requested records or allow the records to be inspected or copied
within a reasonable tim e at a cost that does not exceed the cost provided in
C hapter 119 ,Florida Statutes or as otherw ise pro vided by law ;
c.Ensure that public records that are exem pt or confidential and exem pt from public
records disclosure requirem ents are not disclosed,exce pt as authorized by law,
fo r the duration of the contract term and following com pletion of the Contract if
PRO V ID E R does not transfer the records to the CITY ;
d.Upon com pletion of the C ontract,transfer,at no cost to the CITY ,all public records
in possession of PRO V ID E R or keep and m aintain public records required by the
C ITY to perf orm the serv ice.If PRO V ID ER transfers all public records to the CITY
upon co m pletion of the Contract,PRO V IDER shall destro y any duplica te public
records that are exem pt or confidential and exem pt from public records disclosure
requirem ents.If PRO VID E R keeps and m aintains public records upon com pletion
of the C ontract,PR O V ID ER shall m eet all applica ble requirem ents for retaining
public records.A ll records stored electro nically must be provided to the CITY ,upon
request fro m the C ITY 's custodian of public reco rds,in a format that is co m patible
w ith the inform ation technology system s of the C ITY .
8.4 REQUEST FOR RECORDS;NONCOMPLIANCE.
a.A request to inspect or copy public records relating to the C ITY 's contract for
serv ices m ust be m ade directly to the C ITY .If the CITY does not possess the
requested records,the CITY shall im m ediately notify PRO VIDER of the request,
and PRO V ID ER m ust pro vide the records to the C ITY or allow the records to be
inspected or copied within a reasonable tim e.
b.PRO V ID E R's failure to com ply with the C ITY 's request fo r reco rds shall constitute
a breach of this C ontract,and the C ITY ,at its sole discretion,may:(1)unilaterally
term inate the Contract;(2)avail itself of the rem edies set fo rth under the Contract;
and/or (3)avail itself of any available rem edies at law or in equity .
c.If PR O V ID E R fails to pro vide the public records to the C ITY within a reasonable
tim e m ay be subject to penalties under s.119.10 .
8.5 CIVIL ACTION.
a.If a civil action is filed against PRO V ID ER to com pel pro duction of public reco rds
relating to the C ITY 's contract for serv ices,the court shall assess and award
against PR O V ID E R the reasonable costs of enforcement if:
1.T he co urt determ ines that PR O V IDER unlawf ully refused to co m ply with the
public records request within a reasonable tim e;and
2.At least 8 business days before filing the action,the plaintiff provided written
notice of the public records request,including a statem ent that PRO VIDER

b.A notice complies with subsection (a)(2)if it is sent to the CITY's custodian of
public records and to PROVIDER at PROVIDER's address listed on its contract
with the CITY or to PROVIDER's registered agent.Such notices must be sent by
common carrier delivery service or by registered,Global Express Guaranteed,or
certified mail,with postage or shipping paid by the sender and with evidence of
delivery,which may be in an electronic format.
c.If PROVIDER complies with a public records request within 8 business days after
the notice is sent is not liable for the reasonable costs of enforcement.

9.LIM ITATION OF CITY'S LIABILITY
The CITY desires to enter into this Contract only if in so doing the CITY can place a limit on the
CITY 's liability for any cause of action,for money damages due to an alleged breach by the CITY
of this Contract,so that its liability for any such breach never exceeds the sum of $$3,000.00,less
any payments received by PROVIDER during the Term.PROVIDER hereby expresses its
willingness to enter into this Contract with PROVIDER's recovery from the CITY for any damage
action for breach of contract to be limited to a maximum amount of $$3,000 .00 less any payments
received by PROVIDER during the Term.
Accordingly,and notwithstanding any other term or condition of th is Contract,PROVIDER hereby
agrees that the CITY shall not be liable to PROVIDER for damages in an amount in excess of
$$3,000.00,less any payments received by PROVIDER during the Term for any action or claim
for breach of contract arising out of the performance or non-performance of any obligations
imposed upon the CITY by this Contract.
Nothing contained in this section or elsewhere in this Contract is in any way intended to be a
waiver of the limitation placed upon the CITY 's liability,as set forth in Section 768.28,Florida
Statutes.

10.NONDISCRIMINATION
Discrimination Prohibited.
In co nnection w ith the perform ance of the serv ices under this Contract,PR OVIDER shall not
exclude from participation in,deny the benefits of,or subject to discrim ination anyone on the
gro unds of race ,color,national origin,sex,age,disability,religion,income or fam ily status.
A dditionally,w ith respect to a PRO V ID E R located within the lim its of the City of Miam i Beach,
Florida,PRO V ID ER shall co m ply fully with the C ity of M iam i Beach Hum an Rights O rdinance,
codified in C hapter 62 of the C ITY C ode,as m ay be am ended from tim e to tim e,pro hibiting
discrim ination in em ploym ent,housing,public accom m odations,and public serv ices on account
of actual or perceived race ,color,national origin,religion,sex,intersexuality,gender identity,
sexual orientation,m arital and fam ilial status,age,disability ,ance stry ,height,w eight,dom estic
partner status,labor organization m em bership,fam ilial situation,or politica l affiliation.
11.TERMINATION AND NONCOMPLIANCE
11.1 Termination for Cause.PRO V ID E R agrees that the CITY ,through its City M anager,
has the right to term inate this C ontract fo r ca use at any tim e.The following are grounds fo r
term ination fo r ca use:
a.Breach of Contract Provisions.The C ity of M iam i Beach m ay term inate this
C ontract upon PR O V IDER failing to fulfill in a tim ely m anner,or otherw ise violates,
any of the co venants,agreem ents,or stipulations to this Contract.
b.Licensing;Health,Safety or Welfare.The C ITY may im m ediately term inate this
C ontract on an em ergency basis upon:(a)a notification by the Departm ent of
C hildren and Fam ilies (DC F)or loca l licensing agency or accreditation body actions
or inactions of a PRO V IDER that pose an im m ediate and serious danger to the
health,safety,or welfare of children;(b)PRO V IDER's action,or lack of action,
w hich threatens the health,safety or w elfare of children;or (c)revoca tion of
PRO V ID E R 's DCF license.
c.Fraud.T he C ITY m ay suspend or term inate PR O V IDER fro m participation in the
C M B Program w hen it has reasonable cause to believe that PRO VIDER has
com m itted fraud.
d.Notice of Termination/Partial Termination.The C ITY may term inate this
C ontract for ca use by sending PROV IDER w ritten notice of termination at least
tw enty -four (24)hours prior to term ination.The written notice must specifica lly state
the basis of the C ITY 's term ination for cause.If PRO VIDER has executed this
C ontract on behalf of m ultiple locations and one or m ore of the locations is
term inated pursuant to this Section 11,then,at the sole discretion of the City
M anager,the C ITY m ay term inate the entire Contract or chose to term inate a
specific location from the scope of the Contract.
11.2 Termination of Contract by PROVIDER.PR O V ID ER and the CITY may agree to
term inate this C ontract by m utual co nsent.PRO VIDER may NO T unilaterally term inate this

C o ntract at w ill.W ritten notice of request to term inate m ust be given at least thirty (30)calendar
days before the term ination date in order for the C ITY to support the participant in m aking
altern ative arrangem ents for uninterrupted serv ice s fo r children serv ed under this C ontract.If
suffi cient notice of term ination is not pro vided,the C ITY m ay refuse to issue the final
reim bursem ent paym ent to PRO VID ER.
12.NOTIFICATION
Information Change Notification.PRO V ID E R agrees that it will com ply with each of the
follow ing notifica tion requirem ents:
a.Subm itting docum entation dem onstrating tem porary closure by the close of
business on the first day that a closing occurs and subm itting docum entation
dem onstrating subsequent reopening w ithin two (2)business days after reopening;
and
b.Providing notice and docum entation specify ing reasons fo r dism issal of a child
participant w ithin seven (7)ca lendar days.
13.INDEMNIFICATION
Indemnification.PR O V ID ER shall be fully liable fo r and indem nify ,defend and hold harm less
the C ITY and all of their off icers,directors,agents,contractors,subcontractors and em ployees
fro m and against any and all third-party claim s,suits,actions,dam ages,judgm ents and costs
that arise w hether in law or in equity ,from any of PRO V ID ER's agents,subco ntractors or
em ployees'acts,actions,neglect or om ission during the perform ance or operations under this
C ontract or any subsequent m odification thereof.This includes attorn ey's fees and co sts.This
inde m nification holds w hether liability is direct or indirect and whether dam age is to any person
or real or personal tangible or intangible pro perty.If PRO V IDE R is a state agency or a
subdivision thereof,as defined in Section 768.28(2),Florida Statutes this section is lim ited to the
extent perm itted by Section 768.28,Florida Statutes.
14.MISCELLANEOUS PROVISIONS
14.1 Counterparts;Electronic Signatures.This Contract and any am endm ents hereto m ay
be executed in co unterparts,each of w hich shall be an original as against either Party whose
signature appears thereon,but all of w hich taken together shall constitute but one and the sam e
instrum ent.A n executed facs im ile or electro nic sca nned signed co py of this Contract shall have
the sam e fo rce and effect as an original.The parties shall be entitled to sign and transm it an
electro nic signature on this C ontract (w hether by facsim ile,PDF or other em ail transm ission),
w hich signature shall be binding on the party w hose nam e is contained therein.Any party
providing an electronic signature agrees to pro m ptly execute and deliver to the other parties an
origina l signed C ontract upon request.
14.2 Severability.If any pro vision of this C ontract is held to be unenforceable by a court of
com petent jurisdiction,the rem aining term s and conditions rem ain in full force and effect.
14.3 Amendments.O nly authorized attachm ents,am endm ents,or supplem ents to this
C ontract,executed by the parties,are authorized or perm itted including those specifically
incorporated by reference in this C ontract.

14 .4 A p p licab le Law .In its perform ance of the C M S Program serv ices under the Contract,
PR O V ID E R shall com ply w ith all applicable law s,ordinance s,and regulations of the C ity ,Miam i-
D ade C ounty ,the State of Florida,and the federal govern m ent,as applicable.
14 .5 N o t T ransferrab le.This C ontract is not transferrable or assignable to another entity.A
cha nge in ow nership of PRO V ID E R requires execution of a new co ntract.In the event of a change
of ow nership,sale,sale of assets,conveyance of ow nership or other transfer of ownership
interest,PR O V ID E R shall notify the C ITY no later than 30 calendar days prior to the transfer of
ow nership.
14.6 Li tigation and Venue.The CITY and PROVIDER agree that any litigation related
to this Contract which is brought by the CITY or PROVIDER will be brought in Miami-Dade
County.
15 .E-V E R IFY
15 .1 PR O V ID E R shall com ply w ith Section 448.095,Florida Statutes,"Em ploym ent Eligibility"
("E -V erify Statute"),as m ay be am ended from tim e to tim e.Pursuant to the E-V erify Statute,
com m encing on January 1,2021,PRO VID ER shall register with and use the E-V erify system to
verify the w ork authorization status of all new ly hired em ployees during the Term of the
C ontract.A dditionally,PRO V IDE R shall expressly require any subcontractor perform ing w ork or
pro viding serv ices pursuant to the C ontract to likew ise utilize the U.S.Departm ent of Hom eland
Security's E-V erify system to verify the em ploym ent eligibility of all new em ployees hired by the
subcontractor during the C ontract Term .If PRO V ID E R enters into a co ntract with an appro ved
subcontractor,the subco ntractor m ust pro vide PRO V ID E R with an affi davit stating that the
subcontractor does not em ploy,contract w ith,or subco ntract with an unauthorized
alien.PR O V ID E R shall m aintain a copy of such affidavit for the duration of the subcontract or
such other extended period as m ay be required under this C ontract.
15 .2 Term inatio n R ig hts .
a.If the C IT Y has a good faith belief that PRO VIDER has know ingly violated
Section 448.09(1 ),Florida Statutes,the C ITY shall term inate this Contra ct with
PRO V ID E R for cause,and the C ITY shall thereafter have or owe no further
obligation or liability to PRO V ID ER .
b.If the C IT Y has a good faith belief that a subcontractor has know ingly violated
the fo regoing Subsection 15 .1,but PRO VID ER otherw ise com plied with such
subsection,the C ity w ill pro m ptly notify PRO V IDER and order PRO VIDER to
im m ediately term inate the agreem ent w ith the subcontractor.PRO V ID ER 's
failure to term inate a subcontract or shall be an event of defa ult under this
C ontract,entitling the C IT Y to term inate PRO VIDE R's C ontract fo r cause.
c.A contract term inated under the foregoing Subsection 15.2(a)or 15.2(b)is not in
breach of contract and m ay not be considered as such.
d.The C IT Y or PR O V ID ER or a subcontractor m ay file an act ion with the Circuit or
C ounty C ourt to challenge a term ination under the foregoing Subsection 15.2(a)
or 15 .2(b)no later than 20 calendar days after the date on w hich the contract
w as term inated.

e.If the CITY term inates the Contract with PROVIDER under the foregoing
Subsection 15.2(a),PROVIDER may not be awarded a public contract for at least
1 year after the date of termination of this Contract.
f.PROVIDER is liable for any additional costs incurred by the CITY as a result of the
termination of this Contract under this Section 15.
16.EXECUTION OF CONTRACT
PROVIDER has caused this Contract to be executed as of the date set forth in Subsection 1.1.
By signing below,PROVIDER hereby certifies that PROVIDER has read and understood this
Contract.PROVIDER certifies that all information provided is true and correct and agrees that
noncompliance with the requirements of the CMB Program,which include the requirements of
this Contract,and all Exhibits and authorized attachments,shall result in withholding of funds,or
termination of this Contract at the discretion of the CITY .

W HEREAS,the prekindergarten services offered at Biscayne Beach Elementary
School and Fienberg/Fisher K-8 Center,under the terms of the Agreement,served the
City of Miami Beach resident children from the following four targeted schools:Biscayne
Beach Elementary School,Miami Beach Fienberg/Fisher K-8,North Beach Elementary
School,and Miami Beach South Pointe Elementary School,following the Registration and
Lottery Procedures for school years 2016/17,2017/18,and 2018/19;and
W HEREAS,at the January 15,2020 City Commission meeting,a referral was
made to the Finance and Economic Resiliency Committee ("FERC")to discuss the funding
of an Early Childcare Pilot Program;and
W HEREAS,at its July 17,2020 meeting,FERC recommended funding an Early
Childcare Pilot Program for implementation in the 2021-2022 school year,with funding in
the amount of $250,000 to be appropriated from Fiscal Year 2022 funds;and
W HEREAS,the details of FERC's recommendation for the Early Childcare Pilot
Program are outlined as follows:
1.Eligibility requirements for all Miami Beach child applicants and Miami.Beach
partner childcare providers:
a.Child must be 4 years old on or before September 1 of enrollment
school year to enroll;

b.Child's parent/legal guardian must be a resident of the City of Miami
Beach upon submission of application and.throughout the year of
Program participation 2021-2022.
2.Eligibility requirements for all partner childcare providers:
Early childca re center must meet Florida Statutes applicable sections to be
eligible to offer prekindergarten as a public school provider,nonpublic school
provider or faith-based provider.
1.Be lice nsed as a childcare facility under s.402.305,F.S.,family day care
hom e under s.402.313,F.S.,or large family childcare facility under
s.402.313,F.S.;or
2.Be licensed exempt under s.402.3025(2),F.S.(nonpublic schools)ors.
402.316,F.S.(for faith-based providers),and
a.Hold a Gold Seal Quality Care designation under s.402.281,F.S,;
b.Each agency must apply for Gold Seal with Department of Children
and Families or be accredited by an accrediting association that is
a m ember of:
i.National Council for Private School Accreditation
ii.The Florida Association of Academic Nonpublic Schools
3.T he requested funding for the prekindergarten stipend,in the amount of $250,000,
was contemplated to be distributed as follows:$250,000 would be available to
eligible applicants and equally apportioned among eligible children in an amount
not to exceed $2,700 per child,for maximum hourly rate of $6.00 per hour,up to
2.5 hours for 180 days;and
WHEREAS,on July 29,2020,the Mayor and City Commission adopted Resolution
No.2020-31375,authorizing a Prekindergarten Pilot Program for the 2021-22 school year;
and
WHEREAS,on January 5,2021,the City conducted a computerized lottery to
determ ine the order in which applica nts would be screened to determine eligibility based
on residency status of the prim ary parent/guardian and age of the applica nt child;and
WHEREAS,at the March 17,2021 City Commission meeting,a referral was made
to the Finance and Econom ic Resiliency Committee (FERG)to discuss the extension
of the funding for the Early Childcare Prekindergarten Pilot Program to the 2022-23 school
year;and,
WHEREAS,on April 30,2021,FERC members voted unanimously to support the
ext ension of the City 's Prekindergarten Pilot Program for the 2022-23 school year,at an
am ount of $250,000,for approximately 92 Miami Beach youth,at $2,700 per child for 180
days of serv ice,at $6.00 per hour for an additional 2.5 hours a day;and further authorizing
the appropriation of funding for the Program in Fiscal Year 2023;and
WHEREAS,the Administration authorized $41,400 from Fiscal Year 2022 to
cover Pro gram serv ices for the months of August and September 2022;and,
WHEREAS,at the April 30,2021 meeting,the City Commission passed and
adopted Resolution No.2021-31935 authorizing the City Manager to extend the Early
Childca re Prekindergarten Pilot Program for Miami Beach residents,in an amount not to

exceed $250,000 (Program Funds),for the 2022-2023 school year,and authorize the
appropriation of the Program Funds from the City's budget for fiscal year 2023;and,
WHEREAS,at the May 12,2021,Commission meeting the City Commission
passed and adopted Resolution No.2021-31712 to extend the early childcare
prekindergarten.pilot program for Miami Beach residents,in an amount not to exceed
$250,000 (program funds),for the 2022-2023 school year;and,
WHEREAS,at the December 8,2021,Commission meeting the City Commission
passed and adopted Resolution No.2021-31962 to increase funding for the program,in
an amount not to exceed $475,000,annually,with $3,000 per child commencing as of
the 2023-2024 school year;and further,authorizing the City Manager and City Clerk to
execute any required agreements and documents to implement the program;and,
WHEREAS,at the December 13,2023,Commission meeting the City Commission
passed the amendment to Resolution No.2021-31962 to increase the number of Pre-K
Scholarships from 158 to 177 for school year 2024-2025,with funding of $10,000 from
Fiscal Year 2024 and $50,000 as an approved enhancement from Fiscal Year 2025,at
$3,000 per Pre-K scholarship;and further,authorizing the City Manager and City Clerk to
execute any required agreements and documents to expand and implement the program;
and increase the number of Pre-K scholarships to 177 each year thereafter with an
increase of $57,000 annually to the program beginning in Fiscal Year 2025.

COMMISSION OF THE CITY OF MIAMI BEACH,FLORIDA,that the Mayor and City
Commission hereby accept the recommendation of the City Commission at·the
December 13,2023 meeting to amend Resolution No.2021-31935 to increase the
number of Pre-K scholarships for school year 2024-2025 by 19 to a total number of Pre-
K scholarships of 177;allocate $10,000 in additional funding for Pre-K scholarships in
Fiscal Year 2024 and $50,000 in additional funding in Fiscal Year 2025;authorize the
City Manager or her designee to execute all required agreements and documents in

Hello Commissioner,
Based on the PreK Scholarship 24-25 lottery results,we have 19 families on the PreK Scholarship wait list.As such,we would need
$10,000 from FY24 to cover the months of August 2024 and September 2024 for those 19 families and the remainder of the
scholarship to be added to the FY25 budget guaranteed as an enhancement.The current allocation for the PreK Scholarship is 158
scholarships.An increase in the number of scholarships is $3,000 per child.

Prekindergarten (PreK)Scholarship Program Lottery Results and Next Steps
The purpose of this Letter to Commission is to update you on the status of the City of Miami
Beach's Prekindergarten (PreK)Scholarship Program for Miami Beach residents for the 2024-
2025 school year.The Prekindergarten Scholarship Program expands hourly access to high-
quality PreK providers for 158 families with a scholarship of up to $3,000.
A computerized lottery was held on Friday,December 1,2023 at 9 a.m.to place all resident
applicants in a numerical order for scholarship receipt.Results from the lottery have been
posted on the City's website including family name,record ID,and lottery number (Attachment
A).
There are 177 Miami Beach residents who were assigned lottery numbers for the 2024-2025
PreK Scholarship of which 158 will receive up to $3,000 and 19 have been placed on a waitlist..
The breakdown of applications submitted is provided below:

There are currently twenty-one (21)Prekindergarten provider partners (Attachment B)who
registered to join the City in its effort to expand access to quality early childhood education.
The PreK website located at www.miamibeachfl.gov/prek provides an overview of the program,
lottery results,and provider information (Attachment C).Additionally,the administration held
several informational sessions for interested Miami Beach families and PreK providers in
August and September 2023.Miami Beach providers were also contacted directly to inform
them of this opportunity.

Following the posting of the PreK Scholarship lottery results for 2024-2025,the Education and
Performance Initiatives team.will host information sessions for families and PreK providers.
These virtual information sessions will help participants understand the next steps in the PreK
Scholarship process.The informational session will be held on Tuesday,December 5,2023 via

The Prekindergarten Program for the 2025-26 school year will expand hourly access to high-quality PreK providers by providing up to
$3,000 to eligible Miami Beach families.On July 29,2020,the Mayor and City Commission adopted Reso 2020-31375,authorizing a PreK
Pilot Program for the 2021-22 school year.On May 12,2021,Res0 2021-31712 was adopted,extending the PreK Pilot Program for the
2022-23 school year.At the December 2021 commission meeting,Res0 2021-31962 was adopted,approving the program as a permanent,
annual program,in an amount not to exceed $475,000 annually with $3,000 per child.On Decembner 13,2023,Res0 2023-32862 was
adopted,approving an additional 19 scholarships,and funding of $57,000 for FY 25 and each year thereafter.
This PreK provider agreement is for the provider listed above as contractor to partner with the City of Miami Beach's PreK scholarship
program for the 2025-26 school year.Any accredited PreK agency may apply to be a provider by completing the application linked on the
City's website.Families who are eligible for the City's PreK scholarship may use their PreK stipend at an approved provider.Resolution
2023-32862 authorizes the City Manager and City Clerk to execute any required agreements and documents to implement the Program.
