PERPETUAL SIDEWALK EASEMENT
THIS GRANT OF NON-EXCLUSIVE PERPETUAL SIDEWALK EASEMENT (this
"Easement Agreement") is made this 10th day of February 2025, by 72 Park Development, LLC, a
Florida limited liability company, formerly known as KGTC, LLC, a Florida limited liability company
(the "Owner"), having its principal place of business at 7134 Carlyle Avenue, Miami Beach FL, its
successors and assigns, in favor of the City Of Miami Beach, a Florida municipal corporation(the
"City"), having its principal place of business at 1700 Convention Center Drive, Miami Beach, Florida,
its successors and assigns.
WHEREAS, Owner holds fee-simple title of certain property located at 7145 Carlyle Ave,
and legally described in Exhibit "A" (the "Property") and has the right, title, and capacity to grant
the Easement more particularly described herein; and
WHEREAS, pursuant to Permit No. RWP0723-11064 and RWP1024-12772 and according to
the plans reviewed and approved by the City's Public Works and Planning Departments, Owner will
be installing and properly maintaining, at its sole expense, a sidewalk system ("Sidewalk
Improvements") for public access and use along the Property and on portions of the public right-of-
way abutting the Property ("Right-of-Way Area"); and
WHEREAS, on February 3, 2025, the Mayor and City Commission adopted Resolution No.
2025-33464, authorizing the City Manager to negotiate and execute an Easement Agreement with
Owner, granting the City a non-exclusive, perpetual sidewalk easement over portions of the Owner's
Property, located along a portion of 72nd Street, Carlyle Avenue and Byron Avenue, in order to provide
a 10 foot pedestrian path, made up of portions of the Right-of-Way Area and portions of an easement
area having approximately 3,179 square feet ("Easement Area"), as more particularly described in
the Sketch and Legal Description attached hereto as Exhibit "B"; and
WHEREAS, simultaneously herewith, Owner and the City will be executing a "Declaration of
Restrictive Covenants Concerning Improvements in Public Right-of-Way" governing the use of the
Right-of-Way Area, which, among other improvements, will include the portion of the Sidewalk
Improvements located thereon.
NOW THEREFORE, in consideration of Ten and No/100 Dollars ($10.00)and other good and
valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties
hereto intending to be legally bound, hereby agree as follows:
1. Recitals. The above recitals are true and correct and by this reference are hereby
incorporated into the body of this Easement Agreement as if fully set forth herein.
2. Grant of Easement/Access and Use. Owner hereby grants unto the City, its
successors and assigns, at the Owner's expense, a perpetual, non-exclusive, and irrevocable
easement ("Easement") on, in, over, and across the Easement Area for the purpose of providing
members of the general public ("Public Permittees") access and use of the constructed Sidewalk
Improvements within the Easement Area, in the same manner as other public sidewalks are permitted
to be used within the limits of the City of Miami Beach (collectively, "Easement Purposes"), Owner
shall not withhold or obstruct access to the Sidewalk Improvements through the installation of a fence
or any other means. Owner will not be permitted to install any above-ground improvements on the
Easement Area without the prior written consent of the City Manager. Owner shall be permitted to
install underground utility improvements within the Easement Area; provided, that said underground
utility improvements shall not be inconsistent with the rights granted hereunder, nor impede the use
of the Easement Area by City in accordance with the uses authorized hereunder.
3. Maintenance.
Owner shall have sole responsibility for and shall bear the total cost for the repair,
maintenance and replacement of the Sidewalk Improvements within the Easement Area. The Owner
shall maintain the Easement Area and Sidewalk Improvements in accordance with the same
standard of maintenance required by the City for other public sidewalks.
In the event Owner fails to perform any work as required under this Easement Agreement, or
in the event of an emergency, the City, at the sole discretion of the City Manager, but without any
obligation to do so, may repair and/or replace the Sidewalk Improvements and restore the affected
Easement Area and surrounding impacted areas, and charge Owner the direct and actual out of
pocket costs associated with all such work.
4. This grant of this Easement shall inure to the benefit of and be binding upon the heirs,
legal representatives, successors and assigns of the parties hereto, as applicable.
5. Modification, Amendment, Release. This Easement may be modified, amended or
released as to the land herein described, or any portion thereof, by a written instrument executed by
the then owner(s)of the Property, including joinders by all mortgagees, if any, provided that the same
is also approved by the City Commission of Miami Beach.
6. Inspection. It is understood and agreed that any City official has the right to enter and
investigate the Property, to verify compliance with the conditions of this Easement Agreement or any
applicable Laws.
7. Notice. Any notices required or permitted to be given under this Easement shall be
in writing and shall be deemed to have been given if delivered by hand, sent by recognized overnight
courier(such as Federal Express)or mailed by certified or registered mail, return receipt requested,
in a postage prepaid envelope, and addressed as follows:

Notices personally delivered or sent by overnight courier shall be deemed given on the date of delivery
and notices mailed in accordance with the foregoing shall be deemed given three(3)days after deposit
in the U.S. mails. Notices related to the administration of this Easement Agreement, such as
upcoming inspections of the Property or City Work may be provided to the other party via e-mail. The
terms of this Section shall survive the termination of this Easement.
8. Insurance. The Owner shall maintain insurance on the Easement Parcel , at all times
as is reasonably customary for such property, and in any event with the minimum amounts as follows:
A. Commercial General Liability: $1,000,000 per occurrence; $2,000,000 in the
aggregate for bodily injury, property damage, and other related claims stemming from the
installation and maintenance of the Sidewalk Improvements;
B. Workmen's Compensation as required by law; and
C. These minimum requirements may be modified by the City's Risk Manager, from time
to time, in accordance with industry standards.
Such insurance policies shall be written by insurance companies licensed to do business
in Florida and with general policyholder rating of no less than A- and a financial rating of at least VII;
and shall contain a requirement that the insurer provide 30-days written notice to the City of any
cancellation of coverage to the attention of Risk Manager, 1700 Convention Center Drive, Miami
Beach, Florida 33139. The Owner shall provide the City with a certificate of insurance evidencing
said coverages The Owner shall add the City as an additional insured on the Certificates of
Insurance for General Liability, which Certificates of Insurance shall be subject to the approval by
the City's Risk Manager.
9. Indemnification. The Owner, its successors and assigns ("Indemnifying Parties"),
expressly agree to indemnify, defend and hold harmless and forever release and discharge the City
of Miami Beach, its officers, employees, personnel and agents, from any and all claims, demands,
causes of action, suits, losses, damages, liabilities, liens,judgements,fees, costs, expenses and other
charges (including the costs of any suits, attorney's fees and other expenses in connection therewith,
including trial and appeals therefrom) (collectively, the "Claims") arising out of, or in connection with
the negligent or wrongful act or omission of the Indemnifying Parties; the design, construction,
installation, operation, use, maintenance, repair and/or replacement of, or the failure to properly
design, construct, install, operate, use, maintain, repair and/or replace, any Sidewalk Improvements
by Indemnifying Parties; or in the event of an accident due to the use of the Sidewalk Improvements.
10. Construction.
a. This Easement Agreement shall be construed and
governed in accordance with the laws of the State of
Florida. All of the parties to this Easement Agreement
have participated fully in the negotiation and preparation
hereof; and, accordingly, this Easement shall not be
more strictly construed against any one of the parties
hereto.
b. In construing this Easement Agreement, the use of any
gender shall include every other and all genders, and
captions and section and paragraph headings shall be
disregarded.
c. All of the exhibits attached to this Easement Agreement
are incorporated in, and made a part of, this Easement
Agreement.
d. With respect to words used in this Easement Agreement,
the singular shall include the plural, the plural the singular
and use of any gender in this Agreement shall include all
genders.
11. Severability. In the event any term or provision of this Easement Agreement be
determined by appropriate judicial authority to be illegal or otherwise invalid, such provision shall be
given its nearest legal meaning or construed as deleted as such authority determines, and the
remainder of this Easement shall be construed to be in full force and effect.
12. Enforcement. Any sums due the City under this Easement Agreement shall be due
by Owner within fifteen (15) days from receipt of the invoice. The terms of this Easement Agreement
may be enforced by injunctive relief and any other available remedies. In the event of any litigation
between the parties under this Easement Agreement for a breach hereof, the prevailing party shall
be entitled to reasonable attorney's fees and court costs at all trial and appellate levels. As used
herein, the term "Prevailing Party" shall mean the party who receives substantially the relief sought.
CITY AND OWNER HEREBY KNOWINGLY AND INTENTIONALLY WAIVE THE RIGHT TO TRIAL
BY JURY IN ANY ACTION OR PROCEEDING THAT THE CITY AND OWNER MAY HEREIN
AFTER INSTITUTE AGAINST EACH OTHER WITH RESPECT TO ANY MATTER ARISING OUT
OF OR RELATED TO THIS EASEMENT AGREEMENT. The terms of this Section shall survive the
termination of this Easement Agreement.
13. Time of Essence. Time shall be of the essence for each and every provision hereof.
14. Entire Agreement. This Easement Agreement, together with the documents
referenced herein, constitute the entire agreement and understanding among the parties with
respect to the subject matter hereof, and there are no other agreements, representations or
warranties other than as set forth herein.
15. No Waiver. Enforcement of the terms and provisions of this Easement Agreement
shall be at the reasonable discretion of the aggrieved party, and no waiver of any of the provisions
of this Agreement shall be effective unless it is in writing, signed by the party against whom it is
asserted and any such waiver shall only be applicable to the specific instance in which it relates and
shall not be deemed to be a continuing or future waiver.
16. Cooperation. Owner agrees to execute such further documents as may be
reasonably requested by the City to carry out the intent and purpose of this Agreement.
17. Force Majeure. Any prevention, delay or stoppage due to strikes, lockouts, labor
disputes, acts of God, inability to obtain labor or materials or reasonable substitutes therefor, riot,
civil commotion, fire or other casualty, and other causes beyond the reasonable control of the party
obligated to perform, excluding the financial inability of such party to perform shall excuse the
performance by such party for a period equal to any such period of prevention, delay or stoppage.
18. Easements and Covenants Run with the Land. Each and all of the easements,
covenants, obligations and rights granted or created under the terms of this Easement Agreement
are appurtenant to Owner's Property. The provisions of this Easement Agreement shall constitute
covenants running with the land, shall be binding upon the parties hereto, their successors and
assigns, and shall inure to the benefit of the City, its successors and/or assigns. .
TO HAVE AND TO HOLD the same unto said City, its successors and assigns forever, and
the Owner will defend the title to said lands against all persons claiming by, through or under said
Owner.
