WITNESSETH: . .- i EAS, the City desires to sponsor the 'Miami Fashion Week" (the "Event")a grand Week event that will encapsulate the essence of style, creativity, and cultural Cek:u;t-:;,Un; and i itREAS,the Event's vision entails a fashion show, headlined by a renowned designer, serJ.ij the crowning jewel of this illustrious week-long event; and ...._i<EAS, following the captivating runway presentation, attendees will be treated to a n ,._,r;y music concert by an international performing artist, further elevating the ambiance, and c,i i y an unforgettable experience for all who attend; and ',rJI-IEREAS, this closing extravaganza aims to not only showcase the pinnacle of fashion exc�ii�,; a but also to foster community engagement and appreciation for the arts within Miami Be:.,ci , _.I .:..rcREAS, the goal of the Event is to leave a lasting impression on both attendees and alike, contributing to the cultural vibrancy and economic prosperity of Miami Beach; ar i.',;fEREAS, the Event Organizer applied for sponsorship funding through the FY 2024 Mia, 7i l;uach Special Event Sponsorship Program designed to provide financial assistance to Mian a beach-based special events; and 'JJI-IEREAS, on June 24, 2024, the Mayor and City Commission adopted Resolution No. 2024- -!13 accepting the recommendation of the Tourism and Culture Department for the of a sponsorship, in a recommended award amount of$70,300 for the 2024 Event; and ;:d,1EREAS, the City's sponsorship funding for the Event is to be paid directly to Event as more particularly set forth herein, to offset expenses for producing and pri.1:,er itiny the Event. .Ovv,THEREFORE,in consideration of the mutual promises and covenants made herein, City ,-went Organizer agree as follows: 1. l P., .;uuve recitals are true and correct and are incorporated by reference herein. 2. l i r.: .arm of this Agreement will commence on the Effective Date set forth above, and shall u following the conclusion of the 2024 Event and Event Organizer's completion of all of i;s ui�,,gations hereunder, unless terminated earlier in accordance with this Agreement. The ganizer has advised the City that the Event shall be known and promoted under ;,f the "Miami Fashion Week" Event Organizer shall be responsible for the conduct ,;ration of the Event and will provide the appropriate officials to conduct the Event. .;s specified herein for the remainder of the term of this Agreement, the City is under ;,lion to fund subsequent Events. Event Organizer shall ..sent that it is an agent, official, authorized representative or employee of City. w Event Organizer's compliance with its obligations under this Agreement, City is ,I.,le for the following: ;t to Event Organizer's compliance with its obligations under this Agreement and an appropriation of funds at the City Commission's sole discretion, City shall provide Organizer with sponsorship funding for the purposes specified herein, in the amount 300.00 for the 2024 Event; provided, however, that no more than 15 percent of the - total sponsorship contribution may be disbursed in advance of the Event. All ling cash contributions shall be made on a reimbursement basis, following the .;:ion of the Event, and following Event Organizer's submission, and the City's utance, of the final report referenced in this Agreement. A violation of this section hall be deemed a default under the terms of this Agreement. Notwithstanding the c:oove, this section shall not apply to expanded polystyrene food service articles used ui prepackaged food that have been filled and sealed prior to receipt by Event )rganizer. ,Jditionally, Event Organizer agrees and acknowledges that, pursuant to Section 82- oof the City Code, as may be amended from time to time, Event Organizer shall not :o1:, use, provide food in, or offer the use of single-use plastic beverage straws or i igle-use plastic stirrers (as defined in City Code Section 82-8)within the Event Site. violation of this section shall be deemed a default under the terms of this Agreement. Notwithstanding the above, the requirements of Section 82-8 shall not restrict Event Organizer from providing a beverage with, or offering the use of, a single-use plastic overage straw or single-use plastic stirrer to an individual with a disability or medical ,:ondition that impairs the consumption of beverages without a single-use plastic ,overage straw or single-use plastic stirrer. Lvent Organizer agrees to comply with Section 46-92(c) of the City Code, which pi avides that it is unlawful for any person to carry any expanded polystyrene product, ngle-use plastic beverage straw, or single-use plastic stirrer onto any beach or park .,ithin the City. It is also unlawful for any business to provide single-use plastic ::::average straws or single-use plastic stirrers with the service or delivery of any '. verage to patrons on any beach within the City. Notwithstanding the above, the ovisions in Section 46-92(c) that pertain to single-use plastic beverage straws and igle-use plastic stirrers shall not apply to a person or patron with a disability or ,:odical condition that impairs the consumption of beverages without a single-use ,,;astic beverage straw or single-use plastic stirrer. it Organizer hereby agrees and acknowledges that, pursuant to Section 82 of the _:ode, as may be amended from time to time, Event Organizer shall adhere to City Jition regarding the sale or use of expanded polystyrene food service articles, single l.ustic beverage straws, and single-use plastic stirrers. it Organizer shall be responsible for handling all media vendors and organizations gill be solely responsible for handling all issues relating to the media vendors. i Organizer shall retain any and all rights to the Event, including any rights ;;fated with Event-related apparel and/or product sales. Event Organizer ;hall maintain its good standing in accordance with the laws of the State of Florida and me City of Miami Beach Code of Ordinances ("City Code"), and shall comply with any ;decal, state, county or City Code requirement applicable to Event Organizer or to the vent Organizer's operation its business or other activities in the City of Miami Beach, . ,chiding, without limitation, obtaining any Certificate of Use or Business Tax Receipt(s) ,at may be required for any business activity, timely making payment of all taxes, fees crrurges that may be due to the City. Event Organizer shall promptly take corrective ;action to correct any City Code violation or notice of violation issued by any governmental :,ger;Cy with jurisdiction over Event Organizer. Further, Event Organizer agrees to con ply with the terms and conditions of any lease, contract, or other grant agreement :.gat Event Organizer may have separately entered into with the City, if any("Other City Contracts"). Event Organizer shall pay all claims and losses in connection ;rriith and shall investigate and defend all claims, suits, or actions of any kind or in the name of the City, where applicable, including appellate proceedings, and pay all costs, judgments, and attorneys' fees which may issue thereon. For each cycle, applicants who meet the requirements are scored by a review panel and subsequently approved by the Mayor and City Commission; and WHEREAS, for the category of Major Special Event, eleven (11)event organizers opened the application, six (6) event organizers completed the application, and five (5) event organizers were qualified for review. For the category of Community Engagement Event, nine (9) event organizers opened the application, and five(5) event organizers completed the application and qualified for review; and WHEREAS, the ten (10) applicants who met all requirements, including deadlines, were reviewed, and scored by a panel consisting of City staff, and members of the Greater Miami Convention and Visitors Bureau and the Miami Beach Visitor and Convention Authority. Incomplete applications were disqualified, and applicants were invited to apply during the next session, which launches on January 1, 2025, and will close on February 28, 2025; and WHEREAS, application scoring included an extensive review process that reviewed non-profit status, length of event, history of event, hotel room block (when applicable), whether attendees are regional, national and/or international, resident/community benefit, marketing, and public relations exposure, utilization of local venues, tax documentation, and more. Applicants were required to have a mandatory dollar for dollar ($1 to $1) match and demonstrate this match through cash, other matching sponsorships, and/or in-kind contributions; and WHEREAS, according to the Special Events Sponsorship Program, an application must score at least 65% on the Sponsorship Score Card for the administration to recommend that the sponsorship be awarded.
