(FCC USA) PURSUANT TO THE CITY'S AFTER-SCHOOL PROGRAMS AND SUMMER CAMPS INITIATIVE. This Amendment No. 1 ("Amendment") to the the Professional Services Agreement (the 'Agreement"), dated December 6, 2024, by and between the City of Miami Beach, Florida, a municipal corporation organized and existing under the laws of the State of Florida, having its principal place of business at 1700 Convention Center Drive, Miami Beach, Florida 33139 ("City"), and Soccer for Peace Foundation, Inc. (FCC USA), a Florida limited liability company, whose address is 3323 NE 163rd Street, Suite 600 Miami, Fl 33160 ("Contractor"), is entered into this _day of , 2025 ("Effective Date") and hereby amends the Agreement as follows: FEB 2 3 ?n25 RECITALS WHEREAS, Contractor's Approach: Socio-emotional education should be at the core of a child's development. FCC USA offers out-of-school programs with our own soccer-based methodology to promote values and life skills from a young age. We foster a culture of peace and non-violence, as well as the construction of their life project; and WHEREAS, Contractor's core work is with socially excluded and/or vulnerable communities. Contractor's intervention model includes working with children and young adults through our soccer program and with their parents also fosters community empowerment and youth leadership; and WHEREAS, on December 6`h, 2024, the City and Contractor entered into the Agreement, providing that in consideration of the Fee to be paid by the City, Contractor shall provide up to eighty-one (81) hours of Soccer curriculum group sessions during the school year and summer of 2025, and include Soccer material for participants, as further described in Exhibit "A" hereto; and WHEREAS, the parties desire to add an additional site to the Scope of Services, and modify the total fee. NOW THEREFORE, in consideration of the mutual promises and conditions contained herein, and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the City and Contractor hereby agree to amend the Agreement as follows: 1. The Agreement is hereby modified (deleted items s4risk--hfeugh and inserted items underlined) as follows: (a) Section 4, Fee, is hereby deleted in its entirety and replaced as follows: SECTION 4 FEE 4.1 In consideration of the Services to be provided, Contractor shall be compensated on a fixed fee basis, in the amount of Two Hundred Eighty-Five and Fifty-Six Cents ($285.56) per 2 sessions at Nautilus Middle School, and shall be compensated on a fixed fee basis, in the amount of One Hundred Thirty-Eighty and Fifty-Four Cents ($138.54) per group, per 3 sessions at Fienberg Fisher K-8 for a total annual amount not to Thirty-Three Thousand Two Hundred and Eighty- Nine. $33,289.00 4.2 Contractor shall be compensated for the Services, as set forth in Section 2 and Exhibit "A," as follows: • Provision of a one-and-a-half(1.5) hour session, two (2)times per week for twenty-seven (27)weeks during the school year at Nautilus Middle School. • Provision of a one-and-a-half(1.5) hour session will be provided three (3) times per week for Sixteen (16) weeks during the school year at Fienberg Fisher K-8. • Provision of a one-and-a-half(1.5) hour session, two (2) times per week for nine (9) weeks during the summer for a total cost not to exceed Thirty- Three Thousand Two Hundred and Eighty-Nine. $33,289.00. 4.2(a) Contractor will provide a minimum of two (2) instructors for the cohort of thirty-five (35) participants during both the school year and cohort of forty (40) participants during the summer. 4.3 Contractor's compensation shall be further subject to and conditioned upon all or any portion of the Services to be provided herein being allowable and within the Scope of Services delineated in Exhibit "A". 4.4 INVOICING Upon receipt of an acceptable and approved invoice, payment(s) shall be made within forty-five (45) days for that portion (or those portions) of the Services satisfactorily rendered (and referenced in the particular invoice). RATIFICATION. Except as amended herein, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect. In the event there is a conflict between the provisions of this Amendment and the Agreement, the provisions of this Amendment shall govern. The All Stars Program,administered by the Office of Housing and Community Services,negotiated a professional services agreement with Soccer for Peace Foundation,Inc.to provide soccer group sessions that promote values and life skills from a young age.The program can serve 120 students during the school year and 40 students during summer programming. Currently,the program is operating at Nautilus Middle School;however,an amendment to the existing contract is needed to add Fienberg Fisher K-8 as an additional site to serve its students. The amended scope of services stipulates that 53 sessions will be delivered during the school year at Nautilus Middle School, 70 sessions will be delivered at Fienberg Fisher K-8 and 17 sessions during the nine(9)weeks of summer programming.
