WHEREAS, Section 320.08058 (18), Florida Statutes,creates a Sea Turtle Grants Program, administered by SEA TURTLE CONSERVANCY which provides grants to coastal local governments, educational and research institutions,and Florida-based nonprofit organizations to conduct sea turtle research,conservation,and education activities that benefit Florida sea turtles; and WHEREAS,GRANTEE is a(n)Florida Government within the meaning of the statute and qualifies to receive Sea Turtle grant funding; and WHEREAS, the project, Flip the Switch Phase II (hereinafter referred to as the "Project"), was recommended for funding by the Sea Turtle Grants Committee at its March 11,2025 meeting in Gainesville, Florida, as required by statute; NOW, THEREFORE, in consideration of the mutual promises hereinafter contained, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereto agree as follows: I. Representations,Written Communications and Authorized Signatures The Parties hereby state that they have full authority to execute this Agreement and that the execution of this Grant Agreement shall not knowingly constitute a breach of the Parties' obligations under any other agreement to which it is a party or by which it is bound. The Parties further state that this Agreement has been duly executed in accordance with their respective internal policies and procedures. In all cases where written communications are required by this Agreement, such communications may be conducted through email or other digital platforms authorized by STC, and in all cases where a signature is required under this Agreement, such signature may be provided digitally. II. Project Summary,Tasks and Deliverables,and Incorporation of Attachments The GRANTEE shall fully and timely perform all items of work described in the Project Summary, Project Tasks and Project Deliverables as described in Attachment A and made a part of this Agreement. III. Review of Educational Materials(Print,Broadcast or Digital) If applicable, prior to release of educational or informational materials to any non-party to this Agreement,GRANTEE shall provide SEA TURTLE CONSERVANCY a draft of such materials for which any project resources (including counterpart resources) supported by this Agreement were expended, whether or not these materials are included as a deliverable in Attachment A. Educational or informational materials include print, broadcast or digital materials, including but not limited to: textbooks, pamphlets, brochures, flyers, posters, displays, signage, CDs, videos, presentations,blogs, and podcasts. SEA TURTLE CONSERVANCY shall have fifteen (15) business days from receipt to review submitted drafts of the educational or informational materials. SEA TURTLE CONSERVANCY may request revisions to the submitted materials until satisfied. Approval of educational and informational materials is at the sole discretion of SEA TURTLE CONSERVANCY. GRANTEE may not include any language of a fundraising or membership-development nature on any educational or informational materials produced with resources, including counterpart resources, provided by the Sea Turtle Grants Program. GRANTEE'S failure to obtain SEA TURTLE CONSERVANCY approval prior to the release of any educational and informational materials as set forth above may, at the discretion of STC, result in termination of this Agreement as set forth below, or removal of the item from further funding, and reimbursement of any funds already expended. IV. Scientific Research Materials Scientific research materials include data and information systematically gathered,analyzed, and synthesized using methods appropriate to the scientific discipline under which research is conducted pursuant to this Agreement, including publications and presentations based on that research. SEA TURTLE CONSERVANCY will not request any modifications to any publications,presentations,or other submitted drafts that are substantive in nature or otherwise affect the scientific integrity of such drafts, which remains the property of Grantee,pursuant to Article VI below. Public Records The Parties acknowledge that this Agreement and all records developed pursuant to this Agreement may be public records under the laws of the State of Florida. VI. Intellectual Property Intellectual property created using resources from this Grant may be copyrighted or otherwise legally protected by GRANTEE. SEA TURTLE CONSERVANCY may request the right to use, publish, and promote scientific research or educational materials created using grant resources, including posting such material on SEA TURTLE CONSERVANCY'S website and featuring it in publications. VII. Period of Performance The period of performance of this Agreement shall commence on May 1, 2025 or upon execution by both parties, whichever is later, and end on April 30, 2026, inclusive. All work performed under this Agreement, including submission of final reports, must be completed by the expiration date of this Agreement unless an extension is requested in writing and approved by SEA TURTLE CONSERVANCY,as set forth in Article IX below. VIII. Grant Amount, Payment Schedule and Reporting Requirements 1. In consideration for performance of the work described herein, and subject to the availability of funds, SEA TURTLE CONSERVANCY shall pay the GRANTEE a total of $23,710.00 (hereinafter referred to as the "Grant Amount") to support the Project distributed according to the following annual schedule: 70%($16,597.00)of Grant Amount upon execution of agreement, 15% ($3,556.50) upon receipt and approval of the six (6) month Programmatic (Attachment C), Financial (Attachment D), Budget vs. Actual (Attachment G) Reports, and 6-month Project Deliverables (listed in Attachment A) due no later than fifteen (15) days after six (6) months from the date of commencement of the Grant Agreement as set forth in Article VII above 15%($3,556.50)upon receipt and approval of the Final Programmatic(Attachment C),Financial (Attachment D), and Budget vs Actual (Attachment G) Reports, Final Project Deliverables (listed in Attachment A), and the GRANTEE's signed Certificate Of Grant Agreement Completion (Attachment F) due no later than thirty (30) business days after the period of performance end date as set forth in Article IV above. 2. GRANTEE must meet the six (6) month reporting obligation, including documenting spending at least 50% of the initial payment, to be eligible for a continuance of the award for the remainder of the period of performance, and Grant recipients must meet the Final reporting obligation to be eligible for future awards from this grants program. SEA TURTLE CONSERVANCY shall have twenty (20)business days from receipt of any report to review, approve and issue appropriate payment OR reject the report and allow GRANTEE fifteen (15) business days to correct the report. SEA TURTLE CONSERVANCY shall then have an additional ten(10)business days to review,approve and issue appropriate payment. Acceptance of Programmatic Reports and Financial Reports is at the sole discretion of SEA TURTLE CONSERVANCY. 4. If GRANTEE completes all Project Tasks and Deliverables listed in Attachment A within six (6) months from the commencement of the Grant Agreement, the Final Reports and Deliverables can be submitted in place of the 6-month Reports and Deliverables, along with the Certificate of Grant Agreement Completion(Attachment F). 5. Six Month Programmatic Reports (Attachment C) should detail the progress made toward the Project Tasks described in Attachment A. 6. Financial Reports must include a signed copy of the Financial Statement (Attachment D). All Financial Reports must be signed by a representative other than the Project Manager/Principal Investigator with the appropriate qualifications and authority to sign on behalf of the Grantee organization. 7. By granting funding hereunder, SEA TURTLE CONSERVANCY does not make any warranty, guarantee,or representation regarding any of the work performed pursuant to this Agreement. SEA TURTLE CONSERVANCY will receive research project results, reports, data, and deliverables "as is" without warranty of any kind, either express or implied, including without limitation the implied warranties of merchantability and fitness for a particular purpose. IX. Modification,Waiver and Extensions of Time 1. Except as provided for extensions of time and budget modifications below, no waiver or modification of all or part of this Agreement shall be valid unless approved in advance as a written amendment to this Agreement, signed by the Parties. 2. GRANTEE may request a no-cost extension of time of up to six months to complete the Project by notifying the Administrator of the Sea Turtle Grants Program in writing at least ten (10) days prior to the termination date of this Agreement, and providing the reason the extension is required. The Administrator shall grant or deny the request within five(5) business days. Subsequent requests for no-cost extensions of time will also be limited to six months. Absent extraordinary circumstances, requests for extensions of time shall not exceed a total of eighteen(18) months. The determination of extraordinary circumstances remains in the sole discretion of Sea Turtle Conservancy. 3. In the event that the GRANTEE anticipates that any specific line item in the Project Budget (Attachment B) shall vary by 20% or greater, a budget modification must be approved in advance Page 4 of 10 Eli\ Docusign Envelope ID:4A2A102C-5E3A-4291-B65A-59B61ECOCCOO - Sea Turtle Grant#25-010E p in writing by the SEA TURTLE CONSERVANCY Administrator of the Sea Turtle Grants Program. The Administrator shall grant or deny the request within ten(10)business days. X. Project Information Dissemination The GRANTEE is encouraged to work with SEA TURTLE CONSERVANCY to formulate a plan for dissemination of the project information and outcomes to governmental, scientific, and public communities through press releases, newsletters and online sources. The GRANTEE agrees to acknowledge the role of funding from the Sea Turtle Grants Program in any publicity related to this project, and to include the language below and the graphic contained in Attachment E on any and all publications, signage, documents, or other materials produced and disseminated pursuant to this Agreement. All reports and information dissemination must contain the following wording(6 point minimum font size): This (report/display/sign/brochure/project) was funded(in whole or in part) by a grant awarded from the Sea Turtle Grants Program. The Sea Turtle Grants Program is funded from proceeds from the sale of the Florida Sea Turtle License Plate. Learn more at www.helpingseaturtles.orr;. XI. Non-Discrimination No person, on the grounds of race, creed, color, national origin, age, sex, or disability, shall be excluded from participation in; be denied the proceeds or benefits of or be otherwise subjected to discrimination in performance of this Agreement. XII. XIII. Financial Records 1. The books, accounts, files, and other records of the GRANTEE which are applicable to this Agreement shall be available for inspection, review, and audit by SEA TURTLE CONSERVANCY or its selected representatives (including independent certified public accountants) for a period of five(5) years from the expiration date of this Agreement to determine the proper application and use of all funds paid to GRANTEE. Inspection, review and auditing procedures may include, but are not limited to, on-site visits by SEA TURTLE CONSERVANCY staff upon ten (10) business days written notice to the representative identified in Article XII of this Agreement. 2. GRANTEE assumes sole responsibility for reimbursement to SEA TURTLE CONSERVANCY the full amount of any expenditures disallowed through audit exception or an amount agreed by the Parties determining that expenditures from funds granted to the GRANTEE for direct and/or indirect costs were not made in compliance with this Agreement or generally accepted accounting principles. 3. GRANTEE shall notify SEA TURTLE CONSERVANCY of any independent audit of this Agreement and agrees to provide SEA TURTLE CONSERVANCY with a copy of any independent auditors' report upon request. If the report contains instances of non-compliance with federal and/or state laws and regulations which bear directly on the performance or administration of this Grant Agreement, the GRANTEE shall provide SEA TURTLE CONSERVANCY with copies of responses to auditors' reports, a plan for corrective action, and auditors' response that the noncompliance has been resolved. XIV. Liability& Insurance 1. GRANTEE assumes any and all risks of personal injury and property damage attributable to the acts or omissions of GRANTEE, and its officers, employees, volunteers and agents thereof while acting within the scope of their employment by GRANTEE. 2. GRANTEE states that it maintains general liability insurance coverage for both personal injury and property damage, with said protection being applicable to officers,employees, volunteers, and agents while acting within the scope of their employment by GRANTEE. GRANTEE and SEA TURTLE CONSERVANCY further agree that nothing contained herein shall be construed or interpreted as denying to either party any remedy or defense available to such party under the laws of the State of Florida. 3. To the extent required by law, the GRANTEE will either be self-insured for Workers' Compensation Claims, or will secure and maintain during the term of this Agreement, Workers' Compensation Insurance for all of its officers, employees, servants, and agents connected with this Project. Either Party may terminate this Agreement without cause by providing written notice to the other Party of its intent to terminate the agreement by certified mail, return receipt requested, at least thirty(30)business days prior to date it seeks for termination. 2. If GRANTEE defaults or fails to fulfill its obligations under this Agreement in a timely and proper manner, SEA TURTLE CONSERVANCY shall have the right to terminate the Agreement with cause by giving written notice of the default or any deficiency of obligation and by allowing GRANTEE thirty (30) business days to correct the deficiency of obligation. If GRANTEE is unable to correct the deficiency of obligation within thirty (30) business days, SEA TURTLE CONSERVANCY may terminate this Grant Agreement by providing written notice to Grantee of the effective date of termination. 3. A default leading to termination with cause under this Agreement shall also include, without limitation, the following: a) If GRANTEE files for bankruptcy, makes a general assignment for the benefit of its creditors,or if a receiver should be appointed on account of its insolvency. b) If GRANTEE disregards laws, ordinances, or otherwise fails to comply with any material provision of this Grant Agreement or commits a substantial violation of the provisions of this Grant Agreement. c) GRANTEE fails to timely provide the work or deliverables as described herein. 4. In the event of termination with or without cause, GRANTEE shall reimburse SEA TURTLE CONSERVANCY the difference between the Grant Amount received and the costs incurred by GRANTEE (including all outstanding and uncancelable obligations) incurred in accordance with this Agreement for work satisfactorily performed and accepted by SEA TURTLE CONSERVANCY as of the effective date of termination. 5. GRANTEE shall not be liable to SEA TURTLE CONSERVANCY for failure to perform its obligations hereunder to the extent that such failure to perform results from causes beyond its reasonable control (financial difficulty shall not be considered a cause beyond GRANTEE's control), including, without limitation, strikes, lockouts, or other industrial disturbances, fires, public health emergencies, unusual climatic conditions, acts of God, or inability to obtain transportation or necessary materials in the open market. GRANTEE shall promptly notify SEA TURTLE CONSERVANCY in the event of such a condition and the anticipated period of non- performance, which shall not exceed thirty (30) business days. If any such period exceeds thirty (30) business days or more either Party shall have the right to terminate this Agreement as described above. In this event,GRANTEE shall reimburse SEA TURTLE CONSERVANCY the difference between the Grant Amount received and the amount incurred by GRANTEE including all costs and outstanding and uncancelable obligations incurred in accordance with this Agreement for work satisfactorily performed and accepted by SEA TURTLE CONSERVANCY as of the effective date of termination. It is understood and agreed that the work of GRANTEE under this Agreement will be rendered as an independent contractor and not as an employee of SEA TURTLE CONSERVANCY and that no employee, volunteer, agent, subcontractor, or assignee of GRANTEE shall be deemed for any reason to be an employee, volunteer, agent, subcontractor, or assignee of SEA TURTLE CONSERVANCY. GRANTEE and its employees,volunteers, agents, subcontractors, or assigns shall not be deemed to be employed by SEA TURTLE CONSERVANCY for purpose of any tax or contribution levied by Federal or State law with respect to employment or compensation for employment. 2. It is further understood and agreed this Agreement is not intended by the Parties to constitute or create a joint venture, pooling arrangement, partnership, or other formal or informal business organization of any kind. The rights and obligations of the Parties shall be only those expressly set forth herein. Furthermore, neither Party shall have authority to bind the other Party in matters outside the scope of this Agreement,without prior written consent. XVII. General Provisions 1. GRANTEE, its employees, volunteers, agents, subcontractors and assigns, shall fully comply with all applicable federal, state, and local laws and regulations relating to the performance of work in accordance with this Agreement. 2. This Agreement may not be assigned, delegated or otherwise transferred by the GRANTEE in whole or in part without the prior written consent of SEA TURTLE CONSERVANCY. 3. This Agreement represents the entire agreement of the Parties. This Agreement shall not be amended, modified, nor shall any waiver be effective, unless set forth in a written document executed by duly authorized representatives of both Parties. No verbal agreements between the Parties shall affect or modify any of the terms or conditions of this Agreement. The waiver of any breach of any term, covenant, or condition herein contained shall not be deemed to be a waiver of such term covenant,or condition for any such subsequent breach of the same. 4. This Agreement contains all of the commitments, understandings and representations of the Parties, and supersedes and replaces any and all previous commitments, understandings, representations or agreements, oral or written, related to the work set forth herein. 5. If any part, term, or provision of this Agreement shall be held void, illegal, unenforceable, or in conflict with any law of a federal, state, or local government having jurisdiction over this Agreement, the validity of the remaining portions of the provisions shall not be affected. 6. This Agreement shall be enforced and interpreted under the laws of the State of Florida. Prior to filing a claim in court under this Agreement the Party seeking to file a claim shall provide written notice of intent to file a claim in court to the other Party by certified mail, return receipt requested. The parties shall thereafter make a good faith effort to resolve the dispute by negotiation within 30 Page 8 of 10 Docusign Envelope ID:4A2A102C-5E3A-4291-B65A-59B61ECOCCOO • • Sea Turtle Grant#25-010E } • days of the date of the written notice of intent to file a claim in court. If negotiation fails to resolve the dispute, the parties shall, prior to filing the claim in court, submit the dispute to any mutually agreed mediation service. The Parties agree that the mediator's fees and expenses will be shared equally by the Parties. If the parties cannot resolve the dispute through mediation, including by not agreeing to continue with mediation,or to any settlement offered by the mediator,either party may file suit in the courts of Alachua County. 7. Any disputes that are not resolved by negotiation or mediation shall be resolved in the courts of Alachua County, Florida. Each party shall be responsible for its own legal costs and attorney's fees regardless of whoever prevails in court. 8. The headings used throughout this Agreement are for convenience only and have no significance in the interpretation of the body of this Agreement, and the Parties direct that they be disregarded in construing the provisions of this Agreement. Sea Turtle Grant#25-010E SF Attachment A PROJECT SUMMARY,TASKS AND DELIVERABLES Project Summary: This project seeks to build upon the success of the Flip the Switch campaign (Phase I). The goal is to enhance sea turtle conservation efforts in Miami Beach(the City) through a collaborative partnership between the Miami-Dade County Parks Sea Turtle Conservation Program (the County),the Greater Miami Convention and Visitors Bureau(GMCVB),and other local community stakeholders. The City's Flip the Switch campaign was initially launched to reduce the impact of artificial lighting along the beachfront and educate the public on how to protect sea turtles during nesting season. With funding from the Sea Turtle License Plate Program, Phase II of this project will expand and strengthen these efforts by deepening partnerships and increasing community engagement. The project's overall aim is to reduce the disorientation of sea turtles and hatchlings caused by artificial lighting, while also enhancing the City's reputation as an eco-friendly destination. Target audiences include hotel staff,beach concessionaires,homeowner associations(HOAs), tourists, visitors,and residents living near turtle disorientation hotspots. By expanding the campaign's reach and impact, this project will help strengthen the community's commitment to protecting sea turtles for years to come. Project Tasks: GRANTEE will publish an announcement about the project and it being funded by the STGP. Phase II of this campaign will commence by developing and distributing two Public Service Announcements(PSAs). The first PSA will provide a general overview of sea turtle conservation, highlighting practical steps individuals can take to minimize their impact on sea turtles.The second PSA will be tailored to the hospitality industry, focusing on Sea Turtle Nesting Protection Ordinance compliance specifications for hotels and their management teams, including legal requirements and best practices. Prior to release of educational or informational materials, GRANTEE shall provide SEA TURTLE CONSERVANCY a draft of such materials for which any project resources (including counterpart resources)supported by this Agreement were expended, whether or not these materials are included as a deliverable below. GRANTEE may not include any language of a fundraising or membership- development nature on any materials under this agreement. Failure to obtain approval on a draft prior to printing may result in termination of this contract. 6-month Deliverables(in addition to required reports): • Copy of article(s) related to the project being supported by the Sea Turtle Grants Program from a Newspaper(Print or Online),Organizational Newsletter,and/or Website; • To date Paid Receipts/Documentation for Budget Line Item Expenses documenting spending at least 50%of the initial payment; • To date Budget vs. Actual Report(Attachment G); • Draft of Educational Material(s)for review,if not previously submitted. Final Deliverables(in addition to required reports): • Digital photographs documenting project; • Final Paid Receipts/Documentation for Budget Line Item Expenses since 6-month report; Final Budget vs. Actual Report(Attachment G).
