1. Daacriotion of Sarvices
ConVactor wiil provitle the services described in Exhibit"A' hereto(the"Services").
Althou9h Contractor may receive a schedule o/lhe evailable hours to provide its Services,the Ciry
shall not conlroi nor have the right to coniml ihe hours of the Services pertormad by ihe ConVactor;
where t�e Services are peAormetl(although the Ciry will provide ConVactor wiN tt�e appmpriate
locatlon to perform the Services): when the Services are pertormetl (incWCing how many tlays a
week the serviCes are performed): how the Services are pertOrmed; or any other aspect o(the

In consideration of Ihe Services to be provided pursuant to Ihis AgreemenC the City agrees to pay
Contractor a fee, not to eaceed ihe amount of f 18(ihe"Fee),which shall be pai0 as described in
Exhibit"B' here�o.
The Contractor shal�issue invoices to the Cily pursuant to Ihe mu�ual agreementof ihe partias and
pursuant to Ihe Fee Schedule sel forth in Exhibit"B'hereto,which invoices shall include a detailetl
tlescription of that portion(or Ihose portions)o(Me Services provitled.The Ciry shall2mit payment
to the Conirector wilhin 45 days of receiving an acceptable and approved Invoice from Ihe
Con Vector for that poAion(or Ihose portbns)of ihe Services satisfactonly rendere0(and referted to
in the particular invoice).
3. T�rminallon.
This Agreement may De tertninated by either party,wiN or without cause,by giving wntlen notice to
the other parry of such Iermination.which shall become eHective upon founeen(74)days�ollowing
receipt by �he other party of the wntten termina6on notice. Nohvithstantling the toregoing, in t�e
event ot a public hea�ih,weltare or sa(ery concem,as Determined by the Ciry Manager, in the Ciry
Mana9ars sole discretioq the Ciry Manager, pursuaM to a verbal or wniten notiFlcation to
Conlractor, may immedialely suspend the Services under ihis Agreement for a time certain, or in
the altemative, terminate lhis Agreement on a given tla[e. In the event o/termination pursuanl to
Nis sectbn, Ihe Conlractor shall be paid a sum equal ro all paymenis Oue ro Nm�Ter up to lhe date

axpenses including, but not limitad to, attaney's fees, for personal economic or bodily injury,
wrongful death, loss of or damage to p�operty,at law or in equiry,which may arise or be alleged to
have ansen hom tha negligent ects or omissions or other wrongful contluct o!Conhactor, and/or
any and all subwnirectors, employees, agents, or any other person or entiry acting under
Coniraclors wntrol, in connection with the Contrector's performance o(the services pursuant(o
this AgreemenL Con�ractor shall pay all such claims and losses and shall pay all costs and
judgmen(s,which may erise from any lawsuit ansing hom such claims antl losses,and shall pay all
costs and attorney's lees expentletl by the Ciry in defense of such claims end lossas, inclutling
appeals
The parties agree ihat one percent(1%)of the:otaf compensation to Contractor for peAormance of
ihe Services under this Agreement is ihe specitic consideretion /rom the Ciry to Contrector for ihe
Contrectors agreement to indemnify and holtl the Ciry harmless, as providetl herein. Contrector
antl the Ciry hereby agree antl acknowledga Ihat t�is indemniry provision is intended to and shall
survive the termination(or earliei expireti0n)of thi5 AgreemeM.
S. Limitation of LlabiliN
The City desires to enter into Ihis Agreement only i(in so doing the Ciry can place a limit on Ciry's
liabiliry for any cause ot action for money damages due ro an alleged breach by the City of this
Agreement,so that its habifity(or any such breach neverexceetls the sum of ihe compensatioNfee
to he paid to Contractor pursuant to this Agreement,less any amounts actually paid by Ihe Ciry as
ofthetlateo�theallegetlbreach. ContractorherebyezDresseshis/herwillingnesstoenterintothis
Agreement with Con(ractors recovery(rom ihe City for any damage action for breach o(wntrect to
be limited to a mazimum amount aqual to the compensatioNfee to be paid to Contreqor pursuant to
Ihis Agreement, less any artrounts actually paitl by Ihe City es ot the date of tha allegetl breach.
Accordingly,and nohvithstantling any other term or condition of this Agreement, Contractor he2by
agrees that the Ciry shall not he liable to Cont2ctor for damages in ihe amount in excess of Ihe
compensatioNfee to be paitl ro Contracror pursuant to this Agreement less any amouNs actually
paid by the Ciry as of�he date o(the elleged b�each,for any action or cieim for 6reach of coNract
arising out of�he peAormance or non-performance of any obligations imposed upon ihe City by Ihis
Agreement.
Nothing contained in this section or elsewhere in this Agrcement is in any way intended m be a
waiver of the limitation placed upon Ciry's liabiliry as set�orth in Section 76828, Fbrida Statutes.

B. DuN of Ce�e/Comoliance with Aooll able Laws/CoMI'ct ot Interest
With respect to the peAortnance of the Services contemplated herein, Coniractor shall exercise
ihat tlegree of skill, care, eHiciency and ditigence normally exercised by reasonable persons
antl/or rewgnized professionals with respect to Ihe peAormance o(comparable services.
In its performance of Ihe Services, Contractor s�all compy with all apPlicable laws,or0inances,
and regulations of ihe Ciry,Miami-Datle County,the State of Flonda,and t�e federal govemmant.
Without limiting the foregoing, Coniractor herein agrees to adhere to antl be govemed by all
applicable Miami-Dade Counly ConFlictof Interest Ordinances and ethics provisions,as setforih in
the Miami-Oade Counry Code, antl as may be amentled from 6me to time; arW by ��e City o(
Miemi Beach Charter and Code, as may be amendetl trom time to fime, both of which are
incorporetetl herein by referenced, as it fulry set fonh herein.
Conirector covenants tha�it presently has no interest arM s�all not acquire any inlerest,direct or
indi�ectly w�ich should contlict in any manner or degree with ihe performance o/Ihe Services.
Contractor further covenants that in t�e pertormance of Services under this Agreement rw person
�aving any such interest shall knowingly ba employed by the Contractor. Notwithstantling Me
foregoing, Contractor shall be able to provide similar services to other NiM parties as long as they
do not conflict with ihe Services to be provided hereunder.

employment (including inde0endent contractors), housing, public acwmmodations, public
senices,and in connection wi�h its membership or policies because of acNal or perceived race,
color, national on9in, religion,sex,interseaualiry,gender identiry,sexual onenta�ion, marital and
familial staWs, age, disabiliry, ancestry, height, weight, hair texWre antl/or hairsryle, tlomestic
patlner staWs, IaDor organization membership, (amilial situation, antl political efliliation.
10. Florida Publlc Records Lew.
(A) ConVacior s�all comply wiM Florida Public Recortls law under Chapter 119. Floritla
SIaN�es. as may be amentled fmm time to time.
(B) The term "public rewrtls"shall have �he meaning se[foRh in Section 119.011(12j, which
means all tlocuments, papers, letters, maps, books, tapes. pho�ographs, films, sountl
recordings, data processing soflware, or other material, regartlless of ihe physical form,
� characteristics,ormeansofiransmission,matleoireceivetlpursuanttolaworordinanceor
in connection wifh the transaction of oKcial business of the City.
(C) Pursuant to Section 119.0701 of the Florida Statutes,if[he Contrector meets the defnition
o("Conirector'as Gefnetl in Section 119.0701(1 ga), Ihe ConVactor shalf.
(i) Keep and maintein public records required by the Ciry to perfortn the service;
(2) Upon request from Ihe Ciry's cusrodian of Oublic �ecortls, provide ihe Ciry wiM a
copy of ihe requestetl recorUs orallow Ne records to be in5pecte0 or copied within a
reasoneble lime al a cost Ihet does nol e+ceed Ihe cost provided in Chapter 119,
Floritle StaNtes or as otherwise provided by law',
(3) Ensure lhat pu6lic records Ihat are exempt or confitlential and exempt hom public
records tl�sclosure requirements are not disclosed,except as authonzed by law,for
� ihe duretion of t0e wntract term antl following wmpletion of the Agreement if the
�. Contractor tloes not Iransfer Ihe records to the Ciry;
�'. (4) Upon completion of the Agreement,Vansfer,at no cost to the Cily,all publlc records
� in possession of the Contractor or keep and maintain public recortls required by the
City to pertortn Ihe service. If the Coniractor irans(ere all public rewrtls to ihe Cily
� upon completion of the AgreemenC Ihe Con�ractor shall desVoy any auplicate public
records that are exempt or confitlential and exempt from public rewrds disclosure
��, requiremenis.If the ConVaclor keeps and maintsins public records upon completion
of Ihe Agreement,the Contractor shall meet all epplicable�equiremenis fo�retaining
� public records. All records storetl elecironically must be provided lo Ne Ciry, upon
, request from the City's custotlian of public recortls, in a format t�at is compa6ble
. with ihe information technology systems of Ne City.
(D) REOUEST FOR RECORDS; NONCOMPLIANCE.
(1) ArequesttoinspeaorcopypublicrecordsrelatingtotheCiry'scontrectforservices

records, ihe City shall immetliately noli(y the Contraclor of Ihe requesl, and Ihe
Contractor must provide ihe records lo lhe City orellow Ihe rewrtls ro be inspectetl
or copied within a reasonable time.
(2) Contractofs (aiWre to comply with the City's request for records shall constitute a
breach of Ihe AgreemeN, and the City, at its sole discretion, may. (1) unilaterally
tertninate the Agreement; (2) avail itself of Ihe remeCies set forth under Ihe
Ag2ement; and/or(3J avail itself of any available remetlies at law o�in equiry.
(3) A Contracror who fails to provide tha public recorUs to the Ciry within a reasonable
time may be subjec�to penalties under s. 119.10.
(E) CIVIL ACTION.
(1) If a civil action is fle0 against a Contractor to wmpel production of public records
relating to Me Cily's contrect for services, Ihe court sba�l assess and awartl against
the Cont2ctor the reasonable wsts of enforcement,including reasona6le atlomey's
fees, if:
(a) The court determines Ihat the Contractor unlaw(ully refused to comply with Me
public recoMs request within a reasonable time; and
(b) At least eigM (8) business Oays hetore fling the action, the plaintifl provi0ad
wntten notice of the puDlic �ecortls request, including a slatemeN that �he
Contractor has not complietl wiN ihe request,to ihe Ciry and to the ConVactor.
(2) A notice complies with subpa2graph (1 Xb) it it is sent to tha Ciry's custotlian of
public recortls and to�he Contractor at the Contractols address IisteE on ifs wntract
with the Ciry or to the Contractofs registeretl agent. Such noticas must be sent by
common camer tlelivery service or by registere4 Global Express Guaran�eed, or
ceNfietl mail, with postage or shipping paid by the sender and with evidence of
delivery,which may be in an electronic Portnat.
(3) A CoNractor who complies with a public recoras request within eight(8) business
days aRer the notice is sent is not liable fcr the reasonable costs of enforoement.

Any patentable antl/or copynghtable resWtarising outo(this Agreement,as well es all informatlon,
speGfcations, procasses, dala and fndings, a2 hereby assigned to the City, in perpetuiry, for
public use.
No reports, other documents, artiGes or tlevices protluced in whole or in part under this
Agreement shall be the subject o/any application for patent or copyright by or on behalf o(Ne
Contraclor(or its employces or sub-contrectors. (if any)without ihe pnor wniten consent o/Ihe
Ciry Manager, which consent, if given at all. shall be at ihe Manager's sole and absolute
discretion.
12. liabiliNforRent Suoolies Eauioment Etc
ConVactor shall provitle all funds necessary to pay all debts, disbursements, and eapenses
incurred in connection with its peAormance of the Services hereunder,and shall not be enUtleO to
any raimbursement from t�e City unless otherwise agreed to by tha City. It will also provida ell
supplies and equipment necessary to proviae such Services. If Contractor uses any of ihe Ciry's
facililies. supplies, or equipment to furnish the Services hereun0er, Conlraclo�shall pay[he Ciry
(or such amount shall be detlucled from tha Fee set forth in Section 2)an amount as mutually
aqreed by tne padies.
73. LiabiliriforSubcoMreMors
Contrector shall be liable for iGs Services,responsibilities and liabilitles untler Nis Agreement and
[he cosis, services, responsi6ili6es and liabilities of any sub-contractors (i(any), antl any other
person or entiry actlng under the tlirec�ion or coNrol o( Coniractor (if anyj. In this regard,
ConVaclor must fumish [he City wi�h all information relating to ihe subcontractors which is
raquestad by Ne Ciry.When the term"Contractor'is used in this Agreement,itshall be tleemetl to
include any sub-contractors(if any)and/or any other person or entiry acting under the Direction or
control of ConVactor(if any). All sub-contractors(ii any) musl be tlisclosea in wn[ing to lhe Ciry
pnor to their engagement by ConVactor.
14. Indeoentlent Contreclor/No Jolnt Venture
THIS AGREEMENT SHALL NOT CONSTITUTE OR MAKE THE PARTIES A PARTNERSHIP OR
JOINTVENTURE. FOR7HEPURPOSESOFTHISAGREEMEN7,7HECONTRACTORSHALL
BE DEEME D TO BE AN INDEPENDENT CONTRACTOR,AND NOT AN AGENT OR EMPLOYEE
OF THE CRV, AND SHALL NOT ATTAIN ANV RIGHTS OR BENEFITS UNDER THE CIVIL
SERVICE OR PENSION ORDINANCE OF THE CITY,OR ANV RIGHT GENERALLY AFFORDED
CLASSIFIED OR UNCLASSIFtED EMPLOYEES INCLUDING ANNUAL AND SICK DAY
ACCRUAL. FURTHER, THE CONTRACTOR SHALL NOT BE DEEMED ENTITLED TO
FLORIDA WORKER'S COMPENSATION BENEFITS AS AN EMPLOYEE OF THE CITY OR
ACCUMULATION OF SICK OR ANNUAL LEAVE.
The Contractor shall be Ihe sole party responsible for any and all employment taxes,unemployment
compensation tazes or insurance, social sewriry tases, or other taxes, insurance payments, or
otherwise whether levied by any country or any poli�ical subtlivision thereoL The Contreclor shall

Except as otherwise expressly provitletl in the Agreement,ihe Cont2ctor shall in no way hoW ilseM
out as an employee, dependent agent oro�her servant of the Cily, i[s employees or othei agents,
oras other than a 6ee agent wit�respect�o the Ciry. The Con[rac[or is not granted, shall not have,
and acknowledqes the absence of any right or authairy to assume or create any obligations or
responsibility,ezpress or implied,on behal(o!or in Ihe name of the City or to bind the latler in any
marier or thing whatsoever.
15. Purchase Ordar Reouirsment
This Agreement shall not be eHeclrve until executed by ihe parties hereto and until ihe City has
issued a Purchase Order for(his Agreement
16. Force Maieure.
(A) A'Force Majeure"event is an event Ihat(i)in fact causes a delay in the perfortnance of the
Contractor or the Ciys oblgations under tha Agreement,and(ii)is beyond the reasonable
control o(such party unable to peAortn Me obligation, and (iii)is not due to an intentional
act, error, omission, or negligence of suc� party, and(iv)could not have reasonably been
foreseen entl prepa20 for by such party al any Iime pnor to Ihe occurrence of ihe event.
Subjec� to Ihe foregoing cntena, Force Majeure may inclutle events such as war, civil
insurrec6on, not. fres, epidamics, pandemics, rerronsm, sabotage, explosions, amhargo
rasMctions, quaren�ine restnctions, Iransponation accidents, slnkes, strong hurricanes or
tornadoes, earthQuakes, orotherac[s of God which prevent peAormance. Force Majeure
shall not include technologicat impossibility, inclement weather, or(ailure to secure any of
the requiretl permits pursuant to[he Agreement.

(B) Tha Office of the Inspedor General is authodzed to investigate Ciry aHairs and empowered
to review past, present and proposed Ciry programs, accounts, racords, coniracts and
Vansactions. In addition, the Inspector General has Me power to subOcena wi�nesses,
administer oaths. require the production of wimesses an0 monitor Ciry projeUs antl
programs.Moniloring o�an existirg City projeq or prog2m may include a report conceming
whether the project is on time, within butlget antl in cpnfonnance with the contrect
Cocuments antl applicabla law. TTe Inspecbr General shall have ihe power to audit,
investigate, monitor, oversee, inspect and review operations, activi[ies, peAormance and
procurement process including but not limitetl to project design, bid specifications,
@idlproposal) submitlals, activities of Me Coniractor, its oHicers, agents and employees,
lobbyisis, Ciry staff antl elected oKcials to ensure compliance with�he contract documents
antl to detect fraud ana cortuption. Pursuant to Section 2-378 of the City Cotle, the City is
allocating a percentage of its ove2�l annual conlrect expenditures to fund the activities and
operations of the Office of Inspector General.
(C) Uponten(10jtlayswrittennoticetotheContractor,theContractorshallmakeallrequested
records antl documents ava9able to the Inspector Generallor inspection an0 copying. The
Inspector Genaral is empowered to retain the services of indepenCent private sec�or
autlitors to autlil, investigate, monitor, oversea, inspect and review operations activities,
performance and procurement process inclutling but not limitetl ro project aesign, bia
specifwtions,(bitl/Oroposal)submittals,activities of the Contraclor,its offcers,agents antl

the Contractofs possession, custoay or wntrol which in the Inspectoi Generel's sole

estimete files,change ortler estimate files,worksheets,proposals antl aqreements from and
wit� successful subconlrectors antl sup0�iers, all projec4relate0 correspondence,
memorenda,instructions,fnancial documenis.construction documen4s,(bid/proposaq and

(E) The Cont2ctor shall make available at its offce at all reasonabla times the recortls,
materials,antl other evidence regartling the acquisition(bid preparetionJ antl performance

(1) If Mis Agreement is complelely or partially tertninated, the Contrac�or shall make
available rewrds rela[ing to Me work terminated until three (3) years after any
resulting final termination settlemenf. and
(2) TheCon[rec(orshallmakeavailablerecordsrelafingtoappealsortolitigationorthe
settlement of claims ansing untler or releting to[his Agreement until such appeals,
litigation, or claims are fnally resolved.
(F) The provisions in Ihis section shall appry b the Contractor, its oflicers,agents,employees,
su6wnVactors and suppliers.The Contrac�or shall incorporate Ihe provisions in this section
in all suhcontracts antl all other agreements exewted by tha Coniractor in connection with
[he performance o(this Agreament.
(G) Nothing in Mis section shall impair any independent right to Me Ciry to contluct audits or
investigative activities. The provisions of this section are neither intended nor shall Mey be
construe0 to impose any liabiliry on the Ciry by the Contractor or third parties.
20. E-Var
(A) To the ex�ent that Contractor pmvides iabor, supplies, or services under Ihis Agreement,
Contractor shall comply with Section 448.095,FlonEa StaNtes,"Employment EligiCility"('E-
Verify StaWte'),as may be amentle0 from Gme to time. Pursuant to the E-Veny SfaNte.

employees hiretl by the subcontractor tluring Ihe contraG 7erm. If Contractorenters into a

Counry Court to challenge a termination under the toregoing Subsection (Bxt)or
(BX2) no later than 20 calendar days afler ihe date on whic0 the conVacl was
tertninatetl.
(5) IftheCirytertninatestheAgreementwi!hContractorunderthaforegoingSubsection
(B)(1), Contrector may not be awarded a public contract for at least 1 year atter the
Cate of tertnination of Mis Aqreement.
(8) Contractor is liable for any atltlitional wsts incurted 6y the Ciry as a result o!the
termination of Ihis Agreement untler Ihis Saction 20.

25. Severance.
In Ihe event Ihis Agreement or a portion of this Agreement is found by a court of competenl
junstliction to be invalid Ihe remaining provisions s�all continue to be eftective unless Ciry elects to
terminate ihis Agreement.
Y6. Joint preoaratlon
The parties hereto acknowledge that t�ey have sought and received whatever competent advice
and counsel as was necessary for ihem to form a full antl wmplete understanding of all rights antl
obligations herein and ihat the preparation of this Agreement has been a joint eHort of ihe parties,
Ihe languaqe has been agreed to by patlies ro ezpress Iheir mutual intent and the resulting
document shall not,solely as a matter of juCicial construction,be construetl more severely against
one of Me parties ihan the other.
27. Mutual c000eration.
Contrector recognizes ihat Ihe pertormance o(this Agreement is essential to ihe provision of vital
public services and the accomplishment of Ne statetl goals and mission of the Ciry. T�ereFore,the
Contractor shall be responsible to maintain a cooperative and good faith attitude in all relations with
Ne City and shall actively foster a pu6lic image of mutual beneft lo both parties. The Contractor
shall not make any statements or take any actions detrimental to this eHort.
