WITNESSETH: WHEREAS, ihe City desires to sponsor edditional programming and activation on lincoln Road as more particularly descdbed in Exhiblt "A," incorporated herein by reference and atlached hereto, ihat will take place in the form of art Installations in celebratlon of Pride 2025 from late March through the entl of June; on Lincoln Road (the `Event Site'), as tlepicted in Ezhibit "A-1; incorporated herein by reference end attached herelo; and WHEREAS, lhese activatfons will include tvro large-scale sculptures-- one in ihe foun[ein on the 700 block ot Lincoln Road and another on the 800 block—creatlng visually engaging and symbolic representations of Pride in the heart of Miami Beach; and � WHEREAS, in addiGon[o the scuiptures,the LRBID seeks to futlher elevate the visual impact of the Installations by incorporetlng gr2phic sleevas for planters and bollards along Llncoln Roatl relnforcing the celebration of Pride throughout ihe distnct, and is seeking a matching grant from ihe Clty in the amount of $20,000; and WHEREAS, on March 19, 2025, the Mayor and City Commission adopted Resolution No. 202533579, approving a one-time matChing grenl in [ha amount not to exceed $20,000 to the Llncoln Road Business Improvement DisVic�to help oHset the Installation costs; antl � NOW,THEREFORE,in consideration of the mutual promises and wvenants made hereiq the City and Event Organizer agrea as follows. 1. Recitals. The above recitals are Vue and corred and are incorporated by reference herein. 2. Term. The Term of Ihis Agreement will commence on the Effeclive Date set forth above, shall include the Evant Date,and sBall explre following Even[ Organlzer's completfon of all its obligations hereunder. Event Organizer shall not have access to the Event Site outside of the City approved event hours depicted In ihe Special Event Percnit including loatl-in and loud-outhaurs. 4. Event Organizer Shall load-in antl load-out according to ihe details outlined in parmit SPE 0924-1822 . 5. Evant Organizer has agreed that the Event Site shall be open to the pu611c free ot charge. 8. EventOrganizershallberesponsibleforanyandallcompensationihalmaybedue to any antl all pedormers, entertainers, vendors, organizaUons, avenl senctioning bodies, vendors, and participants, and the City shall have no such responsibllity, obligation or liability. The City shall not be responsible or liable to competitors for prize money payments, or to eny third pady for any aspect of the productlon of the Event Fudher, the City shail not be a perty to any independent contracts ihet the Event Organlzer moy enter into with o�her organizalions, conUactors,or participants of the Evant and/or supporting activitlBs, nor shall ihe Cfly be liable to such thlyd pedles. Event Organizer shall not represent that it is an agent, official, euthorized representativa or employae of ihe City. . 7. Subjed to Evont Organizers compliance with its obllgalions untler this Agreement, the City is responsible for the(ollowing: Subject to epproval of en annual appropriatlon of funds.at the City Commission's sole discretioq the City shall provide Event Organizar with sponsorship funding for the purposes specifled herein, in the amount of Twenty Thousand Dollars and Zero � Cents($20,000.00)(the"Sponsorship"),shall be pald on a reimbursable basis upon receipt and appmval by the City of required supporting documantatlon Q.e. invoices, cancelled checks, photographs) evidencing that Event Organizar has incurred � ezpenses In en aggregate amount of a[leasl Twenty Thousand Dollars and Zero Cenis ($20,000.00). Special event appllcation fees and seatlty deposit sha�l not � be eligible for paymenl from tha Sponsorship funds. 8. Warrentles. Event Organizer warren[s antl ropresents that il has all necessary rights, authority, licenses and permits necessery to enter into this Agreemenl, to grant the righfs and licenses herein granted,and to carcy out Ils responsibilities as set forth herein. SOonsorshio Recoanilion and Promotional Materials. a. The City shall recelve sponsorship recognition on all medla or pmmotlonal plattorms related to the Event, af the same sponsorshlp level as other sponsors providing financial or other supporf comparable b Ihe City's sponsorshlp. Event O�ganizer wilt also tag Me City on all Event-related postings on digital tlistnbution platforms, also referretl to as social meaia plaHortns. All promotianal materials which indude ihe City's neme or logo, including, without limitation, advertising, telecasis, signage and social metlia publications shall be subject to the City's ri r writlen aonroval,which approval may 6e withheltl at the Ci�y's discrelion Evant brganizer shall cease using all logos or other City marks upon Ihe expiration of ihe Term. Event Organizer shall be responsible for hantllin9 all media vendors and . organizations and will be soleiy responslble for handling all Issues relating to Ihe . media vendors. b. Evenl Organizer shall retain any and all rlghts to ihe Event, inclutling any rights associated with Event-related apparel andlor product sales. a Event Organizar shall keep lhe City apprised, on a monihly basis, of its progress with respeCt to the activation of the EvenL The Cily, at its sole discretion, may � monitor and conduct an evaluation of Event Organizers Implementatlon of ihe Event Event Organizer agrees to cooperete wilh the City to promplly address any deficiencies or concerns ihe City may have in connection with the Event. d. Event Organizer shall purchase and obtain all required Event Insurance policies for the following coverages: a. Event Organizer shall malnlain its good standing In accordance with [he laws of the Stale of Florida entl the City of Mlami 8each Code of Ordinances("City Code"), and shall comply wlth lhe Special Events Permi}and any federel, slate, county or City Cotle requuement appticable to Event Organizer or to tha Event Organizer's operetion, its business, or other activities in the City oF Miamf Beach, Including, without limltation, obtainina any Certiflcate of Use or Business Tax Receipt(sl thet may be requiretl for any busmess actiNty,timely making paymenl of ell taxes,fees or cherges that may be tlue to the Ciry. Even�Organizer sheil promptly take corrective action to correct any City Code violation or notice of violation issued by any 8overnmental agency wlth judstlictlon over Evenl Organizer. Indemnification.Event Organizar shall Indemnify and hold harmless tha City and its oHicere, employees, agents, and contrectors, from antl agalnst any and all actions (whether at law or in aquily), claims, Ilabililies, losses, expenses, or tlamages, including, without limitatlon, altomeys' fees and costs of defense, for personal, economic, or botlily injury, wmngful death, or loss of or damage lo property, which fhe City or its officers,employeas,agenls, and contractors may incur as a result of claims, demands, suits, ceuses of acpon or proceetlings of any kind or nature adsing out of, relatlng to, or resulting from the performance of this Agreement by Event Organizer or its officers, employees, agents, servants, padners, pdncipals or contractors, or EveM Organizer's use of the Event Slta. Event Organizer expressly understantls a�tl agreas that any insurance protection required by Ihis Agreement, or otherwise provided, shall In no way limit its obliga�on, as set forth herein, to indemnHy, holtl hertnless, and defend ihe City or Its officers, employess, agents, and conlrectors as herein provided. 17. Prohibitions Reaartlinq Sale or Use of Exoanded Polvstvrene Footl Sarvice Articles Sngle Use Plaetic Beveraae"Straws And Sinple-Use Plastic Stirrers a. Event Organizer he2by agrees and acknowletlges that, pursuant to Section 82-7 of the City Code, as may be amended from time to time, Event Organizer shall not sell, usa, provide (ood in, or offer the use of expanded polyslyrene (ood service aNcles (es defined in City Code Secllon 82-7)in City tedlitias or an City propedy, in connection with any services performed pursuant to this Agreement. A violaGon o( this section shall be deemed a dofault under the terms of this Agreement. Nolwithstanding the above, this section shall not epply to expanded polystyrene food service articles used for prepackaged (ood that have been flled end sealed prior to receipt by Event Organizer. b. Nohvithstanding tha above, this section shall not apply to expended polystyrene footl service articles used for prepackaged food that hava been flled and sealed prior to recaipt by Event Organizer, and 2. not to sell, use, provide food iq or offer the use of single-use plastic beverago svaws or single-use plastic stirrers In the Facility,A violaUon of this section shall be deemed a tlefault under ihe terms of thls Agreement. Nolwithstanding �he above, Event Organizer shall ba pertniqed to providing a baverage with,oroffenng the use of, a single-use plesec beverage straw or single-use plastic stirrer to an indlvitlual wdh a disabllily or medicel condition that Impairs tha consumption of beverages without a single-use plastic beverage straw or single-use plastic stirrer. 18. Events of�efautt, Tertnination of Agreement and Remedles. a. The following shall constitute events of tlehult 1. The ocwrtence of any event of default by Event Organizer may, at the sole option �. of ihe Clly, operate as an automatic forfeiture o(any rights or benefits conferred untler this Agreement, and accordingly, the City reserves the nght to revoke the Sponsorehip, including requidng Event Organizer to repay to the City any Sponso�ship funtls already disbursed antl/or discontinuing the funding pmvidetl for � herein. c. In ihe event ihat Event Organizer Is in default of any of its obligations untler this Agreement, the Ciy reserves the right to pursue all legal remetlies avallable to it including, bul not limited to, tlie right to termina[e this AgreemenL upon written notice to Event Organizer. In the evenl of any such terminalio0. �he City shall have no further obligation or liabilily to Event Organizer. 19. Asslonment Event Organizer shell not assign ils rights or o6ligations under this Agreemenl without the Citys consent.Any purported assignment in violation of �his sectlon ahall 6e void and shall constitute an event of default hereuntler. 20. Audit and Inaoections Event Organlzer shall keep accurate and complete books and recortls of all receipts and ezpenditures relatlng to this Agreement, in accordance with reasonable accounting standards, and shall rataln such books and records for at least four(4)yeare after completion of the Event.At the request of the City, Event Organizer shall provide ihe City(and/ar its designated representa�ives}reasonable access to its Ales, records and personnel during regular business hours for tho purpose of making(inancial audits, evaluations or verifications,program evalua[ions, or other verificatlons concerning this Agreement,as the City deems necessary. FuRhermore, the City may,at its expense,audit or have eutlited, all the fnancial records of the Event Qrganizer related ta this Even[. 21. Insoeclor General Audit Riohts a. Pursuant to Section 2-256 of ine Cotle of the City o( Miami 8each, the City has establlshed the Office of the Inspedor General which may, on a random basis, pedortn reviews, audits, inspections and investigalions on all City contrects, throughout lhe duration of said contracts.Thls random audit Is separate and Alstlnct from anyother audit performetl by or on behaM o(the City b. 7he Offce of the Inspector Generel is aulhorizod to investigete City affairs end empowered to review past, present antl pmposod Ciry pmgrams, accoun�s, recortls, contrects and transactions. In addition, the Inspector General has tha power to su6poena witnesses, administer oaths, requira the production o( witnesses and monitor Cily projeds and programs. Monitoring of an existing Clty proJect or program may includa a report concerning whe[her the project Is on time, wi�hin budget and in conformance wi�h the contracl documenis and applicable law. The Event Organizer shall make available at its offce at all reasoneble times lhe records, materials, and other evidence regarding the acquisftlon (bid preparatlon) and pertormance of Ihis contrect,for examination,audit.or reproduction, until three (3)yaars after final payment under this contract o�for any longer period required by stalute or by other clauses of this contract. Flodda Public Records Law� a. Event Organizer shall comply wilh Floritla Publlc Records law under Chapter 179, Florida Statules, as may 6e amended from time to tima. b. The term "public 2cords'shall have Ihe meaning set forth in Section 119.011(72), which means all documents, pepers, letters, maps, books, tapas, photographs, flms, sound recordings, data processing software, or other materlal, regardless of ihe physical fortn, chaiacterislics, or means of transmisslon, made or receivetl pursuanl to law or ordinance or in conneclion with[he trensacllon of ofFlcial business of the Cily. c. Pursuant to Section 179.0701 of the Florida Statutes, if Event Organizer meets lhe definitlon of "Contrector° as deflnetl in Section 119.070i(7)(aj, Event Organizer � shall: 1. Keep and mainfain public records required by the City to pedorm the service; 2. Upon request from the City's custodian of publlc records, provide the City wRh a copy of the requested records or allow lhe records to be inspectetl or copied within a reasonable time at a cost Nat does not exceed the eost provided�in Chapter 119, Florida Statutes or as otherwise provided by law; 3. If tha Consultant Iransfers all publlc records to�he City upon complelion of the Agreement, Event Organizer shall destroy any duplicate public rewrds that are ezempt or confidentiel and exempt from public records - disclosure requirements. 8 Event Organizer keeps and maintains public records upon completion of tha Agreement, the Consultant shall meet ail applicable requiremeNs For re�alning publlc records. All records stored elecUonically must be provided lo�he City, upon request from tbe Citys custodian of public records, in a formet thet is compatible wilh the Infortnation technology systems of Ihe Cily. d, Request For Records; Noncompliance. 1. ArequesltolnspectorcopypubllcrecordsrelatingtotheCRqscontraclfnrservices must be made directly to the City.
