This Amentlmen� No. 5 ("AmentlmenC) to the Professional Services Ag�eement
("AgreemenP'), dated October 23,2015, by and between the City oF Miami Beach, Florida,
a municipal corporation organized and exisling under the laws of the Sla�e of Florida,
having its principal place of business at 1700 Convention Center Drive, Miami Beach,
Florida 33139 ("Ciry"), and Klmley-Hom and Associa�es, Inc., a North Carolina
corporation, whose address is 1221 Brickell Avenue, Suitc 400, Miami, Florida 33131
("ConcultonC').
RECITALS
WHEREAS,on Odober 23, 2015, the Ciry and Consullant(collectivery,lhe"parties")
execuled lhe Agreement pursuant to RFQ 2015-115-JR, for Prog2m Managemenl
Services for'Intelligent Transportation and Parking Management System,for an initial tertn
of three(3)years and two(2)one-year renewal terms�,and
WHEREAS, on October 13, 2021, Ihe City Commission adoptetl Resolution No.
202131892, authorizing lhe City to ezeate Amendment No. 1 to Ne Agreemenl,
exlending the term of Ihe Agreement through a dale that is six (6)monlhs from the Ci�y's
acceptance of lhe compleled Project, without exceeding �he original approved not-lo-
exceed contract wp of$2,250,OOO.DO,which Amendment No. 1 was eaecoled by ihe City
and ConsWtant on May 25, 2022�, and
WHEREAS, on December 22, 2022. Ihe Ciry and Consultant executed
Amendment No.2 to Me Agreement,to incorporate and memorialize�he foilowing houdy
rate adjustmenls that over time, which were implemen[ed over time al Ihe ConsultanCs
request anA based on increases in the U.S. Bureau of labor and Sta[istics Consumer
Price Intlex increases for All Urban Consumers
• 1.4% rete increase affective July 1, 2016;
• 1.9% rate Increase eflective July 1, 2017�,
• 1.8% rate inCrease efteCtive August 1, 2020;
• 0.9% 2le increase eHec!ive July 1, 2021�,
• 9.1% rate increase effective July 1, 2022�. and
WHEREAS,the new exhibit B to the Agreement memorializes adjustments to the
hourly billing retes, which have been maAe over time, anA futlher es�ablishes the
methodology for any fuWre adjustments and authorizes the Ciry Manager lo adjust the
hourly billing rates, based upon fhe percentage of change in Consumer Price Index for
all Ur6an Consurners(CPI-U)', and
WHEREAS, on May 22,2024,the Ciry and Consultant executed Amendment No.
3 lo the A9reemenC inereasing the hourty billing ra�es by 37% In accordance wllh Ihe ,

herein as the"AyreemenP'); and
WHEREAS,on June 26,2024, Ihe Mayor and City Commission adopted Resolulion
No. 202433151, au�horizing the City Manager to execu�e Amendment No. 4, increasing
the onginal approved nobto-exceed contract sum from $2,250,000.00 to $3,250,000.00,
subject to funding approval as part of the FY 2024 Capital BudgeC, and
WHEREAS, rer.ently, the Consultant requesteA an increase of 2.6% lo ihe hourly
billing rates, effer.tive relroar.tively to Or,tober 1,2024(Ihe"2024 Ra�e Increase"),pursuant
to the percentage of increase in Ihe Cansumer Price Index for all Urban Consumers (CPb
U); and
WHEREAS,Ihe new Exhibit B to the Agreement memoria�izes the 2.6 % increase
adjus�ment to the houtly billing rates, without exceeUing �he not-toexceed contracl sum
of$3,250,000.00, as set forth in Amendment No. 4 ot lhe Ayreemenl.
NOW THEREFORE, in consideretion of the mutual promises and conditions
contained herein, and other good and valuable consideration, ihe suHiciency of which is
he�eby acknowledged,the City and ConsWtant hereby agree to amend the Agreement as
tollows:
1. ABOVE RECITALS.
The above recitals are true and correct and are incorporated as part o( this
Amendmen[.
2. MODIFICATIONS.
The Agreemenl is hereby modified (dele�ed items struck through and inserted
iCems underllned)as follos-
(a) Ezhibit B of the Agreement (CONSUI_TANT HOURLY BILLWG RATE
SCHEDULE)is hereby deleted in its entirery and replacad with Ihe new
Exhibi�B, altached hereto.
3. RATIFICATION.
Except as amended herein, all olher terms and r.onditions of the A9reement shall
�emain unchanged and in full force and effect. In ihe eveN there is a r,onFlir.t
6etween the provisions of this Amendment and the Agreement, the provisions of
Ihis Amendment shall govem.
