Llmitation of LlablliN The City tlesires to enter into lhis AgreemeM only if in so doing the City can place a limit on Ciry's liabiliry tor any cause of action for money damages due to an alleged breach by fha Ciry of IMs Agreement, so that its hability for any such breach never ezceeds the sum of ihe compensatioNfee to be paitl to Contrector pursuant to�his Agreement, less any amounts actually paid by the Ciry as of the date of Ihe alleged breacR Contractor hereby ezpresses hislherwillingness to enter into this Agreement with Contractofs recovery from the Ciry for any damage action for breach o(coniract to be limited to a maximum amount equal to the compensation/fee to be paid to Contractor pursuantto Ihis Agreement, less any amounts actually paitl by the Ciry as of the date of the alleged breach. (C) Pursuant to Section 119.0701 of the Flonda Slatutes, if the Contrector meets the definition of"Contracror"as defined ir Section 11g.0701(1)(a),the ConVacbr shall: (1) Keep antl maintain public recortls requved by the City to pertortn the service; (2) Upon reques� from the Ciys custotlian o(public remrds, provide the Ciry with a copy of the requestetl records or allow ihe recorOs to be inspectetl orcopied wiNin a reasonable time at a cost that tloes not exceee the cost provitletl in Chapter 179, Flonda Statutes or as otherwise provided by law; (3) Ensure Ihat public records Ihat are exempt or wnfeential and exempt from public records Cisclosure requirements are not discbsed,except as au[honze0 by law,(or the tluretior, of the wntract te�m and following completion of the Agreement if the Contractor tloes not transfer ihe records [o the Cily; (4) Upon completion of Ihe Agreement,iransfer,at no wst to ihe Ciry,all public recorUs in possession of the Contractor or keap antl maintain public recortls requiretl by Ihe City to pertortn ihe service.
