to Invitation b Bitl ('ITB") No. 2017-049-WG builtling and specialry �rade contractors for minor
projects Qhe'ITB");and
WHEREAS, on September 1$ 202L the City and Coniractor execufed Amendment No. 1
to Ihe Agreemen�, said Amendment included the omitled "Contrar.t Prm�isions for Noo-Federal
Entiry Contracts Under the Federal Award," the "Byrd Anti-Lobbying Amentlment Certification,"
Ihe'Suspension and Deharmen� Certifca�ion,"and other miscellanaous requireme.nts of ihe Clry
Code and Florida law; and
WHEREAS, this Amentlmeni seeks to incorporale certain contrect lanquage requireA by
Sectlon of the Housing and Urban Development Act of 19be, as amended. 12 U.SL. V01u
(sectlon 3) (the "Section 3 Contract Clause") into the Contract as required by 24 CFR Part 75.
and
WHEREAS, ihis inte9ration ensures compliance wilh federal regulations by mantlating that
employment antl economic opportunities generated by HUD-assisted projects are directed, [o the
greatest extent feasib�e, to individuals and businesses meeting Section 3 eligibility criteria; and
WHEREAS, �his Amendment also incorporales HUD Form 4010, which provides the
Federal Labor StanAards Provisions re�uired �n r,ertain contracts antl subcontracts for HUD-
assisted consiruction work.This ensures compliance with labor lavas, particularly those related ro
� wages, hours, and safety standards(or fede�alty f�mded projects;and
WHEREAS, it further incorpora[es �he app�irable building wage rafes, specifically General
Decision Number FL20230215�, and
WHEREAS, this Amendmant acknow�edges that the Contract expired on Au9ust 4, 2023,
and hereby inr,orporates the Federal guidelines retroactively eftective as of Auc�ust 5, 2023. The
PaAies agree Ihat this Amendment does not exiend tne Coneract or adtl additional swpe to the
expired A9reement. Insteatl, Ihis F�mendment fornalizes the understanding that the Parties

The Project or Program to which the construction work mvered bythis Contract pertains is being
assisted bythe United Sta[es of America, and the fallowing Federal LahorStandards Provisions are
induded in this Con[ract pursuant to the provisions applica6le m such Federal assisiance.
1. Minimum wages and fringe benefits
i. All laborers and mechanlcs employed or working upon the site of the work(or othcrwise working in
construction or developmen[of the project under a development statute),will 6e paid
umm�ditionally and not less often than once a week,and without subsequent deduction or rebate
on any acmunt(except mch payroll deductionsas are permitted hy regulations issued by the
Secretary of Labor under the Copeland Act(29 CFR part 3�),the full amount of basic houdy wages
and 6ona fide fringe 6enefits�or cash equivalents thereof)due at time of payment mmputed at
rates not less than those mn[ained in the wage determinatian of the Secmtary of Labor which is
atiached hereto and made a part hereof,regardless of any contractual rela[ionship which may be

3. The proposed wage rate,induding any hnna fide frin�e benefits,bears a reasonable
relationship to Ihe wage rates mntained in[he wage determination.
B. The mnformance pmcess may not be used m split,subdivide,or otherwise avoid application of
dassiFications listed in the wage derermination.
G If the mntractor and the laborers and mechania to be employed in the dassification(if known�,
or lheir represenlatives,and the mntracting officer agree an the dassi(ication and wage rate
(induding the amount designated for fringe benefits where appropriate�,a report ofthe action
takenwillbesentbythemntractingoffi�erbyemailtofl6Amnformance dol.Rov.The
- Administrator, oranauthorizedrepresentative,willapprove,modify,ordisappmveevery
additional dassification action within 3�daYs of rereipt and so advise the contracting officer or

D. In the event the mntractor,the laborers or mechanics to be employed in che dassification or
their representatives, and the wnVacting officcr do not agree on Ihe proposed dassification
and wage rate(induding the amount designated for fringe henefits,where appropriate�,the

the vlews of all lnteres[ed partles and the recommendation of the mntracting officer,to ihe
Administrator for determination.The Administraror,or an auffiorized representative,will issue
a determination within 30 days of receipt and so advise the mntracting officer or will notify
the contracting officer within the 3o-day period ffiat additional time is necessary.
E. Themntractingoffirermustpromptlynotifythemntractoroftheactiontaken6ytheWage
and Hour Division under 29 CFR 55 (a��l�(iii��C�and(D�.The mntractor mustfurnish a written
mpy of such determinatlon to each affected worker or it mus[be pasied as a part of the wage
determination.The wage rate(induding fringe benefits where appmpriate�determined
pursuant to 29 CfR 55(a��l��ill��C)or�D)must be paid to all workers performing work In[he
dassification under this contractfrom the frst day on which workls performed in[he
dassification.
iv. Fringe benefits no[e�pressed as an haurly rate
Whenever ihe minimum wage rate prescribed in the mntract for a dass af laborers or mechanics
indudes a fringe benefit which is not eapressed as an hourly rate,the mntractor may either pay the
benefit as sfated in the wage determination or may pay another bona fide fringe benefic or an houdy
cash equlvalent thereof.
v. Untunded plans
If ffie ron[racmr does no[make paymen[s ro a Rus[ee or ocher third person,ffie mnvacmr may
consider as part o!the wages of any laborer or mechanic the amount of any msts reasonably
anlicipa[ed in providing bona fide fringe benefits under a plan or pmgram,Pmvided,That Ihe
Secretary of Labor has found,upon che written request of the mntractor,in acmrdance with the
criteria set forth in 29 CFR 518,that the applicable standards of the Davis�Bamn Act have becn met.
The Secretary of Lahor may require the mntractor to set aside in a separare acmunc assets for the
meeting af obligations under the plan or program.
vi. Interes[In the event of a failure to pay all or part of the wages required by Ihe mntract,Hie
contracmr will be required m pay interes[on any underpaymenf of wages.

The U.S.Department of Housing and Ur6an Development may,upon its own action,or must,upon
written request of an authorized representative of the Department of Lahor,withhold or caure to 6e
withheld from the mntra�ror so much of[he accrued payments or advances as may be mnsidered
necessary to sa[B(Y�he Ilabillties of the prime contractor or any su6mn[rac[or for the full amount
of wages and monetary relief, induding interest, required bY�he dauses set forth in 29 CFR SS�a�
for violations of this contract,or[o saiisfy any such liabilities required by any oiher Federal
wntract,or federally assisted contract subject m Davis-eamn la6or standards,that is held by the
same prime mntractm(as defined in 29 CPR 52�.The necessaryfunds may he wichheld from the
mntractor under this contract, any other Federal mnVact with the same pnme mntractor,or any
oCher federallY assisted mntract chat is subJec�to Davls-Bamn labor standards requlrements and is
held hy the same prime mnvaccor,regardless of whether the other contract was awarded or
assisted 6y the same agency,and such funds may 6e used m satisfy the contractor lia6ility for which
[he funds were withheld. In the event of a mntractor's failure m pay any laborer or mechanic,
