SECTION i
DEFINITIONS
Agreemenl: This Agreement 6etween the Cily and ConsWtanC including any ezhibils

Ciry Manager The chief administralive ofFicer of the Ciry.
Ciry Manageis
Designee: The City s[aH member who is designated by Ihe City Manager to atlminister
�his Agreement on behalf of�he City.The Ciry Manager's designee shall be
ihe Tourism and CWNre Department Director.
ConsNtant For the purposes of this Agreement, Consultant shall be deemetl to be an
indepentlent contractor, and no�an agent or employee of the City.
Services: All services, work and actions by the Consultant performed or undedaken
pursuant to the Agreement.
Fee- An amount not to exceed $15,000.

SECTION 2
SCOPE OF SERVICES
2.1 In consideretion o(the Fee lo be paid to Consultant by Ihe Ciry, Consul�ant shall provide
the work antl services described in Ezhibit"A"hereto(Ihe"Services").
Al(hough ConsultaN may be provided with a schedule of �he available hours to provide its
Services,the City shall not con(rol nor have Ihe rigM to conirol�he hours ot Ihe Services Oe�ormetl
by �he Consultanl; where the Services are performed (ailhough the City will provide ConsWtant

wilh Ihe appropna[e location to pertorm Ihe Services);when the Services are pedormed,including
how many days a week Ihe Services are performetl;how the Services are pertormed,or any other

fhe toregoing, all Services provitled by ihe Consultant shall be performed in accordance wilh ihe
terms and conditions set forth in Ezhi6it"A"antl lo�he reasonable satisfaclion of t�e City Manager.

2.2 ConsultanYs Services, and any deliverables incident thereto, shall be compleled in
accortlance with Ihe timeline and/or schedule in Ezhibit"A"hereto.
SECTION 3
TERM
The term of this Agreement ("Term") shall commence upon ihe Effective Date antl shall expire
Following the condusion of the Servlces antl ConsultanPs completion of all o( i[s obligations
hereunder, unless (erminated eatlier in accordance with this Agreement. There shall be no
renewal options
No(withstanding the Term provided herein, Consultant shall adhere [o any specific timelines,
schedules, dates, and/or pertormance milestones for completion and tlelivery of�he Services,as
same is/are set forth in �he limeline and/or schedule referenced in Ezhibi["A" hereto.
SECTION 4
FEE
4.1 In consitleration of the Services to be provided, Consultant shall be compensa�ed on a
�xed fee basis, in the amount of$15,OOQ for a total amount not to exceed $15,000.
4.2 Intentionally omittetl.
d.3 The !ee is to be paitl in one installment in Ihe amount of $15,000 upon execulion of the
Agreement.
4.4 INVOICING
Upon receip� o(an acceptable antl approved invoice, paymenqs) shall 6e matle within forty-five
(45) days for tha� portion (or lhose po�ions) of the Services satislactorily rendered (and
referencetl in ihe partiwlar invoice).
Invoices shall include a detailed description of the Services (or portions lhereof) provided, and

SECTION 5
TERMINATION
5.1 TERMINATION FOR CAUSE
I/the Consultanf shall fail to(Wfill in a timety manner, or otherwise violates,any oi the covenants,
agreemenis, or stipulations malerial to Ihis AgreemenC the Ciy, ihrough its City Manager, shall
thereupon have the right to terminate this Agreement tor cause. Prior to exercising its option lo
terminale for cause, Ihe Ci�y shall noti(y the Consultan[of i�s viola�ion of Ihe particular�erm(s)of
this Aqreement and shall grant Consuitant ten (10) days to cure such tletaull. If such tlefault
remains uncured after ten(70)tlays,the City may termina�e this Agreement without furlher nolice
lo Consultant Upon terminatioq Ihe City shall be fully discharged from any and all liabilities,
duties, and terms arising out of, or by virtue o(this Agreement.
Notwi[hstantling(he above, �he Consultan[shall not be relievetl of liability to�he City For damages
sustainetl tor ihe City by any breach of the Agreement by ihe ConsWtanL The City. at its sole
oplion and discretion, shall be entitled (o bring any antl all legai/equitable actions Ihat it deems to
be in its best interest in order to enforce Ihe City's iights and remetlies against ConsWtanL The
City shall be en�i0ed to recover all costs of such actions, including reasonable a�tomeys'fees.
5.2 TERMINATION FOR CONVENIENCE OF THE CITY
THE CITV MAY ALSO, THROUGH ITS CITY MANAGER, AND FOR I7S
CONVENIENCE AND WITHOUT CAUSE, TERMINATE THE AGREEMENT AT ANV
TIME DURING THE TERM BV GIVING WRITTEN NOTICE TO CONSULTANT OF SUCH
7ERMINATION; WHICH SHALL BECOME EFFECTIVE WITHIN THIR7Y (70) DAVS
FOLLOWING RECEIPT BY THE CONSULTANT OF SUCH NOTICE. ADDITIONALLY,
IN THE EVENT OF A PUBLIC HEALTH, �NELFARE OR SAFETY CONCERN, AS
DETERMINED BY THE CITY MANAGER, IN iHE CI7Y MANAGER'S SOLE
DISCRETION, THE CITV MANAGEft. PURSUANT TO A VERBAL OR WRITTEN
NOTIFICATION TO CONSULTANT, MAY IMMEDIATELY SUSPEND THE SERVICES

5.3 TERMINATION FOR INSOLVENCY
The City also reserves Ihe righ!b terminate ihe Ag�yement in the event the Consultanl is placed
either in voluntary or involunlary hankruptcy or makes an assignment for Ihe benefit of creditors.
In such even[, ihe right and obligations for the par[ies shall be Ihe same as providetl for in
Section 52.
INDEMNIFICA710NAND N8URANCEREqUIREMENTS
6.1 INDEMNIFICA710N
ConsWtan� agrees to intlemnify, delend and hold harmless ihe City of Miami Beach and ils
o(fcers, employees, agen�s, and contracbrs, from antl against any a�tl all actions (whelher at
law or in equity), claims, liahilities, losses, and eKpenses, including, hut nol limited to, atlorneys'
fees antl costs, for personal, economic or botlily injury, wrongful tleath, loss of or dama�e to
property, which may arise or 6e allegetl to�ave arisen(rom the negligeN acls, ermrs,omissions
or other wrong(ul conduct of the Consultant, its o0icers, employees, agents, contracbrs, or any
other person or entity acting untler Consultanfs conhol o�supeMsioq in conneclion with, related
to, or as a resWt of the ConsWtanf's pedormance of the Services pursuanl to Ihis AgreemenL To
Ihal extent, the Consultant shali pay all such claims and losses antl shall pay all such costs and
jutlgments which may issue tmm any lawsuit arising from such claims antl losses, and shall pay
all cos[s and atlorneys' fees expentled by the City in Ihe defense of such claims and losses,
including appeals. The Consultant expressly understantls and agrees tha� any insurance
protection requiretl by this Agreemenl or otherwise provitled by �he Consultant shall in no way
limit the ConsWtant's responsibility to indemnify, keep and save harmless and defend the City or
its olfcers, emp�oyees, agen�s and instrumentalities as herein provided.
The patlies agree that one percent(i%)of the lotal compensation to Consul[ant for pedormance
of ihe Services under�his Agreemen�is the speci(ic consideralion(rom Ihe Ciry b Ihe Consultant
�o� the ConsultanYs intlemnity agreemenL The provisions of this Section 6.1 and of �his
indemnificalion shall survive(erminalion or expira�ion of ihis Agreement.
6.z INSURANCE REQUIREMENTS
The Consultant shall main�ain and carry in lull force during ihe Term, the following insurance�.
1- Consultant General Liability, in Ihe amount of$i.p00,000;
Z� Consultan�Professional Liabiliry, in�he amounl of$7,000,000;
3- Warkers Compensation 8 Employers �ia6ility, as required pursuant b Florida
Statutes; and
4. If�he Services require lranspotling persons or equipmen�ownea by Ihe Ci�y of Miami
Beach, Auto Liability Insurance, in �he amoun�of$�,000,000.
The insurance must be furnishetl by insurance companies authorizetl lo tlo business in Ihe State
o( Flpritla. All insurance policies must be issued by companies ratetl no less Ihan 'A-" as lo

Timely renewal cerlificales will be pmvitled to the Cily as coveragc renews. The insurance
certifcates for General Liability shall inclutle Ihe City as an addilional insuretl and shall contain a
waiver of subrogalion endorsement. Consultanl's insurance shall be primary and not contribulory
for direct claims arising out of Ihe Agreemenl under(he Commercial General Liabili�y policy. If Ihe
Pm(essional Liabilily coverage is prowded on a claims made basis. Ihen such insurance shall
con[inue for(3)years following ihe expiration or termination of Ihe Agreement.
Original certificates of insurance must be submiUetl(o�he Cily s Risk Manager for approval(prior
to any work antllor services commencing)antl will be kept on file in ihe Office of the Risk Manager.
The City shall have Ihe right to ob(ain from �he ConsWtant specimen copies of fhe insurance
policies in t�e event Ihat submitfed certificales of insurance are inadequate to ascertain
compliance with requiretl coverage.
The Consul�ant is also solely responsible for obtaining antl submitlinq all insurance cehificates
for any sub-consultants.
Compliance with the Foregoing requirements shall not relieve the Consullant of Ihe liabililies and
obligations untler Ihis sec�ion or under any other porlion of�his Agreemenl,
The Consultant shall nol commence any work and or services pursuant to Ihis Agreement unlil all
insurance required under Ihis section has been obfained and such insurance has 6een approvetl
by Ihe City's Risk Manager.
SECTION 7
LI7IGATION JURISDIC710NNENUE/JURY TRIAL WqIVER
This Agreemen� shall be construetl in accordance wilh the laws of the S�ate of Flo�ida. This
Agreement shall be enforceable in Miami-Dade County, Floritla, antl if legal action is necessary
by either party with respect to ihe en(orcemen� o(any ar all of ihe terms or conditions herein,
exclusive venue for ihe entorcement of same shall lie in Miami-0ade Coun�y, Florida. By entenng
m�o ihis Agreement, Consultant and Ihe Ci�y expressly waf�e any rights eilher patly may�ave�o
a hial by jury of any civil liligalion related to or arisin9 out of this q9reement.
SECTION 8
LIMITATION OF CITY'S LIqe�LITY
The Ci(y tlesires to en�er inlo this Agreement only d in so tloing �he Ci�y can place a limit on �he
Cily s liability for any cause o(actioq for money damages tlue lo an allegetl breach by the Ciry of
Ihis Agreement, so fhal its liability for any such 6reach never ezceeds Ihe sum of $10,000.
Consultant hereby ezpresses its willingness Io enter into this Aqreement with ConsullanCs
recovery from Ihe Cily for any damage action for breach of coniract lo be Iimiletl to a mazimum
amounl of g10,000.
Accordingiy, antl nolwithslanding any other Ierm or condition of Ihis Agreement, Consultanf
hereby agrees ihat �he Cily shall not be liabie b the Consutlant for damages in an amounl in
excess o($70,000 for any aclion or claim for breach of con�ract arising out of Ihe peAormance or
non-pertormance of any obligalions imposed upon Ihe Q�y by�his Agreement.

In its pertormance o(Ihe Servlces, Consulfant shall comply wit� all applicable laws, ordinances,
and regulations oF lhe Ciry, Miami-0ade County, Ihe Slate of Florida, and Ihe lederal govemmenl,
as applicable.
8.3 PATENT RIGHT& COPYRIGHT� CONFIDEN7IAL FINDINGS
Any work p�oduct arising out of Ihis Agreemenl, as weli as all inFormation specifcalions,
processes, dala and (intlings, are intended fo be the property o/ihe City antl shall not olherwise
be matle public antl/or disseminated by Cansullanl, wilhout the prior wri�ten consent of Ihe Cily
Manager, excepling any information, records etc. which are required to be disclosed pursuant to
Court Order and/or Florida Public Records Law.
All repprts, documenls, articles, devices. and/or work protluced in whole or in paA untler ihis
Agreement are in[entletl�o be Ihe sole and exclusive pmperty of Ihe Ci�y,and shall not be subject
to any application for copyright or patent by oi on behalf of the Consultan[ or its employees or
su6-consultan�s, without ihe prior wrilten consent of Ihe City Manager.
SECTION 10
GENERAL PROVISIONS

Upon reasonable verbal or written no�ice to Consullant, and at any�ime during normal business
hours(i.e. 9AM—SPM, Montlaylhrough Fridays,excluding nationally recognizetl holitlays), and
as often as ihe City Manager may, in his/her reasonable tliscrelion antl judgment. deem
necessary, (here shall be made available lo !he City Manager, and/or such represen�atives as
the City Manager may deem to acl on �he Ci�y's behalf, to autlit, examine, and/or inspec�, any
and all other tlocuments and/or records relating to all matlers covered by ihis Agreement.
Consultant shall maintain any and all such recnrds at its place o!business al Ihe address set
forth in the "No�ices"section o/Ihis Agreemen�.

10.2 INSPECTOR GENERAL AUDIT RIGHTS
iA) Pursuant�o Section 2-256 0(Ihe Code o(the City of Miami Beach, �he Ciry has estabhsnetl
the Office of the Inspector General which may,on a rarWom basis, peAorm reviews,audits,
inspections and invesligations on all City contracts. throughout the duration of said
contracts This random audit is se0arate and distinct from any other autlit peAornied by
or on behait of the Gry.
IB) The Office o( the Inspector Generel is aufhorizetl to investigate City aKairs and
empoweretl to review pasC presen[ ana proposetl Ciry programs, accounts. records,
contracts antl Iransachons. In addition. the Inspector General has the power to subpoena
wdnesses, administer oaths,require ihe producnon o!w�messes antl monrtor Cily pm�ecis
and programs. Monrtoring o( an existing City pro�ect or program may include a reporl
conceming whelher Ihe pmject is on time, witNn butlget antl in confortnance with Ihe
contract documen(s and applicable law. The Inspec[or General shall have the power to
audi(, investigate,moNtor,oversee,inspect antl review operabons,acirvdies.peAormance
and procurement pmcess induding but not limitetl to pro�ect design, bitl specifica�ions,
(6id/proposap submiltals, activities of Ihe Consultant, its oBicers, agents and employees.

prwate sector autlitors lo audi�, invesligate. morntor, oversee, inspect and review
operalions acOvilies, per(ormance and pmwrement process rncludin9 but not limited lo
project tlesign, bitl specilications, (bitl/proposal)submittals, acirvities of the Consultant ds
officers, agents and employees, IobOyists, City staff and electetl officials to ensure
compliance wi�h�he conhact documenls and �o tletec� fraud and corruplion.
(D; The Inspector General shall have lhe right[o inspect and copy all tlocumen[s antl records
in Ihe Consultanl's possession, custody or con�roi which in Ihe Inspector GeneraPs soie

connection with the performance of Ihis Agreement.
(�) Nothing in lhis section shail impair any indepentlent nght to Ihe Ci�y to conduct autlils or

StaWte, commencing on January 7, p021, Consultanl shall regisler with and use the E-
Verify system to veri(y ihe work authorization staWs of all newly hired employees tluring
ihe 7erm of fhe Agreemenl. qdditionally, ConsWtant shall expressly require any
subconsultant peAorming work or pmviding services pursuant �o ihe qgreement to
likewise ulilize �he LLS. Department of Homeland Securitys E-Verify system to verity Ihe
empioyment eligibili�y of all new employees hiretl by the subconsultant tluring the contrac(
subconslultan�most prov tle Ihe'ConsW(ant with anlatfidavit stat ng hat Ihe subconstultant
does no� employ, contract with, or subcont�acl wiih an unauthorized alien. Consul�ant
shall maintain a copy of such aflidavit for ihe duration of the Agreement or such other
extended period as may be required under this Agreemenl.
(B) TERMINATION RIGHTS.
(1) If the City has a good faith beliet that Consultant has knowingly viola�ea Section
448.09(1), Floritla Statutes,the Ciry shall terminate(his Agreement with Consultanl
for cause, and the City shail thereafler have or owe no turther obliga6on or liability
to ConsNtant.
(Z) If the Ciry has a good faith belief that a subconsWtant has knowingly violatetl the
foregoing Subsection 10.9(A), but Ihe Consulfant othern�ise complied with such
subsection, ihe City wiil pmmptty notify the Consultant antl ortler the Consultant to
immediately terminale the Agreemen�with the subconsultanL Consul�anPs(ailure
to ferminate a subconsul�ant shall be an event of defaWt under ihis Agreement
entitling Ciry to�erminate ihe ConsultanPs contract(or cause.
(3) A contrect terminatetl under ihe foregoing Subsection (B)(i) or (B)(p) is not in
breach of contract and may not be consitlered as such.
(4) The City or Consul�an� or a subconsultaM may file an action wiN the Circuit or
County Court lo challenge a termination under the foregoing Su6section(BJ(i)or
(B)(2) no later than 20 calentlar days a(ter Ihe tlale on �yhich Ihe contract was
terminatetl.
(5) If the City terminates the Agreement with Consultant untler lhe foregoing
Subsection (B�(7), Consulfant may not be awarded a public contracf for at least 7
