WHEREAS, on April 30,2014, the City Commission approved the award of Invitation to Bid (ITB) No. 2014-154-SR for Turn-Key Trolley Operations and Main�enance Services to Limousines of Soulh Ftonda, Inc. (LSF or CONTRACTOR); and WHEREAS, on May 8, 2014, lhe CITY and LSF executed the Agreement; and WHEREAS, on July 30, 2014, the Mayor and City Commission adopted Resolution No. 2014-28708, authorizing the CITY to execute Amendment No. 1 to the Agreement, which increased the scope of Ihe Agreement ro include optional equipmenl, as wetl as additional automated stop announcement equipment, wi�h Ihe capability of displaying public advertisements; and WHEREAS, on Octo6er 6, 2014, [he GTY and CONTRACTOR executed Amendment No. 1; and WHEREAS, on Maich 18, 2015, the Mayor and Ciry Commission adopted Resolution No. 2075-28967, approving and authorizing Amendment Na 2 to Ihe Agreement, incorporating an enhanced Scope of Services to the Agreement in order to accommodate additional transportation expenses needed for ihe GTY's Centennial celebration, increasing the cost of Ihe Agreement for said enhanced Scope of Services during the 2014-2015 fscal year, solely; and WHEREAS, on March 24, 2015, the CIN antl CONTRACTOR executed Amendment No. 2; and WHEREAS, on October 21, 2015, the Mayor and Ci�y Commission adopted Resolution No. 2015-29194, waiving, by 5/7'" vote, the competitive 6idding requirement and approving Amendment No. 3 to the Agreement; said amentlment providing tor(1)the adtlition ot rivo new routes in Middle Beach(the Middle Beach Loop and ihe Collins Link); (2)the addition ot fourteen (14) new modi(iedlkneeling high-Floodrear end wheel chair lift trolley vehicles (New Modfied trolley vehicles) for the operation of the North Beach antl Middle Beach routes, in an amount not to exceetl 56,700,000 annually; (3) a negotiated new hourly rete commensurate with the cost of said trolley vehides and the additional services for the new Middle Beach mutes; (4) the eady ezercise of the hvo (2) renewal options, extending the agreement to May 7, 2021; (5) in addition to the term provided in the previous subsection (4), further extending the term, as to each route, to include a full sizty(60) month term, commencing as of the roll-out date of all the modifed high-floor trolley vehicles for each respective route; and (6) and authorizing the Puge 1 of 8 City Manager to approve the purchase of additiona� optional equipment for the New Modifed trolley vehicles; and WHEREAS, on January 14, 2016, the CITY antl CONTRACTOR ezecuted Amendmen[ No. 3; and WHEREAS, on July 20, 2016,Ihe Mayorand City Commission adopted Resolution No. 2016-29519, waiving, by 5l7`^ vote, Ihe competilive bidding requirement, fintling such waiver to be in the best interest of the CITY, and approving, in substantial form, Amendment No. 4 to the Agreement, increasing Ihe scope of the Agreement to include lhe following: (1)the addition of one (1) bi-directional rou[e in South Beach for a �erm of sixry(60) months, commencing as of lhe roll-out date for the low-Floor trolley vehicles; (2) the addilion of lwelve (12) new Low- Floor trolley vehicles for use in all CITY irolley routes; (3) a negotiated new houdy rate for the low-Floor trolley vehicles and additional associated services; and (4) increasing the annual cost of the Agreement, from a not to exceed cost of $6,700,000 to a not to exceed cost of $12,000,000; authorizing the Ciry Manager to approve ihe purchase of additional optional equipment for Ihe Low-Floor Irolley vehicles, as may be needed in the Administration's discretioq subject to funding availability; authorizing the City Manager to terminate the existing intedocal agreement, in connection with the negotiation of a new interlocal agreement with Miami-Dade County, in connection with the Soulh Beach route; and WHEREAS, Amendment No. 4 to the Agreement was executed on March 29, 2017; and WHEREAS, on May 17, 2017, the Mayor and City Commission adopled Resolution No. 2017-29873, approving and authonzing the City Manager and City Clerk lo execute Amendment No. 5 lo the Agreement; approving the replacemenl of Ihe Collins Link route alignment with the Collins Express route, at no additional cost to the CIN, to provide more direct intraciry connectiviry between Washington AvenuelLincoln road and 88 Street; and WHEREAS, Amendment No. 5 to Ihe Agreement was executed on October 26, 2�17�, and WHEREAS,on October 18, 2017, the Mayor and City Commission adopted Ordinance No. 2017-4143, amending certain provisions of the City Living Wage Ordinance as codifed in Sections &407 ihrough 2-410 ot the City Code or the Ordinance; and WHEREAS, Amendment No. 6 to the Agreement reflecting the impact of the Living Wage ordinance was executed on December 4, 2�18; and WHEREAS, on January 16, 2079, the Mayor antl the City Commission adopted Resolution No. 2019-30687, approving, in substantial form, Amendment No. 7 to Ihe Agreement; said amendment including the following modifications: (i) adding one (1) used high-floor trolley vehicle to the CITY's trolley Fleet to be used as a spare onty; (2)permitting the operation of all trolley vehicle types (high-floor, modifed high-floorlkneeling or low-Floor)along any of the CITY's trolley routes, as needed, to ensure proper service coverage; and (3) modifying other miscellaneous provisions of the Agreemenl to address Ihe current operating conditions of the Irolley services, which include updating the trolley routes, establishinq a new On-Time Performance goal of 85% for all trolley routes, and clarifying the language for determining fuel charge adjustments and performance penalties; and Paye 2 of 8 WHEREAS, Amendment No. 7 to the Aqreement was ezeculed on March 75, 2019; and WHEREAS, on September 25, 2019, the Mayor and the City Commission atlopted Resolution No. 2019-31000 approving Amendment No. B to the Agreement; said amendment, adding, at no additional cost to ihe CITY, one (1) used 2006 high-Floor trolley vehicle in the CITY's trolley fleet, to be used solely as a spare; and WHEREAS,on March 26, 2020, in response to the Coronavirus Disease 2019(COVI�- 19) pandemiq the CIN suspended all trolley service (commencement of "Suspension Period"); and WHEREAS,on July 29, 2020, the Mayor and City Commission adopted ResoWtion No. 2020-31373, authorizing the Administration to negotiate Amendment No. 9 to the Agreement, said amendment: (1) approving the temporary use of the CITY trolley fleet by Miami-Dade County, Florida during any periotls o(suspension of trolley services; and (2) approving new rates for operation during reduced levels of service; and WHEREAS, Amendment No. 9 to the Agreement was executed on August 19, 2020; and WHEREAS, on October 14, 2020, ihe Mayor and the Ciry Commission atlopted Resolution No. 2020-31459, accepting the recommendation of the Neighborhood and Quality of Life Committee, at its February 3, 2020 meeting, to modify Ihe South Beach Trolley route, antl waiving, by 5l7'�" vote, the tormal competitive bidding requirement, and approving, in substantial form, Amendmenl No. 10 to the AgreemenC, said amendment (1� approving a Term Eztension Formula, in Ileu of paying LSF for any unrecovered fiaetl costs, inwrred during the Suspension Period; (2) approving the new service plan for South Beach; (3) authorizing �he City Manager �o make operational changes to ihe Agreement, including approving the purchase and use of replacement trolley vehicles (even if older than the year 2016); providetl such administrative changes do not increase ihe annual operating cost of the CITY's trolley service; and (4) modifying other miscellaneous provisions of the Agreement; and WHEREAS, Amendment No. 10 to the Agreementwas ezecuted on December 21, 2020; and WHEREAS, on Juty 8, 2021, Ihe CIN and CONTRACTOR executed Amendment No. 11 to the Agreement, memorializing the one percent increase to the living wage rate, as approved pursuant to Resolution No. 2020-31399, and further clarifying certain references in the Agreement to"scheduled service hours"and "service hours", in connection with the calculation of Ihe applicable fixetl hourly rate for trolley services provided to the City, as well as the calculation of the Term Extension Formula; and WHEREAS, on October 28, 2021, the City sent a letter to LSF, confirming the extension of the Term of the Agreement through August 19, 2023 for all routes, pursuant to the Term Eztension Formula memorialized in Amendment No. 10 to the Agreement; and Page J o(R WHEREAS, on April 6, 2022 the Mayor and City Commission adopted ResoWtion No. 202232118, approving, in substantial form, Amendment No. 12 to the AgreemenC, said amendment (1) reimbursing LSF for peAormance penalties assessed from May through September of 2021, due to inconsistencies in the data used to calculate the penalties (2) retlucing on-time peAormancelheadway regularity goal for the reduced levels ot trolley service from 85% to 80%, retroactive to Oclober 1, 2021; (3) adding a schedule-based service option, which may be implemented at Ihe City Manager's discretion�, (4)approving use of Swiftly, Inc. services by LSF thorough the end of the cantracl lerm, at no cost lo the GTY, as an additional vendor for moni�oring, analyzing and managing system performance�, and (5) modifying other miscellaneous provisions of the Agreement; antl further aulhorizing lhe City Manager antl City Clerk ro execute ihe final negotia[ed amendment; and W HEREAS,Amendment No. 13 to ihe Agreement reflecting the impact of the Living Wage ordinance was executed on December 14, 2022; and WHEREAS,Amendment No. 14 to the Agreement reFlecting the impact of the Living Wage ordinance was execuled on January 22, 2024; and WHEREAS, on Augusl 26, 2024, the CITY and CONTRACTOR ezew�ed Amendment No. 15; said amendment including the tollowing motlifications: (1) changing the Optional Equipment vendor fmm TSO-Mobile to the CONTRACTOR at no additional cost to Ihe CITY; and (2) changing the goal of on-time performance to a unitorm 80%, antl specifically as described in the amended Ezhi6it F to the Agreement and WHEREAS, the Agreement and Amendments No. i through 15 shatl be collectively referred to herein as the "AgreemenY'; and WHEREAS, on June 26, 2024, the Mayor and the City Commission adopted Resolution No. 2024-33118, authorizing the City Manager (1) to negotiate and eaecute an in�ergovemmenta� agency agreement with Miami-Dade County, Florida ("County"), pmviding funding to the City(or a fixed route/fixed schedule transit service;and (2)an amendment to lhe professional services agreement with CONTRACTOR to provide a fixed roulelfxed schedule transit service to a portion of the City s areas previously served by Route 115; TO PROVIDE A FIXED ROUTEIFIXED SCHEDULE TRANSIT SERVICE TO A PORTION OF THE CITY'S AREAS PREVIOUSLY SERVEO BY ROUTE 175; PROVIDED, HOWEVER,THAT THE CITY,AT A MINIMUM, HAS SECURED A LETTER OF COMMITMENT FROM THE COUNTYTO FUND THE ENHANCED FIXED ROUTE/FIXED SCHEDULE SERVICE. WHEREAS, the Miami-Dade County("Counly") Better Bus Network is a revamp of regional bus service based on a comprehensive countywide study conducted by the Miami-Dade County Department of Transportation and Public Works ("DTPW') in collaboretion with Transii Alliance Miami, a not-for-proft organization. The Better Bus Networ7c study was initiated in June 2019 and approved, as amended, by Resolution Na. R-920-21 of the Miami-Dade County Board of County Commissioners ("BCC") on Odober 5, 2021. The BCC Resolution authorized the implementation, by DTPW, of ihe Better Bus Nehvork; and � WHEREAS, DTPW launched the approved route changes on November 13, 2023. The changes included several new bus routes in Miami Beach including routes 14, 15, 20, and 100 as well as impmvements to service frequency; and WHEREAS, based on DTPW's assessment, frequency and reliability of Miami- Dade County bus service in the City of Miami Beach ("City')is expected to improve as a result of the Better Bus Network. However, the Administration inkially and consistently expressed a few concerns wlth the Better Bus Network via City Commission Resolution No. 2D2131866, including the elimination of Route 115 without providing an altemative transit option(or the affeded community, such as an on�emand service, as a mitigation stretegy; and WHEREAS, as part of the Better Bus Nelwork, DTPW discontinued Route 115 due to historically low ridership (an average of approximately 134 riders per weekday and 67 riders on weekends). Route 115 connected North Beach to South Beach, serving Mount Sinai Medical Center, primarily along the Akon Road corridor(Attachment A). The service consisted of two (2) cut-away buses opereting approximately 13 hours a day, seven (7)tlays a week, at approximately 50.minute headways(i.e. frequency of service). DTPW introduced new mutes, including Route 14 from Omni Terminal in Miami to Mount Sinai Medical Center via the MacArthur Causeway, Atton Road, South Pointe Drive, Washington Avenue, Collins Avenue, and 41 Street, which will somewhat serve the areas in South Beach and Mid-Beach affected by the discontinuation of Route 115; and WHEREAS, to help mitigate the impact of DTPW's discoMinuation of Route 115 and provide a suitable public transit option to the affected customers in North 8each, the City's Transportation and Mobility Department staff worked with DTPW staff on a plan to augment the Citys�on-demand transit service opereted by Freehee to primarily serve the North Beach portion of Route 115 (all existing stops from 83 Street to 88 Street) as well as Mount Sinai Medical Center as an on-demand service; and WHEREAS, DTPW approved funding for one (1) additional Tesla X SUV vehicle for the expanded service; and WHEREAS, the addRional Tesla X SUV vehicle was put in service on November 13, 2023, the same day Route 115 service was eliminated by DTPW; and WHEREAS, the annual opereting cost of the additional Tesla X SUV vehicle is approximately $168,000 and will be funded (retroadively and prospectively) by DTPW for a lwo (2) year period ihrough an IMergovernmental Agency Agreement ("IAA") between the City and the County; and WHEREAS, at the November 7, 2023 8CC meeting, prior to the launch of the Better Bus Network, Miami-Dade County District 4 Commissioner Micky Steinberg motioned and read into the record the following: "Commissioner Steinberg moves to direc[ the County Mayor or County Mayor's designee to continue the negotiation of an interlocal agreement with the City of Miami Beach and/or a third-party vendor for the provision of an alternative long-tertn on-demand or fixed route transit service to replace Route 115 which was eliminated with the adoption of the Better Bus Network.The County Mayor or County Mayors designee is directed to bring back such negotiated interlocal agreement within 30 days of the effective date of this motion, or alternatively, place a written status report every 30 days thereafter on an agenda of the full Board without committee review pursuant to rule 5.06Q) of the Board's Rules of Pincedure, until such time as the final negotiated interiocal agreement is placed on an agenda of this Board"; and WHEREAS, Transportation and Mobility staff inquired with DTPW staff about updating the IAA to account for Commissioner Steinberg's approved motion, however, DTPW has not made any changes to the IAA to explicitly reflect the motion. Rather, DTPW has added language to clarify that during the term of the agreement, DTPW will assess ridership and other reporting metrics to determine whether, in the long term, the service needs to be e#ended, modifed, or cancelled. DTPW suggests that the term of the IAA also affords the City time to secure an alternative funding source to sustain the expanded Freebee service, if warranted; and WHEREAS, since the launch of the City's expanded on-demand Freebee service on November 13, 2023,Transportation and Mobility Department staff has been collecting data to evaluate the effectiveness of the new service; and WHEREAS, compared to the fortner Route 115 bus service, which had an average daily ridership of 134 riders on weekdays and 67 riders on weekends, from November 2023 to April 2024, the expanded on<lemand Freebee service experienced a lower daily ridership, with an average daily ridership of 72 riders on weekdays and 42 riders on weekends. Based on City staffs assessment, the Tesla X SUV vehicle is curtently serving the North Beach area with an average passenger wait time of approximately 15 minutes during off-peak hours; and WHEREAS, a key metric to note is the variation in passenger wait times during peak hours. The data shows that averege passenger wait times increased significantly during weekday morning and afternoon peak hours, reaching up ro 80 minutes; and WHEREAS, these long wait times during peak hours are higher than those of former Route 115, suggesting that while the City's expanded on-demand Freebee service ofFers substantial Improvements during off-peak hours as compared to Route 115, it is challenging to maintain the high service frequency and low passenger wait times during peak periods of high passenger demand with only one (1) additional Freebee vehicle (Tesla X SUV) in service; and WHEREAS, this data analysis is vital to properly assess the perfortnance of the expanded on�emand service and to identiTy areas where improvements or additional resources may be required. The dispariry in passenger wait times underscores the need for a more balanced approach to the service that adequately addresses both off-peak ; and peak-hour demands and ensures a consistent and reliable on-demand transit experience for all users throughout the day; a�d WHEREAS, based on the data analysis, City staff met with DTPW and proposed enhancements to the existing on-demand Freebee service. The City requested to replace the existing Tesla Model X vehicle, which accommodates five (5) passengers, wtth a Starcraft van, a high-capacity vehicle which can accommodate 14 passengers. This upgrade aims to accommodate more passengers per trip, effectively meeting the increased demand for public transportation from North Beach to Mount Sinai Medical Center; and WHEREAS, the City proposed the implementation of a fixad route/fixed schedule service to provide a more reliable and consistent connection between North Beach and Mount Sinai Medical Center. The new service model would operate with one(1)Starcraft van 13 hours a day, 7 days a week, from 7 am to 8 pm, mirroring the operational hours of the fortner Route 115 and ensuring continuity in service availability for the community; and WHEREAS, the estimated service frequency and average passenger wait times for the proposed fixed route/fixed schedule service is expected to be between 60 to 70 minutes - which is somewhat comparable to the wait time for the previous Route 115; and WHEREAS, to support this new service model, the City requested add'Rional funding from DTPW. The estimated annual operating cost for one (1) Starcraft van is approximately$245,000. This represents an increase of approximately$77,000 over the current annual operating cost and commitment from the County of$168,000 for one (1) Freebee Model X vehicle; and WHEREAS, per correspondence from DTPW dated May 1, 2024, the County is committing to fund $245,000 annually, from November 13, 2023 until November 2025 through the execution of an IAA between the City and County; and WHEREA3, on March 11, 2024, the City's Transportation, Parking & Bicycle- Pedestrian Facilities Committee (TPBPFC) discussed this issue extensively and recommended that the County provide hvo(2) highcapacity vehicles that accommodate a minimum of 12-15 passengers during peak hours to better serve North Beach's transportation needs, particularly for the route to and from Mount Sinai Medical Center. The proposed modification to the on-demand service is closely aligned with the recommendation of the TPBPFC as shared via Letter to Commission ("LTC") 102-2024; and WHEREAS, at the April 17, 2024 PSNQLC meeting. the Committee recommended that the existing Tesla Model X vehicle be replaced with a higher capacity Starcrak van operating on a fixed routelfixed schedule (similar to the former Route 115) to provide a more reliable and consistent connection between North Beach and Mount Sinai Medical Center. Additionally, the Committee would like the Administration to explore the feasibility of axtending the proposed fixed route/flxed schedule service to an existing bus stop located on 41 Street east of Alton Road to conned to Route 150(Miami Beach Airport Express); and WHEREAS, the recommendation of the PSNQLC was brought to the May 15, 2024 City Commission meeting for acceptance via a Commission Resolution (Item C7 W). However, at the May 15, 2024 City Commission meeting, during a discussion on agenda Item C7 W, and at the request of Commissioner Alex Fernandez, the City Commission referred the item to the May 24, 2024 Finance and Economic Resiliency Committee ("FERC"). The purpose of the referral was to discuss Item C7 W in light of receipt of a recent letter dated May 14, 2024 from Limousines of South Florida ("LSF"), Inc; and WHEREAS, at the May 24, 2024 FERC meeting, the Administration presented a table of comparison of the hvo proposals (Free6ee and LSF). The FERC recommended that the Administretion include the proposed fixed route/Tixed schedule service in the current month-to-month agreement with LSF. This fixed route/fixed schedule service could be subsequently incorporated into a new contract with a vendor for the provision of Citywide Municipal Trensit Circulator Services, currently being procured. ; and WHEREAS,the Administration recommends that the City Commission accept the recommendation of the FERC to replace the Tesla Model X vehicle with a higher capacity Starcraft van operating on a fixed route/fixed schedule transit service to provide a more reliable and consistent connedion between North Beach and Mount Sinai Medical Center. WHEREAS, Ihe Municipaliry wishes to enhance local mobility through the provlsion of localiy opereted fixed-route public iransportation services�, and WHEREAS, at the November 7, 2023 Board of County Commissioners meeting, a motion was made to direct ihe CouMy Mayor or County Mayor's designee to conlinue ihe negotiation of an intedocal agreement wilh the City of Miami Beach andlor a third-party vendor for Ihe provision of an alternative long-term on-demand or fixed route transit service to replace Route 115 which was eliminated with ihe adoption of ihe Better Bus Network�, and WHEREAS, these services provide the Municipaliry with an opporlunity to match the local travel needs of the residents while improving first and last mlle connectiviry; and WHEREAS, the provision of these services can help minimize the need tor specialized transportation services by the County; and WHEREAS, the proposed fized-route service will complement the existing Miami-Dade Departmenl of Transportation and Public Works(D.T.P.W.) bus routes and help increase the use of these regional services; and WHEREAS, the COUNTV will commit to provide up to $245,000 annually, for hvo years�, and WHEREAS, afier which time, Ihe CITY will have to source aflemative funding and resubmit their People's Transportation Plan (PTP)funded service plan to the COUNTY for approval. ARTICLE 2 GENERALREQUIREMENTS 2.1 Compliance wilh Applicable Laws and Requlations The Municipality and its contractors, if any, shall comply with all exis�ing and future laws, s�atutes, ordinances, codes, rules, regulations and procedural requiremen(s, whether federel, state, or local, which are applicable to or in any manner aHect, the provision oi the Circulator service. The Municipality shall be responsible for requiring compliance of its employees, contractors, and agents with all applicable county, state and federaf requirements, including, but not limited to, all safety, mechanical, and vehicular standards mandated by D.T.P.W./P.TRD. The Municipafity shall be responsible for obtaining copies of the appropriate laws, regulations, ordinances, and documents and complying therewith. 22 The Coun(v Reoulatory Requirements. Prior to the commencement oF the Grculator service under ihis Agreement, the Municipality and/or its contractors, i� any, shall have currenl and valid certificates of transportation, permrts, and chauffeur regislrations as required by Chapter 31 of lhe County Code. The Municipality and its contractors shall maintain such certificates, registrations and permits currenl during the Period of this Agreement In no event shall the Municipality or any of its contractors providc any Uansportation services contemplated by this Agreement until anyand all Counfy regulatory requirements are satisfed. 2.3 Vehicle Licensinq. All vehicies utilized to provide Ctrculator service shall at all times be properly licensed and permittetl in accordance with applicable federel, state and county requirements. Vehide operators shall comply wrth all safery, mechanical and vehicular standards mandated by any app�icable county, state and federal requirements including, but not limited to, all safery, mechanical and vehicular standards mandated by D.TP.W./P.T.R.D. 2.4 Vehicle Standaids. Vehicles shall complywith all of the Requirements contained in Chapter 30 and 3'I o(the Code of Miami-Dade County, pertinent state statutes and other tlirec[ives as may be prescribed and required by D.T.P.W./P.T.R.D. All vehicles utilized to provitle transportation services authorized by this Agreement shall at all times display a currenl and valid county permit and shall comply with safety, mechanical and vehicular requirements mandated by applicable county, state or federal requirements, induding A.D.A. 2.5 Chaufleur Reouirements. MuNcipaliry employees, agents and wntractors providing Circulator services shall be considered to be, al all times, solely employees, agents or contractors of the Municipaliry under its sole direction and not employees, agents or contrectors of the County. 2.8 Comoliance with A D A The Municipality s Circulator service shall comply with all applicable requirements o(the A.D.A. The Municipality and the County recognize theirjoint obligation to pmvide S.T.S. in ihe area served by the Municipality's Circulator service. In fulfllment of the Municipahty's ob6gation, the Municipality hereby allows the County to provide S.T.S. service at no cost to the Municipality. To the extent Ihat any terms in the Agreemenl are in conflict with A.D.A., the requirements of the A.D.A. shall conhol. 2.9 Comoliance with Procurement Reouirements The Municipality agrees to comply with appGcable federal and state procurement requirements, as may be amended 6om time to time, when eMering into contracts with third parties to fulfill the obligations under this Agreement. 2.10 CounNs Rioht to Submit Pr000sals and Dids. The County shall be nulified and given the opportunity to bid upon any Requests for Proposals (R.F.P.), Requests for qualifications (R.F.Q,), or requests for bids issued by the Municipality for provision of services pursuanl to this Agreement. 2.11 Druq-free Workolace and Testinq In accordance with the County Code, the Municipality shall certify that it witl have dug-free workplace program. Further, the Municipality shall require pre-employment drug testing and other periodic drug testing for all persons holding safety-sensitive posilions, as tlefined by U.S. D.O.T., related to transit operation. Effective upon execution of the Agreement, ihe Municipaliry shall require that its employees or contractor if applicable, comply wilh all applicable requiremeMs of ihe U.S. DA.T. regulations for drug and alcohol tesGng. To the exlent Ihat any terms in this Agreement are inconsisteN with Ihe U-S. D.O.T. regulation, the requirements of the U.S. �.O.T. shall control, 2.12 Municioalitv Reoresentative The Municipality shall designate individual(s) to act as liaison ro the County and notify the County ihereof. ARTICLE 3 CIRCULATOR SERVICE 3.1 Provislon of Circulator Services The Municipality shall provide Circulator service as contained in Exhibit 1 attached herein Such service plan must be subject to public input and approval by D.TP.W. pnor to implementation. Public notices shall complywith Title VI requirements, per Section 8.3 af this Agreemen�. In addition, the Municipality must notify the County under the following circumstances: 1) Prior �o raising fares�, 2) If the Municipality decides to site or locate a vehicle storage (acility, maintenance factlity or operations cenler which reqwres land acquisition or the displacement of persons from their residences and businesses for which a National Environmental Policy Act (NEPA) process has not heen compieted (NOTE: A faciiity does not include bus shelters, Iransit s�ations or power substations); 3) Prior to the submission of the Municipality's Title VI Plan, the Public Participation Plan must be reviewed and approved by the County's Office of Civil Rights and LaborRelationsioriheDS.P.W Theplanmus� includeanoutreachplantoengage the Municipality's pre-determine traditionally underserved communiry; or 4) Prior to conducling either an Environmental Assessment (E.A.)or an Environmernal Impact Statement(E.I.S.)for new projecfs. 32 Fares. The Municipaliry shall operate the Circulator service charging a fare in accordance with public transit (ares established by the Municipality's legislative board, as may be modified from �ime to time. Initially no fare shall be collected until such a time as ihe Municipality's legislative board enacis an Ordinance with an altemative (are siructure. If an alternate fare strucNre is enacted, the Municipality shall accept all D.T.P.W. passes. transfers, or identification entitling a passenger to ride a vehicle without paying any additional fare.Qualified passengers shall pay no fare. D.T.P.W. Easy Cards and Tickets, or identification entitling a passenger shall be accepted to enable passengers to ride ihe Circulator service without paying an additional fare. 3.3 Connection and Coordination with Countv Bus Roules All Municipaliry Circula�or services shall be designed to leed the regional transit service in ihe most eHicient manner possible. pg. S MDC011 3.4 Operation of Rou�es in Their EntireN The Municipality shall be responsible for ensurinq that Circulator service is operated in its entirety with no deviation from the approved routes and schedules unless otherwise authorized by the County 3.5 Circulator Service Information The Counry shall provide information on the Municlpalily's Circulator service through D.T.P.W.'s routine and customary public in(ormation dissemination processes, including its transit information telephone service, and transit website. 3.6 Issuance of Circulator Schedules. The County shall make available to its Metrobus, Metrorail and Mehomover passengers map and schedules provided by the Municipaliry lo D.T.P.W., 3.7 Route Moditications. Before any major service change, including the development of new routes or route alignment changes greater than 25% (based on existing route alignment), the Municipality shall perform a technical analysls of proposed route alignmenis and schedules of the Circulator service. The proposed service shall not begin operation without first obtaining successfW review and approval o( D.T.P,W., Service Planning and Scheduling Division. The Municipality shall follow D.TP.W_�s Procedures for Establishing Municipal Circulator Routes. From time to time, the CouMy may make significant adjus�menis to alignment of regional bus routes in order to improve service. In the event that these improvements result in combined (Counry bus service plus Municipality Ciiculator service)(requency oi 29 min utes or less as defined in Chapter 31-102 of the County Code, the Municipalily shall adhere to the route modi(ication process eslablish herein. 3.8 Use of Loqo. The Municipality may wish to design a logo uniquely identiying Rs Circulator service. If they do so, such logo shall at all times be displayed on the ex�erior of all vehicles operetion pursuant to this Agreement. The County shall allow the display of the Circulator logo on the County's bus stop signs at all stops common to the Municipalityand the CouMy bus routes does not intertere with previously placed signage and is done in coordination with D.T.P.W. staff. The Municipality shall 6e responsible for placing the logo on the pertinent signs. 3.9 Bus Stoo Siqns and Sionposts The Municipality may provide, install, and maintain bus stop signs and signposts at stops along the Municipality's Circulator routes. In the event that the Municipality, its contractor, licensee, pertnittee, or assignee instalis sign facilities Ihat can accommodate Melrobus bus stop intormation, the County may eleCt lo utilize Ihe Municipality's sign facili(y [o display Metrobus bus s�op information. If such eleclion is made, D.T.P.W. shall provide to the Municipaliry the materials to be displayed on the bus stop sign facility, in the size and format to be specified by the Municipality and Ihe Municipaliry will remove the County's signs and retum ihe signs to ihe County. The Municipality agrees that it will be the responsibility of the Municipaiity to comply with all A.D.A. standards and regulations with regards to pg. 6 MDC012 accessibility to and from bus passenger stops and bus shelters which Ihe Municipahty installs. 3.11 Bus Sto�s and Bus Bays or Pull-outs The Municipafity shall, at its sole option, provide. install and mainlain bus stop sites, including bus bays or pull-outs at bus stops along ihe Municipalirys Circulator routes, provided ihat any proposed bus bays or pull-outs shall be first reviewed and approved by the Counry or Sta�e, as appropriate. Notwithstanding the forgoing, the Municipality shall be responsible for identi(ying Municipality owned righhof- way for the layover of vehicles to be used in connection lo ils Circulator service. Should the Municipaliry decitle to operate its Circulator service with vehicles that require the depbyment of exterior IiNs, the County may require the Municipality to designate and build bus bays in order to minimize impact to vehicular traflic. 3,12 Non-Interference and Non-Disturbance The Counly and the Municipality hereby muWally agree nol to inteAere with or unreasonably impede the free flow o( pedestrian movemen� or of each other's public Iransi� vehicular IraKc or passengers accessing or egressing County Melrobus or Municipality Circulator in-service vehicles. 3.13 Misceilaneous. The Municipality or Municipality's Conlractor shall provide adequate customer service training to its employees. Dnvers, dispatchers and supervisors shall be subject to a training program inclusive of the recommended practices established by the American Public Transportation Association (A.P.T.A.) in documents BTS-BO-RP-001-07 and 8TS-BO-RP 0002-07(copies have been p�eviously been provided to the Municipality). ARTICLE 4 RECORDS AND REPORTS 4.7 Reporting Reouirements. The Municipality shall coilect or assure the collection of the following information: • On time performance • Average vehicle speed per rou�e . Ridership (average weekday, Saturday and Sunday) by stop • Revenue miles • Revenue hours • Number of incidents • Number of complaints Reports shall be submitted to the County on a quartedy basis. Additionally, ihe Municipalily shall comply with any Federal and State reporting requirements applicable to the subjea service. Quarlerly reporis shall inclutle the information listed above in an aggregated format, including trends noticetl. Quartedy reports shall be submittetl to ihe County no later Ihan the 15'" day of January, April, July and October. The Municipality shall meet or exceed D.T.P.W.'s adop�ed service standards for omtime peAormance and customer service. r� � MDC013 4.2 Real Time Data. The Municipality agrees to provide to the County the real �ime Circulator service route information in a format approved by D.T.P.W., or its successor department. such as provided by a Global Positioning System (GPS�, via General Transit Feed Specification-Reat Time (GTFS-RT) and which is compatible with, and may be integrated into, the County's smartphone transit trecker application and common third party applications. 4.3 CirculatorCoveraqe. The Municipality agreesto provideto the County,on a quartedy basis, - a description o( any area within the Municipality boundaries not being serviced by its Circulator routes. ARTICLE 5 INSURANCE The parties hereto acknowledge the Municipality is self-insured govemmental entity subject to the limi�ations of Section 76828, F.S- The Municipality shall institute and maintain a fiscally sound and pruden� rlsk management program with regard to its obligations under this Agreement in accordance with the provision of Section 76828, F.S. The Municipality shall collect and keep on file documentation of insurance of any and all private providers operating in Ihe Municipalitys Girculator service. In ihe event that the Municipality contracts with a private vendor tor services, the Municipality shall require contractor to meet ihe insurance requirements shown in Figure 1, as minimum. The Municipaliry shall further require the private operator to include Ihe Counry as a named insured and shall provide the County with a copy of the insurance policy purchased by any contractor prior to the provision o(Circulator service operations. ARTICLE 6 INDEMNIFICATION 6.1 The Municipaliry shall, to the extent permitted by law at all-time hereafter, indemnify and hold harmless the County, and its officers, agents, employees and ins(rumentalities from any and all liability, claims, losses and causes of action, including attorneys' fees and costs of defense which the County or its oKcers, employees, agents or insirumentalities may incur as a result of claims, demands suils, causes of actions or proceedings of any kinds or nature arising out of, or �elating to or resulting from ihe negligence of the Municipality and/or its ofticers, employees, agents or insWmentalities, during the term o� this Agreement. The Municipality shall resolve all claims and losses in connection therewith, and shali investigate and defend ail claims, suits or actions of any kind or nature in the name of the County, where applicable, including appellate proceedings, and shall pay all costs, judgments and reasonable attomeys' (ees which may issue Ihereon. The Municipality expressly understantls and agrees that any insurance protection required by this Agreement or othervvise provided by the Municipality shall in no way limit the responsibility to indemnify, keep and save harmless and defend Ihe County or its officers, employees, agents or instrumentali�ies as herein provided. The contractor shall be required to pay all claims and bsses in conneclion therewith, and shall imesiigate and defend all daims, suits or actions of any kind or naNre in the name of the County and Municipality, where applicable, including appellate proceedings, and shall pay all costs, judgments and attorneys' fees which may issue thereon. The Municipality shall require that the contracl between and Municipality and lhe wntractor include a provision which states Ihat Ihe conhactor expressly understands and agrees thal any insurance protection required by thisagreement or otherwise provided by�he contractor shall in no way limit the responsibility to indemnify, keep and save harmless and defend the County and the Municipality or their officers, employees, agents or insirumentalilies as herein provided. Nofhing herein shall be deemed to indemnify ihe County and the Municipality from any liability or claim arising out ofthe negligent performance of the County and ihe Municipaliry, lheir officers, employees, agents or instrumentalities or any other related third party. ARTICLE 7 FINANCIAL ASSISTANCE 7.1 Maximum Fundina Amount The County will provide to [he City $245,000.00 annually for hvo (2) years only, effective November 13, 2023. The County shall bear no responsibility for any cost ovevuns that may be incurred by the Ciry in the performance of the Transportation Services contemplatetl by this agreemenL This shall be invoiced quarter�y to DTPW no later than the 15'" of ihe following mnnths: J2nuary, April, July, October. 7he invoice shall include receipt of the revenue hours billed by the vendor to ensure service rendered. 7.2 Grant Matchino Funds The Municipality may, at its sole option, provide gran4matching funtls for state andlor federal grants (or capital or operating funds to be used for the Transportation Services. The County, upon agreement with the Municipaliry, may, bu�shall not be required to, provide all or part of cash or other types of matches required for state and federal grants which may be received by the Municipality for the Circulator service, or for expansion of the Circulator service, in future years. 7.3 Bus Shelters and Benches. The Municipality shall at its own cost maintain all shelters, benches, and all other bus srop furnishings within the Municipality. 7.4 In the event the County seeks federal or state fu�ds and a condition of receipt of said funds is the provision of operating statistics far Ihe National Transit Database, County may require Municipality to maintain and provide Ihe necessary data. Municioality's S_ hare ot supplemental Federal Fundinq Beginning with ihe first year in which the Circulabr service's operating statistics are reflected in the National Transit Database, where those operating statistics resull in new or supplementa! funds are solely attributable b the Circula�or service's properly reported operations, the Counry agrees to pay the Municipality its attributable share of federal iortnula funds received from US DOT no less than sixry(60) pg. 10 MDC016 days after funding is received from the federal govemment, less any direct grants received by ihe Municipality from ihe County (or the Circulator service, provided that the funds remitted to the Municipality herein shall be used for ihe expansion, enhancement or maintenance of the Circulator service program. As used herein, the Municipality's a��ributable share shall be one half oF ihe amount equivaleN to those Supplemental Urbanized Area Formula Funds, as describetl in 49 U.S.C. Section 5307, as may be amended from time to time, that ihe County received as a direcl resWt o�Circulator service provided by the Municipality pursuant to this Agreement and as included in the National Transit Database. NOTE: Historically, apportioned funds are alloca�ed to the Counry two (2)years after Bus Revenue Vehicle Miles are reported to federal govemment. 7.5 Comoarab�e Aareements In the event�hat the County enters into an Intedowl Agreemen( with any other municipality for Circulator services which are comparable to the services provided herein, County may agree to amend Ihis Agreement, if requested by Ihe Municipality,to provide substantiallyequivalen�favorable terms to the MuNcipali�y as those provided in such other Countyl Municipality Interlocal Agreements. ARTICLE 8 TERMS, MODIFICATIONS AND MISCELLANEOUS PROVISIONS 8.1 Terms o( Aoreement. This Agreement shall commence upon approval o( the County's Board of County Commissioners and Ihe Municipality's legislative board and the execution by the County Mayor or designee and Mayor of the Municipaliry or designee, with an e(tective date of November 13, 2023, and shall remain in force for two years thereafler. This Agreement may be renewed for up to two (5) five-year automatic option to renew under the same coniract �erms and conditions, upon mulual agreement by ihe County Mayor or designee and ihe City Manager o r designee.All parties have the nght to terminate (see 8.4 and 8.5). 82 Reneqotiation or Modification Any substantive changes in the level of service to be provided by the Municipality as set forth herein shall only be implemented afler the County and ihe Municipality have entered into a written agreement descnbing the changed services, and the provisions of the County Code have been exercised. 8.3 Title VI and VII Civil Riahts Ac� of 1964 The Municipality and its Contractors shall not discriminate against any person because of race, color, sex, religious backgrountl, ancestry or national origin in the pertormance of the Agreement. The Municipality and its pg. I 1 MDC017 Contractor agree to comply with any portion of the Title VI and Vtl of the Civil Rights Act of 1964 applicable to the operation of ihis route. The Municipality shall guarantee adequate public engagement prior to establishiog a new or modifying an ezisting Municipality Circulator service. The following steps must be performed: 1)Advertise a notice o(public hearing in English and Spanish, and 2)Conduct a minimum of one public hearing that gives the communily an opportunity to voice their opinion conceming the pmposed service. The Municipality shall provide to the County proo�of newspaper Ad, antl meeting minutes or adopted resotution. 8.35 gmencans with Disabilities Ad (A D A 1 Title II of 1990 The Municipality, and its Coniractors shall not discriminate against any person because of iace, ser, religious background, ancestry, national ongin or disability in lhe pertormance ot the AgreemenL The Municipality and its contractors agree to comply with all paris of the A.D.A. Furihermore, the MunicipalAy, prior to putting into place anA operating this route, shall pmvide lhe (olbwing evidence to the County of compliance with Titlle II of the A.D.A. as mandaled by the Code of Federal Regulations Title 49 Parts 27.13 and 27.15: �. The name and contact information of the Municipaliry's A.D.A. Coordinator. 2, Evidence of A.D.A. notice posted in an accessible (ormat on the Municipality's website. 3. The A.DA. notice shall be compnsed of the following�. a. No(ice of nondiscrimination on the basis of disabilily (see Appendix X for sample); b. A.D.A. gnevance proCedure; c. An online contact form if applicable; and d. Accessible contact information of the designated A.D.A. Coordinator, including phone number and email address. 8.4 Termination (or Cause. This Agreement may be lerminated for cause by either paAy upon no less ihan thirty(30) days written notice to the other party, except when Circulator service operations are in violation of health and/or safety-related provisions of state staNtes or the Counry Code, in which case termination shal� be de(ermined by the County Mayor or designee. Said notice shall be delivered by venfied facsimile transmission or certified mail, retum receipt requestetl. The noliced party shall have the opportunily to cure any stated cause for termination within a reasonable nolice period,in which case the lermination party may cancel ihe termination notice using �he same means by which the notice of termination was delivered. 8.5 Termination withou� Cause. The County or the Municipality may terminate ihis Agreemen[ without cause upon no less ihan sixty (60) days written notice to the other party. If the County or the Municipaliry terminates ihis Agreement with or without cause, the Municipality agrees to reimburse the Counly on a prorated basis for any fnancial assistance it has received for ihe Circulator service for the year.
