Conlrector will provitle t�e services described in Ezhibit"A"hereto(the"Services").
Although Con[ractor may receive a schedule of Ihe available hours to provide i1s Services,the City
shall not wn(rol nor have lhe right lo wntrol Ihe hours of the Services peAormed by the Contracror;
where !he Services are peAormetl (althou9h lhe Ciry will pmvide Coniractor with the appropriate
localion to pertorm the Services); when the Services are pedormetl (including how many tlays a
week ihe services are peAormed); how Ihe Services are performed�, or any other aspect of the
acWalmanne�andmeansoFaccompiishingtheServicesprovided. No[wit�s�anding�heforegoing,
all Services pmvided by the Conlrector shall be in accortlance with the terms and condilions Sel

2. Fee.
In conslaeration of the Services lo be pmvided pursuant�o this AgreemenC lhe Qry agrees to pay
Contrdclor a fee. not to exceed the amoun� of 518 per hour(the "Fee'), which shall be paid as
descnbetl in Exhibit"B"hereto, in an amount not to exceetl 10 000 in ihe 2025-202fi liscal year.
The Conlraclor shall issue invoices to ihe City pursuant to the mutual agreement of the patlies and
pursuani�o the Fee Schedule sel forth in ExhihiC'B'hereto,which invoices shall include a tletailed
description of that portion(or those portions)of ihe Services provided.The Ciry shall remil payment
to Ihe Contractor wlthin 45 days of receiving an acceptable and approved invoice fmm �he
Con(ractor for tha[porlion(or t�ose portions)of the Services satisfactonly rendered(and reterred to
in the particular invoice).
� 3. Termination.
This Agreement may be lerminatea by either patly.with orwithout cause,by giving written notice to
Ihe other parry o(such lermination,which shall become eHec[ive upon Fourteen(14)days following
receipt by ihe olher pany ot ihe written tertnination notice. Notwiths�anding the foregoing, in the
evenl of a public health,welfare or safety concern,as determined by Ihe City Manager,in the Ciry
Manager's sole discretion. the City Manager, pursuant to a verbal or wntlen notification �o
Contrac�or, may immedia�ely suspentl the Services under Ihis Agreemen�for a time certain, or in
the alternative, lerminale[his Agreement on a given dale. In the event of tertninalion pursuant to
this Seclion,lhe Contracbr shall be peid a sum equal to all payments due lo him/her up to the date

4. IndemniflcationlHold Harmlesa.
Contractor agrees to indemnify.defend,and hold hartnless the Ciry of Mlami Beach an0 ifs oHicers.
employees and agents, from and aqainst any and all actions, claims, liabililies, losses and
expenses inclutling, but nol limited lo, atlorney's feea for personal economic or bodily injury,
wrongful dea�h, loss of or damage to property,at law or in equity,which may arise or be alleged lo
have arisen from the negligent acts or omissions or other wrongful conduct of Conirector, an0/or
any antl all subconirdctors, employees, agents, or any other person or en6ty ac6ng under
ConVaclor's control, in cannection with the ConVactors pertormance of the services pursuant lo
this Agreement Contractor shall pay all such claims and losses and shall pay all costs and
judgments,which may arise from any lawsuit arising fmm such claims and bsses,antl shall pay all
costs and attorney's fees expended by the City m de(ense of such claims and losses, including
appeals.
The parties agree Iha�one percent(t%)of ihe lotal compensation ro Coniractor for pedormance of
the Services under this Agreement is lhe specitic consideration from the City to Conlrector for Ihe
ConVaclor's agreement to indemnity and hald the Ciry harmless, as provitletl herein. Contrac�or
and ihe City here0y agree and acknowledge Ihat this indemnity provision is intenaed to and s0a11
survive the termination(or eadier ezpiration)of this Agreement.
5. LlmNation of Liabilitv.
The Ci�y desires to enter into this Agreement only if in so doing the Ciry can place a limit on City s
liability fo�any cause of action for money damages due to an alleged breach by ihe City o!Ihis
Agreement,so that its liabiliry for any such breach never exceeds Ihe sum of ihe compensationlfee
to be paid to Contractor pursuant to this AgreemenL less any amounts actually paid by the Ciry as
oflhedateofiheallegadbreach. Contractorherehyexpresseshislherwillingness�oenlerintothis
Agreementwith Conlractots recovery from the City�or any damage action for breach of wnfractto
6e limited to a maximum amount equal to the compensalionRee to be paid to Contractor pursuant to
�his Agreemenl, less any amouNs actually paid by the Cih/as of the tlate of ihe alleged breach.
Accordingly,and nolwiths�anding any o�her term or condition of ihis Agreement,Contrector hereby
agrees that the City shall not be liable to Contractor for damages in the amount in excess of Ihe
compensatioNfee to be paid to ConVactor pursuant�o Ihis Agreemen�, less any amounts actually
paid by the City as of Ihe date of the alleged breach, tor any action or claim for breach of con[racl
ansing out of the performance or non-peAormance of any obliga�ions imposed upon the Ciry by this
Agreemen�.
Nothing containetl in lhis Section or elsewhere in this Agreement is in any way intended to De a
waiver of the limitation placed upon Ciry's lia�iliry as set torth in Section 76828. Fbrida SlaWtes.

All notices and communicalions in writing requiretl or permitted hereunder may be delivered

8. DuN of CarelComoliance with Aoplicable Laws/Conflicl of Interest.
Wilh respect to�he pertormance of ihe Services conlemplatetl herein, ConVactor shall eaercise
that degree ot skill, care, efficiency and diligence normally exercised by reasonable persons
and/or recognaed professionals with respect to Ihe performance of compareble services.
In its peAormance of the Services, Contractor shali compty with all applicable laws,ortlinances,
antl regulations of Ihe City, Miami-Datle Coumy,Ne State of Rorida,and the fetleral govemment.
Without limiting Ihe foregoing, Contrac�or herein agrees to adhere to antl be governetl by all
applicable Miami-Dade Counry Conflic[ot Interest Ortlinances and ethics provisions,as set forth in
Ihe Miami-Dade Counry Code, and as may 6e amended from time to time�, and by Ihe Ciry of
Miami Beach Charter and Code, as may be amended fmm time to time, both of which are
incorporated herein by referenced as if fully se�(onh herein.
Con�racbr covenants that it presentty has no inlerest and shall not acpuire any interest,direcf or
intlirec�ly which shoultl conflict in any manner or degree with Ihe pe�formance of ihe Services.
Coniractor furiher covenants that in the performance of Services under this Agreement,no person
having any such interest shall knowingly be employed by Ihe Coniractor. Nohviths�anding Ihe
foregoing,Contractor 5hali be able to provide similar services to other(hird parties as long as they
do nol con0ict with Ihe Services lo be provided hereunder.

9. No Disaimination.
In connection with the peAormanca of ihe Services, the Conirac�or shall not exGude lrom
participa6on in, deny the benefits of,or subject to discriminalion anyorie on the grounds of race,
cofor, national origin, sea, age, disability, religion, income or(amily staNs.
Additionally,Contrector shall comply with Ciry of Miami Beach Human Righis Ordinance.codifed
in Chapter62 of ihe Ciry Code.as may be amendetl from time to time,pmhibiting discrimination in
employment (including intlepentlent contractors�, housing, public acwmmodations, or public
services,and in connection with its membership or policies because ot actual or percerved race.

10. Fbdda PUDIic Records Law.
(A) Con�racbr shall comply with Flonda Public Recortls law under Chapter 119, Florida
Statutes,as may be amentled from time ro time.
(B) The term "public records" shall have the meaning sel lotlh in Section 119.011(12), which
means all documents, papers, letlers, maps, books, tapes, photographs, films, sountl
recordings, tlata pmcessing so(hvare, or other matenal, regardless of ihe physicalform,
characteristics,or means of transmission,made or received pursuanl to law or ortlinance or
in connection with the transaction of offcial business oF the Ciry.
(C) Pursuant 10 Section 119.0701 of(he Florida S�atutes,if�he Conlractor meets!he de(nilion
of"Contraclor"as tlefnetl in Section 119 0701(1 Ka), the ConVactor shall�.
(1) Keep and mainrain public recoras required by the City to peAorm Me service;
(2) Upon requesl fmm Ihe Ciry's custodian of pu6lic recorOs, provide �he City wilh a
copy of the requested rewMs or allow ihe rewrds to be inspecletl or copied within a
reasonable time at a cost that does not exceetl the cosl provided in Chapter 119,
Florida Statu�es or as o�herwise prowded by law;
(3) Ensure that public recortls that are ezempt or confidential and ezempt from public
records disclosure requiremen�s are no�disclosed,excep�as authonzed by law,for
the duration ot the contrect tertn antl (ollowing wmpletion of the Agreement if ihe
ConVaclor does not transfer the records to[he City',
(4) Upon completion of the Agreement,transfer,at no wst b the Ciry,all public records
in possession of the Conlreclor or keep and maintain public records required by the
Ciry�o peAorm Ihe service. Il lhe CoNraclor iransfers all public recor�s to Ihe Ci[y
upon completion of�he Agreemeni,Ihe Contracbr shall des[roy any tluplicate public
records that are exempt or conlidential and ezempt from public rewrds disclosure
requirements. If ihe Contrector keeps antl maintains public rewrds upon completion
of the Agreemenl,the Contractor shall meet all applicable requiremen(s for 2taining
public records. All records stored electmnically musl be pmvided la the City. upon
request from the City's custodian ot public records. in a format Ihat is compalible
wrth lhe information technology syslems oF�he Ciry.
(D) REOUEST FOR RECORDS; NONCOMPLIANCE.
(1) A request lo inspect or copy public records relating to�he Ciry�s contract for services
must be made directly to the City. If lhe Ciry does nol possess the requested

records, Ihe Ciry shall immediately notify the Con[ractor ot Ne request, and the
Contractor must provide lhe recortls to ihe City or allow Ihe recortls to be inspected

(2) Contractor's faiWre ta comply wi�h �he City's reques� for records shall cons(iW�e a
breach of ihe Agreement, and ihe City, al its sole discretion, may�. (1)unilalerally
[ertninate the Agreemen��, (2) avail itself of lhe remedies set forih under the
Agreemen��,antllor(3)avail itself of any available remedies at law or in equity.
(3) A Contractor who fails to provide the public recortls to the Ciry within a reasonable
time may be subject to penalties under s. 119.10.
(E) CIVIL ACTION.
(1) If a crvd action is fded agains�a Con�ractor to compel production of public records
relaling to Ihe Citys coniract tor services,ihe court shall assess and awara against
ihe Coniraclor the reasonable costs of enforcement,including reasonable attomey's
fees, iC
(a) ThewuhdeterminesihaltheConirac�orunlawfullyrefusedtocomplywiththe
public records reQuesl within a reasonable time: antl
(b) At leasl eight(8) 6usiness oays before filing the action, the plaintiff provided
written notice of ihe public records request, including a stalement tha� the
Con�raclor has not complied wi�h[he request to the Ciry antl to ihe Contractor.
(2) A notice complies with subparagrap� (1)(b) i( it is senl to the City's custotlian of
public records and to lhe Conlractor a�Ihe Con(ractor's address listed on its conVact
wiM the Ciry or to the Conirector's registered agenl. Such notices must be sent by
common camer tlelivery service or 6y registered, Global Enpress Guaranteed or
certifed mail, with poslage or shipping paid by ihe sender and with evidence of
tlelivery, which may be in an electronic format.
(3) A Contracror who complies with a public recortls reques�wilhin eight(8)business
days afler Ihe no�ice is sent is not liable for the reasonable costs of enforcement.

17. Ownerehio of Documenls/Patents and Copvdghb.
Any and all documents prepared by Conlractor pursuant to this Agreement are relaled exclusively
to the Services describetl herein shall be deemed b be a`work made for hire',and are intended or
representetl for ownership Dy the Ciry. Any re-use distribution, or dissemination of same by
Contractor, other ihan to ihe Ciry, shall first be approvetl in writing by lhe Ciry Manager, which
approval, if granted at all, shall be at the Ciry Manager's sole and absoWle Discretion.

Any patentable and/or copyrightable result arising oW of Ihis Agreemen�.as well as ali infamation,
specifcations. pmcesses, data and fndings, are hereby assigned lo lhe City, in perpeluiiy, for
public use.
No reports, oNer documenls, articles or devices produced in whole or in part under Ihis
Agreement shall be Ihe subjecl of any applica�ion for palent or copyright by or an behalf of Ihe
Contractor(or its employees or sub-contractors, (if any)wlihout the pnor wdtten wnsen�of�he
Ciry Manager, which consent, i( given at aIL shall be at ihe Manager's sole antl absoWte
discretion.
12. Liabilitv fm Rent. Suoolies. Equipmenl Etc. .
Coniractor shall provide all (untls necessary to pay all tlebts, tlisbursemen�s, and ezpenses
incurred in connection with its performance of ihe Senices hereuntler,antl shall no�be entitled ro I
any reimbursement from the City unless otherwise agreed �o by lhe Cily. I�will also provide all
supplies and equipment necessary to provide such Senices. If Contracror uses any ot�he Ciry's
tacilities, supplies,or equipment to fumish ihe Services hereunder,Conlractor shall pay the Ciry
(or such amount shall be deducted from the Fee set forth in SecUon 2)an amount as mutually
agreed by the parties. I
15. Liabilitv tor Sub-contractors.
Contracmr shall be liable br its Services, responsibilities and liabilities untler�his Agreement and
the costs, services, responsibilities and lia6ilities of any su6-wntractore (il any), and any other
person or entiry acting under the direction or conirol of Conlractor (if any). In this regar4
Coniractor must (umish the Ciry with all information relating to ihe sub-wniractors which is
requestetl by the Ciry When the term"Contraclor"is used in Ihis Agreement,it shall be deemed to I
inclutleanysub-contractors(ifany)and/oranyolherpersonorentityactinguntlerthedirectionor �
conbol o!Con�ractor(if any). All suboontractors(if any)must be disclosed in writing to ihe Ciry �.
prior to their engagemen� by Con�rac�or.
14. Indeoendent ContractorlNo Joint Venture.
THIS AGREEMENT SHALL NOT CONSTITUTE OR MAKE THE PARTIES A PARTNERSHIP OR
JOINTVENTURE. FORTHEPURPOSESOFTHISAGREEMENT,THECONTRACTORSHALL
BE DEEMED TO BE AN INDEPENDENT CONTRACTOR,AND NOT AN AGENT OR EMPIOYEE
OF THE CITY, AND SHALL NOT ATTAIN ANY RIGHTS OR BENEFITS UNDER THE CIVIL
SERVICE OR PENSION ORDINANCE OF THE CITY,OR ANY RIGHT GENERALLY AFFORDED
CLASSIFIED OR UNCLASSIFIED EMPLOYEES INCLUDING ANNUAL AND SICK DAY
ACCRUAL. FURTHER, THE CONTRAC70R SHALL NOT BE DEEMED ENTITLED TO
FLORIDA WORKER'S COMPENSATION BENEFITS AS AN EMPLOVEE OF THE CITV OR
ACCUMULATION OF SICK OR ANNUAL LEAVE.
The Coniraclor shall be the sole party responsible forany and all employment taxes,unemployment
compensation taxes or insurance, social sewrity Iaxes, or other tazes, insurance payments, or
olherwise whelher levied by any country or any political subtlivision�hereof. T�e Coniractor shall
not, in any way, be consitlered [o De, or be deemetl lo be, an employee of !he City throug� t�e
Services performed in this Agreement(e.g.,�ncluding,but not limitetl to,(or purposes o(ihe Federal
insurance Conlribution Act, Ihe Social Secunty Act. the Federal Unemployment Taa Act, the
provisions of the Inlemal Revenue Code,any sla�e revenue and taxation code relating to income
tax withholding a� �he source of income, the Workers Compensalion Insurance Code and other

bene(t payments antl ihirtl party liabitity claims), and Ihe Contractor shall indemnify and hold the
Ciry harmless from all wsts, loss, tlamages or eapenses (incluaing Dut wt limitea to taxes,
accounBng fees, court costs, antl attorney's fees at all levels o( litigalion) in Ihe event of any
determinalion lo�he contrary by any coutl of mmpetentjunsdiction or govemmental authonry. The
Contrac�or recognizes antl understands Iha�i1 will receive an In�ernal Revenue Service Form 1099
statement antl related �ax siatemen�s antl wtll be required lo file corporate and/or intlividual lax
retums antl lo pay taaes in accordance with all provisions o(appliwble Federal and stale law. The
Conlrector here6y promises and agrees to in0emnify the Ciry for any damages or eapenses,
including attorney's(ees, and legal expenses, incurred by the City as a result of the Contrectoi s
failure to make such requiretl payments.
Except as otherwise expressly pmvided in the AgreemenL�he Contractor shall in no way holtl itseif
out as an employee,dependent agent,or other servant of ihe City, its employees or othe�agents,
or as other Nan a free agen[with respect to the Ciry.The Contractor is not grante4 shall nol have,
and acknowledges the absence of any right or authority lo assume or create any obligations or
responsibilily, express or implied,on behalf of or in Ihe name of ihe Ciry or lo bind the latler in any
matter or thing whatsoever.
15. Pu�chase Order Reauirament.
This Agreement shall not be effective until executed by the parties hereto and until ihe Ciry has
issued a Purchase Ortler for this Agreement
16. Force Malaure.
(A) A"Force Majeure"event is an event that(i)in fact causes a tlelay in ihe perfortnance of the
Contracbror the Ciry's obligations under ihe Agreement,and(ii)is beyontl Ihe reasonable control
of such party unable to pertorm �he obligalion, and (iii) is nol due to an intentional act, error,
omission, or negligence of such party, and (iv) coultl not have reasonably been foreseen and
prepared for by such party al any�ime prior to�he occurrence of the event Subjecl�o lhe foregoing
cn�eria, Force Majeure may include events such as war, civil insurrecfion, rioL (res, epidemics,
pantlemics, termrism, sabotage, ezplosions, embargo restric�ions, quarantine reslnctions,
transportation accidents,slrikes,strong hmricanes orromadoes,eaAhquakes,or otheracisof God
which prevent peAormance. Force Majeure shall not include technological impossibility,inclement
wealher,or failure to secure any o(the required permits pursuant to lhe Agreemenl.
(8) IftheCiryorContmctor'spertormanceofilscontractualobligationsispreventedor0elayetlby
an event believetl by to be Force Majeure. such party shall immediately, upon learning of the
occurrence of ihe event or of Ihe commencement of any such delay, but in any case within fifteen
(15)business days IhereoC provide no�ice:(i)of the occurtence of event of Force Majeure,(ii)of the
nature ot�he event and the cause thereol, (iiQ o!the anticipatetl impac�on lhe Agreement,(Iv)o(
the anlicipa�ed periotl of lhe delay,and(v)o(what course of action such party plans to take in order
to mitigale the de�rimen�al eRecis of the even�.7he�imely delivery of�he no[ice of the occurrence of
a force Majeure event is a condition p�ecedent to allowance of any relief pursuant to this section;
however,receipt of such nolice shall no�consti Wte acceptance that the event claimed to 6e a Force
Majeure evenl is in fact Force Majeure, antl the burden of proo(of [he occurrence of a Force
Majeure event shall be on lhe requesling party.
(C) No party hereto s�all De liable for its failure ro carry out its obligalbns under the Agreement
dunng a period when such party is rendered unable, in whole or in paM1, by Force Majeure to carry

17. Assianment.
Con[ractor shall not assign all or any portion of ihis Agreement without the prior writlen consent of

18. Autlit antl Insnection Records.
Contractor shall permit the authonzed representatives of the Ciry to inspect and audit all tlala ana
records of the Contrector,d any, relaling lo performance under this Agreement until the eapiralion of
three years atter final payment untler this Agreement.
Contractor further agrees to include in all his/her su6conlracts hereunder a provision to the eHect
thal lhe sub-contractor agrees Ihat the Ciry or any of iheir duly authorized representatives shell,

venry the employment eligibiliry of all new employees hired by�he subcontractor dunng the contract
Term. If Coniractor enters into a contrect with an approved subcontractor, the subcontractor must
provitle Ihe Conlracror with an atfidavi� siating that Ihe subconhacto�tices not employ, conlract
wilh,or subcontractwith an unauthonzed alien.Contractor shall maintain a copy ofsuch affidavil for
the tluration of ihe subcontrac� or such other e:tended period as may be requiretl under ihis

(1) If Ihe City has a good failh belief thal Con�rac�or has knowingly violaled Section 448.09(i),
Floritla SlaWles, !�e Ciry shall tarminate lhis Agreement with Cont2ctor(or cause, and �he City
shall thereaNer Oave or owe no further obligation or liability to Coniracror.
(2) If Ihe Ciry has a gootl taith be�ief that a subconiractor has knowingly violated the foregoing
SuDseclion 20(A), but the Contractor olherwise complied with such subsection, the Ciry will
prompUy notify Ihe Contractor and order the Contractor to immediately lerminate the contract with
the subconiraclor. Contracrofs failure to terminale a subconVaclot shall be an event of default
under this Agreemenl. enfitling CiTy to terminate ihis Agreement for rause.
(3) A con(ract terminatetl untler Ihe foregoing SubsecAon (B)1)or (BHZ) is not in breach of
contrac�and may nol be wnsidered as such.
(4) The Ciry or Contreclor or a subcontrector may file an action wi(h ihe Circuit or County Court
ro challenge a termination under the foregoing Subsection(BK i)or(BX2)no laler ihan 20 wlendar
days afler Ihe date on which lhe conVact was terminatetl.
(5) I(theCirytermina�eslheAgreemen�withContractorundertheforegoingSubsection(8)(1),
Contractor may not be awartletl a public wntract for at leasf 1 year after�he date of lermination of
this Agreement.
(6) Contractor is liable for any adtlitional costs incurred by Ihe Ciry as a resWt of lhe termination of
this Agreement under this Section 20.

Agreement shall not be deemed a waiver of any su6sequent breach and shall not be consiruetl[o
be a modifcation of t�e terms of ihis Agreement.
25. Severance.
In the event this Agreement or a portion o( this Agreement is found by a court of competent
jurisdic[ion to be invalid,the remaining provisions shall conlinue to be effective unless City elects to
terminale this Agreemen�.
26.Joint Preoaration.
The parties here[o acknowletlge�ha[Mey have sought anC receivetl whatever competent etivice
and counsel as was necessary for them to form a fuil antl complele untlersfantling oFali nghts antl
