I 15. Liabilitv tor Sub-contractors. THIS AGREEMENT SHALL NOT CONSTITUTE OR MAKE THE PARTIES A PARTNERSHIP OR JOINTVENTURE. FORTHEPURPOSESOFTHISAGREEMENT,THECONTRACTORSHALL BE DEEMED TO BE AN INDEPENDENT CONTRACTOR,AND NOT AN AGENT OR EMPIOYEE OF THE CITY, AND SHALL NOT ATTAIN ANY RIGHTS OR BENEFITS UNDER THE CIVIL SERVICE OR PENSION ORDINANCE OF THE CITY,OR ANY RIGHT GENERALLY AFFORDED CLASSIFIED OR UNCLASSIFIED EMPLOYEES INCLUDING ANNUAL AND SICK DAY ACCRUAL. FURTHER, THE CONTRAC70R SHALL NOT BE DEEMED ENTITLED TO FLORIDA WORKER'S COMPENSATION BENEFITS AS AN EMPLOVEE OF THE CITV OR ACCUMULATION OF SICK OR ANNUAL LEAVE. Pu�chase Order Reauirament. This Agreement shall not be effective until executed by the parties hereto and until ihe Ciry has issued a Purchase Ortler for this Agreement 16. Force Malaure. (A) A"Force Majeure"event is an event that(i)in fact causes a tlelay in ihe perfortnance of the Contracbror the Ciry's obligations under ihe Agreement,and(ii)is beyontl Ihe reasonable control of such party unable to pertorm �he obligalion, and (iii) is nol due to an intentional act, error, omission, or negligence of such party, and (iv) coultl not have reasonably been foreseen and prepared for by such party al any�ime prior to�he occurrence of the event Subjecl�o lhe foregoing cn�eria, Force Majeure may include events such as war, civil insurrecfion, rioL (res, epidemics, pantlemics, termrism, sabotage, ezplosions, embargo restric�ions, quarantine reslnctions, transportation accidents,slrikes,strong hmricanes orromadoes,eaAhquakes,or otheracisof God which prevent peAormance. Force Majeure shall not include technological impossibility,inclement wealher,or failure to secure any o(the required permits pursuant to lhe Agreemenl.
