Capitalized terms used but not defned in this Amendment shall have the meanings ascribed to them in the Agreement. RECITALS WHEREAS, on October 26, 2022, the Mayor and City Commission adopted Resolution No. 2022-32340 authorizing negotiations with Consultanl, as the top ranked proposer, under Request for Qualifications No. 2022-430-ND; WHEREAS, on June 6, 2023, the City and Consultant executed the Agreement, in the total amount of $2,720,049J0, wherein Consultant agrees to provide architectural and engineering design services to the City for the Ocean Drive Corridor Improvement and Lummus Park Enhancement Project(the "Long-Term Improvements"); WHEREAS, on June 9, 2023, CGA was issued a Notice to Proceed and commenced meeting with the regulalory agencies and prior to commencing the data collection, traffic analysis and modeling, it was necessary for CGA and the City to obtain concurrence from the regulatory agencies; WHEREAS, mandatory traffic study methodology was subsequently oblained from lhe Miami-Dade County Department of Transportalion and Public Works ("DTPW") and the Florida Department of Transportation ("FDOT"); WHEREAS, Consultant will need to conduct additional work (the "Additional Work") to meet the requirements of the DTPW and FDOT approved traffic sludy methodology in connection with lhe Long-Term Improvements, including the collection of traffc data at additional intersections, the evalua(ion of additional multiple traffic scenarios, and the preparation of" additional traffic models; WHEREAS, on October 30, 2024, Ihe Mayor and City Commission adopted Resolution No. 202433337, directing the City Administration to take the necessary next steps to implement lighting and sidewalk improvements along the Ocean Drive Corridor (the "Short-Term Improvements"); WHEREAS, on March 25, 2025, Consultant submitted a request for Additional Services, for a total amount not to exceed $540,907.54, for the scope of work necessary to complete the Additional Work, in the amount o( $254,485.30, and the design services for the Short-Term Improvements, in the amount of$286,42224; WHEREAS, on May 21, 2025, the Mayor and City Commission adopfed Resolution No. 2025-33690 authorizing the City to increase the scope of the Agreement to include the Additional Work and the design services for the Short-Term Improvements, for a total amount not to exceed $540,907.54; and WHEREAS, this Amendment will increase the total contract value from $2,720,049.70 to $3,260,95724. NOW. THEREFORE, in consideration of the mutual promises and condilions contained herein, and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the City and Consultant hereby agree to amend the Agreement as follows: 7. ABOVE RECITALS. The above recitals are true and correct and are incorporated as a part of this Amendment. 2. MODIFICATIONS. The Agreement is hereby amended (deleted items siraek kxeugp and inserted items underlined) as follows: (a) Section 7.1 of the Agreement is modified as follows: 7.1. Consultant's "Lump Sum" fee for the provision of the Services, excluding reimbursable allowances, for the Project shall be$2,598,52352$3.088.681.06, as more fully delineated in Schedule B hereto. The City has a set reimbursable allowance in an amount not to exceed $42&52�M1� $172 276.18, for a total Contract Value of $2,729-;948,�8 $3 260.95724 (base bid of $2,599,52352 $3 088 681.06 plus reimbursable of $728526-3� $172 276.18). (d) Schedule E (Project Schedule) to the Agreement is deleted in its entirety and replaced with the attached Revised Schedule E (Revised Long-Term Improvements Project Schedule). (e) Schedule E-1 (Short-Term Improvements Project Schedule) is hereby incorporated into and made part of the Agreement. ORIGINALCONTRACTBACKGROUND A[ the time of develaping the smpe of wark far the project and during our initial scoping meetings in December 2022 and January 2023,CGA advised the Ci[y[ha[a swping meeting with both Miami-Dade County's Department of Transportation and Public Works (DTPW) and [he Florida Department of Trensportation (FDOT� would 6e essential to ascertain what processes, procedures, and standards they would apply m the required traffic evaluation methodology necessary to secure a permit with 6oth agencies. That advizemenf was made in order ta derive exactly wha[scope of work would be essential to meet Ihe requirements of[he agencies. The City directed CGAta not mnduct a preliminary meeting with Ihe agencies and instead develop a smpe of wark, based on assumptions CGA would make, with the directive that, once the coordination process commenced with[he agencies, if changes in the smpe were needed [hen they would be addressed at that time and any neressary changes to the contract would be presented to Commission for approval. Pollowing receipt of the Notice to Praceed Ol �NTP-Ol�, CGA drafted a methodology for iraffic study and evaluation, based on the assumptions that were made at the time of developing the srope of work. The initial coordina[ion meeting with[he agencies ocmrred in August 2023,and the team has met wfth both DTP W and FDOT Staff on several occasions to review their comments to the various iterations af the methodology, to gather feedback and further comment, and co seek mnsensus be[ween the two agencies. Approvals were received as follows: • May 17, 2024—Approval on methodology received from FWT • May 24, 2024—PDOLapproved methodolagy suhmitted to �TPW Por concurrency • lune 26,2024—Appraval on methodology re<eived from DTPW The current, approved methodology for study, resWting from the directives abtained from Ihe agencies during Ihe mordination meetings, has substantially changed from the initial assumptions tha[were made at the time of drafting the original scope of work. DTA models fill in the gap by ena6ling dynamic trafflc to be modeled at a range of scales Ihat highlights impacts[o the regional area. o The change fo DTA model-based analyses came as a resWt ofthe mnfluence of several projects and initiatives which will impact the study area within which Orean Drive si[s, which the agencies require to 6e factored-in and reflected in[he study, induding the following list: • The current'temporary' permitted ronditians af Ocean Drive • The current unpermitted mnditions of the Ocean�rive"Promenade" • The pending permit request by the CiTy to the County for the<losure of Espanola Way 6etween Washingcan Avenue and Collins Avenue. • The submission to the County far an evaluation on a proposal to pedestrianize the segment of Lincoln Raad east of Washington Avenue. • County plans for a forthcoming Bus Rapid Transit(BRT) infras[ructure improvement on W ashington Avenue (Please no[e that the agencies'mncems lie at Ihe mnfluence of how the sum of these projec[s will impact traffit pattems and diversion thraughout the mntezt when compounded hy the suggested changes to Ocean Drive,<ontemplated in the 3 different scenarios being evaluared. It is important to note that if the City makes any additional requests for new permits for any additional road closures or treffic modifications during our study-period and which are not already contemplated in this study's methodology,the agencies may reject the results af any findings and may require that any additional requested projects be added to the overall evaluation at the time ot considering the issuance of any permits, requiring the study to he amended accordingly.) POTENTIAL IMPACTS FROM FUTURE ANCILLARV PROlERS • Due to an "unpermitted"status of[he Ocean �rive"Promenade," DTPW has diverted from FDOT in[he determination of what is to be considered "ezisting mnditions." Despite the fact [hat the mrrent mnfiguration of [he overall mnfiguration af Ocean Drive (one-way southbound with dedicated bike lanes) received a petmit and which has 6een in-place following COVID,DTPW has taken the stance that the "existing mnditions"to be used when modeling the baseline for the project shall be the ronditions that ezisted pre-COVID. DTPW has directed us to utilize pre-COVID mnditions and project them to current date. • An increase in the evaluation time and effort ta perform [he required OTA analyses. This necessitates a heightened level of analysis, increased processing time, more romprehensive descriptions,extensive documentation,additional exhibits, and a substantial organixational effort. On average,the num6er of hours allocated per professional has substantially increased, primarily due to the escalated mmplezity of[he project,the increased diligence required for dommenting and evaluating[he data,and the more extensive processes required for the analysis. Additionally,the required rechnical, specialty expertise of the staff required to mnduct the directed analyses has been increased acmrdingly. • It is important to note Ihat this increase in smpe also has impacls on the degrees and levels of mordination needed among the assigned team mem6ea and the agencies,and as such also increased [he project management needs to ensure quality, mnsistenry, and compliance with the agencies' requirements,including several wordination meetings wfth[he agencies. nsa oi-zaszcx-marm xs,zozs Pdge 4 0(15 WORK PERFORMED TO-DATE W e mntinue to advante the project as much as we can, making every attempt to minimize[he impacts[hat the changes in the new methodology will have on the contracted schedule. • DataCollectian: Besidesthemanymordinatianandworking-sessionmeetingswehavehadwithDTPW and FDOT, we have mmpleted the mllection of traffic data that both DTPW and FDOT agreed upon induding vehiwlar, pedestrian and cy<list data. That data was col lected at the following bcations: • Washington Avenue, between 91h and 10`"Street • Collins Avenue, between 9'"and l0th Street • Ocean Drive,hetween 9[h and IOth Stree[ • Washington Avenue, between 141h Street and Espanola Way • Collins Avenue, between 14`"Street and 14th Place • Ocean Drive, hetween 141h Street and 14th Place • Inter-Departmental S[akehalder Meetings: The CGA design team has met with every mn[ri6uting City department stakeholders to introduce them to the project, dismss the parameters of the swpe, and salicit data related to the design af Orean Drive and Lummus Park. This initial interdepartment coardination will mntinue and be keyto ensuring a successful project. The departments with whom we met,with the oversight of CIP, indude: • Culture and Tourism • Economic Development • Environmen[and5ustainabiiity • Facilities • Fire • Green Space • Parking • ParksandRecreation • Planning • Polire • Public Works • Ur6an Forestry • Large-event Logistics Observation: In response to the importanre Wmmus Park plays in large event planning and its impact as an emnomic generator for Ihe City, CIP and CGA Staff inet with various depar[ments during the seFup ofthe Air and Sea Show and the Food and Wine Festival,where CIP and CGA Staff were able to ohserve and understand the various logistics and needs of preparing for and planningforeventsofthatscale. Thisisimportantduetothefactthatoneoftheperformativemetrics for a well-design W mmus Park indudes the flexi6ility needed for large-scale engagements. • Topographical Survey: We have finalized [he topographic survey of[he proje<t site and are currently coordinating and scheduling Community stakeholder meetings to commen<e [he public engagement mmponent of [he project with 'listening sessions' that will serve as a basis for fu[ure design and outreach effarts. The original milestone was to make a presentation of findings and recammendations to City Cammission in April of 202A far zelection of a roadway configuration tor O<ean Drive. That was based on a schedule that had a methodology approved by early September 2023. The current delay has pushed that milestone 6y a scale ot months to possibly early Fall 2025. II. SPECIFICTOTMESHORT-TERMIMPROVEMENTSTOOCEANDRIVE: The City has requesied that this scope be revised to add ligh[ing and sidewalk improvements m enhance safety, acressibility, and aes[hetia along Ocean Drive, "which can be completed in a shorter timeframe;"compared to the Orean Drive and Lummus Park Enhancement Project which "is a multi-year endeavor that involved comprehensive design, permitting and constructionl" The goal for the praject is to "implement the lighting and sidewalk improvements as part of the wter-approved G.O. Bond Ocean Drive Corridor Improvement Projec[" ' 'Item O AI, City of Miomi Beach Commission Agenda, dated October 3Q 2024 Our understanding of the request is to prepare design options and implementa[ion strategies Por im provements that can be implemented in [he short [erm. The request from the City is that shorFterm improvements he designed in a manner so they can be transitioned into the long-term plans for Ocean Drive and Lummus Park. Generally,[he most effective manner m achieve[his is to first arrive at a long-term design and de[ermine where all the critical infrastructure needs [o be located, then reverse engineer a short-term implementation component, partiwlarly 6ecause the changes heing suggested in Ihe AOCD Plan are a large depaRure from the existing mndi[ions impacting roadway configurations, sidewalk widths,the location of drainage infrastructure, lighting infrastructure, parking, landscaping and irrigatian. Modifying the enisting conditions for a short-term improvement that will [hen be retro-fitted to a future mnfiguration will not Iranslate 100%from the short-to long-term phase;there will he romponents that will work for the short-term phase and will require to be undone or remnfigured for the future phase, depending on the degree of changes 6eing proposed. We remgnize[hat thismayhaveafinancialimpactonthetransitlonbetweenphases. Wewillmakeeveryefforttominimizethese condi[ions and take this short- to long-term phasing strategy into ronsideration when evaluating and making design recommendations. To achieve[his,this proposal acknowledges thai reducing impacts to infrastructure that can either halloon the budge[ or exacerbate the schedule will be an essential companent to the project's success and will go a long way to ensure that[he project is implementable. Additionally,design decisions should reflect known limi[ations Ihat permit agencies will impose. These limitations should include: 1. Ensuring that the existing drainage pattems of the roadway remain unchanged. This will eliminate prolonged times associated with design and permitting and eliminate costly upgrades to the ezisting drainage fnfras[ructure. This will result in [he existing catch hasins and curb-and-gutters to remain in [heir current location without modification. 2. Ensuringthattheexistingroadwaytrefficconiiguretiondoesnotchangeiromthecurrentconditions, including the wrrent pavement marking and striping. The mrrent permitted rondition is a 1-way sauthbound travel lane wi[h separated 6i-directional 6ike lanes. This will eliminate the requirement for extensive traffic forecasting studies that require lots of time far stenario-building and iraffic impact modelling in order to secure a permii through M iami-Dade Counry's Depar[ment of Transporta[ion and Public W orks. These studies and evaluations are currently heing undertaken as a part of the hase Ocean Drive and Lummus Park Enhancement Project. Additionally, we want to avoid [riggering any reQuired reviews hy Miami-Dade County's �epartment of Transportation and Public Works for modifications or changes to[he pavement markings and signage. This will eliminate prolonged times assaciated with performing utiliry coordina[ion efforts with utility companies and rostly effort to modify [he location of ezisting utilities. Ensuring that any lighting impravements lacated on the west side of Ocean Drive are casting illumination away trom the shoreline,utilize turtle-friendly amber lighting,and are shielded to prevent light spill towards the shoreline. This will eliminate known pain-poin[s with the Plorida Fish and Wildlife's restrictions on lighting that may impact turtle nesting ha6itat areas.
